MEMORANDUM OF AGREEMENT AND NOTICE
This Memorandum of Agreement and Notice is made and entered into this 12 th . day of
September, 2003 by and between the City of Fort Collins, Colorado, a municipal corporation,
hereinafter referred to as the "City", and Boardwalk Crossing Limited Partnership, a Colorado limited
partnership, hereinafter referred to as the "Developer ".
The Developer has executed certain documents pertaining to a development which has been
approved by the City, which development was named and is known as Garth Commercial Plaza,
Lots 3 & 4. The said documents create certain rights and obligations of the development, the
Developer and/or subsequent owners of all or portions of the development site, many of which
obligations constitute promises and covenants which run with the land. The said documents may
also be amended from time to time and include, without limitation, those listed below and are on file
in the office of the Clerk of the City of Fort Collins and should be closely examined by all persons
interested in purchasing any portion of the development site. The said documents include the
following:

The development site is more particularly described as follows:
Being lot 3 except the north 8.5 feet thereof, and lot 4, Garth Commercial Plaza, situate in
the Northeast'/4 Section of 35, Township 7 North, Range 69 West of the sixth P.M., City of
Fort Collins, County of Larimer, State of Colorado.
IN WITNESS WHEREOF, the parties have executed this Memorandum of Agreement and
noticed the day and year first above written.
