Home My WebLink AboutCORRESPONDENCE - PURCHASE ORDER - 9168373Fixed Price Engagement Contract Client Name City of Fort Collins Client Address Fort Collins, Denver Overview Fort Collins has asked BIAS to implement an OVM farm consisting of a single OVS server at 2 separate sites and an OVM Manager server that will manage both servers. The sites are approximately 10 miles apart. Fort Collins wants to use these OVS servers as primary and secondary sites with only local storage available to the servers. BIAS would need to provide scripting and procedures for the export/import of VM’s from the primary to the secondary site, runbooks for implementation, and standard operating procedures for the OVM environment. Services BIAS Corporation, “BIAS”, will work with City of Fort Collins, “Client”, to execute the following services: • Architectural Readiness Assessment o Discuss the architecture of the Oracle VM environment o Discuss migration plan o Discuss network and storage requirements • Physical installation and verification o Install OVS on 2 physical servers o Install OVM Manager on a separate server o Configure 2 local server pools with local storage repositories o Create single VM with 2 CPU cores pinned o Create DB VM template for fast deployments o Verify procedure for exporting and importing VM’s from site A to site B  Script steps where necessary and provide documentation for entire procedure • Training o Provide Run Book documentation o Provide training of the OVM process  Standard Operating Procedure document handoff • CPU Pinning • Maintenance • Patching • Storage • Networks • Deployments Assumptions This contract utilizes the assumptions cited below to arrive at the underlying time and cost estimates. Any deviation from these assumptions may alter the approach and the estimates. BIAS will notify the Client prior to the continuation of any further work should such alterations be required. 1. The Client will provide access to systems, storage, applications, and database(s) to support the services described above. 2. The Client will provide necessary access to their IT staff during the course of this engagement. 3. The Client will have the necessary hardware, software, and documentation to support the efforts on site prior to the project start date. 4. While on site, BIAS will bill time to the Client for any delays caused by non-availability of software, hardware, network access, Client personnel, and resources. This billable time will be an addition to the estimates in this document. 5. The Client will provide office space for BIAS consultants at its work location with telephone, system and application access, internet and network connection, and other office supplies as necessary through the duration of the project. All work will be completed at the Client location or remotely by the consultant as approved by the Client. 6. Any out-of-scope work not mentioned in this contract will be estimated and charged using rates negotiated by BIAS and the Client thru a change request. 7. The Client will configure all Oracle Database and Application instances. Any assistance by BIAS will require an addition to the estimates in this document. Deliverables BIAS will provide the following deliverables: • Architectural discussion to start the project, review the technical approach, and describe future considerations for better high availability • Oracle VM environment o All Storage Repositories and Server Pools created o All OVM networking completed • Documentation including architectural descriptions, installation details, and run book notes of common storage provisioning, and patching Acceptance Criteria Upon completion of any Deliverable, BIAS shall provide a complete copy thereof to Client and demonstrate the functionality of the Deliverable if applicable. Upon accepting any Deliverable, Client shall provide a written acceptance to BIAS for such Deliverable. If submitted Deliverable does not perform the functional requirements as specified in this Engagement Contract, Client shall have five (5) business days to provide written notice to BIAS specifying the deficiencies in detail (“Acceptance Period”). BIAS shall use reasonable efforts to promptly cure any such deficiencies. After completing any such cure, BIAS shall resubmit the Deliverable for review. If Client fails to reject any Deliverable within the Acceptance Period in the manner described above, such Deliverable shall be deemed accepted at the end of the Acceptance Period. The engagement will have the following milestones and acceptance criteria. Milestone Acceptance Criteria Architectural Discussion Client accepts the Oracle VM Environment Architecture Oracle VM Installation and Documentation Install and configure Oracle VM, Storage, and Networking for Oracle VM, Server Pools, Import/Export of VM, and documentation Duration The estimated duration for this engagement is 12 person days (96 hours). Labor Client shall pay to BIAS a fixed labor and expense fee of $19,200.00 for the deliverables described above. The parties shall enter into a Change Order before any additional services are performed under this Engagement Contract that would exceed this Fee. Once a deliverable is accepted (or deemed to be accepted), the corresponding Fee specified below shall become due and payable; on such acceptance date, this payment obligation shall become non-cancelable and the sum paid nonrefundable. The project has an estimated duration of 8 days and will be invoiced in full upon completion of the deliverables as described above. Milestone Fees Architectural Discussion $ 0.00 Oracle VM Installation $ 19,200.00 Estimated Expenses $6,000.00 Total Fixed Price $25,200.00 Invoicing and Payment Terms All fees and expenses related to services performed will be invoiced at the completion of the deliverables as described above. Actual reasonable travel, out of pocket expenses will be invoiced as actuals. Taxes are not included in the labor rate and will be invoiced as a separate line item. The Client shall pay BIAS within 30 days of the invoice date (completion of the deliverables). Payments received after 30 days of the invoice date are subject to a 1.5% service charge. Client is liable for all sales taxes assessed presently and any future assessments or adjustments of sales tax. Employment Solicitation Both parties agree that the other party, or any of its subsidiaries or affiliate companies of such other party, will not knowingly offer or solicit employment of the other’s consultants or employees within 12 months of the completion date of this Engagement Contract unless approved in writing by an officer of both parties. Work Products Representatives of BIAS shall work strictly as independent contractors. All work products shall be considered “work for hire” and will be solely owned by the Client. Relationship between BIAS and Client BIAS is an independent contractor; nothing in this agreement shall be construed to create a partnership, joint venture, or agency relationship between BIAS and Client. Limitation of Liability Neither party will be liable for indirect, special or consequential damages (including loss of profits) of any kind even if advised of the possibility of such damages. Regardless of the form of any claim by Client, BIAS’ liability for damages shall in no event exceed the amount of fees paid by the Client under this Engagement Contract. Indemnification Both parties agree to defend, indemnify, and hold harmless each other, their affiliates and their respective successors, officers, directors, partners and employees from any and all third-party actions, claims, demands, costs, liabilities, expenses and damages, including reasonable legal fees and associated expenses.
