HomeMy WebLinkAboutRUBICON GLOBAL LLC - CONTRACT - AGREEMENT MISC - RUBICON GLOBAL LLCPilot Agreement – Rubicon Global LLC Page 1 of 6 PILOT AGREEMENT This Pilot Agreement (“Agreement”) is made and entered into this 1st day of August, 2018 by and between RUBICON GLOBAL, LLC, having a principal place of business at 950 East Paces Ferry Road, Suite 1900, Atlanta, Georgia 30326 (“Rubicon”) and the City of Fort Collins, Colorado, a municipal corporation, having a principal place of business at 215 North Mason Street, PO Box 580, Fort Collins, Colorado 80522 (the “City”) (Rubicon and the City are hereinafter referred to as the “Parties”). SECTION 1 - BACKGROUND 1.01 Rubicon has developed a technology-enabled suite of systems and methods for monitoring fleet and vehicle performance management services provided by street sweeping vehicles in real-time, enabling users to effectively measure and manage the impact and efficiency of sweeping services. 1.02. The City’s Department of Streets includes a fleet of approximately 5 street sweeping vehicles (“Street Sweepers”) that service approximately 7,680 miles of curb within the City limits. 1.03 The Parties are interested in conducting a joint 6-month pilot project (the “Pilot Project”), allowing the City to test Rubicon’s technology-enabled suite of products to improve the impact and efficiency of its Streets Department street sweeping services. SECTION 2 - PURPOSE OF THE AGREEMENT 2.01 The purpose of this Agreement is to: (a) provide the basis for the Parties’ responsibilities under the Pilot Project; and (b) describe at a high level the key principles and terms which will apply to the Pilot Project. SECTION 3 - PILOT PROJECT 3.01 Pilot Project: Rubicon and the City agree to participate in the Pilot Project to help the parties to evaluate the effectiveness of Rubicon’s technology to the management and performance of street sweeping systems in cities like Fort Collins. Rubicon agrees to provide hardware and software, training, and support as described below at no cost to the City. 3.02 Pilot Project Hardware: For use in the City’s Street Sweepers at the City’s sole discretion, Rubicon will provide the following hardware devices for up to five (5) street sweepers: (1) a smartphone with service plan, (2) a pod device, (3) a phone case, (4) a vehicle mount for smartphone, and (5) a vehicle charger and cable for the smartphone. Rubicon will also provide charging stations for charging the smartphones while not in use in a Street Sweeper. Rubicon will install the hardware on the City’s designated Street Sweepers utilizing qualified and trained technicians under the City’s supervision. 3.03 Pilot Project Software and Services: Rubicon will provide to the City access to its proprietary app-based software on the provided smartphones to monitor and collect data regarding activity of the Street Sweepers. Rubicon will also grant to the City access to a customized web portal providing access to real-time and historical information as derived from data collected by the smartphones using Rubicon’s proprietary technology and information (“Portal Information”). Additionally, Rubicon will provide to the City training and support services for its proprietary and customized software. 3.04 Duration: Unless the Agreement is terminated by the City in accordance with Section 3.11, Rubicon will provide the Pilot Project hardware, software, and services described in sections 3.01 - 3.03, from the date such technology-enabled suite of systems is substantially DocuSign Envelope ID: 728175BD-ED7E-45F4-B276-677FC46BB0F0 Pilot Agreement – Rubicon Global LLC Page 2 of 6 implemented in the Street Sweepers and notice of completion of such implementation is provided from Rubicon to the City until the sixth month anniversary of such date (the “Termination Date”). Within 2 weeks of the Termination Date, the City agrees to return all hardware and software to Rubicon. The City’s access to Rubicon’s customized web portal shall be discontinued 6 months after the Termination Date. Notwithstanding the foregoing, any terms of this Agreement, which by their explicit language or their nature, including, without limitation, the provisions of Section 3.07, Section 3.09, Section 3.10 (use of logo) and Section 3.12 (indemnification) shall survive Termination of this Agreement. 3.05 Liability: Rubicon assumes liability for breakage, theft, or loss of the Pilot Project Hardware and damage to the Street Sweeps resulting from Rubicon’s installation of the Project Hardware that is not the result of gross negligence by the City, its agents or employees. Rubicon also agrees to provide reasonable maintenance for the Pilot Project Hardware for the duration of the Pilot Project, and the City agrees to provide Rubicon reasonable access to the Street Sweepers to provide such maintenance. The Parties will agree on an appropriate mechanism for the Parties to inform one another of any maintenance issues with the Pilot Project Hardware and for Rubicon to have access to the Pilot Project Hardware to provide such maintenance. 3.06 Value: It is estimated that the total purchase price value of hardware, software and services provided to the City during the Pilot Project is up to thirty-four thousand, five hundred and ninety-eight dollars & six cents. ($34,598.06). 3.07 Intellectual Property: (a) Rubicon will retain ownership of all of its intellectual property including all intellectual property embodied in or used by the Pilot Project Hardware and Software and any other intellectual property necessary to conduct the Pilot Project. Rubicon grants the City a non-exclusive license under such intellectual property solely for the conduct of the Pilot Project for the duration of the Pilot Project. Such non-exclusive license will terminate upon completion of the Pilot Project. (b) Any intellectual property, including, but not limited to, any inventions, patents, copyrights, trade secrets, or know-how, made or acquired as a result of the Pilot Project whether solely by either of the Parties, or jointly by the Parties (“Project Intellectual Property”) will be owned by Rubicon. The City hereby assigns all right, title, and interest in any such Project Intellectual Property to Rubicon. (c) Rubicon will retain ownership of any and all data in its possession prior to commencement of the Pilot Project, or that Rubicon otherwise generates or collects after commencement of the Pilot Project, but that is unrelated to the Pilot Project (“Rubicon’s Pre-Existing Data”). The City will not be given access or any license to Rubicon’s Pre-Existing Data. (d) The City will retain ownership of data in its possession prior to commencement of the Pilot Project that it provides to Rubicon in conjunction with the Pilot Project, including, but not limited to addresses, routes, vehicle and operator identification, and/or other services data gathered or prepared by the City (“City’s Pre-Existing Data”). (e) Except as required by the Colorado Open Records Act, Rubicon will own and retain the data generated and collected under the Pilot Project (“Project Data”). Rubicon hereby grants the City a non-exclusive, royalty-free, irrevocable, perpetual license to use the Project Data for any purpose that is otherwise not prohibited by this Agreement. Rubicon shall not utilize such data for marketing or promotional purposes. (f) Rubicon shall indemnify and hold harmless the City from and against any claims, including reasonable legal fees and expenses, based upon infringement of any copyright or patent of the Pilot Project Hardware and Software and any other intellectual property DocuSign Envelope ID: 728175BD-ED7E-45F4-B276-677FC46BB0F0 Pilot Agreement – Rubicon Global LLC Page 3 of 6 necessary to conduct the Pilot Project. The City agrees to notify Rubicon of any such claim promptly in writing and to allow Rubicon to control the proceedings. The City agrees to cooperate fully with Rubicon during such proceedings. Rubicon shall defend and settle at its sole expense all proceedings arising out of the foregoing. In the event of such infringement, Rubicon may replace, in whole or in part, the intellectual property with a substantially compatible and functionally equivalent substitiution or modification to avoid the infringement. 3.08 Additional Responsibilities of the City of Fort Collins: (a) The City will provide Rubicon reasonable access to the Street Sweepers and the City’s appropriate facilities to install the Pilot Project Hardware. The Parties will agree on an appropriate time and location for such installation. (b) The City will make available the operators of the City’s Street Sweepers, managers, supervisors, and dispatchers of the City’s Streets Department of Street Sweepers, and other City employees at the City’s sole discretion who will participate in the Pilot Project available for the purpose of training on Pilot Project Hardware and Pilot Project Software set forth in Sections 3.02 and 3.03. The Parties will agree on an appropriate time and location for such training. (c) The City will use commercially reasonable efforts to provide Rubicon with City’s Pre- Existing Data concerning: (i) the costs associated with providing street sweeping services, including all data collected by the City representing the City’s costs to provide these services in the City’s County limits for each of the past 12 months, including labor costs for Street Sweeper operators, managers, supervisors and helpers/slingers, as well as maintenance and fuel costs associated with Street Sweepers; and (ii) the amount of street debris materials it collected through sweeping services in the City within the past 12 months. 3.09 Confidentiality: Except as required by the Colorado Open Records Act, Project Data generated and collected under the Pilot Project, and Rubicon’s Pre-Existing Data will be considered proprietary and confidential. The City agrees not to publish or otherwise make publically available any Portal Information without the written permission of Rubicon. 3.10 Use of City Logo: Use of the City logo is prohibited without first obtaining written permission from the City of Fort Collins, 3.11 Early Termination by City/Notices: Notwithstanding the time periods contained herein, the City may terminate this Agreement at any time without cause, at no cost and/or liability by providing written notice of termination to Rubicon. Such notice shall be mailed at least fifteen (15) days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. Rubicon agrees to indemnify and save harmless the City, its officers, agents and employees against and from any and all actions, suits, claims, demands or liability of any character whatsoever, brought or asserted for injuries to or death of any person or persons, or damages to property arising out of, result from or occurring in connection with the performance of any service hereunder, except to the extent such liability was caused by the City’s intentional misconduct or gross negligence in connection with the services hereunder. b. Rubicon shall take all necessary precautions in performing the work hereunder to prevent injury to persons and property. c. Without limiting any of Rubicon's obligations hereunder, Rubicon shall provide and maintain insurance coverage naming the City as an additional insured under this Agreement of the type and with the limits specified within Exhibit A, consisting of one (1) page, attached hereto and incorporated herein by this reference. Rubicon before commencing services hereunder shall deliver to the City's Purchasing Director, P. O. Box 580, Fort Collins, Colorado 80522 one copy of a certificate evidencing the insurance coverage required from an insurance company acceptable to the city. 3.13 Prohibition Against Employing Illegal Aliens. Pursuant to Section 8-17.5-101, C.R.S., et. seq., Service Provider represents and agrees that: a. As of the date of this Agreement: 1. Service Provider does not knowingly employ or contract with an illegal alien who will perform work under this Agreement; and 2. Service Provider will participate in either the e-Verify program created in Public Law 208, 104th Congress, as amended, and expanded in Public Law 156, 108th Congress, as amended, administered by the United States Department of Homeland Security (the “e-Verify Program”) or the Department Program (the “Department Program”), an employment verification program established pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment eligibility of all newly hired employees to perform work under this Agreement. b. Service Provider shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or knowingly enter into a contract with a subcontractor that knowingly employs or contracts with an illegal alien to perform work under this Agreement. c. Service Provider is prohibited from using the e-Verify Program or Department Program procedures to undertake pre-employment screening of job applicants while this Agreement is being performed. d. If Service Provider obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien, Service Provider shall: 1. Notify such subcontractor and the City within three days that Service Provider has actual knowledge that the subcontractor is employing or contracting with an illegal alien; and DocuSign Envelope ID: 728175BD-ED7E-45F4-B276-677FC46BB0F0 Pilot Agreement – Rubicon Global LLC Page 5 of 6 2. Terminate the subcontract with the subcontractor if within three days of receiving the notice required pursuant to this section the subcontractor does not cease employing or contracting with the illegal alien; except that Service Provider shall not terminate the contract with the subcontractor if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. e. Service Provider shall comply with any reasonable request by the Colorado Department of Labor and Employment (the “Department”) made in the course of an investigation that the Department undertakes or is undertaking pursuant to the authority established in Subsection 8-17.5-102 (5), C.R.S. f. If Service Provider violates any provision of this Agreement pertaining to the duties imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this Agreement is so terminated, Service Provider shall be liable for actual and consequential damages to the City arising out of Service Provider’s violation of Subsection 8-17.5-102, C.R.S. g. The City will notify the Office of the Secretary of State if Service Provider violates this provision of this Agreement and the City terminates the Agreement for such breach. SECTION 4 - FUTURE EXPECTATIONS 4.01 The Parties understand and agree that this Agreement, including the Pilot Project described herein, Rubicon’s provision of goods and services during the Pilot Project, and the Parties’ respective interests in the various forms of Intellectual Property contemplated, does not expressly or by implication obligate the City to purchase any goods or services from Rubicon or guarantee that the City will purchase any goods or services from Rubicon. *********************** The Parties, by authorized representatives, have executed this Pilot Agreement as of the Effective Date. INSURANCE REQUIREMENTS. Rubicon will provide, from insurance companies acceptable to the City, the insurance coverage designated hereinafter and pay all costs. Before commencing work under this bid, Rubicon shall furnish the City with certificates of insurance showing the type, amount, class of operations covered, effective dates and date of expiration of policies, and containing substantially the following statement: “The insurance evidenced by this Certificate will not reduce coverage or limits and will not be cancelled, except after thirty (30) days written notice has been received by the City of Fort Collins.” In case of the breach of any provision of the Insurance Requirements, the City, at its option, may take out and maintain, at the expense of Rubicon, such insurance as the City may deem proper and may deduct the cost of such insurance from any monies which may be due or become due the Service Provider under this Agreement. The City, its officers, agents and employees shall be named as additional insureds on Rubicon's general liability and automobile liability insurance policies for any claims arising out of work performed under this Agreement. 2. Insurance coverages shall be as follows: A. Workers' Compensation & Employer's Liability. Rubicon shall maintain during the life of this Agreement for all of their employees engaged in work performed under this Agreement: 1. Workers' Compensation insurance with statutory limits as required by Colorado law. 2. Employer's Liability insurance with limits of $100,000 per accident, $500,000 disease aggregate, and $100,000 disease each employee. B. Commercial General & Vehicle Liability. Rubicon shall maintain during the life of this Agreement such commercial general liability and automobile liability insurance as will provide coverage for damage claims of personal injury, including accidental death, as well as for claims for property damage, which may arise directly or indirectly from the performance of work under this Agreement. Coverage for property damage shall be on a "broad form" basis. The amount of insurance for each coverage, Commercial General and Vehicle, shall not be less than $1,000,000 combined single limits for bodily injury and property damage. In the event any work is performed by a subcontractor, Rubicon shall be responsible for any liability directly or indirectly arising out of the work performed under this Agreement by a subcontractor, which liability is not covered by the subcontractor's insurance.
