This Second Amendment (Amendment #02) is entered into by and between the CITY OF FORT COLLINS (the “City”) and G4S SECURE SOLUTIONS (USA) INC. (the “Service Provider”). WHEREAS, the Service Provider and the City entered into an Agreement effective January 23, 2017 (the “Agreement”); and WHEREAS, the parties amended the Agreement (Amendment #01) effective June 1, 2017 to add additional scope to the Agreement and renew the Agreement for an additional year; and WHEREAS, the Service Provider and the City desire to amend the Agreement to add Exhibit 1, Scope of Services. NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein contained, the parties agree as follows: 1. The attached Exhibit 1 will be in addition to Exhibit A, Scope of Services; and 2. Amendment #02 will be effective as of June 1, 2018. Except as expressly amended by this Amendment #02, all other terms and conditions of the Agreement, as previously amended by Amendment #01 shall remain unchanged and in full force and effect. In the event of a conflict between the terms of the Agreement, as amended, and this Amendment #02, this Amendment #02 shall prevail. MAX runs from the South Transit Center (STC) at 4915 Fossil Blvd, Fort Collins to the Downtown Transit Center (DTC) located at 250 N. Mason Street, Fort Collins. Buses operate at up to 10-minute headways along a 5.9-mile route which includes dedicated guideway, Mason Street and McClelland Ave. MAX operates from approximately 5:00AM to 12:30AM. Riders can purchase one-way, one-day, 7-day and 31-day passes from 21 different Ticket Vending Machines (TVMs) at 19 stops along the route. City Fiscal Quarters: January 1 – March 31 April 1 – June 30 July 1 – September 30 October 1 – December 31 Security Officer will provide armed coverage for a City Representative one time per quarter, days and times will vary. Armed coverage will be required for at least three hours; however, the City reserves the right to extend the requisite amount of time the armed Security Officer is available to escort City Representative depending on unanticipated factors which may cause delays in retrieving monies from the TVMs, in addition to other unforeseen circumstances such as inclement weather or equipment failure, etc. Security Officer will meet City Representative at the Transfort Maintenance Facility (TMF) located at 6570 Portner Road, Fort Collins, on the scheduled day and time. City Representative will acquire equipment needed to service the pay machines from the Treasury Room and will carry equipment to City Representative’s vehicle, escorted by Security Officer. Multiple trips may be required to carry equipment. City Representative will then drive Security Officer to first TVM located at STC. The Security Officer will maintain a presence nearby while City Representative accesses the TVM and provides needed service and maintenance, including but not limited to running reports, exchanging full hoppers for depleted hoppers, exchanging empty bill vaults for full bill vaults and exchanging empty coin vaults for full coin vaults. Security Officer will then escort City Representative back to the vehicle with the hoppers, bill vaults and coin vault. The City Representative will carry the hoppers and vaults at all times. City Representative will then drive Security Officer to the next TVM located on the guideway heading north and repeat process for each TVM. Due to vehicle space constraints, it may be necessary to return to the Treasury Room located at TMF before treasury process is complete and exchange for empty hoppers and vaults. Once all TVMs have been accessed, City Representative will drive Security Officer and equipment back to TMF and unload all hoppers and vaults into Treasury Room. City Representative will return all equipment and TVM keys to City Staff completing Treasury Duties. Cost The cost for this Work shall be in accordance with the Agreement, Exhibit A, Section III, J.
