Dear Gerry,
As discussed, Elster Solutions, LLC (“Elster”) agrees to sell the City of Fort Collins (the “City”) six (6)
7320 ABB/Tropos routers pursuant to the terms of the Advanced Metering Infrastructure Master Services
Agreement dated August 9, 2011 (the “Agreement”).
The City understands and agrees that ABB/Tropos is no longer offering a 20 year warranty on such routers and
for any such routers purchased by the City as of the date of this letter. Elster is bearing the risk associated with a
potential product failure in years 6 through 20 of such router’s life.
Further, the City understands and agrees that ABB/Tropos intends to end of life the 7320 routers in the near
future and replace them with a next generation router (the Tropos 6420 router) and that any warranted failures
of the 7320 router will either be repaired or replaced with the Tropos 6420 router (or a future version of the
router offered by ABB/Tropos, if any). ABB/Tropos has communicated that the 6420 router will come with an
optional 10 year warranty if purchased on or before June 30, 2018. In the event a 7320 router purchased by the
City as of the date of this letter fails during the 20 year warranty period, the replacement router will be
warranted for the lesser of: (1) the longest warranty offered by ABB/Tropos on the replacement router, not to
exceed 10 years or (2) the remaining portion of the original 20 year warranty period.
Elster herein reaffirms all 7320 routers purchased by the City prior to the date of this letter shall continue
to be warrantied for a period of 20 year pursuant to the original warranty provision stated in the
Agreement.
The City agrees that this will be the final purchase of 7320 Tropos routers from Elster.
If you agree with the foregoing terms, please acknowledge your agreement by executing this letter and returning
one copy to us.
