Work Order Type between
The City of Fort Collins and Linden Gate Consulting LLC
This First Amendment (the “First Amendment”) to the Professional Services Agreement
between the CITY OF FORT COLLINS and LINDEN GATE CONSULTING LLC is entered
into by and between Linden Gate Consulting LLC, (the “Professional”) and the City of Fort
Collins, Colorado (the “City”).
WHEREAS, the Professional and the City mutually entered into a Professional Services
Agreement Work Order Type for consulting in connection with the City’s broadband initiative
with an effective date of June 19, 2017 (the “Agreement”); and
WHEREAS, Professional and the City wish to renew the Agreement for up to an additional
year; and
WHEREAS, Professional and the City desire to amend the Agreement to revise the
compensation provision for work performed under the Agreement.
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein
contained, the parties agree as follows:
1. Section 4, Contract Period, is deleted in its entirety and replaced with the following:
“This Agreement shall commence January 1, 2018, and shall continue in full force and
effect until December 31, 2018, unless sooner terminated as herein provided.”
2. Section 7, Compensation, paragraph a is deleted in its entirety and replaced with the
following:
“Effective January 1, 2018 the City shall pay Professional a fix fee of $2,075 per week.”
3. Section 7, Compensation, paragraph b is deleted in its entirety and replaced with the
following:
“The Professional shall submit invoices bi-weekly (twice per month) to
invoices@fcgov.com. Contemporaneously with submittal of each invoice, the
Professional shall provide Mike Beckstead or his designated representative with a high
level summary of outcomes achieved during the period.”
IN WITNESS WHEREOF, the parties have executed this First Amendment the day and year
shown.
