HomeMy WebLinkAbout541195 MARATHON HEALTH INC - CONTRACT - RFP - 7512 ON-SITE EMPLOYEE WELLNESS CLINIC (6)Page 1 of 2 FIFTH ADDENDUM TO HEALTH SERVICES AGREEMENT This Fifth Addendum to Health Services Agreement (the "Addendum"), to be effective August 1, 2017, is hereby attached to and made part of the Health Services Agreement by and between City of Fort Collins (“Client”) and Marathon Health, Inc. ("Marathon") dated August 8, 2014, for certain preventive, wellness, disease management, health consultation and/or primary care services. WITNESSETH WHEREAS, on August 8, 2014, Client entered into an agreement with Marathon for preventive, wellness, disease management, health consultation and primary care services for its employees to begin on January 14, 2015 (the "Original Agreement"). WHEREAS, the Parties jointly wish to amend the Original Agreement. NOW, THEREFORE, in consideration of the promises, terms, covenants and conditions set forth herein and in the Original Agreement, the Parties agree as follows: 1. In Schedule A, Description of Services, Ongoing Services is changed to read: “…spouses and dependents age two (2) and over.” 2. In Schedule A, Health Center Staffing is replaced in its entirety to read as follows: “Staffing will include one and one half (1.5 FTE) nurse practitioners or physician assistants, one half-time (0.5 FTE) registered dietitian, and one (1.0 FTE) medical assistant. The Marathon Health staffing shall include that each mid-level practitioner will have a physician preceptor who provides medical supervision, consultation, chart review, and quality assurance activities.” 3. Schedule B, FEES and PAYMENT SCHEDULE, is amended to increase the Annual Service Fee by $98,968 ($8,247 per month), effective upon hiring of the additional provider, with a target start date of August 14, 2017. A one-time implementation fee of $13,640 will be payable upon execution of this Fifth Addendum and receipt of invoice for costs of recruiting, training, training travel, computer equipment and software. 4. Article 1.3 is replaced in its entirety to read as follows: ““Participant” means an individual, age 2 years or more, eligible to participate in the Marathon Services as determined by the eligibility criteria of Client’s health plan or as otherwise determined by Client.” The parties hereto have caused this Fifth Addendum to be duly executed, delivered and effective as of August 1, 2017. Except as expressly amended by this Fifth Addendum, all other terms and conditions of the Original Agreement, as previously amended by the First Addendum, Second Addendum, Third Addendum, and Fourth Addendum shall remain in full force and effect. In the event of a conflict between the terms of the Original Agreement as amended and this Fifth Addendum, this Fifth Addendum shall prevail.
