Architectural, design and construction documents, approx.. 32’ X 21’. Schematic design options, budget & constructability review meetings with Staff. DD design development and final CD construction documents with final reviews. Planning and construction services under separate agreement. Design based on original masoleum drawings, limited details of shell included. Steinbicker, AIA, NCARB LEED Accredited Professional BD+C Exhibit A STRUCTURAL DESIGN The scope of the structural design is based upon designing a mausoleum structure similar in scope to the current one, which was designed in 1995. Those original design drawings are the basis for this proposal. 1. Phase 1 (SD) - $650 • This phase includes attending two design team meetings and no actual design or drawings. 2. Phase 2 (DD) - $3170 • This phase includes attending one additional design team meeting and producing DD drawings. The DD drawings will generally consist of typical foundation and concrete framing plans and typical cross-sections. On these drawings, we will show slab, foundation and structural concrete for the mausoleum and columbarium niches. 3. Phase 3 (CD) - $3430 • This phase includes generation of final construction documents (drawings and specs) pertaining to structural elements of the project. This includes the mausoleum building, columbarium niches, and seat walls. Construction period services (RFI’s, ASI’s, and submittal review) are not included in this initial estimate. Exhibit A GEOTECHNICAL SERVICES – $2780 For the fee listed above, CTL|Thompson will perform the following: o Drill three borings in proposed building envelopes. o The borings will be drilled to depths of 20 to 30 feet or to auger drill refusal. o Samples will be taken for additional testing o Groundwater levels will be measured in the borings upon completion and several days after completion. o Test some samples from the borings as we believe needed for the analysis. o Prepare a report summarizing the results of the field and laboratory work proposed above, and CTL’s analysis, opinions, conclusions and recommendations including the following: o A general description of the proposed construction site o A location map showing the boring locations o Summary logs of the borings with descriptions of the soils/bedrock and groundwater levels measured in the borings. o Discussions regarding: • geologic hazards; • recommended foundation types and design criteria; • recommendations for slab-on-grade floors and/or other floor systems depending upon the engineering properties of the ground; • lateral load criteria for design of foundations and walls; • recommendations for compaction of engineered fill, foundation wall backfill and utility trench backfill, as needed; • excavation considerations including excavation difficulties; • the acceptability of on-site natural soils and existing fill for reuse as engineered fill; • groundwater effects on the proposed construction. A subsurface drain design, if needed, will be provided; and • need for special cement in concrete contacting foundation soils if the site soils/bedrock samples are high in water-soluble sulfates. o Two hard copies and one digital copy will be provided signed by a Professional Engineer registered in the State of Colorado. We have prepared this proposal based on the exhibits you provided and our understanding of the project. Included is a detailed scope of services that sets forth the professional services being provided as a part of this agreement and a fee estimate based on our current standard hourly rates. Sr. Project Manager Grandview Mausoleum March 13, 2017 Page 2 of 8 Proposal 17019 Project Location and Description The project site is located at the existing cemetery in Fort Collins and has frontage on Laporte Avenue on the north and a private drive to the east. The expansion of the Mausoleum will be done in phases with the next Phase II consisting of a single new structure to the west of the existing Mausoleum. Future phases would include structures to the south. A topographic survey will be performed for the anticipated area including future phases; however, the civil design services are limited to Phase II at this time. Detailed Scope of Services I. Survey Services a. Topographic Survey – King Surveyors will prepare a topographic survey of the land in the vicinity of the expansion as directed by Interwest which general starts at the irrigation ditch on the west side and includes the single family residence immediately east of the existing Mausoleum that is owned by the city. The survey will be tied to a City of Fort Collins benchmark (NAVD 1988) and to State Plane Coordinates, North Zone 1983/2011. Private utility locates will be ordered through the Primo Locating Services. Fee: $3,125 Survey $530 Utility Locates II. Engineering Plans (No City Reviews Included) a. Grading Plan – Prepare a detailed Grading Plan showing existing and proposed grading contours and design elevations at critical design locations such as building entrances/corners, drive lanes, drainage paths and ADA routes. The grading design will be such to promote positive drainage away from the structures; however, storm drain inlets and piping are not anticipated or included in the design services. b. Utility Plan – A Utility Plan is not anticipated for this project as all utility services will be provided internally from the existing building. c. Meetings & Coordination - Meetings with the client and owner’s representatives, correspondence, and project coordination are included in the fees below. Fee: $4,250 III. Engineering Plans (City of Fort Collins Stormwater Utility Processing) a. Plan Set Preparation – In addition to the Grading Plan noted above, this task would include additional plan sheets and processing required to obtain approvals by the City Stormwater (Utility) Department should it be determined that a Grading and Drainage Plan would be required. The city code requires that the site be analyzed for Detention and Water Quality if there is more than Grandview Mausoleum March 13, 2017 Page 3 of 8 Proposal 17019 a 1,000 sf increase in impervious area proposed. Task III would be in addition to Task II and would include the design and documentation for city staff review and approval. b. Drainage Letter - Prepare a Drainage Letter for the onsite improvements identifying how much impervious area is proposed to be added for the site. At this time it is assumed that the final site plan will not trigger the need for stormwater (quantity) detention or that detention would be waived. However, the increase in impervious would trigger the need for a water quality system. c. Drainage and Erosion Control Plan - Prepare a plan view of the site depicting the Mausoleum and walkways along with the proposed location of erosion and sediment control measures, including details. Drainage patterns will be depicted for review by city staff. d. Site Certification – If a water quality system were to be required, a formal site certification by the engineer of record with supporting documentation by the site contractor would also be required. e. Meetings & Coordination - Meetings with the client and review agencies, correspondence, and project coordination are included in the fees below. Fee: $6,500 (If Required) The proposed fees will be billed as a lump sum fee and shall not be exceeded without a signed addendum by the Client. Reimbursable expenses such as mileage and printing costs and additional services requested by the Client not specifically listed above will be billed in accordance with the attached hourly rate schedule or as an addendum to this contract and are estimated to be $200 for this project. In developing this proposal, several assumptions were made: 1. The topographic survey and architectural footprint for the structure will be provided prior to the commencement of the engineering services. 2. Others will provide items as required such as plan processing, structural design of retaining walls and buildings, construction cost estimates, earthwork calculations, permit applications and fees, geotechnical reports, traffic studies, lighting plans and landscape/irrigation plans. 3. Should any easements be required they will be prepared by King Surveyors under separate legal/description at a cost of $400 each assuming sufficient site boundary information is readily available. This fee estimate would not include the need for a property boundary survey in order to prepare the legal descriptions. 4. Construction permit, Stormwater Management Plans (SWMP) and/or As-Built documents will be provided by the client/contractor and/or the surveyor of record. Grandview Mausoleum March 13, 2017 Page 4 of 8 Proposal 17019 5. Construction services are not included in the scope of work unless otherwise noted above. If requested, additional support during construction (Meetings, Site Visits, Response to RFI’s, Submittal Reviews, etc.) will be provided based on then current hourly rates or an addendum to this contract. 6. Separate technical specifications are not required for the Scope listed above. The Final Plans shall include details and specifications required by the City and shall constitute the entire Construction Document. 7. No onsite or offsite detention or water quality facilities will be required. If water quality if required then Task III above would be implemented. If stormwater detention is required the design would be performed under separate contract. 8. No improvements to Laporte Ave. or the east service drive aisle are required. Future Mausoleums to the south or improvements to the existing single family site to the east are not included in the scope of work above. Grandview Mausoleum March 13, 2017 Page 5 of 8 Proposal 17019 SPECIAL CONDITIONS The following special conditions are applicable to this Agreement and are hereby made a part thereof by reference. General Terms: This proposed Agreement for Professional Services is valid for a period of 90 days from the date of the proposed agreement unless extended by mutual agreement. This Agreement has been prepared based on the available data and information provided by the client and other sources as of the date of this Agreement. The scope of services and the corresponding level of service set forth in the budget to complete the scope of services are based on this information. Services not specifically set forth in the scope of services are hereby specifically excluded from this Agreement and will only be provided upon mutual agreement by the parties to this Agreement. Should changes to the scope of services be initiated by the client or necessitated by others beyond the control of Interwest Consulting Group Inc., subsequent to the date of the execution of this Agreement, it is agreed that the scope of services and the level of service set forth in the budget shall be modified to reflect these changes as mutually agreed upon by the parties to this Agreement. All changes to the budget will be provided based on the current Professional Service Rates in use at that time. Interwest Consulting Group Inc. agrees to provide the client with updates to the Professional Service Rates as they are adopted. In recognition of the relative risks and benefits of this project to both the client and Interwest Consulting Group Inc., these risks have been allocated such that the client agrees, to the fullest extent permitted by law, to specific limits of liability. The aggregate limits of liability of Interwest Consulting Group Inc., its consultants, and subconsultants on the project shall apply to any and all claims, losses, costs, or damages whatsoever arising from, resulting from, or in any way related to the project from any and all cause or causes. The total aggregate liability of Interwest Consulting Group Inc., their consultants, and subconsultants to the client, owner and anyone claiming by, through or under the client or owner shall not exceed $50,000 or Interwest Consulting Group Inc.’s total fee for the professional services rendered under this Agreement, whichever is greater. It is intended that this limitation apply to any and all liability or cause of action however alleged or arising, unless prohibited by law. Invoicing: All invoices are considered to be due and payable upon receipt unless otherwise set forth in this Agreement. It is mutually agreed that payment to Interwest Consulting Group Inc. shall not be delayed for any reason during the execution of the scope of services. This would also include final payment upon completion of the scope of services by Interwest Consulting Group Inc. Withholding of payment shall only be for cause and shall be as set forth in writing by the client within 10 calendar days of receipt of the invoice. Invoices not contested within 10 calendar days are assumed to be accurate and acceptable to all parties, and all rights to withhold payment shall be forfeited after that time. Each invoice will represent services completed during the prior month unless otherwise noted on the invoice. Payment not received within 30 days of the invoice date will be considered past due. All past due invoices will be subject to a 1.5 % per month late charge. If the invoice, including late charges due, is not paid in full within 60 days of the invoice date, Interwest Consulting Group Inc. may cease all services on the project and may commence the exercising of its legal remedies. These include, but are not limited to, mechanics’ lien rights under applicable law. Grandview Mausoleum March 13, 2017 Page 6 of 8 Proposal 17019 In addition, this Agreement shall authorize Interwest Consulting Group Inc. to collect any fees incurred, including reasonable attorney’s fees related to the collection of past due amounts from the client. Payment under this agreement is not contingent upon: 1) the client being reimbursed by any third party; 2) upon the client obtaining financing: or 3) completion of the overall project. Information Provided by Others: All data and information provided to Interwest Consulting Group Inc. through the client will be assumed to be complete and accurate unless otherwise informed by the client. Interwest Consulting Group Inc. will endeavor to identify obvious errors and bring them to the attention of the client; however, Interwest Consulting Group Inc. cannot be responsible for the work of others unless the client has authorized an independent analysis of the data and information provided. Opinions of Probable Construction Costs: It is understood that Interwest Consulting Group Inc. has no control over costs of materials, the price of labor and equipment or the contractor’s method of pricing. Therefore, if requested by the client, Interwest Consulting Group Inc. will provide opinions of probable construction costs based on our experience and other available cost estimates of similar projects. Interwest Consulting Group Inc. makes no warranties, expressed or implied, as to the accuracy of such opinions as compared to bid or actual costs. Conflict Resolution: The client and Interwest Consulting Group Inc., agree that all disputes shall be discussed for immediate resolution between the individuals involved. Disputes shall include unsettled claims, counterclaims, disputes, and other matters in question arising out of or relating to this Agreement or the breach thereof. All disputes shall be brought to the attention of the other party within a reasonable time period after the dispute has arisen. Prior to construction, conflict resolution may involve the project manager for Interwest Consulting Group Inc. and the project manager or representative of the client. Subsequent to the initiation of construction, dispute resolution shall be discussed initially with the field personnel involved. Should these parties fail to resolve the conflict, then the dispute shall be raised to the next level of management within the structure of each party. Should these efforts fail to resolve the dispute, then the parties hereto agree to settle the dispute through mediation. This process will involve the selection of a mediator. If the parties cannot agree on the selection of a single mediator, each party to the dispute will select one mediator and the two mediators selected individually shall select a third mediator. All costs involved in this process shall be borne by each party equally. Disputes arising that involve the work of a contractor, subcontractor, or consultant to either the client or Interwest Consulting Group Inc. (joinable party), then either the client or Interwest Consulting Group Inc. may join each joinable party as a party to the mediation. This can only occur if specifically set forth in the fully executed Agreement and is also included in the individual contracts with each joinable party of the client and Interwest Consulting Group Inc. Termination: Either party may terminate this Agreement by providing seven (7) days written notice in the event of a substantial failure by one party through no fault of the other party to perform in accordance with the terms and conditions of this agreement. Either party may terminate this Agreement with or without cause by fifteen (15) days written notice. Should termination be initiated by client through no fault of Interwest Consulting Group Inc., then Interwest Grandview Mausoleum March 13, 2017 Page 7 of 8 Proposal 17019 Consulting Group Inc. will be compensated in full for all services provided through the date of termination and all deliverables will be turned over to the client upon full payment. Assignment: Neither party to this Agreement shall transfer, sublet, or assign any rights under or interest in the Agreement (including but not limited to monies that are due or monies that may be due) without the prior written consent of the other party. Interwest Consulting Group Inc. is NOT an Agent of the Client: Interwest Consulting Group Inc. is not authorized to act as the client’s agent and shall have no authority, express or implied to act for or bind the client hereunder, either in relations with others involved with the project or in any other manner whatsoever except as may be specifically set forth herein. Validity: The validity, interpretation, construction and effect of this agreement shall be in accordance with and be governed by the laws of the state of Colorado. In the event any provision hereof shall be determined to be unenforceable or invalid, the remaining provisions of this agreement shall remain in full force and effect. IN WITNESS WHEREOF, this agreement, including all exhibits and attachments, has been fully executed on behalf of the Interwest Consulting Group Inc. by its duly authorized officers, and the CLIENT has caused the same to be executed in its name and in its behalf by its duly authorized officers as of the date indicated below.
