between The City of Fort Collins
and Korn Ferry Leadership Consulting Corporation
This Fourth Amendment to the Service Agreement (the “Fourth Amendment”) is entered
into by and between Korn Ferry Hay Group, Inc. f/k/a Korn Ferry Leadership Consulting
Corporation (the “Service Provider”) and the City of Fort Collins, CO (the “City”).
WHEREAS, the Service Provider and the City previously entered into a Services
Agreement dated May 15, 2013; and
WHEREAS, the parties entered into a First Amendment dated January 27, 2015, a
Second Amendment dated May 3, 2016 and a Third Amendment dated February 1, 2017
(collectively with the May 15, 2013 Services Agreement, the “Agreement”); and
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises
herein contained, the parties agree to amend the Agreement as follows:
1. The Service Provider’s business name has changed from Korn Ferry Leadership
Consulting Corporation to Korn Ferry Hay Group, Inc., a Delaware Corporation. The
name of Korn Ferry Leadership Consulting Corporation is changed to Korn Ferry Hay
Group, Inc. throughout the Agreement, including but not limited to any and all Exhibits
and Amendments.
2. The City of Fort Collins wishes to extend the term of the Agreement as amended for one
(1) additional year, May 16, 2017 through May 15, 2018.
To complete the extension, the Service Provider shall attach a current certificate of
insurance naming the City as an additional insured for General and Automotive Liability
within the next fifteen days.
3. The City hereby modifies the Agreement as amended to replace Article 5 as follows:
Contract Sum. The City shall pay the Service Provider for the performance of this
Contract pursuant to Exhibit D as may be amended from time-to-time by mutual written
agreement by the parties.
4. The City hereby modifies the Agreement as amended to replace the Commitment Period
paragraph of Exhibit C as follows:
Commitment Period. The period to which the Volume Commitments below apply is from
February 1, 2017 to May 15, 2018 (the “Commitment Period”).

Except as expressly amended by this Fourth Amendment, all other terms and conditions of the
Agreement, First Amendment, Second Amendment and Third Amendment shall remain in full
force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment the day and year shown.
