HomeMy WebLinkAbout569302 VERMONT ENERGY INVESTMENT CORPORATION - CONTRACT - AGREEMENT MISC - VERMONT ENERGY INVESTMENT CORPORATION (VEIC)Page 1 of 10 First Amendment to the Service Agreement between The City of Fort Collins and Vermont Energy Investment Corporation This First Amendment to the Service Agreement between the CITY OF FORT COLLINS and VERMONT ENERGY INVESTMENT CORPORATION (VEIC) (“First Amendment”) is entered into by and between Vermont Energy Investment Corporation (the “Service Provider”) and the City of Fort Collins, Colorado (the “City”). WHEREAS, the Service Provider and the City have mutually entered into a Service Agreement to pilot a sustainability survey to identify eligible participants in the City’s healthy home and efficiency programs with a commencement date of April 1, 2016 (the “Agreement”); and WHEREAS, Service Provider and the City have mutually agreed to extend the Agreement for an additional one (1) year term; and WHEREAS, the City wishes to expand outreach to local businesses through the Service Provider’s Sustainability Survey; and WHEREAS, Service Provider and the City desire to amend the Agreement to continue to work together. NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein contained, the parties agree as follows: 1. Contract Period. In accordance with the terms of the Agreement, the parties agree to extend the Agreement for one (1) additional year for a new term effective January 1, 2017 until December 31, 2017. 2. Exhibit A, Statement of Work and Timeline. The work to be performed by the Service Provider shall be expanded to include the following: Expanded Scope of Work The Service Provider will continue to administer its sustainability survey for Fort Collin’s businesses, as directed by the City. The Service Provider will operate on a “work order” basis, meaning that the Service Provider will charge the City only upon execution of a survey for a local business. Surveys will be priced at a set fee of $3,200 for businesses up to 2,000 employees. The cost of the survey includes:  Upload of employee names and email addresses to the survey tool  Email messaging to survey participants introducing the survey and providing individual survey login links  Technical support during the survey campaign (assume campaigns will last an average of two weeks)  Distribution of personal carbon footprint reports at the conclusion of the survey campaign  Development and distribution of summary reports of survey results to participating businesses and the City DocuSign Envelope ID: 7431C4EA-FDC6-4E7D-A0CA-79582594167B Page 2 of 10 The pricing for the standard survey campaign assumes one introductory phone meeting with the enrolled business to establish survey campaign dates and survey email messaging, as well as answer any questions the business may have. The Service Provider will provide enrollment instructions for businesses wishing to run a survey campaign in order to simplify the process. The standard survey price also includes a phone meeting with the enrolled business at the conclusion of the survey campaign to discuss results. Survey Customization The Service Provider assumes that businesses will take the standard sustainability survey without business-specific customizations, such as additional questions added to the survey tool and associated analysis of results. The list of standard survey questions are included in Appendix A. In the event that the City or a participating business with the City’s approval would like to add up to five (5) custom survey questions, the Service Provider will install those for a fee of $1,500 per survey campaign. Anonymized results from these questions will be incorporated in the summary report. Timeline The Service Provider will be ready to launch sustainability surveys to Fort Collins businesses within two weeks of execution of this First Amendment. The Service Provider requests five (5) business days’ notice for new survey campaigns in order to ensure adequate resource availability. Survey campaigns are anticipated to last an average of two (2) weeks. The personal carbon footprint reports and summary reports will be prepared and distributed within ten (10) business days from completion of the survey. Except as expressly amended by this First Amendment, all other terms and conditions of the Agreement shall remain in full force and effect. In the event of a conflict between the terms of the Agreement and this First Amendment, this First Amendment shall prevail.
