SERVICES AGREEMENT WORK ORDER TYPE THIS AGREEMENT made and entered into the day and year set forth below, by and between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the "City" and CUSTOM SOLAR LLC hereinafter referred to as "Service Provider". WITNESSETH: In consideration of the mutual covenants and obligations herein expressed, it is agreed by and between the parties hereto as follows: 1. Services to be Performed. a. This Agreement shall constitute the basic agreement between the parties for services for 8330 Photo Voltaic Solar for Downtown Parking Garage. The conditions set forth herein shall apply to all services performed by the Service Provider on behalf of the City and particularly described in Work Orders agreed upon in writing by the parties from time to time. Such Work Orders, a sample of which is attached hereto as Exhibit "A", consisting of one (1) page and incorporated herein by this reference, shall include a description of the services to be performed, the location and time for performance, the amount of payment, any materials to be supplied by the City and any other special circumstances relating to the performance of services. A general scope of services is attached hereto as Exhibit “B”, consisting of thirty-two (32) pages, and incorporated herein by this reference. The only services authorized under this Agreement are those which are performed after receipt of such Work Order, except in emergency circumstances where oral work requests may be issued. Oral requests for emergency actions will be confirmed by issuance of a written Work Order within two (2) working days. Irrespective of references in Exhibit A to certain named third parties, Service Provider shall be solely responsible for performance of all duties hereunder. b. The City may, at any time during the term of a particular Work Order and without invalidating the Agreement, make changes within the general scope of the particular services assigned and the Service Provider agrees to perform such changed services. 2. Changes in the Work. The City reserves the right to independently bid any services rather than issuing work to the Service Provider pursuant to this Agreement. Nothing within this Agreement shall obligate the City to have any particular service performed by the Service Provider. 3. Time of Commencement and Completion of Services. The services to be performed pursuant to this Agreement shall be initiated as specified by each written Work Order or oral emergency service request. Oral emergency service requests will be acted upon without waiting for a written Work Order. Time is of the essence. This Agreement shall commence upon execution by all parties and shall continue in full force and effect until August 31, 2017, unless sooner terminated as herein provided. In addition, at the option of the City, the Agreement may be extended for additional one year periods not to exceed four (4) additional one year periods. Renewals and pricing changes shall be negotiated by and agreed to by both parties. Written notice of renewal shall be provided to the Service Provider and mailed no later than thirty (30) days prior to contract end. 5. Delay. If either party is prevented in whole or in part from performing its obligations by unforeseeable causes beyond its reasonable control and without is fault or negligence, then the party so prevented shall be excused from whatever performance is prevented by such cause. To the extent that the performance is actually prevented, the Service Provider must provide written notice to the City of such condition within fifteen (15) days from the onset of such condition. 6. Early Termination by City/Notices. Notwithstanding the time periods contained herein, the City may terminate this Agreement at any time without cause by providing written notice of termination to the Service Provider. Such notice shall be mailed at least fifteen (15) days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. PO Box 580 Fort Collins, CO 80522 In the event of early termination by the City, the Service Provider shall be paid for services rendered to the termination date, subject only to the satisfactory performance of the Service Provider's obligations under this Agreement. Such payment shall be the Service Provider's sole right and remedy for such termination. 7. Contract Sum. This is an open-end indefinite quantity Agreement with no fixed price. The actual amount of work to be performed will be stated on the individual Work Orders. The City makes no guarantee as to the number of Work Orders that may be issued or the actual amount of services which will in fact be requested. 8. Payments. a. The City agrees to pay and the Service Provider agrees to accept as full payment for all work done and all materials furnished and for all costs and expenses incurred in performance of the work the sums set forth for the hourly labor rate and material costs, with markups, stated within the Bid Schedule Proposal Form, attached hereto as Exhibit "B", consisting of thirty-two (32) pages, and incorporated herein by this reference. Services Agreement - Work Order Type 8330 Photovoltaic Solar for Downtown Parking Garage Page 2 of 42 DocuSign Envelope ID: 70907281-6CA2-4138-8C76-309C36F9F82D Payment shall be made by the City only upon acceptance of the work by the City and upon the Service Provider furnishing satisfactory evidence of payment of all wages, taxes, supplies and materials, and other costs incurred in connection with the performance of such work. 9. City Representative. The City's representative will be shown on the specific Work Order and shall make, within the scope of his or her authority, all necessary and proper decisions with reference to the work requested. All requests concerning this Agreement shall be directed to the City Representative. 10. Independent Contractor. It is agreed that in the performance of any services hereunder, the Service Provider is an independent contractor responsible to the City only as to the results to be obtained in the particular work assignment and to the extent that the work shall be done in accordance with the terms, plans and specifications furnished by the City. 11. Subcontractors. Service Provider may not subcontract any of the Work set forth in the Exhibit A, Statement of Work without the prior written consent of the city, which shall not be unreasonably withheld. If any of the Work is subcontracted hereunder (with the consent of the City), then the following provisions shall apply: (a) the subcontractor must be a reputable, qualified firm with an established record of successful performance in its respective trade performing identical or substantially similar work, (b) the subcontractor will be required to comply with all applicable terms of this Agreement, (c) the subcontract will not create any contractual relationship between any such subcontractor and the City, nor will it obligate the City to pay or see to the payment of any subcontractor, and (d) the work of the subcontractor will be subject to inspection by the City to the same extent as the work of the Service Provider. 12. Personal Services. It is understood that the City enters into the Agreement based on the special abilities of the Service Provider and that this Agreement shall be considered as an agreement for personal services. Accordingly, the Service Provider shall neither assign any responsibilities nor delegate any duties arising under the Agreement without the prior written consent of the city. 13. Acceptance Not Waiver. The City's approval or acceptance of, or payment for any of the services shall not be construed to operate as a waiver of any rights under the Agreement or of any cause of action arising out of the performance of this Agreement. 14. Warranty. a. Service Provider warrants that all work performed hereunder shall be performed with the highest degree of competence and care in accordance with accepted standards for work of a similar nature. b. Unless otherwise provided in the Agreement, all materials and equipment incorporated into any work shall be new and, where not specified, of the most suitable grade of their respective kinds for their intended use, and all workmanship shall be acceptable to Services Agreement - Work Order Type 8330 Photovoltaic Solar for Downtown Parking Garage Page 3 of 42 DocuSign Envelope ID: 70907281-6CA2-4138-8C76-309C36F9F82D City. c. Service Provider warrants all equipment, materials, labor and other work, provided under this Agreement, except City-furnished materials, in accordance with the warranties stated in Exhibit B, General Scope of Services. Upon receipt of written notice from City of any such defect or nonconformances, the affected item or part thereof shall be redesigned, repaired or replaced by Service Provider in a manner and at a time acceptable to City. 15. Default. Each and every term and condition hereof shall be deemed to be a material element of this Agreement. In the event either party should fail or refuse to perform according to the terms of this Agreement, such party may be declared in default thereof. 16. Remedies. In the event a party has been declared in default, such defaulting party shall be allowed a period of ten (10) days within which to cure said default. In the event the default remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail himself of any other remedy at law or equity. If the non- defaulting party commences legal or equitable actions against the defaulting party, the defaulting party shall be liable to the non-defaulting party for the non-defaulting party's reasonable attorney fees and costs incurred because of the default. 17. Binding Effect. This writing, together with the exhibits hereto, constitutes the entire Agreement between the parties and shall be binding upon said parties, their officers, employees, agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal representative, successors and assigns of said parties. 18. Indemnity/Insurance. a. The Service Provider agrees to indemnify and save harmless the City, its officers, agents and employees against and from any and all actions, suits, claims, demands or liability of any character whatsoever, brought or asserted for injuries to or death of any person or persons, or damages to property arising out of, result from or occurring in connection with the performance of any service hereunder. b. The Service Provider shall take all necessary precautions in performing the work hereunder to prevent injury to persons and property. c. Without limiting any of the Service Provider's obligations hereunder, the Service Provider shall provide and maintain insurance coverage naming the City as an additional insured under this Agreement of the type and with the limits specified within Exhibit "C", consisting of one (1) page, attached hereto and incorporated herein by this reference. The Service Provider before commencing services hereunder shall deliver to the City's Director of Purchasing and Risk Management, P. O. Box 580, Fort Collins, Colorado 80522 one copy of a certificate evidencing the insurance coverage required from an insurance company acceptable to the city. This Agreement, along with all Exhibits and other documents incorporated herein, shall constitute the entire Agreement of the parties. Covenants or representations not contained in this Agreement shall not be binding on the parties. 20. Law/Severability. This Agreement shall be governed in all respect by the laws of the State of Colorado. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction such holding shall not invalidate or render unenforceable any other provision of this Agreement. 21. Prohibition Against Employing Illegal Aliens. Pursuant to Section 8-17.5-101, C.R.S., et. seq., Service Provider represents and agrees that: a. As of the date of this Agreement: 1) Service Provider does not knowingly employ or contract with an illegal alien who will perform work under this Agreement; and 2) Service Provider will participate in either the e-Verify program created in Public Law 208, 104th Congress, as amended, and expanded in Public Law 156, 108th Congress, as amended, administered by the United States Department of Homeland Security (the “e-Verify Program”) or the Department Program (the “Department Program”), an employment verification program established pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment eligibility of all newly hired employees to perform work under this Agreement. b. Service Provider shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or knowingly enter into a contract with a subcontractor that knowingly employs or contracts with an illegal alien to perform work under this Agreement. c. Service Provider is prohibited from using the e-Verify Program or Department Program procedures to undertake pre-employment screening of job applicants while this Agreement is being performed. d. If Service Provider obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien, Service Provider shall: 1) Notify such subcontractor and the City within three days that Service Provider has actual knowledge that the subcontractor is employing or contracting with an illegal alien; and 2) Terminate the subcontract with the subcontractor if within three days of receiving the notice required pursuant to this section the subcontractor does not cease employing or contracting with the illegal alien; except that Service Provider shall not terminate the contract with the subcontractor if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. e. Service Provider shall comply with any reasonable request by the Colorado Services Agreement - Work Order Type 8330 Photovoltaic Solar for Downtown Parking Garage Page 5 of 42 DocuSign Envelope ID: 70907281-6CA2-4138-8C76-309C36F9F82D Department of Labor and Employment (the “Department”) made in the course of an investigation that the Department undertakes or is undertaking pursuant to the authority established in Subsection 8-17.5-102 (5), C.R.S. f. If Service Provider violates any provision of this Agreement pertaining to the duties imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this Agreement is so terminated, Service Provider shall be liable for actual and consequential damages to the City arising out of Service Provider’s violation of Subsection 8-17.5-102, C.R.S. g. The City will notify the Office of the Secretary of State if Service Provider violates this provision of this Agreement and the City terminates the Agreement for such breach. 22. Special Provisions. Special provisions or conditions relating to the services to be performed pursuant to this Agreement are set forth in Exhibit D - Confidentiality, consisting of one (1) page, attached hereto and incorporated herein by this reference. The Scope of Work for Phase 1 is provided below and the price is $13,000. Consultant shall invoice for Phase 1 upon the City’s acceptance of parking garage design. Phase I – Includes meeting with the project design team to determine best carport support system by providing analysis of the carport in the permit drawings and changes necessary to make it work with the panel design to provide optimum energy production. Assist with reviewing the cost of garage contractor support system or Solar contractor support system. Provide PV panel options, glare analysis and electrical input on inverter and utility interconnection locations and infrastructure rough-ins necessary for PV system. The Scope of Work for Phase 2 is provided herein and the preliminary price is $105,300, which is the difference of the original proposal price of $118,300 minus $13,000 for Phase 1: design consultation. The Scope of Work and price of Phase 2 is subject to change based on the results of Phase 1, and the finalized Scope of Work for Phase 2 will be provided in a subsequent Work Order. Additional optional cost estimates are provided in the Scope of Work for both Phases 1 and 2 and can be added via change order or the issuance of additional Work Orders. The Phase 2 Scope of Work provided herein will serve as the basis for cost negotiations for the final design resulting from Phase 1. EXHIBIT B GENERAL SCOPE OF SERVICES Services Agreement - Work Order Type 8330 Photovoltaic Solar for Downtown Parking Garage Page 9 of 42 DocuSign Envelope ID: 70907281-6CA2-4138-8C76-309C36F9F82D 7 Technical Approach and Product/Technology Description The system detailed below will comply with all of the current RFP and contract specifications. System Design Custom Solar has designed the system utilizing all American made components utilizing the currently engineered carport structure with options to modify the design. The system has been designed as a turnkey installation including permits, utility interconnections, material procurement and installation. Custom Solar will work the City of Fort Collins to determine the best design to fit the parking garage. Custom Solar will work with the City of Fort Collins team to set up the proper networking to establish good data monitoring communications and will train City staff at the end of the project. Staff training will include hazard identification, system shut down procedures, identification of performance issues and monitoring portal access. An O&M manual will be left onsite for City staff use as well as for the maintenance team. The proposed system as designed will connect to the carport structure as shown in the provided plan set from the RFP solicitation. The PV system will require 90' of the planned 150' structure shown in the drawings. The size of the structure can be reduced to match the array size. Custom Solar requests that the contractor building/erecting the structure add welded metal tabs to the top of the 4x4 beams to allow for the connection of the solar panels to the structure. Providing tabs on the structure will allow Custom Solar to install the PV system to the carport structure without harming the protective galvanized/painted coating on the structure and allow for easier integration. Alternatively Custom Solar requests that the 4x4 HSS beams be replaced with Z-purlins, C-Purlins or Angle to facilitate drilling holes through the beams to bolt panels directly to the structure. Custom Solar can provide structural engineering for the PV systems connection to the carport structure. Custom Solar's planned layout is below. PHASE 2 Services Agreement - Work Order Type 8330 Photovoltaic Solar for Downtown Parking Garage Page 10 of 42 DocuSign Envelope ID: 70907281-6CA2-4138-8C76-309C36F9F82D 8 The system has been designed to 54.72kW-dc to meet the requested size of 50kW. The system has been designed using (192) American made Solarworld 285W solar panels. The panels will be paired with (4) Fronius Transformerless Inverters for an AC system rating of 57kW with a favorable 0.96 DC/AC ratio. The inverters have been proposed to be installed on the roof of the building so as to comply with the NEC rapid shutdown requirements and simplify maintenance requirements. We can work with the City if alternative locations are preferred. As designed the PV system will fit between the four light posts planned for the top story of the garage without mechanical interference. The NW light poles do not cause any shading issues for the solar array but the SW light poles will cause a shadow on the PV system in the mornings primarily during the winter. It is a suggestion to relocate the SW light pole further south by ~15' to remove all shading from the PV system. Additional lighting may be required below the PV system. Custom Solar has reviewed the electrical drawings provided in the solicitation and approve of the location shown for the electrical interconnection. Locating the 200A breaker on the utility side of the main breaker allows for the interconnection of up to 57.6kW-AC and can be upgraded in the future to a larger switch to facilitate an expansion of the system. Relocating the switch/breaker to the load side of the main is feasible but will limit the PV AC capacity to 46kW with no room for future expansion. The rough electrical layout has been provided below in the form of a basic one-line diagram. Custom Solar plans to interconnect the system to the 200A breaker as shown. Custom Solar acknowledges that the conduit runs to the electrical room from the roof will be provided by others and requests a minimum 2.5" raceway. Custom Solar plans on pulling wire from the roof to the electrical room and installing all of the necessary disconnects and meters required at ground level per NEC code and Utility requirements. Technology Overview The products used for this project have proven themselves to be very reliable. The project uses standard monocrystalline panels which have a proven track record and have been install for decades. While the technology is nothing new, the products have greatly improved in both performance and quality. Additionally due to the minimal shading concerns seen Custom Solar has chosen to install 4 centralized inverters to reduce the risk of failures seen with DC optimizers and Micro inverter products seen within the last decade. The centralized inverters operate at up to 1000V both decreasing voltage drop along the strings and increasing the efficiency and performance of the inverters. Additionally the inverters used can be mounted in interior locations or exterior next to the PV arrays to me rapid shutdown requirements if necessary. Our current plan is to install the inverter underneath the solar canopies but we can work with the City to determine the final locations. Services Agreement - Work Order Type 8330 Photovoltaic Solar for Downtown Parking Garage Page 11 of 42 DocuSign Envelope ID: 70907281-6CA2-4138-8C76-309C36F9F82D 9 PV Modules The PV modules used in this project are manufactured by Solar World an American Tier 1 manufacture. The model of the panels is a SW 285 W Mono which is guaranteed to have a power output of 0 to +5W over the labeled power rating upon delivery. The PV modules are manufactured with monocrystalline cells and do not use toxic Cadmium. The panels have been designed for wind and snow loads up to 170 psf. Spec sheets are attached in the "Supplementary Equipment Documentation". Custom Solar has been installing Solarworld panels since 2008 with great success. The PV modules performance will be verified during the construction of the system by testing string voltages and comparing the system output to the expected output. Each string will be tested for insulation resistance, short circuit current, open circuit voltage and ground continuity. Inverters The inverters used in this system are the Fronius 3-Phase Transformerless String Inverters. The max efficiency of the inverter is 98%. The data sheets can be found in the "Supplementary Equipment Documentation". The rail is capable of supporting the 4' spans in between supports and has built in grounding features allowing for a much cleaner installation. The racking system is American made. The system is capable of meeting the local 30psf snow load and 126mph 3-sec gust. The systems design weight will fall below 5 psf for design purposes. The system is expected to produce 68,392kWh in the first year of serves given past weather data for the area. The annual system degradation is expected to be no more than 3% in the first year and 0.5% for every year following. The production estimates have been generated using NREL's PVwatts calculator with site specific and equipment specific data. The monitoring system has been used on several commercial sites including on City of Fort Collins facilities. The monitoring system will provide information on the performance and health of the system by recording panel temperature and solar irradiance to develop a model of expected production. The monitoring system will report instantaneous power production information accessible via a web based portal with access given to the installer, owner and any third party users. The basic monitoring will record both energy and power of the inverters onsite and compare it to the modeled energy output. The system will send alerts to the maintenance staff when the system is underperforming or when the system is down so that issues can be immediately resolved. Custom Solar plans to connect the monitoring system via an Ethernet connection to the Cities internet network to establish the most reliable internet connection available. There are no ongoing fees associated with the Egauge when installed using an internet connection. The system performances will be measured and compared to the expected performance by comparing the actual performance to the expected performance as calculated in the following formula: System Adjustment Factors: 1. Soiling (0% at time of install) = 1.0 = S Inverter Expected Power = P x T x I x E x M x S The end user interface is an easy to use web-based portal that displays both current and past performance. There are several friendly public views available on the Egauge portal as well as a more comprehensive view used for maintaining the system and analyzing the performance of the system. The portal keeps track of individual inverter performance, alarms, status alongside weather data. This staff responds to both commercial and residential customer support issues. Our staff reviews all installed systems monthly to ensure all systems are operational. Additionally systems are setup to alert staff in the event of system issues. System availability on all system monitored has been historically above 98%. Issues related to Custom Solar's standard workman warranty are covered by Custom Solar including assistance in claiming manufacture warranties. Custom Solar will handle all O&M if the system is pursued under the terms of a PPA for the full term of the PPA. Under the terms of a PPA it is in Custom Solar’s best interest to respond to and repair all system alerts/issues promptly to insure the system is operating at full capacity and generating a return on the investment. Custom Solar responds to all down systems within 24 hours of an issue being reported by a monitoring system or customer. Phone response hours are limited to 8 am to 5 pm Monday through Friday with emails monitored through the weekends. Depending on the severity of the issue Custom Solar can deploy staff on the weekends to resolve and issue. Warranty and Service Information Under a Power Purchase Agreement Custom Solar will operate and maintain the system for the full PPA term. Until now several 10000 sensors were sold worldwide. Our silicon sensor is an affordable solution for measurement of solar irradiance. The powder-coated aluminium case in conjunction with the solar cell laminated between glass and Tedlar foil builds a very reliable and rugged sensor. Mode of Operation A silicon solar cell can be used as an irradiance sensor, because the short-circuit current is proportional to irradiance. Our sensors are build out of a monocrystalline solar cell connected to a shunt. Due to the low resistance of the shunt the cell operates next to short-circuit. The temperature coefficient of the short-circuit current creates a small error. There fore all of our silicon sensors with the extension „TC“ have an active temperature compensation, which reduces this error by factor 20. The compensation is realized by using a specific temperature sensor lamina- ted to the rear side of the solar cell. The electronic circuit integrated for this com - pensation has a very low power consump- tion. The current consumption of the Si- 01TC out of the internal Lithium battery is only about 15 μA. Our silicon sensors are manufactured in different types with an internal or exter- nal power supply, with different output sig- nals and with an optional sensor output for the cell temperature. All sensors are calibrated in simulated sunlight against a reference cell of the same type. The reference cell is periodically reca- librated by Fraunhofer ISE, Freiburg. Mechanical Construction The solar cell is embedded in Ethylen- Vinyl-Ace tat (EVA) between glass and Tedlar. The laminated cell is integrated into a case of powder-coated aluminium. Therefore the sensor construction is com- parable to that of a standard PV module. The electrical connection is realized by a 3 m cable or a water proof (IP67) connector. Optional Temperature Measurement Additionally to the irradiance measure- ment our silicon sensors with the extension “-T” are able to measure the temperature of the solar cell. Therefore a temperature sen- sor is mounted to the rear side of the cell to detect the correct cell temperature. MECHANICAL INSTALLATION The Si sensor has two tounges with each two M6 and one M8 drills. The installa- tion at a suitable construction must use at least one suitable screw with washers at each mounting bracket. The Service Provider will provide, from insurance companies acceptable to the City, the insurance coverage designated hereinafter and pay all costs.
