Second Amendment to the Services Agreement
between The City of Fort Collins
and Emergency Responder Trauma Counselors, LLC
This Second Amendment to the Service Agreement (the “Second Amendment”) is entered into
by and between Emergency Responder Trauma Counselors, LLC (the “Service Provider”) and
the City of Fort Collins, Colorado (the “City”).
WHEREAS, the Service Provider and the City previously entered into a Services
Agreement dated September 17, 2014 (the “Agreement”); and
WHEREAS, the parties entered into a First Amendment dated January 6, 2015 to
change the Contract Sum; and
WHEREAS, the City desires to expand the original Scope of Services and add additional
work herein; and
WHEREAS, the parties agree to amend the Contract Sum for the expanded Scope of
Services and additional work; and
WHEREAS, Service Provider agrees to perform additional work herein;
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises
herein contained, the parties agree as follows:
1. The term of the Agreement, as amended herein, shall be extended for one (1) additional
year term, beginning January 1, 2017 through December 31, 2017.
2. The Agreement is amended to add the following additional work to Exhibit “A” – Scope of
Services:
The Service Provider shall provide psychological services to Poudre Fire Authority
(PFA), including, but not limited to:
In- services quarterly training for the Peer Support Team
Providing Critical Incident Debriefing Services, Diffusing, and therapy dog
services in conjunction with the Peer Support
The Service Provider shall provide intervention/counseling services for all PFA
employees/members.
All services shall also be made available to the spouses and domestic partners of
PFA Employees/members. Retirees are also covered up to six months past their last
date of employment.
3. Article 5 of the Agreement (“Contract Sum”) is hereby replaced in its entirety to read as
follows:

The City and/or PFA shall pay the Service Provider for the performance of this Contract,
subject to additions and deletions provided herein, Five Thousand Dollars ($5,000) per
month. Service Provider shall submit invoices to the City monthly. Payment will be
made for all undisputed charges via Automatic Clearing House (“ACH”) direct account-
to-account electronic deposit within thirty (30) days of receipt of an invoice. The Service
Provider herein agrees to execute the applicable direct deposit authorization form.
Except as expressly amended by this Second Amendment, all other terms and conditions of the
Agreement and First Amendment shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Second Amendment the day and year
shown.
