• Intellectual Property Rights. Guest Experience Management Services-Gem Services Inc. shall in
all events retain sole and exclusive ownership of all intellectual property rights in and to its
training programs and all derivative works. Nothing in this document is intended to license, sell,
or transfer such rights to the Gardens on Spring Creek or any other party although subsequent to
the payment of a transfer fee of $2,500, the Gardens on Spring Creek would obtain the right to
use this material internally.
• Confidentiality Agreement. The parties mutually covenant and agree to keep strictly confidential
and not to disclose to a third party the proprietary or confidential information furnished by the
other party. In the event the parties have executed, or hereafter execute, a separate
Nondisclosure Agreement, the parties acknowledge and agree that the separate Nondisclosure
Agreement shall govern all disclosures of proprietary or confidential information furnished in this
document.
• Independent Contractors. The relationship between the parties is strictly that of independent
contractors. This Memo of Understanding shall not create, and shall not be construed to create,
any partnership, joint venture, agency, employment or other or similar relationship between the
parties. In no event shall the employees of one party be deemed to be the employees of the
other party.
• Supplier Cancellation Policy: When an event is cancelled or the date is changed for any reason
by the Gardens on Spring Creek or by the individual or group scheduled to receive services,
Supplier will bill a percentage of the full professional fees of all Supplier personnel who were to
carry out the engagement at the date(s) and time(s) specified, according to this schedule:
Number of business days between notification of cancellation or
change of date, and start of the engagement.
Percentage of full
professional fee billed.
Notification greater than 10 business days prior to engagement day − 0% of full fee
Notification 10 to 6 business days prior to engagement day − 50% of full fee
Notification 5 to 0 business days prior to engagement day − 100% of full fee
• Fees and Estimate: We propose to complete the scope of work for each option as described in
this proposal for the Gardens on Spring Creek for the Investment listed below. Upon execution of
this contract, GEM Services Inc. requests a project initiation fee of 30%, thereafter billed monthly
in equal installments of the balance for each option as completed.
• Travel Expense: Reasonable and customary expenses will also be charged at cost, such as travel,
hotel accommodations and meals.
• Materials: GEM Services Inc. will supply original copies of materials; client will be responsible for
all printing, copying and duplication costs, unless otherwise agreed upon.

If you fully understand, approve and agree to the aforementioned terms and conditions, kindly mark
options with an X, sign and date this document. Please retain a copy and return the original to the
address stated below.
