HomeMy WebLinkAbout423216 NORTH AMERICAN BUS INDUSTRIES NABI - CONTRACT - BID - DART BUS PURCHASE OPTION FOR MAX BRT 2014Amendment No. 1 AGREEMENT TO PURCHASE 31-FOOT and 40 FOOT, LOW FLOOR, HEAVY DUTY, CNG-FUELED TRANSIT BUSES This Amendment to the Agreement to Purchase 31-foot and 40 foot Low Floor, Heavy Duty, CNG-fueled Transit Buses, dated the 14th day of April, 2014, which includes this Amendment No. 1, dated September 17, 2014, (the "Agreement"), is hereby entered into by and between the City of Fort Collins, Colorado, a municipal corporation {the "City"), and NABI Bus, LLC previously known as North American Bus Industries, Inc. (NABI), a US corporation located in Anniston, Alabama, (the "Contractor" or "NABI"). Amendment dated this 17th day of September, 2014 (Amendment No. 1) The following sections of the Agreement are amended to read as follows: Scope of Work B. Contractor will deliver the first bus and related equipment no later than March 31, 2015. The City will issue an amended purchase order for the entire order of ten (10) buses including the following adjustments and options noted below to each bus no later than September 26, 2014. The first bus, and all subsequent buses, will be delivered to the City's Transfort facility at 6570 Fortner Road, Fort Collins, CO 80525. Compensation A. The City agrees to pay Contractor, in accordance with Exhibit "D", an amount not to exceed a total price of Four Million, Eight Hundred Seventeen Thousand, Seven Hundred Sixty -Two Dollars ($4,817,762) as the maximum compensation for the purchase, delivery, and final acceptance of seven (7) 31-LFW CNG and three (3) 40-LFW CNG Transit Buses, and related equipment, work and materials. B. The Contract price, per unit, for the manufacture and delivery of each 31-LFW CNG Transit Bus is Four Hundred Seventy -Three Thousand, Five Hundred Seventy -Three Dollars ($473,573) and each 40-LFW CNG Transit Bus is Five Hundred Thousand, Nine Hundred Seventeen Dollars ($500,917) per bus, per NABI Price Re -determination letters 14-004, 14-003, 14-002, 14-001, and 14-005 and Bid cover page correction. The price re- determination is a summary of options and minor equipment changes requested by Transfort with no change to delivery date. The requested changes are a combination of minor adjustments to the following: 40LFW Buses - Add and install Onboard Mobile Gateway (OMG), Mobile Mark antenna and delete Larsen GPS antenna - Provide and install Clever Device system - Delete windows as bid, replace with Ricon hidden frame windows and no vandal guards - Add underseat heaters - Add fuel gauge on dash for CNG - Change from NGV style defuel receptacle to Hanson defuel receptacle - Delete grease lube front and rear axle and provide oil lube front and rear axle - Change cloth passenger assist straps to PVC coated black straps - Add ODK mounting to the destination sign 1 Fort Collins - NABI 31-LFW and 40LFW Agreement Page 2 of 2 Add one complete set of NABI manuals — hard copy format Add ad frames — rear bus 21 "x72", street side 30°x144", curbside 30"x72° Provide and install Motorola Radio APX4500 Change paint scheme 31 LFW Add and install Onboard Mobile Gateway (OMG), Mobile Mark antenna and delete Larsen GPS antenna Provide and install Clever Device system Delete windows as bid, replace with Ricon hidden frame windows and no vandal guards Add underseat heater Change from Lift-U 6:1 ramp at front door to Lift-U 4:1 ramp Change CNG tank size from 120" to 123, quantity to remain same four Change from NGV style defuel receptacle to Hanson defuel receptacle Add a defuel hose to work with Hanson defuel receptacle Delete grease lube front and rear axle and provide oil lube front and rear axle - Change cloth passenger assist straps to PVC coated black straps Add ODK mounting to the destination sign Add one complete set of NABI manuals — hard copy format Provide and install Motorola Radio APX4500 Change paint scheme Further changes to the Agreement price, per unit, must be negotiated and approved by both parties. Any price increases shall be justified by appropriate documentation of an increase in PPI unless the increase is due to approved changes. Approved changes in options, bus configuration, or other services, shall be in the form of an Option & Equipment Revision form, which will become written amendments to this Agreement, and may result in an adjustment to the amount of compensation to which Contractor and the City have initially agreed.
