About this Document This Statement of Work (“SOW”) defines the services to be performed by Itron, Inc. (“Itron”) for The City of Fort Collins, Colorado (“Ft. Collins”) for the Grid Interactive Water Heater Pilot (the “Project”). This SOW will document the agreed upon scope, solution/services to be provided, and roles/responsibilities for the Project to be performed. This SOW is entered into as of the last date of signature below ("Effective Date") and is governed by the terms and conditions of the Master Services Agreement for Utility Service Demand Response Solution Services, dated December 18, 2013, as amended (collectively, the “Agreement”). Capitalized terms not defined in this SOW will have the same meaning as in the Agreement. The Parties also acknowledge there is a separate additional scope of work for certain 2020 activities (Scope of Work dated December 18, 2019, or the "Main SOW”). Should any conflict or inconsistency arise. the order of precedence shall be, as it relates to the work being completed under this SOW: - The Agreement - The 2020 Main SOW - This Statement of Work and its attachments Term. The term of this SOW will commence on the Effective Date and end on December 31, 2020(the “Initial Term”). Ft. Collins may extend this SOW for successive periods of one (1) year each (“Renewal Term”), by providing not less than sixty (60) days’ written notice to Itron before the conclusion of the Initial Term or any Renewal Term. In the event the Agreement is not renewed and expires on December 31, 2020, This SOW shall be terminated effective December 31, 2020 unless the Parties otherwise mutually agree in writing. Scope of Work 2 GIWH Program Overview Ft. Collins Utilities is looking to implement a GIWH pilot program using Itron’s IntelliSOURCE software. Itron has recommended Ft. Collins to use GIWH’s from A.O. Smith that has an access port to communicate with a SkyCentrics module. The SkyCentrics module will communicate using OpenADR with IntelliSOURCE. Itron will provide the installation of a GIWH and a SkyCentrics module combo as part of the Peak Partners Program that will allow Ft. Collins end customers to participate in a pilot program. IntelliSOURCE will be able to initiate a control event leveraging OpenADR, transmitting messages to the SkyCentrics headend, and using simple level signals 0,1,2,3. OpenADR simple level signals expect to be available in third quarter of 2020. Prior to Q3, Fort Collins will receive the minimum viable control functionality available through IntelliSOURCE as well as access to the SkyCentrics headend. Field Services 3.1 Itron responsibilities  Track and manage risks and provide, as necessary, updates of the risks to Ft. Collins  Confirm eligibility of Ft. Collins customers with site visit  Coordinate with the contracted plumber and eligible customer for water heater installation  Installation of SkyCentrics module by Itron field technician and will establish communications  Confirm contracted plumber obtains Ft. Collins City permit for installation  Confirm contracted plumber will take original water heater for proper disposal/recycling  Itron will enroll customer once they passed over the phone and on-site qualification.  Coordinate with SkyCentrics vendor for testing and production integration.  Schedule and perform required updates and configurations for both IntelliSOURCE and education site.  Work with Ft. Collins on configuration  Coordinate testing with Ft. Collins prior to production go-live.  Itron will deliver products and services for this Grid Interactive Water Heater Pilot subject to the flow-down terms in Attachment A to this SOW.  Provide telemetry and status information from SkyCentrics  Develop a program name for the Grid Interactive Water Heater Pilot  Create, produce, and mail up to 1,000 direct mail pieces to eligible customers from list provided by Ft. Collins, which will include offer of “free water heater plus installation,” link to educational web page, and phone number to call to be considered for enrollment on a first-come/first-served basis—all enrollments being centralized through the Call Center (no BRCs or online enrollments)  Develop an educational web page specific to the Grid Interactive Water Heater Pilot  Produce call center scripts to (a) respond to inquiries and enrollment requests during incoming calls, and (b) communicate the offer during outbound call solicitations for enrollments (should the need arise in order to achieve the 50- customer threshold)  Coordinate a list of enrollees based on first-come/first-served calls to the Call Center DocuSign Envelope ID: 5A3A4613-EDB6AE6D-D875-2571-4B2E-41D3-8A90-B0EF-FDD82839642E C3AD114FC6A5 Itron Managed Services Version 1.1 Statement of Work Confidential Page 6 of 12 3.2 Ft. Collins Responsibilities  Purchase the water heaters  Ft. Collins to be responsible for water heater/inventory storage during the duration of the project  Provide list of potential customers  Coordinate with Itron marketing for website content  City of Fort Collins Building department to provide homeowner instructions on how to arrange a final inspection of the work performed. Homeowner is responsible for responding to inspection request 3.3 Hardware  A.O. Requirements for Ft. Collins end customer to be eligible for the program:  Ft. Collins Light and Power end customer Electric to Electric (Preferred) 1. Customer must have functioning Wi-Fi  No Hot Spots  Must be a secured private network  Must know the password  Wi-Fi signal must be able to broadcast to the water heater location 2. Customer must have a functioning electric hot water tank with a 208-240-volt single phase power supply 3. Customer must have a functioning breaker or disconnect feeding the water heater 4. The wire / circuit feeding the water heater must be sized according to the NEC wire chart provided 6. The original and replacement water heater height cannot be a short model (50” or shorter). The replacement water heater must have a minimum of 72" in height x 36" wide space. 7. The original and replacement water heaters cannot be smaller than 40 gallons or larger than 50 gallons. 8. Water supply to water heater must have a functioning water supply shutoff within 3’ of the water heater 9. Must have a functioning floor drain within 5’ of the tank 10. Current tank and connectors shall not be leaking. 11. The original water heater platform cannot be rotted or in a condition that would not support the new water heater Electric – Heat Pump Water Heater 1. Customer must have functioning Wi-Fi  No Hot Spots  Must be a secured private network  Must know the password  Wi-Fi signal must be able to broadcast to the WATER HEATER location 2. Customer must have a functioning electric water heater with a 208-240-volt single phase power supply 3. Customer must have a functioning breaker or disconnect feeding the water heater 4. Marketing Itron Marketing responsibilities:  Develop an online educational experience where customers can learn more about the program.  Include brief overview with FAQs where customers can find answers to general questions.  Contact information where they can reach out in case they still have questions or concerns.  The content will be housed on Itron servers.  Content on testing site to be approved by Ft. Collins before going live to production and included as part of fees paid by Fort Collins in the 2020 SOW.  Perform outbound marketing as directed by Fort Collins. o Up to 1,000 mailings which will not count toward the 2020 SOW’s annual budget of 4,000. Fees to provide the creative labor and materials for 1,000 mailers are included in the Marketing line item of Section 5: Pricing Summary. o Up to 500 Outbound Calling Touches as part of Marketing line item of Section 5: Pricing Summary. Ft. Pricing The budgetary pricing listed below shows 50 units as a goal for installations. Actual installations could be fewer than the listed goal.
