BETWEEN THE CITY OF FORT COLLINS, COLORADO AND
SOCRATA, INC.
This amendment (“Amendment”) is effective this 1st day of January 2020 by and between Socrata, Inc., with
offices at 255 South King Street, Suite 1100, Seattle, WA 98104, a wholly owned subsidiary of Tyler
Technologies, Inc., (“Socrata”), a Delaware corporation, and the City of Fort Collins, a Colorado municipal
corporation, with offices at 215 North Mason Street, PO Box 580, Fort Collins, CO 80523 (“City”).
WHEREAS, the City and Socrata amended Master Agreement # 8391 (“Agreement”) to renew software services,
add new software services and extend the term in an amendment dated February 15, 2019; and
WHEREAS, the City and Socrata amended the Agreement on July 22, 2019 to clarify that the City did not intend
to purchase Education Program-Standard and, therefore, Socrata provided City with a fee credit of $6,725; and
WHEREAS, the City and Socrata now desire to amend the terms of the Agreement to remove the Capital Projects
Explorer software service and renew software services and extend the term as set forth in the Investment Summary
(Exhibit A).
NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Socrata and the City agree
as follows:
1. The software service subscription for the products in the Investment Summary (Exhibit A) is hereby
extended to December 31, 2020.
2. Any and all provisions of the Agreement not specifically amended by this Amendment #3 shall remain in
full force and effect.
