RE: Statement of Agreement for Services, 8707 Contracted Fixed Route Transit Services
Dear Mr. Kines:
Effective May 4, 2018, Transdev North America Inc. (“Transdev”) and the City of Fort Collins
(“City”) agree that the City intends to award Transdev the contract under the City’s RFP 8707
Contracted Fixed Route Transit Services. The intent of the parties is to establish a formal
Services Agreement (the “Agreement”) that fully defines each party’s duties, rights and
obligations, and that states the applicable fees for services being provided by Transdev. The
Effective Date of the Agreement (“Effective Date”) and official start of services is intended to be
June 22, 2018. It is understood however, that before the Agreement can be fully executed by
both parties, a series of transition activities will need to occur to ensure a smooth transition from
the existing service provider to Transdev (the “Statement Agreement”) as follows:
Transition Activities & Schedule
Transdev will provide the City with a certificate of insurance listing the City as additional
insured for General Liability and Automobile prior to May 20th.
Bus #1, utilized for Route 33, will be re-claimed from the current service provider shortly
after May 13, 2018, which is the last day of service prior to the Route’s summer hiatus.
The City will inspect the vehicle as necessary for its own records and remand the vehicle
to Transdev by no later than end of day on May 21, 2018.
Transdev is authorized to perform any maintenance and repairs on Bus #1 it deems
necessary to ensure the vehicle is in a serviceable condition prior to performing services
under this Agreement. The responsibility for maintenance and repairs for vehicles is
outlined in the RFP document and shall govern over the term of this Statement
Agreement.
Transdev is also authorized to use Bus #1 for all appropriate operator training needed to
ensure a smooth transition of services from the current service provider to Transdev on
the Effective Date.
The final day of services on the Gold Route by the current services provider will be June
16, 2018. The City will re-claim Buses #2 and #3, perform vehicle inspections, and
remand both vehicles to Transdev no later than end of day on June 19, 2018.
Transdev will begin providing all services on the Effective Date of June 22, 2018.

The City understands that it may be difficult for Transdev to perform all necessary maintenance
and repairs on Buses #2 and #3 in the brief time frame set forth above. Therefore, the City
authorizes Transdev to temporarily utilize the City’s paratransit vehicles, which are leased to
Transdev under the Services Agreement, dated June 1, 2014, for 7612 Paratransit Services,
until Buses #2 and #3 are returned to serviceable condition, to occur no later than June 30,
2018. It is understood by the City and Transdev that this is a stop gap measure and that
Transdev may not utilize the paratransit vehicles for the performance of services under the
Agreement after Buses #2 and #3 are returned to service following the transition. Transdev
must ensure that any utilization of the City’s paratransit vehicles during this transition period
does not adversely impact the services under 7612 Paratransit Services.
Transdev agrees to indemnify and save harmless the City, its officers, agents and employees
against and from any and all actions, suits, claims, demands or liability of any character
whatsoever brought or asserted for injuries to or death of any person or persons, or damages to
property arising out of, result from or occurring in connection with the performance of any
service hereunder.
This Statement of Agreement shall remain in effect until June 22, 2018 and shall expire upon
the parties’ execution of the Agreement.
