AMENDMENT #1
AGREEMENT BETWEEN THE CITY OF FORT COLLINS
AND ZIVARO, INC.
This first Amendment (Amendment #1) is entered into by and between the CITY OF FORT
COLLINS (the “City”) and ZIVARO, INC. (the “Service Provider”).
WHEREAS, the Service Provider and the City entered into an Agreement effective
January 7, 2020 for 9049 Transfort Wireless Access Points Replacement (the “Agreement”); and
WHEREAS, Service Provider and the City desire to amend the Agreement to make the following
corrections and clarifications as noted below.
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein
contained, the parties agree as follows:
1. Page 1 Contract Period: Contract end date is amended from June 30, 2019 to June 30,
2020.
2. Page 2 Contract Sum: Contract Sum is revised from Ten Thousand Five Hundred Twenty-
Five Dollars ($10,525.00) to Sixteen Thousand Three Hundred Seventy-Eight Dollars and
Seventy-Eight Cents ($16,378.78).
3. Page 13 Deployment: Revised from “Deploy 3 Meraki APs” to “Deploy 5 Meraki APs”.
4. Page 14 3.5.1 Installation of 5 APs: Revise bullet #1 from “Outdoor APs will be mounted
with antennas in designated area by Client Staff” to “Outdoor APs will be mounted with
antennas by Zivaro, in areas designated by Client Staff”.
5. Page 17 Project Pricing: See #2 above; revise Project Pricing to the following:
Project Milestone (1): Project Initiation: $4,410.00
Project Milestone (4): Project Close and Acceptance: $4,410.00

Subtotal: $8,820.00
Estimated Travel Expenses – Billed as Actual: $ 200.00

Total Services Price: $9,020.00
Hardware, from Quote QUO-162120-C4S3W8-0: $5,018.78
10 Yr Licenses & Support $2,340.00

Project Total: $16,378.78
Except as expressly amended by this Amendment #1, all other terms and conditions of the
Agreement shall remain unchanged and in full force and effect. In the event of a conflict between
the terms of the Agreement and this Amendment #1, this Amendment #1 shall prevail.
