Solar Energy International (SEI) City of Fort Collins, Colorado PV Training for City of Fort Collins Electric Utility Statement of Work November 18, 2019 I. Introduction This Proposal and Statement of Work (“SOW”) describes the deliverables, parties’ respective responsibilities and other conditions applicable for the provision of Photo Voltaic Training services (“Service(s)) by Solar Energy International (SEI) for the for the City of Fort Collins, Colorado, municipal Electric Utility (“CITY OF FORT COLLINS”). Performance of the Services described in this SOW shall be governed by the terms below, effective November 18, 2019, by and between CITY OF FORT COLLINS and SEI (“Agreement”). No obligation to provide any of the Services described herein arises unless an order for such Service, incorporating the terms of this SOW, has been placed by CITY OF FORT COLLINS and accepted by SEI. SEI’s performance of the Services described below is subject to the assumptions, exclusions and other conditions identified in this document. II. Project Overview A. Description The below Statement of Work (“SOW”) provides training services by SEI for CITY OF FORT COLLINS on the following general subjects: - 2020 National Electrical Code and - PV System and Designing and Installing Energy Storage Systems (ESS). B. Location All trainings will be conducted on-site at facilities owned by CITY OF FORT COLLINS located at 222 Laporte Ave., Fort Collins, Colorado. The training services will each be performed during one trip to the facility and pursuant to the terms and conditions set forth below. Designing and Installing Energy Storage Systems (ESS)- 3 hours Multimode systems are complex energy storage systems (ESS) that can operate in utility-interactive or island (stand-alone) modes; they often have several connected power sources, including the utility grid and PY. Whether providing backup power when the grid is down, arbitraging peak time-of-use (TOU) rates, or reducing peak demand charges, there are numerous use cases for ESS and PY systems that interact with the utility grid, and the market for these systems is experiencing significant growth across all sectors. This course will explore use cases and system topologies, and review design examples, focusing on equipment specifications and best practice considerations for interactive PY systems with energy storage. Solar Energy International to provide the following: • Customized, in-person technical training with two SEI instructors. The training counts for educational hours through NABCEP. • A notebook for each participant of all training material. • Records of Completion for each person who successfully completes the training. • SEI will arrange for the transportation and lodging for the Instructors. Contracting Organization to provide the following: • Recruit participants and provide SEI with a class list of participants with full contact information • A local contact/liaison to work with SEI's Workshop Coordinator to coordinate logistics for the training program to ensure proper planning and coordination • Provide location for the training that is appropriately sized classroom for number of participants with LCD projector, screen, wireless internet, and whiteboard. The fee is inclusive of all costs, including instructor expenses, materials, travel, curriculum, and notebooks for all participants. Cancellation Policy Thirty-one (31) or more days prior to the first day of the training: • Cancellation: If a training is cancelled by the Contracting Organization for any reason, the Contracting Organization agrees that the entire deposit is nonrefundable; no additional payment for the training is due. • Postponement: If the Contracting Organization postpones a training and reschedules a new date within thirty (30) days from the date of the cancellation, 50% of the deposit will be applied to the postponed training fee. The remaining 50% of the deposit is SEI's administrative fee. The balance is due five business days after the start of the training. o Note: The rescheduled training must happen within 120 days from the start of the original training. If this does not occur, the Contract Organization understand that the entire deposit is nonrefundable. Thirty (30) or less days prior to the first day of the training: • Cancellation: If a training is cancelled by the Contracting Organization for any reason, 75% of the total payment for the training is due. • Postponement: If the Contracting Organization postpones a training and reschedules a new date within thirty (30) days from the date of the cancellation, 50% of the entire fee will be applied to the postponed training fee. The remaining 50% of the fee is SEI's administrative fee. o Note: The rescheduled training must happen within 120 days from the start of the original training. If this does not occur, then the Contract Organization agrees to pay 75% of the entire payment. The services to be performed by SEI are those of an independent service provider and not of an employee of the Contracting Organization. The Contracting Organization shall not be responsible for withholding any portion of SEI’s compensation hereunder for the payment of FICA, Workmen’s Compensation or other taxes or benefits or for any other purpose. 2. The Contracting Organization shall not assign any responsibilities nor delegate any duties arising under this Agreement without the prior written consent of the Contracting Organization. 3. SEI agrees to indemnify and save harmless the Contracting Organization, its officers, agents and employees against and from any and all actions, suits, claims, demands or liability of any character whatsoever brought or asserted for injuries to or death of any person or persons, or damages to property arising out of, result from or occurring in connection with the performance of any service hereunder. 4. Without limiting any of SEI’s obligations hereunder, SEI shall provide and maintain insurance coverage naming the Contracting Organization as an additional insured under this Agreement of the type and with the limits specified within Exhibit A, consisting of one (1) page, attached hereto and incorporated herein by this reference. Before commencing services hereunder, SEI shall deliver to the Contracting Organization's Purchasing Director, P. O. Box 580, Fort Collins, Colorado 80522, one copy of a certificate evidencing the insurance coverage required. 5. The laws of the State of Colorado shall govern the construction interpretation, execution and enforcement of this Agreement. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this Agreement. 6. As of the date of this Agreement SEI does not knowingly employ or contract with an illegal alien who will perform work under this Agreement; and SEI will participate in either the e-Verify program created in Public Law 208, 104th Congress, as amended, and expanded in Public Law 156, 108th Congress, as amended, administered by the United States Department of Homeland Security (the “e-Verify Program”) or the Department Program (the “Department Program”), an employment verification program established pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment eligibility of all newly hired employees to perform work under this Agreement. SEI shall comply with all provisions of Section 8-17.5-101, C.R.S., et seq., with regard to the prohibition against employing illegal aliens. 7. Notwithstanding any other provision in the Agreement, SEI acknowledges the Contracting Organization is subject to the Colorado Open Records Act, C.R.S. 24-72-200.1, et seq. (CORA). 8. SEI acknowledges the training to be provided hereunder will include independent contractors and Contracting Organization staff and as such the SEI curriculum materials and other instructional information will be disclosed to other individuals or entities as part of the services to be performed hereunder. SEI will provide, from insurance companies acceptable to the City, the insurance coverage designated hereinafter and pay all costs. Before commencing work under this bid, SEI shall furnish the City with certificates of insurance showing the type, amount, class of operations covered, effective dates and date of expiration of policies, and containing substantially the following statement: “The insurance evidenced by this Certificate will not reduce coverage or limits and will not be cancelled, except after thirty (30) days written notice has been received by the City of Fort Collins.” In case of the breach of any provision of the Insurance Requirements, the City, at its option, may take out and maintain, at the expense of SEI, such insurance as the City may deem proper and may deduct the cost of such insurance from any monies which may be due or become due SEI under this Agreement. The City, its officers, agents and employees shall be named as additional insureds on SEI 's general liability and automobile liability insurance policies for any claims arising out of work performed under this Agreement. 2. Insurance coverages shall be as follows: A. Workers' Compensation & Employer's Liability. SEI shall maintain during the life of this Agreement for all of SEI's employees engaged in work performed under this agreement: 1. Workers' Compensation insurance with statutory limits as required by Colorado law. 2. Employer's Liability insurance with limits of $100,000 per accident, $500,000 disease aggregate, and $100,000 disease each employee. B. Commercial General & Vehicle Liability. SEI shall maintain during the life of this Agreement such commercial general liability and automobile liability insurance as will provide coverage for damage claims of personal injury, including accidental death, as well as for claims for property damage, which may arise directly or indirectly from the performance of work under this Agreement. Coverage for property damage shall be on a "broad form" basis. The amount of insurance for each coverage, Commercial General and Vehicle, shall not be less than $1,000,000 combined single limits for bodily injury and property damage. In the event any work is performed by a subcontractor, SEI shall be responsible for any liability directly or indirectly arising out of the work performed under this Agreement by a subcontractor, which liability is not covered by the subcontractor's insurance.
