WHEREAS, the Service Provider and the City entered into an Agreement effective August 1, 2017 (the “Agreement”); and WHEREAS, the Service Provider and the City amended the Agreement effective June 25, 2018 (Amendment #01); and WHEREAS, Service Provider and the City desire to amend the Agreement to add services for the Gardens on Spring Creek. NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein contained, the parties agree as follows: 1. The Service Provider agrees to amend Exhibit A, Scope of Services, of the Agreement to include additional holiday lighting services as set forth in Exhibit A-2, consisting of four (4) pages, attached hereto and incorporated herein. 2. The Service Provider agrees to provide the additional services for a fixed fee of Twenty Thousand Eight Hundred Sixty-Two Dollars ($20,862) per year. The fee shall remain fixed for the entirety of the Agreement. Except as expressly amended by this Amendment #02, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event of a conflict between the terms of the Agreement, Amendment #01 and this Amendment #02, this Amendment #02 shall prevail. Color Blue Lighting shall be installed and operational no later than 7 calendar days prior to the start of the Garden of Lights annual holiday light show at the Gardens. For 2019, the show will run December 13-29th. Service Provider will be notified in advance of the specific dates in December for subsequent years. Lighting may be removed at time Service Provider’s discretion following January 1st, but no later than February 15th of each year. Service Provider will provide a minimum of three business days advance notice to the Gardens of its intention to perform this work. II. COMPENSATION In consideration for completion of these services, the City will pay Service Provider a fixed annual fee of Twenty Thousand Eight Hundred Sixty-Two Dollars ($20,862) payable in two installments as follows:  Fifty percent (50%) of the total fee ($10,431) upon completion of lighting installation.  Fifty percent (50%) of the total fee ($10,431) upon removal of lighting. The pricing schedule for the services is included on the attached pages. Service Provider will invoice the City for each installment. Invoices will be sent to invoices@fcgov.com, with a copy to mprovaznik@fcgov.com. The City pays Net 30 days.
