Per Amendment #04, the term for Pace Renewal Year 2 will be extended for one (1) additional year, September 1, 2019 through August 31, 2020. If the renewal is acceptable to your firm, please sign this letter in the space provided and include a current copy of insurance certificate naming the City as an additional insured for General and Automotive Liability within the next fifteen (15) days. If this extension is not agreeable with your firm, we ask that you send us a written notice stating that you do not wish to renew the contract and state the reason for non-renewal. (Zagster), and amends that certain Services Agreement executed on 12/30/2015, by and between the parties (collectively, Agreement). Defined terms used herein shall have the meaning accorded to them in the Agreement unless otherwise defined herein. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and notwithstanding anything to the contrary contained in the Agreement, the parties agree as follows: 1. Term. The Term is extended through 8/31/2020. Pace Renewal Year 1 means the annual period beginning with the Pace Launch Date of 9/1/2018 and running through 8/31/2019, Pace Renewal Year 2 means the annual period running 9/1/2019 – 8/31/2020. Since Zagster did not complete the installation of 215 bicycles by May 30, 2018, the Pace Launch Date and ramp to 250 bicycles within two months from the Pace Launch Date the Pace Renewal Year periods has been adjusted to correspond with the date the installation is complete. This Agreement and extension in Term is subject to annual appropriation by City Council. The City shall have no obligation to continue this Agreement in any fiscal year for which no such supporting appropriation has been made. 2. Fees. a. As of the Pace Launch Date, the Fees will be as follows: Pace Renewal Year 1 9/1/18 – 8/31/19 Pace Renewal Year 2 9/1/19 – 8/31/20 Service Line Fees Annual Service Fee 33 bikes @ $ 1,500 / bike 33 bikes @ $1,500 / bike TOTAL DUE $ 49,500 $49,500 All fees are non-refundable and due in advance of the beginning of the applicable Pace Renewal Year.
