In the event of a conflict between or ambiguity in the terms of the Master Agreement and this Work Order (including the attached forms) the Master Agreement shall control. Mason Fort Collins, CO 80522 RE: Trail Head Neighborhood Park Dear Greg, [au]workshop is pleased to provide you with this proposal for design services for Trail Head Neighborhood Park in northeast Fort Collins. PROJECT UNDERSTANDING, SCOPE OF WORK AND DELIVERABLES We understand the scope of the project is to develop a new neighborhood park in northeast Fort Collins. The park will be 5.6 acres and comprise a Common Green; Park Center with children’s playground, shelter, restroom; shaded central corridor with boardwalk; basketball court; and an active play area with bouldering and nature/log play features. We understand that our scope of the project is to provide design services for the shelter, restrooms, and play towers within the Park Center. We will engage civil engineers and irrigation engineers for design of the entire 5.6-acre parcel. It is our understanding that the City will engage a CMGC, and the CMGC will provide cost estimating services. Conceptual Design At commencement of Conceptual Design [au]workshop will participate in a City lead design charrette. At the end of the Conceptual phase we will participate in a Neighborhood Meeting and will provide sketches and renderings for use during this meeting. We would also be able to provide Sketchup models for the City’s use in creating renderings for the Neighborhood Meeting Design Development [au]workshop and all consultants will participate in a Kick-off Meeting at the start of Design Development. At the end of Design Development, we will provide documents (plans, sections, elevations, initial details, and 3D views, outline specifications) that fully illustrate design intent with enough detailing so that the CMGC can provide accurate pricing. 3D views provided during Design Development will included 2–3 views for each structure (Shelter, Restrooms, Play Structures) from SketchUp or Revit to help illustrate design intent. Construction Documents [au]workshop and all consultants will participate in a Review Meeting at the start of Construction Documents and an additional Coordination prior to the 75% CD submittal. At the 75% CD milestone we will provide documents that show all plans, sections, elevations, details, and 3D views from DD in addition to specifications that can be used for final pricing. At the 95% CD milestone we will provide completed documents for permitting. At the 100% CD milestone we will provide any additions or alteration to the 95% CD set clouded for construction. Services provided during Design Development and Construction documents cover systems selection, material selection, structural system coordination, Mechanical and Plumbing coordination, Electrical coordination, and coordination with Civil, Irrigation and Landscape. Additionally, we will attend all meetings as outlined above, make submittals as outlined above, and coordinate all consultants throughout design. Construction Administration During Construction Administration we will review shop drawings and submittals, answer RFI’s, and issue Supplemental Information as required to complete construction. We will attend Construction meetings at regular intervals or as requested by the City. Unless otherwise instructed we will attend meetings once every month. We will conduct site observations during construction at intervals suited to construction progress. Unless otherwise instructed we will conduct four site visits. We will conduct one final punch walk and one follow up walk at completion of construction. [au]workshop will provide these services on an hourly basis with the intention of working as quickly and efficiently as possible. We will not exceed the dollar amounts noted in the “Fees and Expenses” paragraph below without prior approval from you. FEES and EXPENSES For tasks described above, we propose a time and reimbursable direct cost basis under this agreement using our standard Hourly Rate Chart (per the Professional Services Agreement). Fee Schedule Total fee for work described will be $141,374, please see attached fee schedule (Attachment A) for complete breakout of fees by consultant per phase and an Architectural fee break out (Attachment B) for services in each phase. Reimbursable Expenses Expenses for reproductions will be billed to you at cost. Other expenses such as physical models, professional renderings, etc. are not anticipated, but if incurred will be in addition to the fees stated above and will be invoiced at their actual cost. Reimbursable fees will be incurred only with prior approval by you. AGREEMENT By signing below, you agree to the provisions of this proposal. (JVA) has estimated the scope of work and associated fees required to provide civil engineering services to AU Workshop (CLIENT). The estimated scope and fees are for the new Trail Head Neighborhood Park project at 775 Greenfields Drive in the City of Fort Collins (City). SCOPE OF WORK The scope of services below is based on our discussions to date and review of the information provided. We have assumed that detailed site survey and topographic information will be provided by others. The 5.6-acre site will include new trails, a basketball court, fields, shelters and restrooms. The surrounding sites appear to be fully developed and we assume all infrastructure is in place to support this project. For purposes of this proposal, we have included Basic Services for the development of the site alone. If additional roadway and utility infrastructure is required outside this area, we have assumed that this will be negotiated separately. Based on this information and our understanding of the design efforts required for parks, the civil engineering services anticipated for this project include the following detailed tasks: Design Development 1. JVA will assess the existing site conditions in the field and review the topographic survey information provided. We have assumed that detailed site survey and topography will be provided by others. At this time, we will request any additional surveying efforts and determine the need for additional geotechnical studies. JVA will gladly assist the owner with obtaining an updated boundary/design survey, geotechnical report, and traffic study. 2. JVA will provide preliminary grading and investigate drainage issues related to the existing site, and work with architectural disciplines for site layout. We will attend initial contact meetings with the City of Fort Collins and Poudre Fire Authority to determine their requirements. We will evaluate the existing public utility system and provide preliminary design of service extensions and connections to available mains. 3. JVA will produce the schematic design plans and narrative, including rough earthwork calculations, required for this phase of design. We assume two team coordination meetings and one Owner review is anticipated. Trail Head Neighborhood Park May 17, 2019 2 of 4 4. JVA will refine the grading to the one-foot contour interval. JVA will design the onsite drainage systems, and coordinate with the design team for sizing and location of drainage structures, including roof, courtyard and foundation drain outfall connections. 5. JVA will coordinate with the local review agencies, including the City of Fort Collins utilities and fire departments, for private onsite water and sewer services to the building, and provide coordination drawings for review. We have assumed that the Fire Department will also require review of the proposed facilities and hydrant locations. 6. JVA will produce the design development plans and specifications. We will update the preliminary earthwork calculations with the more refined grading where applicable. Three coordination meetings with the CLIENT and other project team members are anticipated. Construction Documents 7. JVA will assist the CLIENT with the City of Fort Collins review process. We assume the CLIENT or owner will complete applications and pay submittal fees. JVA will submit review drawings for grading & drainage, erosion control, and utilities. JVA will prepare and submit the Final Drainage Report as required by the municipality. We have assumed that this report will address site drainage system design and erosion control issues. Based on our understanding of the site, design of stormwater detention and water quality enhancement facilities are included. Municipal water and sewer review submittals will be prepared by JVA, and approval will be required prior to the building permit approval. 8. JVA will continue to refine the grading from the design development to the final grading required on the site with critical spot elevations provided. Storm sewer inlets, piping, grass-lined swales and drainage features will be designed. Estimated earthwork calculations are anticipated. 9. The water and sanitary sewer connections for the building will also be detailed in this phase and submitted for approval. We will coordinate with mechanical engineer and landscape architect for service taps and meters. JVA will assist owner in the easement process by delineating easements and provided easement CAD files. We assume a licensed land surveyor will produce all required easement legal descriptions and exhibits, and the owner will coordinate the easement submittal process. 10. CLIENT and project mechanical/electrical/plumbing engineer will make contact with gas, electric, telephone, data and other non-municipal utility companies with regard to the utility service extensions, realignment, load sizing, building entry points, and/or undergrounding of said utilities. JVA will work with the CLIENT and design team for related site coordination. JVA will show these non-municipal utilities on our preliminary and final engineering plans based on design information provided by others. Based on our experience, we anticipate the utility companies will perform their own final design and the installation will be coordinated by the contractor. 11. JVA will finalize the civil design of the site and produce a horizontal control plan with signage and striping. We anticipate receiving pavement design criteria from the project's geotechnical consultant. Trail Head Neighborhood Park May 17, 2019 3 of 4 12. JVA anticipates that the architect, mechanical engineer and/or landscape architect will perform the required design for internal building features including internal roof drains, perimeter and underslab drains, internal plaza areas, internal/below-grade parking areas, sump/pump pits, etc., and that JVA will provide support to these efforts by coordinating exterior connections to adjacent utilities from these internal designs. Perimeter/underdrain and groundwater remediation design and support are not included at this time. 13. JVA will produce the construction plans, technical specifications for pertinent civil engineering sections, and applicable reports, and update the construction opinion of probable cost. We will attend five coordination meetings with CLIENT and other project team members to complete the document review process. Bid and Construction Phase Services 14. Bid phase services include attendance at the prebid meeting and addendum preparation. Services during construction comprise of the review of product submittals, change order documentation, and response to contractor information requests for civil engineering related items. Any combination of four site meetings (construction kick-off meeting, site observation visits, and/or punchlist meeting) will also be included during the work progress. Construction record drawings will be produced from contractor submitted records. We have assumed that the CLIENT will provide the lead on all the bidding and construction services for this project. BASIS OF PAYMENT The basis of payment for the scope of work described above will be monthly billings based on the percentage of lump sum completed to date, plus reimbursable expenses. This amount will not be exceeded without written authorization of the CLIENT. Basic Civil Engineering Services Design Development $ 11,000 Construction Documents $ 14,000 Bid and Construction Services $ 3,000 TOTAL LUMP SUM FEE $ 28,000 Note: The exact scope of work is not known at this early stage of the project. Several possible subconsultant or civil engineering items may arise during the City review and design process for which the OWNER may want to budget additional contingent design fees. Based on JVA’s review of the preliminary project plans, we do not expect to incur theses fees at this time. These fees will not be incurred unless required and authorized in writing by the OWNER. Exclusions: Services resulting from significant changes to the project scope, significant bid alternate design, rezoning/replatting, and significant site plan changes and additional design work or plans related to field conditions or contractor issues after plans are complete that could not have been reasonably foreseen may require extension of the time scheduled for our work and additional fees. Additional municipal submittals or public hearings required for planning department review and approval will be considered additional services may require extension of the time scheduled Trail Head Neighborhood Park May 17, 2019 4 of 4 for our work and additional fees. Environmental assessment or design efforts for contamination cleanup measures are not included at this time. Vault or rooftop drainage systems are not included at this time. Traffic signals or signalization plans and site lighting are not included. Demolition plans are not included at this time. LEED support services are not included at this time. This proposal assumes that the development is designed and constructed in one phase. Overlot grading plans, early start grading/foundation packages, phased plans, and alternate designs will require additional services. Additional services will be required for coordination and submittals for RTD or other entities. SCHEDULE We can begin working with your team immediately and plan to meet required project deadlines. If you are in agreement with the scope in this letter, please provide authorization to proceed and a copy of the standard AIA agreement with this letter attached as an Exhibit. Kind Regards, James N Hines CONSTRUCTION DOCUMENT SCOPE-OF-WORK Task 1 – Design Development • Participate in one (1) project meeting to kick off the DD process. • Obtain & review project design documents for future development, landscape planting approaches, & irrigation equipment preferences. • A comprehensive site irrigation water balance will be developed to determine estimated future annual water usage for the project site. Water use information will be organized to detail a summary of landscape types & quantities, peak season, annual, and monthly water use by plant type and by major project area (i.e. parks, rights-of-way, etc…) • Size and confirm physical locations of potable irrigation water taps for each area of development. • A master plan drawing will show proposed potable irrigation water tap and meter locations, preliminary irrigation mainline pipe routing, isolation valve locations, pipe and wiring sleeves under hardscapes, and controller locations with electrical power drop requirements. • A memorandum of design will be developed to include the anticipated irrigation approach for general areas of development, primary equipment recommendations, estimated peak demand and annual water usage for the site. • Deliverables: one (1) Master Plan drawing & Memorandum of Design in 8-1/2" x 11" narrative format to be submitted as a part of the 50% CD Package. Task 2 - Irrigation Construction Documents • Participate in two (2) project meetings; one to kick off the CD portion of the project & one to review the 75% CD documents. • The irrigation controller location, electrical power source location and water tap information (available pressure, meter requirements, etc.) will be documented as part of this scope. • Design will comply with City or local equipment specification and design standards, as applicable. • Detailed irrigation design will include; sprinkler layout, mainline and lateral pipe routing and sizing, drip irrigation valves and diagrammatic routing of drip laterals and remote-control valve locations. • Review & address City comments received prior to submittal of the next design iteration. • Construction documents will include addenda tracking for all changes implemented. • Preparation of Irrigation details in the required format. • Preparation of Irrigation specifications in CSI format. • Deliverables: two (2) 24 x 36 drawing sheets at 20 scale, details & specifications in the required format as a part of the 75%, 95%, & 100% CD submittals. IRRIGATION DESIGN PROPOSAL, Trailhead Park June 10, 2019 Task 3 - Construction Services This task will include the following services: 1. Construction Observation • Participation in a pre-construction telephone conference to answer Contractor questions and to provide clarification to bid documents as required. • Review of shop drawings, and material submittals, comment, re-review and approval for construction. • Schedule of and participation in preliminary walk-through with Contractor for review of irrigation construction and system operation. Preparation of “punch list” of all items which need adjustment or correction to be performed by Contractor prior to Final Acceptance. • Conduct final walk-through with Contractor to observe completeness of installation and compliance with “punch list” items. 2. As Built Drawings • Preparation of as-built drawings of irrigation installation from information gathered from Contractor’s red-lined field drawing set. As-built shall contain all items indicated in as-built submittal section of irrigation specifications and shall reflect measurements from permanent points of reference. Additional Services If requested by the Owner’s Representative, we will make additional visits to the site during construction to observe progress by the Contractor. These services will be charged at our hourly billing rate of $85 for irrigation system construction services, $95 for pump station and water feature construction services, and $120 for on-site services requiring field engineering. Expenses will be billed at direct cost for travel, printing, and lodging, with mileage billed at $0.58 per mile. Notes: • Major base changes made after 90% Construction Document submittal, resulting in major irrigation design revisions, will require additional fees. • This proposal assumes a total of 3 drawing submittals. • This scope assumes an existing well will provide irrigation water at the required quality, flow rate, & pressure required to operate the irrigation system. If additional water source development, well testing, engineering, or design is required, Hines will provide a scope at Client request. • All final construction documentation, including specifications shall be approved by the project Owner’s Representative to issuance for bidding Estimate of Reimbursable Expenses • Drawing plots produced either by our office or outside plotting service • Travel to and from site • Project Management/Administrative tasks IRRIGATION DESIGN PROPOSAL, Trailhead Park June 10, 2019 We request written approval to proceed with this project. Contract Payment Terms – [au] workshop [hereafter referred to as The Client] accepts the following terms of payment to Hines Inc. [hereafter referred to as Hines Inc]: • Hines Inc Payment Terms are due in full on receipt of invoice. • The Client agrees that ‘Pay-when-Paid’ only applies when the unpaid invoice has been submitted by The Client to the Owner in a timely manner, and prompt payment of the invoice has been deliberately pursued by The Client. If these two (2) conditions have not been met, The Client agrees to pay the Hines Inc invoice on-demand after 60 days past invoice date and agrees to pay simple interest on each invoice balance at a rate of 1.5% per month. • If an attorney is retained to collect an overdue debt, Hines Inc will be reimbursed for all attorney fees and costs. 2. JOB SITE SAFETY – Hines Inc or its representatives are not responsible for job site safety, or for construction means, methods, techniques, or appropriateness of installation procedures undertaken by any Contractor. 3. SUBSTITUTIONS - Substitution of equipment or specified products is permitted only by written approval of the Irrigation Designer. 4. HAZARDOUS WASTE – Hines Inc is not responsible for identifying, locating, discovering, removal or remediation of any hazardous waste, known or unknown at the site; or for the consequences of any hazardous waste materials at the site, including but not limited to asbestos and PCB's, as well as materials not yet known as hazardous. 5. UTILITY LOCATES – Hines Inc is not responsible for determining and marking the location of any underground pipes, wires, conduits, cables, or structures such as gas lines, fiber optics, irrigation or septic systems or any other items which may exist below the surface of the ground. 6. AS-BUILT DRAWINGS - As-built drawings are required to be submitted to the Owner’s Representative by the Irrigation Contractor upon completion of the installation. 7. OWNERSHIP OF INSTRUMENTS OF SERVICE - The Client acknowledges the Consultant’s construction documents, including electronic files, as instruments of professional service. All reports, drawings, specifications, computer files, field data, notes and other documents and instruments prepared by the Consultant as instruments of service shall remain the property of the Consultant. The Consultant shall retain all common law, statutory and other reserved rights, including, without limitation, the copyrights thereto. 8. CORPORATE PROTECTION - It is intended by The Parties to this Agreement that the Consultant's services in connection with the Project shall not subject the Consultant's individual employees, officers or directors to any personal legal exposure for the risks associated with this Project. Therefore, and notwithstanding anything to the contrary contained herein, the Client agrees that as the Client's sole and exclusive remedy, any claim, demand or suit shall be directed and/or asserted only against the Consultant, a Wyoming corporation, and not against any of the Consultant's individual employees, officers or directors. 9. CONSEQUENTIAL DAMAGES - Notwithstanding any other provision of this Agreement, and to the fullest extent permitted by law, neither the Client nor the Consultant, their respective officers, directors, partners, employees, contractors or sub-consultants shall be liable to the other or shall make any claim for any incidental, indirect or consequential damages arising out of or connected in any way to the Project or to this Agreement. This mutual waiver of consequential damages shall include, but is not limited to, loss of use, loss of profit, loss of business, loss of income, loss of reputation and any other consequential damages that either party may have incurred from any cause of action including negligence, strict liability, breach of contract and breach of strict or implied warranty. 10. INDEMNIFICATION - The Consultant agrees, to the fullest extent permitted by law, to indemnify and hold harmless the Client, its officers, directors and employees (collectively, Client) against all damages, liabilities or costs to the extent caused by the Consultant's negligent performance of professional services under this Agreement and that of its sub-consultants or anyone for whom the Consultant is legally liable. The Client agrees, to the fullest extent permitted by law, to indemnify and hold harmless the Consultant, its officers, directors, employees and sub-consultants (collectively, Consultant) against all damages, liabilities or costs to the extent caused by the Client's negligent acts in connection with the Project and the acts of its contractors, subcontractors or consultants or anyone for whom the Client is legally liable. LIMITATION OF LIABILITY - In recognition of the relative risks and benefits of the Project to both the Client and the Consultant, the risks have been allocated such that the Client agrees, to the fullest extent permitted by law, to limit the liability of the Consultant and Consultants officers, directors, partners, employees, shareholders, owners and sub-consultants for any and all claims, losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys' fees and costs and expert-witness fees and costs, so that the total aggregate liability of the Consultant and Consultants officers, directors, partners, employees, shareholders, owners and sub-consultants shall not exceed $50,000, or the Consultant's total fee for services rendered on this Project, whichever is greater. It is intended that this limitation apply to any and all liability or cause of action however alleged or arising, unless otherwise prohibited by law. 12. DESIGN SCHEDULES – Hines Inc is not responsible for changes in design schedules (time extensions) due to circumstances beyond our direct control, such as flood, tornado, earthquake, or other events of nature, or due to untimely receipt of approvals, submittals, shop drawings, or critical information from others such as base drawings, soil analysis reports, and similar documents. 13. DISPUTES - This contract shall be interpreted under the laws of the State of Colorado. The initial attempt to address claims, disputes or other matters in question between the Parties to the Agreement arising out of or relating to this Agreement or breach thereof shall be by formal mediation. If the claims or disputes cannot be resolved by this form of contract dispute resolution, relief through the court system shall be sought. The Parties consent to the jurisdiction of the District Court for Larimer County, Colorado. 14. STANDARD OF CARE - In providing services under this Agreement, the Consultant shall perform in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances at the same time and in the same or similar locality. 15. SUBMITTAL REVIEW - Review of submittals, shop drawings and other documentation shall be for the purpose of determining general conformance with the design expressed in the construction drawings, and not to determine the accuracy or completeness of details such as dimensions and quantities or for substantiating instructions for installation or performance of equipment, all of which are the responsibility of the Contractor. 16.
