AMENDMENT #1
AGREEMENT BETWEEN THE CITY OF FORT COLLINS
AND ALL COPY PROUDCTS, INC.
This First Amendment (Amendment #1) is entered into by and between the CITY OF FORT
COLLINS (the “City”) and ALL COPY PRODUCTS, INC. (the “Service Provider”).
WHEREAS, the Service Provider and the City entered into an Agreement effective September
28, 2018 (the “Agreement”); and
WHEREAS, Service Provider and the City desire to amend the Agreement to add document
shredding to the Scope of Services .
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein
contained, the parties agree as follows:
1. Amend Exhibit A, Scope of Services, to add the following additional service:
V. Document Shredding
Upon completion and verification of the document scanning, Service Provider will shred
documents, as requested by Utilities Project Manager. Prior to such document shredding,
the Service Provider will complete a quality check to verify the document scanned was
successfully completed in accordance with the criteria stated in Section IV, paragraph 8
of the Agreement. Once shredding is complete, Service Provider shall provide a
Certificate of Destruction to Utilities Project Manager.
2. Amend Exhibit B, Compensation, to include:
Service Provider will offer document shredding for $3.00 per box.
3. In accordance with Section 9, Subcontracts of the Agreement the City herein consents to
the Service Provider subcontracting the document shredding services. The Service
Provider shall require the subcontractor performing work hereunder to sign a confidentiality
agreement in conformance with Exhibit D of the Agreement.
Except as expressly amended by this Amendment #1, all other terms and conditions of the
Agreement shall remain unchanged and in full force and effect. In the event of a conflict between
the terms of the Agreement and this Amendment #1, this Amendment #1 shall prevail.
IN WITNESS WHEREOF, the parties have executed this First Amendment the day and year
shown.
