This First Amendment (“First Amendment”) is entered into by and between Hilltop Securities Inc.
(the “Service Provider”), and the City of Fort Collins, Colorado (the “City”).
WHEREAS, the Service Provider and City have mutually entered into a Services
Agreement effective August 12, 2015 (“Agreement”); and
WHEREAS, on December 22, 2017 the Service Provider and City documented via email
continuation of the Agreement and acknowledged the Service Provider’s change in name to
Hilltop Securities Inc effective January 1, 2018; and
WHEREAS, the parties wish to formally document the name change and renewal of the
Agreement.
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises
herein contained, the parties agree as follows:
1. The Service Provider’s name shall be changed from “First Southwest Company, LLC” to
“Hilltop Securities Inc.”
2. The parties hereby agree to renew the Agreement for one (1) additional year effective
August 12, 2018 to August 11, 2019.
3. The parties further agree the Agreement shall automatically renew for one (1) additional
year for the period August 12, 2019 to August 11, 2020 unless either party notifies the
other no later than thirty (30) days prior to August 11, 2019.
Except as expressly amended by this First Amendment, all other terms and conditions of the
Agreement shall remain unchanged and in full force and effect. In the event of a conflict
between the terms of the Agreement and this First Amendment, this First Amendment shall
prevail.
IN WITNESS WHEREOF, the parties have executed this First Amendment the day and year
shown.
