Dear Rick:
As you requested, please find enclosed our proposal to carry out the LOMR preparation and submittal
for the Sterling Pond/Josh Ames and McMurry Natural Area Ecological Restoration Projects. We put
together this proposal with the help of our subconsultant, Anderson Consulting Engineers (ACE). As
you know, ACE spent considerable effort in making sure, through review of existing data and
conversations with City staff, that the LOMR submittal and supporting analysis fully meets City and
County requirements. Some of these requirements include the new City floodplain modeling report
guidelines and the conversion of all prior work into the more recent NAVD88 vertical datum. In
addition, this project requires joining the CLOMR data generated from Ayres Associates with ACE's
current work on both projects.
The survey data that has been collected as part of Work Order 2014-1992 will be used for this project.
Also, per your guidance, the proposal includes City, County, and FEMA review fees in the budget.

SCOPE OF WORK
Sterling Pond and McMurry Natural Areas
LOMR Submittal for Ecological Restoration Projects
1. The Biohabitats Team will carry out the work necessary to prepare and submit the LOMR
application for the Sterling Pond/Josh Ames and McMurry Ecological Restoration Projects,
including hydraulic modeling, report and application preparation, submittal to regulatory
agencies, and meetings and coordination, as appropriate.
2. Biohabitats will also create an inundation map for both sites using recently surveyed
elevation data and include them as part of an electronic as -built package in GIS format that
will also include the as -planted information that has already been developed.
3. Anderson Consulting Engineers will be a subconsultant to Biohabitats. Throughout the rest
of this document, the Biohabitats Team will be referred to as `Biohabitats."
ASSUMPTIONS/ LIMITATIONS
1. No additional surveys are included in this scope of work. All necessary surveys have been
completed as part of the earlier Work Order 2014-1992.
2. The current site conditions, including any channel erosion and deposition resulting
from the September 2013 flood and subsequent 2014 spring runoff, are assumed to
meet floodplain criteria and not create adverse impacts to private property owners. If it
is determined that current conditions do not meet all applicable floodplain criteria, we
will notify you, and a strategy will be developed to identify alternative mitigation
measures that could be investigated under a separate scope and budget.
3. The project associated with the riprap on the south bank of the Poudre River (across
from McMurry Natural Area) that is being carried out by the City Stormwater
department is assumed to be built to the grades shown on the final version of the
McMurry ecological restoration plans. In addition, we assume that the City will provide
as -built survey data for this work once it is completed.
4. This scope of work assumes that the City and County reviews of the draft floodplain
modeling report (Task 3 in the Work Plan) will only require, at most, cursory changes
to the report. Substantial changes to the hydraulic analysis or documentation, if
required, are not included in this scope of work and will be considered change orders
and entail additional charges.
5. This scope of work assumes that, as is typically done for LOMR reviews, the County
review will be performed at the staff level and will not require a submittal to the Flood
Review Board, nor will it require attendance at a Flood Review Board hearing. If such
submittals or meetings are requested, they will result in change orders and additional
charges.
6. Since it is difficult to anticipate the scope and budget that may be required addressing
review comments generated by the Colorado Water Conservation Board (CWCB) or
by FEMA, addressing such comments is not included in this scope of work. Once
comments are received, a change order to appropriately address them will be prepared
and submitted to Natural Areas Department, if necessary.

7. Geomorphic evaluations and analyses of the Poudre River are not included in this
scope of work.
8. Alterations in the scope of the project, such as additional meetings, presentations, or
deliverables other than those explicitly identified in the task descriptions, will be
considered change orders and may entail additional charges.
9. This proposal is valid for a period of 60 days, after which it may be renegotiated.
WORK PLAN
TASK 1 DATA REVIEW AND BASEMAPPING
a. Biohabitats will compile, review, and evaluate materials pertinent to the floodplain
analysis.
b. We will develop a comprehensive base map for the entire study reach based on survey
data that has been collected throughout the project process. The resulting map will be
used for the following subtask, below.
c. Biohabitats will convert the base map data from CADD to GIS and develop an
inundation map using updated modeling results generated as part of this scope of work.
This inundation map will be similar to the one that was generated for the Woodward
site. We will submit to the Natural Areas Department the inundation maps along with
the already -completed as -planted maps as a geo-database.
d. Biohabitats will develop grading as -built plans for both the Sterling Pond/Josh Ames
and McMurry sites as required by the City as part of the LOMR submittal.
TASK 2 HYDRAULIC ANALYSIS
As part of this scope of work, the following hydraulic analyses will be completed, as required for the
LOMR application:
a. Effective/Duplicate Effective Condition
b. Corrected Effective Condition
c. Existing Condition
d. Revised/As-built Condition
TASK 3 FLOODPLAIN MODELING REPORT
a. Biohabitats will prepare a report covering the hydraulic analysis and
floodplain/floodway mapping in support of the City and County review and approval
As mentioned in the Assumptions/Limitations section earlier, this scope of work assumes that a
Flood Review Board hearing will not be necessary. In addition, the $1,200 necessary to cover
City and County review fees are included in the reimbursable expenses listed later in this
document.

TASK 4 LOMR APPLICATION AND SUBMITTAL
a. Biohabitats will prepare the LOMR application, which will include property owner
notification letters. We are estimating 50 notification letters and accompanying figures
will be needed, along with all correspondence to the City, County, FEMA, and CWCB,
to accompany the submittal of the LOMR application and hydraulic analysis report to
these four agencies.
As mentioned in the Assumptions/Limitations section earlier, this scope of work does not
include addressing CWCB or FEMA comments due to their unpredictability. In addition, the
$8,250 LOMR submittal fee is included in the reimbursable expenses listed later in this
document.
TASK 5 MEETINGS AND COORDINATION
a. This task includes up to five meetings with applicable City departments or Latimer
County Engineer staff.
b. Biohabitats will provide non -meeting -based coordination throughout the project on an
as -needed basis.
SCHEDULE
Biohabitats is available to begin work on these tasks within 5 days upon notice -to -proceed. We are
planning to have the hydraulic analysis finished and the report submitted to the City and County by
June 5. At this same time, we will have the final electronic as -built package (in GIS format) complete
for the Natural Areas Department, including as -planted information, elevations, and inundation
zones. We anticipate that the City/County reviews will take close to a month. The LOMR
application will be submitted around August 3. FEMA has 90 days to review, so the project could be
complete around November or December depending on the comments received.
FEE
Compensation to Biohabitats for the services described herein are in accordance with the Scope of
Work, Work Plan and Schedule described above and will be on a Time and Materials basis with a
not -to -exceed value of $84,805.00. A task breakdown is provided below.

ADDITIONAL SERVICES
Services in addition to those described above are to be compensated on a Time and Materials basis
(unless otherwise noted) per the On -Call Contract. Additional services will include (but are not
limited to) additional meetings and field visits and major revisions to and/or expansion of scope of
services. Whenever practical, changes, additions, or modifications to the scope of services shall be
authorized by written change order request; however, the absence of such a written change order
shall not act as a bar to payment of fees due Biohabitats, provided the change was in fact approved
and ordered by the Client or Owner.
PAYMENTTERMS
INVOICES FOR SERVICES AND/OR EXPENSES DESCRIBED HEREIN ARE DUE AND
PAYABLE UPON COMPLETION. All amounts not paid within 35 days shall be subject to a late
payment interest charge at the rate of (1.5) percent per month, (eighteen percent APR) from the date
of invoice. In the event that Biohabitats does not receive payment within 60 days from the date of
the invoice, Biohabitats, after giving seven days written notice to the Client, may suspend or
terminate the contract without causing any type of financial or legal penalty or action against
Biohabitats by the Client or Owner. Work may commence once the Client has paid in hill all
amounts due for services rendered and expenses incurred, including interest on past due
invoices. This proposal is based on a continuous work process. If the work schedule is delayed
and/or the project scope or budget is changed, Biohabitats can provide additional services upon
agreement by the Client to pay for additional services fees. Extensive itemized breakdowns of hourly
activities or provision of detailed backup for reimbursed expenses for accounting purposes are not a
normal procedure; however, at the Client's request, Biohabitats will provide this service at an hourly
rate of $65.00 (sixty-five dollars) per hour.
