Dividends offers simple and versatile design with logic that makes it easy to plan, install and reconfigure. We have submitted furniture solutions and pricing based on the specifications detailed in the RFP. Once a final configuration is selected, there will likely be opportunities to value engineer the solution to achieve price reductions beyond what is being provided. This response adheres strictly to the storage, tile content and functionality specified. In addition to the requested configurations, we have provided alternative solutions in support of your request for creative suggestions. These include: Johns Manville, Western Union and Merrick. This experience leads itself to familiarity of work styles, communication and a track record of creating innovative workplaces as a team. 1e. PRIORITY SERVICES/PUNCH AND DAY 2 MODIFICATIONS Priority Services is a post project, post installation service that streamlines project closeouts with a deliberate sense of urgency. Our Priority Services process centralizes and prioritizes all “punch” and /or outstanding product or service issues/needs within a single department. Priority Services also handles all warranty and touch-up service needs. Unlike all major manufacturers, Knoll also pays its dealers for the labor to service and repair its products should something happen to fail. Not all manufacturers pay their dealers to perform service work and, generally only cover the cost of the parts. Knoll pays for it all. This avoids the possibility of any charges for City of Fort Collins related to labor work. In addition, the ability to close out projects on-time and on-budget will allow everyone the ability to move into their new space with confidence and assurance. Any Day 2 modifications or additions will be handled through your local Account Executive in conjunction with your Designer and Sales Coordinator. Lead times for parts are as follows: Knoll: 5-7 weeks Seating: 3-5 weeks Ancillary: 4-10 weeks, depending upon final product selections 1g. Installation of product will be supported by local staff of Workspace Innovations, with committed turnaround time of 24 business hours. 1h. QUALITY ASSURANCE AND CONTROL ELEMENTS’ and Workspace Innovations’ investment in people and processes creates a platform for our order process and quality assurance to reach levels in the top 2% of furniture dealerships across the country. Immediately after project award, Knoll will assign a project manager to the City of Fort Collins account. This project manager will assist in communication directly with Knoll’s VP of Logistics and Manufacturing, on topics such as: notification of vendors to ensure proper raw materials are ordered, fabric reservations, lead time confirmations, and shipping logistics. Prior to order placement, Workspace Innovations places the order through our internal, as well as Knoll corporate, specification check. This is further supported with an application specification check by Jake Spence and our Field Services team. The Workspace Innovations installation team is Knoll trained and certified, and has many years’ experience in supporting projects such as this. All installations are performed within Knoll’s strict quality standards and performance expectations. 1i. Sustainability practices and certifications For more than a quarter century, Knoll has acted on our commitment to sustainability in the design and manufacture of our furniture products for the workplace. Our standards are mandated by a comprehensive Environmental, Health and Safety Plan and are defined by eight principles: protection of the biosphere; sustainable use of natural resources; waste reduction and disposal; conservation; risk reduction; safe products and services; environmental restoration; and informing the public. Our principle environmental sustainable focus areas (detailed below) are Climate Change; Environmentally Responsible Materials, Products and Manufacturing Processes; and Third-Party Certification. Climate Change Knoll continuously works to discover and adapt meaningful approaches to conserve energy, promote the use of renewable energy sources and divert waste from landfill. Initiatives to meet these goals include: • Our comprehensive energy management program: Knoll has invested significantly in energy efficiency initiatives and infrastructure. Based on production ratios of pounds of CO2 per product manufactured, Knoll realized a reduction of 733 tons CO2 emission at its US production facilities in 2013. • Significant progress toward our goal of becoming a zero waste company: In 2013, Knoll US facilities on average recycled 93% of the total normalized waste generated at its facilities and sent wood scrap and non-PVC plastics that could not be readily recycled to regulated and permitted Energy from Waste (EfW) facilities. The amount of sawdust and wood reduced by Knoll East Greenville and diverted from landfill to EfW was 3910 tons in 2013. The Grand Rapids facility diverted virtually 100% of its non-recyclable waste from landfill to an EfW facility. Product Requirements a. Confirmed The Knoll Dividends Product line has a broad product offering that includes both panel supported and freestanding components. Only Freestanding components are used in the Private Office. The overhead may be wall mounted or stanchion mounted. b. Dividends is a tiled or monolithic system. The panels are constructed as stand-alone units and are not part of a progressive planning model. This means that each panel may be removed without affecting those adjacent. Dividends uses a universal connector for all panel configurations simplifying installation. Frames are steel and tiles are hardened fiber construction. The structural integrity is provided by the supporting frames, eliminating the requirement for steel framed tiles. Tiles may be removed from any position. All fabric covered tiles are standard tackable/acoustical. Tiles are available in fabric, wood veneer, laminate, markerboard and slatwall for work tools. c. For the proposed project, Knoll is submitting the Dividends Horizon product solution with Tone height-adjustable bases. As stated in our descriptions of the proposed lines in our response to Question C of this section, the proposed solution is the combination of a systems product designed to embrace organizational innovation and change with a product that provides the reconfigurability of a freestanding component complimented with height adjustability to meet the needs of virtually any user. Both the reconfigurability of the worksurface bases as well as the height adjustability of the worksurfaces can accommodate multiple work styles and adapt to best meet each user’s needs. f. Dividends is a comprised of independently constructed panels assembled with a universal connector. This means that panels remain intact when taken down to speed reconfiguration and streamline your inventory process. Tiles are non- progressive and may be removed from any location to access the interior of the panel or to change a fabric tile to another type of tile such as markerboard. The connector attaches panels in all configurations and removal is and reattachment is a simple process as is the hanging of components by support brackets that anchor into slotted channels on the panels. KnollStudio, outdoor product finishes, k. lounge upholstery and k. lounge fabric. This warranty does not apply to: 64  Damage caused by a carrier other than the Seller.  Normal wear and tear or acts or omissions of parties other than Seller (including user modification, improper use or installation of Products).  COM or other third party materials applied to Products.  Products not installed by or under the auspices of a Knoll Dealer.  Dramatic temperature variations or exposure to unusual conditions.  Changes in surface finishes, including colorfastness due to aging or exposure to light.  Except as specifically noted above, textiles and upholstery supplied by KnollTextiles (consult current KnollTextiles price list for applicable warranty). Natural variations occurring in wood, marble, and leather shall not be considered defects, and the Seller does not guarantee the colorfastness or matching of the colors, grains or textures, or surface hardness of such materials. The Seller also does not guarantee the colorfastness of fiberglass panel surfaces. THE EXPRESS WARRANTIES CONTAINED HEREIN ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE AND ALL OTHER WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. The remedies provided above are the Purchaser’s sole remedies for any failure of Seller to comply with its obligations regarding the workmanship of its Products. Correction of any nonconformity in the manner and for the period of time provided shall constitute complete fulfillment of all liabilities of Seller, with respect to or arising out of the Product furnished hereunder. 65 14 Exclusive Warranty. Seller only warrants that the goods shall be free from defects in labor or material for a period of ten (10) years (exception: five (5) years in the case of glides, lighting, locks, adjustable height tables, electrical, pneumatic cylinders and drawer slides – one (1) year in the case of casters, no warranty for refrigerators or flatscreen monitors) from the date of shipment as long as the original purchaser owns it; this warranty is not transferable. This warranty excludes misuse, abuse, and ordinary wear and tear. This warranty also excludes self edge chipping or peeling. This is Seller’s sole and exclusive warranty, and Buyer waives all others. Enwork warranty applies to U.S. and Canada only. Seller’s warranty in this Agreement shall not apply to damage caused under the following circumstances: (a) damage caused during shipping (this will be handled under separate terms); (b) modifications or attachments to the product that are not Enwork approved; (c) products that were not installed, used or maintained in accordance with product instructions of Enwork or Panel Supplier; (d) products used for rental purpose; (e) damage caused by misapplication of cleaning product; (f) natural variations in wood grain or figure or the presence of character marks; or (g) changes in surface finishes due to aging or exposure to light. If a product is damaged Seller may, at its option, permit the Buyer to repair the item, in which case, Seller will issue a credit to Buyer in accordance with Seller’s repair allowance schedule. Warranty Disclaimer. Seller expressly and unconditionally disclaims any and all warranties, express or implied, including but not limited to any warranties of fitness for a particular purpose or merchantability, or warranties based on oral representations from seller’s personnel or agents, affirmations, models, drawings, samples, promotional literature whether in print, on the internet or in any other format or media. Limitation of Liability. Seller’s maximum cumulative liability to buyer shall not exceed the purchase price of the goods claimed defective. In no event shall seller be liable for any indirect, incidental, special or consequential damages of any type or kind, including but not limited to lost profits, lost business opportunities or lost goodwill, relating to the goods sold hereunder, their installation or use, whether in contract, tort pursuant to statute or otherwise, even if seller has been advised of the possibility of such damages. Indemnity. Buyer shall indemnify and save Seller harmless from and against all claims of any type or kind for personal injury or property damage, including all costs and attorneys fees, made or alleged as a result of Buyer in any way or manner incorporating or installing any item purchased herein into another product manufactured, assembled, sold or marketed by Buyer. No Design or other services provided. This agreement involves the sale of goods only. Buyer does not hire Seller to perform any design services or for the production of any drawing or other media relative to the goods sold pursuant to this Agreement or Buyer’s end product. To the extent that Seller offers any advice or produces any drawings or other media, Seller does so as a courtesy to the Buyer and Buyer agrees that it will not rely on such advice, drawing or other media and Seller shall not be liable for any matter arising from such advice, drawings or other media. Buyer shall have no recourse against Seller for any services of any type or kind. Buyer shall be solely and exclusively responsible for use and/or installation of all items purchased herein. The items sold herein are based on Buyer’s descriptions and Buyer bears sole responsibility for ensuring that the products sold meet Buyer’s needs and expectations and are suitable for Buyer’s intended use. Seller is not responsible for Buyer’s inaccurate or inadequate design or Buyer’s furnishing of incorrect information. Correction of Errors. Seller shall have the right to correct any errors, whether clerical or mathematical, which are contained in this Agreement or any term sheet or invoice. Disputes. All disputes of any type or kind, shall be determined by a court of competent jurisdiction which is situated in Kent County, Michigan. GLOBALcare will repair or replace, at Global’s option, as the sole remedy for any defect covered by the warranty. The warranty applies to products manufactured after January 1, 2012. GENERAL GLOBALCARE SEATING GLOBALcare’s warranty for general commercial seating covers all chair components including bases, casters, glides, frames, arms, plastic seats, backs and other structural components. Exceptions to the warranty for general commercial seating are as follows: • Foam, textiles (as sampled on Global branded and textile program cards) are warranted for five (5) Years • Control mechanisms and pneumatic cylinders are warranted for ten (10) Years The warranty applies only to single shift, standard commercial usage, defined as a standard eight (8) hour day, forty (40) hour week for users weighing up to 300 pounds. HEAVY DUTY SEATING GLOBALcare offers products designed for multiple shift applications (24 hours a day / 7 days a week) and larger individuals weighing up to 350, 500 and/or 750 pounds (depending on series and/or model). GLOBALcare warrants these products for ten (10) years to the original purchaser. All components (including control mechanisms, pneumatic cylinders, bases, casters, glides, frames, arms, plastic seats/backs, etc.) are covered for 24/7 applications under the warranty. The exceptions are foam and textiles, which are covered for five (5) years. Textiles on these products must exceed 100,000 double rubs for the textile portion of the warranty to apply. Heavy Duty product series that apply under this warranty currently include: Interlock, Nourish and Bariatric models of Aubra, Careflex, GC-Comet, Primacare, Primacare HT, Strand and GC-Belong. FABRICS GLOBAL warrants fabrics, vinyls and leather products marketed on Global, Global Branded cards and GLOBALcare Branded cards. GLOBALcare carded Branded textile alliance programs are currently with CF Stinson, Maharam, Mayer, Momentum and Morbern, and are warranted for five (5) years. Global does not warrant COM (Customer Own Materials) or GPM (Global Purchased Materials) that are customer’s own specified materials, or graded-in and purchased by Global for a customer.
