ADDENDUM NO. 2
SPECIFICATIONS AND CONTRACT DOCUMENTS
Description of BID 7556: Community Solar Garden

To all prospective bidders under the specifications and contract documents described
above, the following changes/additions are hereby made and detailed in the following
sections of this addendum:

EXHIBIT 1 – QUESTIONS & ANSWERS
Q1. Is the City picking the land a requirement? Can we provide our own land? If we
are not able to provide our own land, please help us understand why.
A1. Yes, the City is picking the land. No, contractors may not provide the
land. The solar garden is a City of Fort Collins initiative.
Q2. Providing a bid on a project to which one of the largest variables (land) is an
unknown, is very difficult and risky. If we are not able to provide our own land,
we think it makes sense to ask for time to research the land before submitting a
bid. Is this a possibility?
A2. See addendum 1, Question 6 and 15
Q3. There seem to be some incongruences in the ownership of the project and land.
a. The City requests that title of the land transfer back to the City at the end of
the 20-year period (or longer with extensions) – this implies the
Developer/Contractor will have title to the land. However, Page 6 of the RFP
states that “the City will lease the land for the solar garden site to the chosen
contractor” – this implies that the City already will own the site. Please clarify.

b. Section 5. Power Delivery/Interconnection specifies a negotiated Power
Delivery Agreement which I assume to be similar to a Power Purchase
Agreement. However, the contract on Pages 19 and 20 of the PDF state
“Compensation” as if the project were being purchased outright after
completion. Please clarify.
A3b. The contract attached to the RFP is our standard Professional
Services Agreement (PSA) which will be negotiated with the chosen
contractor, along with the PDA and other documents as mentioned in
the RFP. The terms in PSA were not adjusted for the differences in
how the Solar Garden contract will be compensated. It is expected that
the PSA will be a starting point for negotiations with items such as this
taken out at that time.
Q4. Issues of concern we would like to have changed, please indicate flexibility:
a. Ownership of all RFP materials
A4a. Our standard practice is to keep all documents submitted in response
to the solicitation. If your concern is about proprietary information in
your documents, see page 2 of the RFP. Please review the paragraph
that starts “The City of Fort Collins is subject to public information laws,
which permit access to most…”.

b. Audited financials (vs. reviewed)
A4b. Yes, reviewed financials would be fine.
c. Transfer of project ownership at end of term
A4c. See addendum 1, Question 16
Q5. Would it be possible for the solar garden to be above a parking lot?
A5. Yes, if that is one of the sites chosen by the City
Q6. Will the City be conducting interviews for this project?
A6. Yes, the City expects to follow this schedule:
Proposal Due: November 8, 2013
Interviews: Tentatively set for either December 4th, 5th or 6th
Selection: December 9, 2013
