This Amendment (Amendment) is entered into by and between The City of Fort Collins (the “City”) and
JPx Solutions, LLC (“Broker”).
WHEREAS, the City and Broker have mutually entered into an Exclusive Right-To-Buy Contract
establishing the Broker as the City’s exclusive broker agent beginning March 3, 2014 (the “Agreement”); and
WHEREAS, the Agreement does not contemplate the Broker subcontracting certain services; and
WHEREAS, the Broker desires to engage the services of a residential broker to assist the Broker with
limited activities the Broker is not licensed to perform;
WHEREAS, the parties mutually agree to expand the scope of the Agreement to authorize the Broker
to engage a subcontractor.
NOW, THEREFORE, in consideration of the Agreement, the foregoing recitals, and the mutual
promises herein contained, the parties agree to amend the Agreement by adding the following provision as a
new subparagraph (e) to paragraph 6:
(e) The Broker may engage the services of a residential broker (the “Subcontractor”) as reasonably
necessary to perform the services. The Broker shall promptly submit to the City the name of
Subcontractor’s firm and individual performing the work. The following provisions shall apply to
the Subcontractor:
(1) the Subcontractor must be a reputable, qualified firm with an established record of successful
performance in its respective trade performing identical or substantially similar work,
(2) the Subcontractor will be required to comply with all applicable terms of this Agreement,
(3) the Subcontract will not create any contractual relationship between any such Subcontractor
and the City, nor will it obligate the City to pay or see to the payment of any Subcontractor,
and
(4) the compensation to the Broker, per Section 7 of the Agreement, shall not change.
Except as expressly amended by this Amendment, all other terms and conditions of the Agreement shall remain
in full force and effect.
