Description of Work:
The City of Fort Collins (COFC) has requested Northern Engineering to complete the Floodptain
Use Permit Package #3, grading/drainage certification, as -constructed topographic survey,
construction staking, and engineering design for the COFC Discovery Museum. The following
scope/fee is based on this project going through the City of Fort Collins development review
process. The tasks associated with said submittals are further explained in Exhibit A — Scope of
Services.

Compensation:
Northern Engineering will provide these services on a Time and Materials (T&M) basis for a fee
not to exceed . , excludin retmbursables. Reimbursable expenses and Northern
Engineering's billing rates can be found in Exhibit C— Current Charge Basis.
Authorization:
Signing this Service Agreement indicates acceptance of the Description of Work herein described
and the General Conditions outlined in Exhibit D. Work will start immediately upon the
execution of this agreement. Please retain a copy for yourself and return a signed original to
Northern Engineering.

Scope of Services

A. Surveying Services:

1. As -Constructed Topographic Survey — An initial topographic survey will be performed to
provide a base map for design purposes and as -built drawing for bottom of north water
quality pond, miscellaneous spot elevations throughout the site, and Floodplain Use Permit
No.3 area north of museum.
The post construction topographic survey for the Floodplain Use Permit Area No.3 for the
existing parking lot area that was within the existing floodway will entail a 10-ft grid being
50-ft wide by 70-ft long.

Plain Use Permit No.3 area.

1. Final Record Drawings — Northern will create one set of record drawings for the project.
These record drawings will consist of only those items and sheets contained within the
construction drawings created by Northern. These record drawings will be signed and
stamped and also provided to the COFC.

2. Grading/Drainage Certification — Northern will prepare a site grading/drainage certification of

the completed Improvements or drainage facilities according to current COFC requirements. If
site improvements are found to be out of compliance, then additional fees may be necessary to
create the appropriate drawings necessary to acquire COFC acceptance.

Meetings and Coordination — This effort will include meetings and coordination with Ron
Kechter, Basil Hamdan, COFC Storm Water Department, and Ripley Design through the
approval process up to 4 hours is included in the fee below (excluding internal Northern team
meetings). Thereafter, time will be billed in accordance with our current hourly rate schedule.
In most cases, a single attendee from Northern is anticipated. Additional attendees shall not
be included in the above man-hour tabulations unless the client request specific expertise.
Internal Northern team meetings are included in the overall scope mentioned above and are
not part of the 4 hours.

1. Floodplain Use Permit Package #3 — Northern will finalize Floodplain Use Permit Package
#3 (existing parking lot demolition area) for COFC Floodplain Administrator Marsha Hilmes-
Robinson approval. This will entail the following: Floodplain Use Permit Form, an 11X17
drawing showing plan view of existing parking lot within the existing floodway and flood fringe.

2. Engineering Design — This effort will include re -design of drainage swale within landscaped
island in the south parking lot, design of three (3) concrete fore bays at curb cuts that drain
into drainage swale within landscaped island in south parking lot, design of one (1) concrete
fore bay at curb cut that drains into south detention/water quality pond, design/specify erosion
control mat along flow line between both Inlets and outlet in north detention/water quality
pond, and re -grade north turnaround to assure proper drainage to north detention/water quality
pond.

3. Meetings and Coordination — This effort will include meetings and coordination with Ron
Kechter, Basil Harridan, COFC Storm Water Department, and Ripley Design through the
approval process up to 12 hours is included in the fee below (excluding internal Northern team
meetings). Thereafter, time will be billed in accordance with our current hourly rate schedule.

Additionally, Northern Engineering and its consultants, if any, shall be paid for reimbursable
expenses incurred in the interest of the Project. Reimbursable expenses will be invoiced at
cost plus 10%. Reimbursable expenses mean the actual expenses incurred directly in
connection with the Project for: reproduction of documents, services of professional
associates and consultants, and transportation, lodging, and subsistence incidental to the
Project. Hourly fees are subject to change on an annual basis.

Services to be Provided:
Northern Engineering Services, Inc. (Northern) hereby agrees to provide the Client with the service set forth in the Scope of Services under the terms
and conditions set forth herein. This proposal is valid for work commencing within a period of thirty days from the dale on this proposal.
Right of Entry:
The Client will provide right of entry for our staff, subcontractors and all necessary equipment in order to complete the work, Northern will take all
reasonable precautions to minimize damage of the property. It is understood by client that in the normal course of work some damage may occur,
the correction of which is not part of this Agreement.
Utilities:
In the prosecution of our work, Northern will lake all reasonable precautions to avoid damage or injury to subterranean structures or utilities. Client
agrees to hold Northern harmless for any damage to subterranean structures and utilities. However, should damage occur despite Northern's
precautions, Northern will not be liable for damages or cost of repair.
Invoicing:
Northern invoices on a monthly basis for work completed by Northern or its subcontractors. Past due accounts are charged two percent interest
rate per month on any unpaid balance. It is agreed that it payment in full is not paid when due, Northern reserved the right to immediately cease
work. Northern shall be entitled to recover attorney fees, won costs and any other costs of collection that may be incurred In collecting this
account, if necessary.
Termination of Services:
If this Scope of Services is abandoned or suspended in whole or In part, Northern is to be paid for services performed on such work prior to the
receipt of notice to cease work, together with any expenses from cessation or startup of work. It is agreed that, should work on this project he
stopped and consequently restarted, Northern may adjust the proposed fees or other compensation for work remaining to be provided.
Insurance:
Northern represents and warrants that we and our employees, staff and consultants employed by us is and are protected by workees compensation
insurance and that we have such additional coverage under public liability and property damage insurance policies which we deem to be adequate.
Certificates for all such policies of insurance shall be provided to the client upon request. Within the limits and conditions of such insurance, we
agree to indemnity and save client harmless from and against any loss, damage or liability beyond amounts, limits and conditions of such insurance.
We shall not be responsible for any less, damage or liability arising from any negligent acts by client, its agents, employees, staff and other
consultants employed by it.
Professional Liability:
Client agrees Northern's total aggregate liability to the Client and all contractors and subcontractors on the project arising from Northern's
professional acts, errors or omissions, shall not exceed Northern's total fee for services rendered on this project. Client further agrees to require of
the contractor and his subcontractors an identical limitation of Northern's liability for damages suffered by the contractor or the subcontractor arising
from Northern's professional acts, errors or omissions. Neither the contractor nor any of his subcontractors assumes any liability for damages to
others that may arise on account of Northern's professional acts, errors or omissions.
Drawings:
The design drawings for this project are instruments of service provided by Northern and shall not be reproduced or In any way used by anyone
without prior written approval from Northern. Northern creates Its electronic files far the sole use of its engineers and other company personnel as
an aid in the preparation of construction plans for its customers and clients. It neither claims nor guarantees any degree of accuracy or
completeness. Any of our electronic files that may be furnished or provided to others are provided as a courtesy only and not with the intention on
the part of Northern that they should be relied upon for any purposes whatsoever. As consideration for the provisions of electronic files by Northern,
the Client agrees to hold harmless and indemnity Northern for any resultant damages including specifically those damages that may accrue either
directly or indirectly from the Client subsequent release of the electronic files to others.
Warranty:
Due to the complexities of a project of the nature set forth in the Scope of Services, Northern cannot guarantee the costs or schedule of this project.
Northern's professional services will be performed In accordance with generally accepted engineering practices. This warranty is in lieu of all other
warranties expressed or implied.
