I am okay with CSU's changes. This is how they typically handle indemnity and insurance issues and won't change them
in most cases. As to a reciprocal GIA provision for the City ---I don't think it is necessary because we don't provide any
kind of indemnity in the PO as the purchaser. And, I have no other suggested changes.

CSU will be conducting various testing in support of the Mosquito initiative. Attached are redlines to the PO terms and
conditions made by CSU. From my perspective, given the entity the changes are acceptable. I do recommend we add a
reciprocal provision for the limitation of liability under the CO Governmental Immunity Act.
Do you agree? Are the other changes exceptable?

Please review attached file. The PO issued and scanned in CityDocs on 5/22/2012 does not show any T&C's written- off
but perhaps it was done after the fact? Either way, please advise if the City Attorney should review/advise.
