EXTENDING TERM OF AGREEMENT
This First Addendum to the Enterprise Services Agreement ("Amendment") between
the City of Fort Collins, Colorado ("the City") and KUBRA Data Transfer Ltd. (USA)
("KUB RA") is dated effective as of October 23, 2013 ("Effective Date"), and is entered into
by and between the City and KUBRA.
A. The City and KUBRA entered into the Enterprise Services Agreement (the
"Agreement") dated as of October 23, 2008.
B. Subsequent to the Agreement, the City began implementation of a web portal to
provide customers of Fort Collins Utilities online access to account information.
C. The services provided by KUBRA through the Agreement are part of the services
needed to implement the City's web-portal, which project will not be complete prior to
initial expiration of the final Renewal Term in the Agreement.
D. The City and KUB RA now desire to amend the terms of the Agreement, pursuant to
paragraph 17, as follows:
• Paragraph 1, shall be amended to include an additional subparagraph "B" as follows:
"B. Provider shall provide services as approved by Fort Collins City
Council in Ordinance No. 113, 2013, and as outlined in the Kubra Statement
of Work originally approved January 22, 2013, entitled "DocWeb CASE:
551597," and all related documents attached hereto, including Scope Change
Documents, Business Rules and Requirements Documents, Functional
Specification Requirements, and Change Orders.
• Paragraph 3 (a), shall authorize the extension of the Term through a second round of
"Renewal Terms", initially extending the Agreement until October 22, 2014, and
including the option for up to four (4) additional one-year renewals, to end no later
than October 22, 2018.
• The Scope of Work (Service Description) set forth in Schedule A shall reflect
incorporation of the additional services added to Paragraph 1 B. above.
• Schedule B: Service Pricing, Change Management I Support shall be amended as
follows: Professional Services hours are billed out at $165.00 per hour. An estimate
will be created with respect to the number of billable hours required.
E. Except as provided herein, all terms used in this Amendment that are not otherwise
defined shall have the respective meanings ascribed to such terms in the Agreement.

F. This Amendment embodies the entire agreement between the City and KUBRA
with respect to amendment of the Agreement. In the event of any conflict or inconsistency
between the provisions of the Agreement and this Amendment, the provisions of this
Amendment shall control and govern.
G. Except as specifically modified and amended herein, all of the terms, provisions,
requirements and specifications contained in the Agreement remain in full force and effect.
Except as otherwise expressly provided herein, the parties do not intend to, and the
execution of this Amendment shall not, in any manner impair the Agreement, the purpose of
this Amendment being simply to amend the Agreement, as hereby amended, and to confirm
and carry forward the Agreement, as hereby amended, in full force and effect.
H. This Amendment shall be construed and governed by the laws of the State of
Colorado.
IN WITNESS WHEREOF, the City and KUBRA have executed and delivered this
Amendment effective as of the Effective Date.
