CONSTRUCTION DELAYS: Engineer shall not be responsible for delays in construction caused
by Client, Contractor or any third party. In addition, Engineer shall not be responsible for the
construction schedule as he has no control over Contractor's scheduling, manpower resources,
equipment availability or workload.
DURATION OF CONTRACT: This agreement shall be in effect for a period of one year from the
date hereon.
INSURANCE'S: Engineer shall maintain in force for the duration of the project Professional
Liability Insurance, General Liability Insurance and Workmen's Compensation Insurance.
CHARGES AND PAYMENTS: Engineer's services in accordance with the following rates and
charges:

rates as listed below.

RISK ALLOCATION: The Client agrees, to the fullest extent permitted by law, to limit the
liability of the Engineer and his or her sub -consultants to the Client for any and all claims, losses,
costs, damages of any nature whatsoever or claims expenses from any cause or causes, including
attorney's fees and costs and expert witness fees and costs, so that the total aggregate liability of
the Engineer and his or her sub -consultants to all those names shall not exceed $300,000.00, or

the Engineer total fee for services rendered on this project, whichever is greater. It is intended .
that. this limitation apply to any and all liability or cause of action however alleged or arising,
unless otherwise prohibited by law.
The Client further agrees, to the fullest extent permitted by law, to limit the liability of the
Engineer and his or her sub -consultants to all construction contractors and subcontractors on the
project for any and all claims, losses, costs, damages of any nature whatsoever or claims expenses
from any cause or causes, including attorney's fees and costs and expert witness fees and costs, so
that the total aggregate liability of the Engineer and his or her sub -consultants to all those named
shall not exceed $50,000.00, or the Engineer's total fee for services rendered on this project,
whichever is greater. It is intended that this limitation apply to any and all liability or cause of
action however alleged or arising, unless otherwise prohibited by law.
DISPUTE RESOLUTION: In an effort to resolve any conflicts that arise during or following the
completion of the project, the Owner and the Engineer agree that all disputes arising out of or
relating to this Agreement shall be submitted to non -binding mediation under the auspices of a
mediation agency unless the parties mutually agree otherwise. The Owner and Engineer further
agree to include the foregoing provision in any and all agreements with independent contractors
and consultants retained for the project and to require all independent contractors and consultants
to likewise include said provision in any and all agreements with subcontractors, sub -consultants,
suppliers or fabricators so retained.
CONTINGENCY FUND: Owners and Engineer acknowledge that in a project of this magnitude
and complexity, changes may be required as the result of possible omissions, ambiguities, or
inconsistencies in the plans and specifications which may or may not be the fault of either of the
parties hereto. As a consequence of the above, Owner realizes that Construction Contractors may
be entitled to additional payment. Owner agrees to set up a reserve in the amount of 6 percent of
the contract price (contingency reserve) to be used, as required to make additional payments to
Construction Contractors with respect to such changes. Owner further agrees to make no claim
by way of direct or third -party action against Engineer with respect to any payments within the
limit of the contingency reserve made to Construction Contractors as a result of such changes or
as a result of any claim made by Construction Contractors relating to such changes.
PAYMENT DUE: Invoices will be sent by the 24th of the month for work completed to the 15th
of that month. Payment is due within 30 days after receipt of the invoice. Invoices not paid within
60 days will bear interest at the rate of 1 1/2% per month at an annual rate of 18% per annum for
any outstanding amounts, not paid. Client agrees that Engineer has the right to suspend or
terminate service if undisputed charges are not paid within 45 days of receipt of Engineers
invoice, and Client agrees to waive any claim against Engineer, and to indemnify, defend, and hold
Engineer harmless from and against any claims arising from Engineers suspension or termination
due to Client's failure to provide timely payment. Any charges held to be in dispute shall be called
to Engineers attention within ten days of receipt of Engineer's invoice. In the event Engineer has
to hire an attorney to collect any outstanding amounts not paid by Client; the Client shall pay
reasonable attorney's fees incurred in such collection proceedings.

CLIENT ACKNOWLEDGMENT: This agreement shall become binding, subject to the terms and
conditions herein, when accepted by written or verbal acknowledgment, commencement of the
work, furnishing of any documents, payments for services by Client or, acceptance of payments by
Engineer.

The following is our proposal for design services for the addition of pole mounted lighting
at the City of Fort Collins Streets Department Parking Lot.
Structural Design of Post Bases:

Contract Administration and Planning and Zoning Minor Amendment Submittals

These rates are per Cityof Fort Collins Contract
This project will primarily be performed by APS, Inc as lead electrical designer and,Larsen
Structural Design for structural consulting, with administrative and Planning/Zoning
Department submittal work to be completed as needed by RB+B. As it is not anticipated
that Architectural design drawings or detailed planning and zoning presentation drawings
and public meetings will be necessary to meet the scope of this project, RB+B fee has
been included only for Contract Administration and submittals of drawings produced by
the above named consultants.
This proposal does not include Geotechnical Engineering work or Land surveying. If
necessary, these services will be secured as currently agreed under the City of Fort Collins
`As -needed' contract with RB+B. Upon agreement with this scope and fee proposal,
please issue the appropriate work order for us to begin the work.

GENERAL SCOPE OF PROJECT:
■ Foundation design for new 40-foot tall light poles. One pole design is included and will be used
multiple different locations across the site.
SCOPE OF STRUCTURAL DESIGN SERVICES:
• Our services will be consistent with the "Recommended Standard of Practice for Engineering
Services in Colorado" as developed by the Structural Engineers Association of Colorado.
■ We will produce the contract documents using AutoCAD with the client's title block but utilizing
our own drafting standards:
■. The Base Fee includes reimbursables for mileage and normal progress printing. Printing above
normal coordination and express delivery services will be billed at actual cost.
■ We will provide stamped/sealed drawings for review by the building department.
SCOPE OF STRUCTURAL CONSTRUCTION SERVICES:
Assist the general contractor in design related questions such as interpretations/clarifications of
the contract drawings and responding to Requests for Information (RFls).
■ Review shop drawings and submittals for structural compliance. During shop drawing review,
LARSEN will return one marked -up reproducible set of shop drawings to the owner for use by
the general contractor.
No site visits are included.

Dear Mr. Hosek:
The undersigned, as authorized agent for RB+B Architects, the Client, hereby requests Adonai
Professional Services, Inc. (APS), the Engineer, to perform the services described and agrees to
the terms thereof.
PROJECT DESCRIPTION
1. Project: "COFC Streets Facility Parking Lot Lighting"
2. Location: Fort Collins, Colorado
3. Square Footage: NA
SCOPE OF WORK: Engineer is to perform following services:
1. Design Site Visit Walk-thru (Qty. 1).
2. Electrical Construction Drawings based on telephone message and site plan from client.
and site visit with client and architect on 09.24.13:
a. Design the applicable electrical for new pole lighting system to the existing parking lot
at Streets Facility.
b. Coordinate the requirements of the Electrical systems with other disciplines.
c. Seal and sign documents for submission to the building department.
d. Review the applicable Electrical submittals and shop drawings.
e. Provide drawings to show the new exterior lighting system.. We will circuit, and
indicate the types of lights in the lighting fixture schedule.
f. Show all power for owner's motorized gate equipment.
g. Provide one -line diagram as required for existing electrical distribution system.
Assume minimal work, reuse existing panelboard spares or spaces as needed.
h. Energy calculations based on 20091ECC if applicable for any new lights added.
i. AutoCAD Drafting Version 2012.
j. Electrical Specifications shown as general notes on drawings.
k. Construction observations of electrical work in progress (Qty. 1) notify time & date.
1. Design review meeting to be done via email/telephone and during site visit.

l . Any work not detailed in the scope of work noted above.

3. LEED design certification process associated with electrical system (will do standard
green building design).
4. Additional Coordination Meeting(s).
5. Additional construction observations of electrical work in progress as requested.
6. Full time construction observations of electrical work in progress.
7. Equipment, wiring, jacks and terminations for Telephone, Com/data & CATV systems
(will do design Jor backboxes and empty conduits).
8. Special systems including Sound, Security, Intercom, CCTV, Clock/Bell Systems (design,
cabling and equipment).
9. Electric Snow Melt System.
10. Electrical Design associated with Fire Pump System.
11. Electric Heat (will connect equipment as designed by mechanical).
12. Building Lightning Protection or Risk Assessment.
13. Electrical Pay Request.
14. Bid Form, Performance Bond and other Mandatory Contractual Arrangements.
15. Pre -Bid Contractor Walk Through.
16. 11 month Electrical Observation.
17. Advertising for bids.
CLIENT COOPERATION: Client agrees to cooperate with Engineer and to furnish the following
to Engineer to facilitate performance:
I . Architectural Drawings.
2. AutoCAD version 2010 or newer: 1/8" scale floor plans and scaled site plans. Disk with
desired fonts for project. Progress Architectural prints included with progress disk.
3. Reflected ceiling plans.
4. Electric load of owner's, mechanical's, special systems equipment: Watts, HP, Voltage,
Phase, Connections.
5. Owner's requests.
6. Progress and Final documents, Architectural and Mechanical.
PROJECT TERMINATION: In the event of termination of Engineer's services, Engineer will be
paid for all work accomplished through the date and time of the termination even though the
billing for said work may occur after the date of termination. Said work will be billed at the hourly
rates hereinafter set forth.
FIDUCIARY RESPONSIBILITY:
Client confirms that Consultant does not owe any fiduciary responsibility to client or owner.
Client shall, as a material element of the consideration, consultant requires for performance of the
services enumerated herein, require owner to formally recognize this provision in client's
agreement with owner.

OWNERSHIP OF DOCUMENTS: All documents including drawings and specifications prepared
by Engineer pursuant to this agreement are instruments of service in respect of the project.
Engineer shall retain an ownership and property interest therein whether or not the project is
completed. Client may make and retain copies for information and reference in connection with
this project. Such documents are not intended or represented to be suitable for reuse by Client or
others on extensions of this project or any other project.
CONSTRUCTION SAFETY: Engineer has not been retained or compensated to provide design
and construction review services relating to Contractor's safety precautions or to means, methods,
techniques, sequences or procedures required for Contractor to perform his work.
OPINIONS OF COST: Since Engineer has no control over the cost of labor, materials, equipment
or services furnished by others or over Contractor's methods of determining prices or over .
competitive bidding or market conditions, Engineer's opinions of project costs provided herein are
made on the basis of Engineer's experience and qualifications and represent Engineer's best
judgment as an experienced and qualified professional Engineer familiar with the construction
industry. Engineer cannot and does not guarantee that proposals, bids or actual construction costs
will not vary from opinions of probable cost prepared by Engineer.
SHOP DRAWINGS: Engineer shall review and comment on shop drawings, samples and other
data which Contractor is required to submit, but only for conformance with the design concept of
the project and compliance with the information given in the documents. Such reviews and
comments shall not extend to means, methods, techniques, sequences or procedures of
construction.
ACCURACY OF DOCUMENTS: Engineer shall prepare all documents described under. Basic
Services to the best of his ability but does not guarantee that the documents are without error, but
rather that the documents are buildable. Engineer shall respond in a timely fashion to clarifications
requested by Client.
ELECTRONIC MEDIA (DISK)
1. Due to the potential that the information set.forth on the electronic media (disk) can be
- modified by Owner, or Owner's consultant, unintentionally or otherwise, Engineer shall
remove all indices of its involvement from each electronic display.
2. For documentation purposes, on set of an original electronic media (disk) and one hard
copy set will be prepared. One hard copy set will be given to Architect. _
3. Owner recognized that use of such electronic media (disk) will be at Owner's sole risk and
without any liability risk or legal exposure by Engineer. Furthermore, Owner shall, to the
fullest extent permitted by law, defend, indemnify and hold harmless Engineer from all
claims, damages, losses, and expenses including attorney fees arising out of or resulting
from the use of such electronic media (disk).
