HomeMy WebLinkAbout162706 CIVITAS - CONTRACT - RFP - 7479 SOUTHEAST COMMUNITY PARKPROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT made and entered into the day and year set forth below, by and between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the "City" and CIVITAS, INC., hereinafter referred to as "Professional". WITNESSETH: In consideration of the mutual covenants and obligations herein expressed, it is agreed by and between the parties hereto as follows: 1. Scope of Services. The Professional agrees to provide services in accordance with the scope of services attached hereto as Exhibit "A", consisting of eleven (11) pages, and incorporated herein by this reference. 2. Contract Period. The services to be performed pursuant to this Agreement shall be initiated within five (5) days following execution of this Agreement. Services shall be completed no later than June 30, 2015. Time is of the essence. Any extensions of the time limit set forth above must be agreed upon in writing by the parties hereto. 3. Early Termination by City. Notwithstanding the time periods contained herein, the City may terminate this Agreement at any time without cause by providing written notice of termination to the Professional. Such notice shall be delivered at least fifteen (15) days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. ERO will also note any additional regulated natural resources that may affect the project, such as raptor or other migratory bird nests protected by the Migratory Bird Treaty Act and work with the team to identify ways to incorporate native areas and wildlife habitat into the design, including integrating the stream improvements. ERO will work with the City to develop a stream channel layout that maximizes the aquatic functions and services provided by the improved McClelland Creek, while also complementing park design objectives. During the permitting process, ERO will coordinate with involved agency representatives to address other permitting requirement for the project, to refine the preferred alternative, and to identify appropriate mitigation strategies. Clanton & Associates (Clanton) will provide lighting design and documentation for architectural elements, hard surface paths, parking and roads within the park, as well as electrical design and engineering for lighting and minor electrical uses including water feature, convenience outlets, and small solar installations of less than 3KW without storage. Illuminance criteria will be developed using generally accepted standards, applicable local codes, and input from City staff. Delich Associates (Delich) will provide transportation studies and reports necessary for the park to comply with current City requirements. The work will include transportation impact studies associated with development of the park. Hines Irrigation, Inc. (Hines) will provide irrigation design for landscape planting areas and coordinate the system with existing pumps located in the pump house east of Lady Moon Drive. Hines will also work collaboratively with Civitas to develop design ideas for the potential interactive water feature for the park based on City and community desires and budget considerations. As a component of the base scope of work, Hines will provide preliminary concept development of the water feature mechanical system, including sizing & provision of feature water source, a narrative describing water feature mechanical operation, primary pieces of infrastructure, water quality parameters and preliminary estimate of probable mechanical system construction costs. Once the complexity of the water feature is determined, Civitas and the City can determine the best approach to developing the final design of the feature and its components. JVA will collaborate with RB+B to develop the structural design for the restroom and pavilions and mark up details prepared by Civitas to direct the placement and size of footings, structural reinforcement, etc. required for pedestrian bridges, site walls, stairs and other site elements that are documented on Civitas drawings. Abrahamson Engineering (Abrahamson) will provide mechanical and plumbing design for the park restroom and drinking fountains. Terracon will provide geotechnical study of the park site to evaluate pertinent geotechnical and groundwater conditions to develop geotechnical parameters that will assist in the design of foundation systems. Four (4) borings are included in the base scope of work. Testing during construction is not included in this scope of work. POTENTIAL PARK ELEMENTS Based upon the outline of potential park elements described in the project request for proposal, the design anticipates the following: • Access and interior concrete walks and soft surface trails including cross country trails. • Pedestrian and security lighting. Professional Services Agreement RFP 7479 Southeast Community Park Page 10 of 23 • One large and one small picnic pavilion with accessible tables and grills. • Restroom and drinking fountains. • One large playground, fully accessible. • Interactive water feature. • Multi -use turf area for soccer and general use. • Potential skate board park (design by others). • Potential in -line hockey, basketball courts, dog park. • Potential relocation of BMX track (design by others). • Potential sledding hill. • Trail bridges over McClelland Creek. • Park amenities and furnishings. • Storm drainage improvements and approvals. • Utilities for park elements. • Irrigation to park landscapes. • Park landscapes, trees, and non -programmed turf areas. PHASE SCOPE OF SERVICES I. PRE -DESIGN: PROJECT KICKOFF I WORK PLAN and SCHEDULE Civitas will meet with the Project Manager to review this scope of work and to discuss a detailed work plan. The work plan will describe a master schedule for the design process, outlining tasks, deliverables, and schedule for team meetings, progress meetings, Park and Recreation Lead Team meetings, Design Charette, and tentative public and City board meeting dates. The work plan will also outline participation of design team members so that their involvement is focused, efficient, and effective at the appropriate intervals in the process. Following the kick-off meeting, Civitas will refine the Work Plan and Schedule if needed, and prepare and execute subcontracts with the design team integrating any revisions to sub -consultants scope and fees. u ,t: _ 1 M. The team will begin to collect all available and pertinent information including studies, draft survey information, environmental reports, storm water and flood conditions, and utility mapping. This information will be assessed to identify key elements necessary for the design of the park. A preliminary base map will be prepared from the available information to organize contextual information. If the final survey information is complete at this time, this map may serve as the finalized base map. PRE -DESIGN WORKSHOP Once the refined work plan is complete and base map is prepared we will conduct a Pre - Design Workshop with the design team and City staff. The purpose of the Workshop is for the team and staff to get to know each other and confirm communication protocols. Attendance will include key design team members, and we hope to meet with City staff who will review and contribute to the project, including park maintenance, storm water, stream restoration, etc. We intend to clearly understand City goals for the park, its role in the park system, and potential programmatic elements, character and potential precedents to which the park should aspire. We will also identify stakeholders, neighborhood groups and contacts, their potential concerns, and identify any early agency coordination meetings that should Professional Services Agreement RFP 7479 Southeast Community Park Page 11 of 23 immediately. We will begin the Workshop with a site walk and discuss issues pertinent to the park such as stream restoration process, storm water and flood control, utilities, transportation, connections to the neighborhood, habitat connections, and others to be identified. We will discuss the outreach approach, with the intent to establish an open process in which the design team and City team understand the goals and issues and appropriate paths of communication. OUTREACH PLAN Civitas and Susanne Durkin -Schindler will work with the Project Manager and City staff to establish a clear outreach plan and process. The plan will identify stakeholders, neighborhood groups, and others to involve in the process, and will define the purpose and desired outcome for each public meeting. A menu of public information materials and methods, and potential venues will be developed. Outreach tasks and responsibilities will be assigned as appropriate. DISCOVERY I DATA COLLECTION AND RECONNAISSANCE: Civitas will study the physical and technical aspects of the site, its history as well as the social and cultural aspects of the neighborhood. Design team members will investigate technical concerns specific to their disciplines as appropriate. SITE ANALYSIS DIAGRAMS We will prepare an analytical framework that will outline site qualities such as neighborhood context, history, views, orientation, connections, access, vegetation, drainage, drainage and storm water, wetlands and stream ecology, upland ecology, existing utilities, parking, transportation, future development plans and land uses, and establish a baseline of physical opportunities and constraints. Civitas will gather precedent imagery from other parks and places that may be inspirational and appropriate to Southeast Community Park. OPPORTUNITIES and CONSTRAINTS The analysis of existing physical and cultural conditions will lead us to an initial understanding of the opportunities inherent in the site and neighborhood, potential obstacles and conflicts. The team will assemble these observations to frame discussions with the community in Public Meeting One. PRELIMINARY GEOTECHNICAL INVESTIGATION Professional Services Agreement RFP 7479 Southeast Community Park Page 12 of 23 During the Discovery Phase, Terracon will initiate a preliminary geotechnical study that will evaluate the pertinent geotechnical and groundwater conditions to develop parameters that will assist in the design and construction of foundation systems, floor slabs, pavements, and other building and site development elements. Terracon will work with the project team to select the general location of four (4) soil borings across the site based on preliminary understanding of the potential site organization. In addition, groundwater levels will be recorded and observed during drilling operations. AGRICULTURAL TESTING Civitas will collect soil samples from on site to analyze soil texture, chemical and fertility conditions for suitability for turf grasses, native plants, trees and shrubs and to define appropriate amendments. Samples will be submitted to Colorado State University Soils Laboratory for testing. PRELIMINARY PROGRAM Building on the Pre -Design Workshop with the City, the team will establish a baseline program for the park. The program will be considered in the context of the programs of other parks in the system, nearby schools, and address elements that are not desired in this park. The team will assemble precedent images and ideas as a topic for discussion with the community. WETLAND and HABITAT INVENTORY ERO will delineate all wetlands, open waters, and channels and conduct a habitat assessment for species listed as threatened or endangered, and identify any additional regulated natural resources that may affect the project, such as raptor or other migratory bird nests. ARTIST SELECTION Early in the process, a public artist will be selected to participate in the design process. The selection may occur as early as the Discovery Phase or following the Design Charette. Civitas and Ripley Design will participate with the City to select an artist to participate on the team for the duration of the project. We anticipate that the artist will actively engage with the design team during refinement of design alternatives. At this stage the design team will have a solid understanding of City and community interests with adequate flexibility to integrate artist ideas with the preferred design direction. PUBLIC MEETING ONE I OPPORTUNITIES AND PROGRAM Once we have a solid understanding of the park site, of City goals for the park, and an inspiring sense of what the park can become, we will conduct our first public meeting with the community. The goals will be to share initial thoughts about the opportunities and to gather ideas from the community as to their desires of activities and elements to be included in the park and to listen to their thoughts about impact and benefits of the park to the neighborhoods. DESIGN DEVELOPMENT AND PROGRAMMING: The character and form of Southeast Community Park will be defined during Design Development. Progress will be organized around three key engagements the team Design Charette with City staff, Public Meeting Two I Alternatives, and Public Meeting Three Consensus Plan. DESIGN CHARETTE With solid base knowledge about the site, community desires, and potential program the core design team will work collaboratively with the City team in a two to three day design work session to generate ideas for the park organization, character and design alternatives. In preparation for the Design Charette, we will use the potential program options, opportunities and constraints, site analysis, and a set of preliminary design principles and frameworks to stimulate conversation with City staff. We will explore some initial options of program distribution throughout the site to test fit and adjacencies prior to further catalyze our discussions together. Design team leaders from Civitas, Ripley Design, RB+B will lead the Charette process. We will involve other members of the design team if needed for focused input during the process. We anticipate that the outcome will define the vision for the park, confirm the design principles and supporting frameworks, and form the foundation of a set of design and program alternatives to share with the community. Define Goals for Public Art Component The design team will organize and refine the graphic and narrative outcome of the charette in preparation for Public Meeting Two. Integrating all we have heard during the first public meeting, the Design Charette and team work sessions we will refine develop a set of design alternatives, program and park feature options, and associated strengths, weaknesses, and opinions of probable costs. The alternatives will explore park character, organization, materials, landscape, lighting, and architectural character. Waterline will prepare alternative interactive water feature concepts, precedents, and costs. Hines will prepare basic concept mainline plans for the alternatives to identify design efficiencies, issues, and cost implications. TRANSPORTATION STUDY Assuming access issues are clear following the Charette, Delich Associates will begin preparation of a traffic study based upon the general expectations for the park. Delich will meet with the City to determine traffic concerns and gathering additional land use and traffic data for other projects in the vicinity and conduct field investigations and peak hour traffic counts as necessary. Trip generation analysis will be conducted to determine the additional park generated traffic, and trip distribution and assignment will be conducted in accordance with Fort Collins transportation impact study guidelines. Capacity analyses will be studied for key intersections and street segments for current and projected traffic. Geometric and control requirements at and near the site will be determined. At the completion of the Design Development phase Delich will refine data and recommendations based on the Preliminary Consensus Design and compile a report for review with the City and to present key findings to the community in a public meeting. PUBLIC MEETING TWO I ALTERNATIVES We will present preliminary park vision, design principles, goals, program and feature options, and plan organization alternatives to the community to gather input. The meeting is intended to be active and engaging to involve people in the design process and to make decisions regarding priorities. The outcome will be a clear and refined set of program, organization, and character preferences so that the team can then develop a preliminary consensus plan for the park. PRELIMINARY CONSENSUS PLAN Professional Services Agreement RFP 7479 Southeast Community Park Page 15 of 23 The Preliminary Consensus Plan will integrate community comments, refined design principles, priority program options, and preferred components of the alternatives into a holistic park design. In this process we will be confirming park character, organization, key elements and features, landscape, and potential conceptual art ideas that will be integrated with the park. We anticipate that the selected public artist will participate with the team during refinement of the alternatives. The Plan will be supported with sketch level illustrative plan renderings and sketch perspective views to articulate the character and organization of the park. PUBLIC MEETING THREE I PRELIMINARY CONSENSUS DESIGN We will present the Preliminary Consensus Design for the overall park to the community in a Public Meeting that will again give people an active opportunity to be involved in the design process. The intended outcome is confirmation that we have heard the community, and have successfully integrated the best aspects of the alternatives, addressed their concerns and have a park plan that is exciting and on budget. Following the successful outcome of Public Meeting Three the design team will move into the final design of the park. FINAL DESIGN AND DOCUMENTATION: FINAL DESIGN Prior to preparing construction documents, Civitas will incorporate City and community comments on the Consensus Design into the Final Design for presentation at the final public meeting. Following the meeting the team will finalize details and prepare construction documents and specifications for the project. PUBLIC MEETING FOUR I FINAL DESIGN We will present the final plan to the community prior to documentation, addressing response to community comments and concerns, project implementation process and schedule, and expectations during construction. SUPPLEMENTAL GEOTECHNICAL EVALUATION Professional Services Agreement RFP 7479 Southeast Community Park Page 16 of 23 Once the general configuration of the park is confirmed we anticipate that addition geotechnical information will be required in specific locations of anticipated development. Terracon will complete additional soil borings in areas where shelters, multi -use courts, restroom facilities, bike/skate structures, pedestrian bridges, pavements, and other site features are planned and prepare a design level geotechnical report as a basis for pavement and foundation design. DESIGN DOCUMENTATION The design team will initiate documentation for construction following Public Meeting Four. Supporting engineers will be engaged to design and document mechanical, plumbing, electrical, and structural elements. As needed, Civitas and various team members will meet with City agencies to coordinate progress and address issues. Civitas anticipates that the progress design submittals to the City of Fort Collins for review at 75% and 95%. We anticipate that the 75% Documents will be the basis for planning review. The document set will likely include drawings and specifications for: Cover Sheets • Civil Utility, Grading, Storm Drainage and Erosion Control Plans and Details • Coordination City Stream Restoration • Site Layout Plans and Enlargement Plans • Site Elevations, Sections and Details • Site Recreation Area Plans and Details • Site Playground Plans and Details • Park Architecture Plans and Details • Park Architecture Structural Details • Park Architecture Mechanical/Plumbing Plans and Details • Park Architecture Electrical Plans and Details • Site Mechanical/Plumbing Plans and Details • Site Lighting and Electrical Plans and Details • Water Feature Plans, Sections, Elevations, and Details • Site Planting Plans and Details • Site Irrigation Plans and Details PDP/FDP PROCESS A Type 1 planning review without any modifications is assumed. Concurrent with completion of the 75% progress set, Ripley Design will coordinate the overall process to submit to the City. Civitas will refine design plan bases required for site plan and landscape plan submittal to which Ripley Design will incorporate specific City charts and notes. Ripley Design will prepare required narratives for the project and for comparison with the City Principles and Policy Plan. Once comments are received from City agencies, Ripley Design will coordinate revisions and responses with the design team and coordinate one (1) re -submittal including printing, folding and delivering. Once approved Ripley Design will coordinate printing of mylars and obtaining required signatures. DRAINAGE PLAN AND REPORT Interest will prepare the drainage plan and report required for the project. This will include the design of water quality facilities, storm drain pipes, channels, and outfall designs. Interest will prepare the calculations necessary to show that the site is not required to Professional Services Agreement RFP 7479 Southeast Community Park Page 17 of 23 provide storm water detention. Interwest will coordinate closely with the City regarding the floodplain and channel stabilization design for this effort. EROSION CONTROL PLAN AND STORMWATER MANAGEMENT PLAN (SWMP) Interwest will prepare the require erosion control plan for the project as well as an erosion control report meeting City standards. This plan and report will be available to the contractor for initial utilization as the SWMP. BIDDING AND PRELIMINARY CONSTRUCTION OBSERVATION: Civitas and the design team will support the City during the bidding process, attending a Pre - Bid Conference to clarify scope and explain significant features to prospective bidders and to walk the site. As needed Civitas will assist the City in the preparation of addenda, review of qualifications and of bids. During construction, Civitas will assist the city in the review of the work in process. We anticipate that this will include attendance at a Pre -Construction Meeting, review of submittals and shop drawings, and preparation of drawing clarifications as needed. The design team anticipates periodic visits to the site beyond those outlined below during construction to review the work in progress. If requested by the City, the team will prepare a request for additional services for compensation for such site visits. PRELIMINARY SCHEDULE, TO BE CONFIRMED We will prepare a detailed schedule for each task based upon the Work Plan to review with City staff in the Pre -Design Work Shop. At that time we will coordinate with pre-existing meeting schedules, potential dates for public meetings, agency review periods, and other refinements. We anticipate the work in each phase to be accomplished generally within the following time frames: Pre -Design Discovery) Data Collection and Reconnaissance: Design Development and Programming: Final Design and Documentation: Bidding & Negotiation: Construction Observation: Professional Services Agreement RFP 7479 Southeast Community Park 4 weeks 8 weeks 22 weeks 20 weeks 3 weeks 52 weeks Page 19 of 23 In the event of any such early termination by the City, the Professional shall be paid for services rendered prior to the date of termination, subject only to the satisfactory performance of the Professional's obligations under this Agreement. Such payment shall be the Professional's sole right and remedy for such termination. 4. Design, Project Indemnity and Insurance Responsibility. The Professional shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all services rendered by the Professional, including but not limited to designs, plans, reports, specifications, and drawings and shall, without additional compensation, promptly remedy and correct any errors, omissions, or other deficiencies. The Professional shall indemnify, save and hold harmless the City, its officers and employees in accordance with Colorado law, from all damages whatsoever claimed by third parties against the City; and for the City's costs and reasonable attorneys fees, arising directly or indirectly out of the Professional's negligent performance of any of the services furnished under this Agreement. The Professional shall maintain commercial general liability insurance in the amount of $500,000 combined single limits and errors and omissions insurance in the amount of $1,000,000. 5. Compensation. In consideration of the services to be performed pursuant to this Agreement, the City agrees to pay Professional a fixed fee in the amount of Three Hundred Ninety -Six Thousand Nine Hundred Fifty Dollar ($396,950) plus reimbursable direct costs. All such fees and costs shall not exceed Four Hundred Fourteen Thousand Six Hundred Fifty Dollars ($414,650) as per Exhibit B, consisting of four (4) pages, attached hereto and incorporated herein. Monthly partial payments based upon the Professional's billings and itemized statements are permissible. The amounts of all such partial payments shall be based upon the Professional's City -verified progress in completing the services to be performed pursuant hereto and upon the City's approval of the Professional's actual reimbursable expenses. The parties acknowledge that the sub -contractors are not parties to this agreement. Professional Services Agreement RFP 7479 Southeast Community Park Page 2 of 23 EXHIBIT B COMPENSATION TOTAL TEAM FEES BY PHASE The following outlines the fees for the entire team during the course of the work. The Meetinc category includes all meetings outlined in the phases above, including bi-weekly progress meetings, agency meetings, city board and park and recreation lead team meetings, and four public meetings. Small solar installations of less than 3KW without storage may be accommodated within this scope. • 80% of the park area will receive some irrigation. • Irrigation pump station is adequately sized with capacity for the park and that mainline of sufficient capacity has been routed to the west side of Lady Moon Drive. • Water feature design fee assumes only conceptual design, and final design will be completed for additional services once determined. • Civil specification information will be included on the civil drawings. • Grading modifications around the existing pond are not anticipated. • Four (4) soil borings are included in this scope. • Geotechnical report will provide all pavement and earthwork requirements and will act as the earthwork specification for the project. • Major base changes after 75% Final Design will require additional services. EXCLUSIONS Potential work products that are not included in this design team scope: • Final Design Drawings on mylar. • Floodplain modeling, floodplain use permits and erosion buffer waivers will be prepared by others. • Final design of water feature. • Geotechnical testing during construction. • Off -site street or utility improvements. • Geothermal or ground -source heat pump system, solar hydronic system for heating or domestic water heating at restroom. • Building commissioning. • Re -design of BMX track if relocated (coordination only with city consultant). • Design of skate park if determined to be a desired park component (coordination only). • Lighting of playgrounds, sports fields and courts, skateboard park, dog park, cycling facilities, sledding hill, and soft surface paths. • Irrigation pump station mechanical design, lake water quality system and electrical engineering for related systems. • Presentation models and professional renderings beyond those described above. Professional Services Agreement RFP 7479 Southeast Community Park Page 23 of 23 However, the rates listed for services to be provided by these subcontractors shall be the rate paid by the City to the Professional for these services. If the amount charged by these subcontractors exceed the rates listed in Exhibit "B" the excess amount shall not be paid or owed by the City. The limitation on increases in prices set forth in section 4 herein shall apply to all rates listed in Exhibit "B" including subcontractor rates. Final payment shall be made following acceptance of the work by the City. Upon final payment, all designs, plans, reports, specifications, drawings, and other services rendered by the Professional shall become the sole property of the City. 6. City Representative. The City will designate, prior to commencement of work, its project representative who shall make, within the scope of his or her authority, all necessary and proper decisions with reference to the project. All requests for contract interpretations, change orders, and other clarification or instruction shall be directed to the City Representative. 7. Project Drawings. Upon conclusion of the project and before final payment, the Professional shall provide the City with reproducible drawings of the project containing accurate information on the project as constructed. Drawings shall be of archival, prepared on stable Mylar base material using a non -fading process to provide for long storage and high quality reproduction. "CD" disc of the final drawings shall also be submitted to the City in an AutoCAD version no older then the established city standard and PDF. 8. Monthly Report. Commencing thirty (30) days after the date of execution of this Agreement and every thirty (30) days thereafter, Professional is required to provide the City Representative with a written report of the status of the work with respect to the Scope of Services, Work Schedule, and other material information. Failure to provide any required monthly report may, at the option of the City, suspend the processing of any partial payment request. 9. Independent Contractor. The services to be performed by Professional are those Professional Services Agreement RFP 7479 Southeast Community Park Page 3 of 23 of an independent contractor and not of an employee of the City of Fort Collins. The City shall not be responsible for withholding any portion of Professional's compensation hereunder for the payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose. 10. Personal Services. It is understood that the City enters into this Agreement based on the special abilities of the Professional and that this Agreement shall be considered as an agreement for personal services. Accordingly, the Professional shall neither assign any responsibilities nor delegate any duties arising under this Agreement without the prior written consent of the City. 11. Acceptance Not Waiver. The City's approval of drawings, designs, plans, specifications, reports, and incidental work or materials furnished hereunder shall not in any way relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's approval or acceptance of, or payment for, any of the services shall not be construed to operate as a waiver of any rights or benefits provided to the City under this Agreement. 12. Default. Each and every term and condition hereof shall be deemed to be a material element of this Agreement. In the event either party should fail or refuse to perform according to the terms of this agreement, such party may be declared in default. 13. Remedies. In the event a party has been declared in default, such defaulting party shall be allowed a period of ten (10) days within which to cure said default. In the event the default remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail himself of any other remedy at law or equity. If the non -defaulting party commences legal or equitable actions against the defaulting party, the defaulting party shall be liable to the non -defaulting party for the non -defaulting party's reasonable attorney fees and costs incurred because of the default. This writing, together with the exhibits hereto, constitutes the entire agreement between the parties and shall be binding upon said parties, their officers, employees, agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 15. Law/Severability. The laws of the State of Colorado shall govern the construction, interpretation, execution and enforcement of this Agreement. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this Agreement. 17. Prohibition Against Employing Illegal Aliens. Pursuant to Section 8-17.5-101, C.R.S., et. seq., Professional represents and agrees that: a. As of the date of this Agreement: 1. Professional does not knowingly employ or contract with an illegal alien who will perform work under this Agreement; and 2. Professional will participate in either the e-Verify program created in Public Law 208, 104th Congress, as amended, and expanded in Public Law 156, 108th Congress, as amended, administered by the United States Department of Homeland Security (the "e-Verify Program") or the Department Program (the "Department Program"), an employment verification program established pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment eligibility of all newly hired employees to perform work under this Agreement. b. Professional shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or knowingly enter into a contract with a subcontractor Professional Services Agreement RFP 7479 Southeast Community Park Page 5 of 23 that knowingly employs or contracts with an illegal alien to perform work under this Agreement. c. Professional is prohibited from using the e-Verify Program or Department Program procedures to undertake pre -employment screening of job applicants while this Agreement is being performed. d. If Professional obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien, Professional shall: 1. Notify such subcontractor and the City within three days that Professional has actual knowledge that the subcontractor is employing or contracting with an illegal alien; and 2. Terminate the subcontract with the subcontractor if within three days of receiving the notice required pursuant to this section the subcontractor does not cease employing or contracting with the illegal alien; except that Professional shall not terminate the contract with the subcontractor if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. e. Professional shall comply with any reasonable request by the Colorado Department of Labor and Employment (the "Department') made in the course of an investigation that the Department undertakes or is undertaking pursuant to the authority established in Subsection 8-17.5-102 (5), C.R.S. f. If Professional violates any provision of this Agreement pertaining to the duties imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this Agreement is so terminated, Professional shall be liable for actual and Professional Services Agreement RFP 7479 Southeast Community Park Page 6 of 23 consequential damages to the City arising out of Professional's violation of Subsection 8-17.5-102. C.R.S. g. The City will notify the Office of the Secretary of State if Professional violates this provision of this Agreement and the City terminates the Agreement for such breach. Civitas will be the prime consultant and landscape architect for the entire project. The site is defined by Ziegler Road, Kechter Road, Saber Cat Drive and includes a partial area of the pond east of Lady Moon Drive, including the pump house. The Civitas Team will prepare an analysis of the site, lead the design charette and community meetings, prepare design alternatives, a preliminary consensus design, final design, and construction documents and specifications. Civitas will lead the site grading concept and work closely with Interest to coordinate with channel stabilization and site storm drainage requirements. Civitas will document design of the park landscape, grading, hardscape, site lighting locations, detail park elements, coordinate and issue all drawing packages. Civitas will support the City in the bidding process and to review construction of the park in progress. Ripley Design, Inc. (RD) will collaborate with Civitas in the park design with a focus on active recreation components. RD will participate in design charettes, team work sessions and public meetings and assist in identification of appropriate recreation program elements. RD will coordinate and assemble Project Development Plan (PDP) and Final Development Plan (FDP) planning submittals as required by the City of Fort Collins. One resubmittal of the PDP is included prior to submitting the Final Development Plan. RD will document design of site active recreation and playground components and support the City and Civitas during construction. RB+B will collaborate with Civitas in the design of park architectural elements, including a restroom, large and small picnic shelters. The architecture will be developed in coordination with the overall park character, materials and design vocabulary. RB+B will participate in design charettes, team work sessions, and public meetings and assist in identification of architectural aspects of program elements. One restroom and two park shelters are anticipated. RB+B will prepare construction documents and specifications for park architecture and support the City and Civitas during construction. Interest Consulting Group (Interest) will provide site civil engineering, including drainage, utilities, vehicular access if any, and coordinate with site grading and layout. Interest will document final contours, spot elevations, and finish floors for the park and street improvements based upon the grading designed by Civitas. Interest will provide detail design and final documentation of site utilities including sanitary sewer, storm drainage, and storm water management plan. Interest will coordinate with appropriate agencies within the City of Fort Collins regarding utilities, meters and vaults as necessary. Interest will prepare the project Drainage Plan and Report, Erosion Control Plan and Storm Water Management Plan (SWMP), construction documents and support the City and Civitas during construction. Susanne Durkin -Schindler (Insight) will develop a project outreach plan and support Civitas and the City to communicate with neighbors and preparation for Community Meetings. ERO Resources (ERO) The park and stream projects will likely involve placing dredged and fill material into McClelland Creek and associated wetlands, which would require Clean Water Act Section 404 authorization from the U.S. Army Corps of Engineers (Corps). We anticipate that this will require authorization in the form of an Individual Permit (IP). If the Corps determines the project can be authorized under a General Permit, ERO scope of services will be revised.
