Modification 01
to Software Access and License Agreement by and between:
City of Fort Collins, Fort Collins Utilities
and
ICF Incorporated, L.L.C.
The purpose of this Modification 01 is to modify the following respective clauses in the original Software
Access and License Agreement (“Agreement”) executed on January 7, 2013 and any previous
Modifications thereto agreed to between City of Fort Collins, Fort Collins Utilities and ICF Incorporated,
L.L.C. (also referred to hereafter as “Ft. Collins” and “ICF” respectively or as “parties”), and takes effect
on March 15, 2013 (“Effective Date”).
Changes to the Agreement are as follows:
1. Add following section 3.2 of the Schedule A of the Agreement:
3.2. ICF will provide Nielsen with 62,532 residential customer records in the City of Fort
Collins for PRIZM code matching. ICF will integrate the PRIZM codes and their match
codes for all successfully linked records into Fort Collins’ SIMS platform. ICF will
provide analytical support for data processing, integration with Nielsen systems and
linking PRIZM data with individual meter data in the SIMS.
The price of the services associated with the above described additional scope of work
are summarized in Table A-2 below and are in accordance with ICF Proposal 2013_0268
submitted to Ft. Collins for this opportunity and incorporated herein by reference.

Assumptions:
ICF’s price is based on the following assumptions:
The vendor is Nielsen.
In addition to the proposed price, 20 hours of analytical support, already included in
the Agreement, will be used from Ft. Collins allotment of analytical support hours for
data processing, integration with Nielsen systems and linking PRIZM data with
individual meter data in the SIMS.
2. Add following paragraph to section 4 of the Schedule A of the Agreement:
ICF will invoice for the additional work priced in Table A-2 at a Firm Fixed Price amount of
$5,259 in the month that the vendor charges have been incurred by ICF. Payment terms are
net 30 days from date of invoice.

All other terms of the Agreement and all the prior Modifications remain in full force and effect. This
Modification is made part of the Agreement and incorporates all prior Modifications and any referenced
Attachments and will become effective upon its execution by the parties hereto as of the date identified
herein and will be binding upon the parties hereto and their respective assigns. This Modification
represents the understanding between the parties and no other understandings which modify the terms and
conditions hereof will be binding unless made in writing and executed by the parties hereto.
