Farnsworth respectfully submits this letter as our proposal to provide professional services. We have outlined our understanding of the scope of work based on preliminary information provided, including reviewing the Edora Pool & Natatorium Assessment submitted on February 15, 2013 by Ohlson Lavoie Collaborative. Please review and contact us if any adjustments are required to our scope and proposed fees. PROJECT DESCRIPTION Farnsworth Group proposes to provide HVAC design services with the goal of improving some of the indoor air quality (IAQ) issues that have been identified in the natatorium area of the Edora Pool and Ice Center (EPIC). These IAQ issues are believed to be related to low air turnover rate, low ventilation rates, deficient space pressurization controls, and issues with air distribution patterns. The proposed services in this letter include a site investigation to document existing conditions, the design of a source capture/exhaust system along the pool deck, the design of new destratification fans, and the design of upgraded natatorium pressurization and ventilation controls. Based upon our discussions with the Owner and review of the observations and recommendations outlined in the Ohlson Lavoie report, the goals of the requested modification are: 1. Improve air distribution in natatorium and reduce build‐up of “trichloramine bubble” over pool surface with new source capture/exhaust system. 2. Replace existing noisy destratification fans, target air velocity of 1 to 2 FPM across pool surface. 3. Increase ventilation rates through control sequence modifications of existing AHU/1. 4. Improve air balance to maintain slight negative space pressure between natatorium and outdoors. Qualifications: Professional Engineering Licenses SCOPE OF SERVICES 1. M&P Design Assumptions: a. Design to meet requirements documented per Owner and applicable codes. b. Architectural backgrounds will be provided electronically in AutoCAD. c. Owner to provide original project TAB report. d. Owner to provide existing system controls sequence of operations. 2. HVAC Design: Mechanical systems will be designed in accordance with all City of Fort Collins codes and outlined in general as follows: a. Site investigation and data gathering of existing conditions. b. Opinion of probable construction costs for installation of final design. c. Design and specifications for new pool area destratification fans. d. Design for new source capture/exhaust ductwork system along pool deck. e. TAB specification. g. Revised controls sequence of operation for natatorium HVAC systems. h. Provide 65% and 100% submittal documents, includes one design review and coordination meeting with each submittal. i. Provide permit construction documents including drawings and specifications. 3. Coordination: Our services include coordination with the Architect, Electrical Engineer, Structural Engineer, Owner’s representatives and other consultants throughout the project. 4. Construction Administration: Our services will include industry standard of care construction administration services, including review of submittals and one site visit with a final punchlist. 5. RFIs / ASIs: Our services include accurate and timely responses to legitimate RFIs, provided reference to the applicable drawing number and specification is indicated to demonstrate that the request has been properly researched, and accompanied, if required, by a lowest‐cost suggested solution from the submitting subcontractor to demonstrate that the request has been properly considered. Design revisions required as a result of code changes after the initial review by the building department. 4. Revisions to drawings after substantial completion of work, including value engineering and contractor driven revisions. 5. Multiple designs for bid alternates. 6. Incorporating mechanical changes as a result of changes to approved architectural drawings. 7. Review of proposed “Value Engineering” revisions. Farnsworth Group will be kept advised of value engineering revisions. 8. Redesign if bids exceed total approved budget. 9. Energy model and life cycle costs for proposed system or alternate systems. 10. Functional performance testing of installed systems for operational verification. 11. New Building Automation and Controls system design FEES Our fees for the anticipated services above are shown below as a lump sum fee. Typical reimbursable expenses for travel to and from site, courier services and printing are included in the fee. (APS), the Engineer, to perform the services described and agrees to the terms thereof. PROJECT DESCRIPTION 1. Project: “EPIC – HVAC Renovations” 2. Location: Fort Collins, Colorado 3. Square Footage: NA SCOPE OF WORK: Engineer is to perform following services: 1. Design Site Visit Walk-thru (Qty. 1). 2. Electrical Construction Drawings based on discussion with mechanical engineer and architect on 04.10.13: a. Design the applicable electrical for new HVAC renovations to pool area. b. Coordinate the requirements of the Electrical systems with other disciplines. c. Seal and sign documents for submission to the building department. d. CLIENT COOPERATION: Client agrees to cooperate with Engineer and to furnish the following to Engineer to facilitate performance: 1. Architectural Drawings. 2. AutoCAD version 2012 or newer: 1/8" scale floor plans. Disk with desired fonts for project. Progress Architectural prints included with progress disk. 3. Reflected ceiling plans. 4. Electric load of mechanical's equipment: Watts, HP, Voltage, Phase, Connections. 5. Owner's requests. 6. Progress and Final documents, Architectural and Mechanical. PROJECT TERMINATION: In the event of termination of Engineer's services, Engineer will be paid for all work accomplished through the date and time of the termination even though the billing for said work may occur after the date of termination. Said work will be billed at the hourly rates hereinafter set forth. FIDUCIARY RESPONSIBILITY: Client confirms that Consultant does not owe any fiduciary responsibility to client or owner. Client shall, as a material element of the consideration, consultant requires for performance of the services enumerated herein, require owner to formally recognize this provision in client’s agreement with owner. RE: EPIC – HVAC Renovations Letter of Agreement April 10, 2013 Page 3 OWNERSHIP OF DOCUMENTS: All documents including drawings and specifications prepared by Engineer pursuant to this agreement are instruments of service in respect of the project. Engineer shall retain an ownership and property interest therein whether or not the project is completed. Client may make and retain copies for information and reference in connection with this project. Such documents are not intended or represented to be suitable for reuse by Client or others on extensions of this project or any other project. CONSTRUCTION SAFETY: Engineer has not been retained or compensated to provide design and construction review services relating to Contractor's safety precautions or to means, methods, techniques, sequences or procedures required for Contractor to perform his work. OPINIONS OF COST: Since Engineer has no control over the cost of labor, materials, equipment or services furnished by others or over Contractor's methods of determining prices or over competitive bidding or market conditions, Engineer's opinions of project costs provided herein are made on the basis of Engineer's experience and qualifications and represent Engineer's best judgment as an experienced and qualified professional Engineer familiar with the construction industry. Engineer cannot and does not guarantee that proposals, bids or actual construction costs will not vary from opinions of probable cost prepared by Engineer. SHOP DRAWINGS: Engineer shall review and comment on shop drawings, samples and other data which Contractor is required to submit, but only for conformance with the design concept of the project and compliance with the information given in the documents. Such reviews and comments shall not extend to means, methods, techniques, sequences or procedures of construction. ACCURACY OF DOCUMENTS: Engineer shall prepare all documents described under Basic Services to the best of his ability but does not guarantee that the documents are without error, but rather that the documents are buildable. Engineer shall respond in a timely fashion to clarifications requested by Client. ELECTRONIC MEDIA (DISK) 1. Due to the potential that the information set forth on the electronic media (disk) can be modified by Owner, or Owner's consultant, unintentionally or otherwise, Engineer shall remove all indices of its involvement from each electronic display. 2. For documentation purposes, on set of an original electronic media (disk) and one hard copy set will be prepared. One hard copy set will be given to Architect. 3. Owner recognized that use of such electronic media (disk) will be at Owner's sole risk and without any liability risk or legal exposure by Engineer. Furthermore, Owner shall, to the fullest extent permitted by law, defend, indemnify and hold harmless Engineer from all claims, damages, losses, and expenses including attorney fees arising out of or resulting from the use of such electronic media (disk). RE: EPIC – HVAC Renovations Letter of Agreement April 10, 2013 Page 4 CONSTRUCTION DELAYS: Engineer shall not be responsible for delays in construction caused by Client, Contractor or any third party. In addition, Engineer shall not be responsible for the construction schedule as he has no control over Contractor's scheduling, manpower resources, equipment availability or workload. DURATION OF CONTRACT: This agreement shall be in effect for a period of one year from the date hereon. INSURANCE'S: Engineer shall maintain in force for the duration of the project Professional Liability Insurance, General Liability Insurance and Workmen's Compensation Insurance. CHARGES AND PAYMENTS: Engineer's services in accordance with the following rates and charges: 1. "SCOPE OF WORK" as described previously. Our fixed fees for performing this work for the will be: Electrical Design Fixed Fee: $1,500.00 Or Hourly* not to Exceed Fee: $2,500.00 *Based on Hourly rates listed below. 2. "WORK NOT INCLUDED" described previously: Service based on hourly rates, hourly rates as listed below. 3. Hourly Rates: Principal/Project Manager @ $105.00 per hour Engineer @ $85.00 per hour Designer @ $75.00 per hour AutoCad Operator @ $55.00 per hour Draftsperson @ $45.00 per hour Clerical @ $40.00 per hour 4. Reimbursable expenses as follows: a. Printing (beyond check sets): Direct Cost. b. Copying (beyond check sets): Direct Cost. c. Incidental expenses towards the execution of this work. RISK ALLOCATION: The Client agrees, to the fullest extent permitted by law, to limit the liability of the Engineer and his or her sub-consultants to the Client for any and all claims, losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorney's fees and costs and expert witness fees and costs, so that the total aggregate liability of the Engineer and his or her sub-consultants to all those names shall not exceed $300,000.00, or the Engineer total fee for services rendered on this project, whichever is greater. It is intended RE: EPIC – HVAC Renovations Letter of Agreement April 10, 2013 Page 5 that this limitation apply to any and all liability or cause of action however alleged or arising, unless otherwise prohibited by law. The Client further agrees, to the fullest extent permitted by law, to limit the liability of the Engineer and his or her sub-consultants to all construction contractors and subcontractors on the project for any and all claims, losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorney's fees and costs and expert witness fees and costs, so that the total aggregate liability of the Engineer and his or her sub-consultants to all those named shall not exceed $50,000.00, or the Engineer's total fee for services rendered on this project, whichever is greater. It is intended that this limitation apply to any and all liability or cause of action however alleged or arising, unless otherwise prohibited by law. DISPUTE RESOLUTION: In an effort to resolve any conflicts that arise during or following the completion of the project, the Owner and the Engineer agree that all disputes arising out of or relating to this Agreement shall be submitted to non-binding mediation under the auspices of a mediation agency unless the parties mutually agree otherwise. The Owner and Engineer further agree to include the foregoing provision in any and all agreements with independent contractors and consultants retained for the project and to require all independent contractors and consultants to likewise include said provision in any and all agreements with subcontractors, sub-consultants, suppliers or fabricators so retained. CONTINGENCY FUND: Owners and Engineer acknowledge that in a project of this magnitude and complexity, changes may be required as the result of possible omissions, ambiguities, or inconsistencies in the plans and specifications which may or may not be the fault of either of the parties hereto. As a consequence of the above, Owner realizes that Construction Contractors may be entitled to additional payment. Owner agrees to set up a reserve in the amount of 6 percent of the contract price (contingency reserve) to be used, as required to make additional payments to Construction Contractors with respect to such changes. Owner further agrees to make no claim by way of direct or third-party action against Engineer with respect to any payments within the limit of the contingency reserve made to Construction Contractors as a result of such changes or as a result of any claim made by Construction Contractors relating to such changes. PAYMENT DUE: Invoices will be sent by the 24th of the month for work completed to the 15th of that month. Payment is due within 30 days after receipt of the invoice. Invoices not paid within 60 days will bear interest at the rate of 1 1/2% per month at an annual rate of 18% per annum for any outstanding amounts not paid. Client agrees that Engineer has the right to suspend or terminate service if undisputed charges are not paid within 45 days of receipt of Engineers invoice, and Client agrees to waive any claim against Engineer, and to indemnify, defend, and hold Engineer harmless from and against any claims arising from Engineers suspension or termination due to Client's failure to provide timely payment. Any charges held to be in dispute shall be called to Engineers attention within ten days of receipt of Engineer's invoice. In the event Engineer has to hire an attorney to collect any outstanding amounts not paid by Client, the Client shall pay reasonable attorney's fees incurred in such collection proceedings.
