HomeMy WebLinkAbout113170 MWH AMERICAS INC - CONTRACT - AGREEMENT MISC - MWH AMERICAS INCPROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT made and entered into the day and year set forth below, by and between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the "City" and MWH Americas, Inc., hereinafter referred to as "Professional'. WITNESSETH: In consideration of the mutual covenants and obligations herein expressed, it is agreed by and between the parties hereto as follows: 1. Scope of Services. The Professional agrees to provide services in accordance with the scope of services attached hereto as Exhibit "A", consisting of five (5) pages, and incorporated herein by this reference. 3. Contract Period. The services to be performed pursuant to this Agreement shall be initiated within five (5) days following execution of this Agreement. Services shall be completed no later than July 31, 2014. Time is of the essence. Any extensions of the time limit set forth above must be agreed upon in writing by the parties hereto. 4. Early Termination by City. Notwithstanding the time periods contained herein, the City may terminate this Agreement at any time without cause by providing written notice of termination to the Professional. Such notice shall be delivered at least fifteen (15) days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. '. Halligan -Seaman Water Management Project EIS - Halligan Reservoir Enlargement Alternative Development Page 1 of 14 2.2 MWFI shall prepare pre -feasibility layouts, cost estimates and assessments of the EIS Alternatives. Where necessary, minor adjustments will be made to the alternatives if the originally proposed definitions do not meet basic feasibility criteria. The purpose of the pre - feasibility analysis will be to identify fatal flaws that could make an alternative invalid for use in the EIS. Fatal flaws could be technical or economic. MWH shall work with the applicants to prepare proposed cost thresholds that would be applied to pre -feasibility cost estimates. 2.3 M W I -I shall prepare documentation for any EIS Alternatives that do not meet the technical or cost feasibility criteria for use in the EIS. The documentation will be provided to the applicants for use by other members of the 1-ISWMP team in preparing justification in the form of"white papers" to the Corps for eliminating the infeasible alternatives. Task 3. E/S Alternative Development 3.1 M WI -I shall conduct engineering studies to develop each of the EIS Alternatives to a level of detail sufficient for the EIS. Depending on the nature of the alternative and the amount of previous analysis performed by the 3PC or others, required engineering studies could include: • For new or enlarged dams: dam cross section, footprint, and construction methods; spillway size and location; outlet works size and location; probable borrow areas; right-of-way requirements (most of this information has been provided by the 3PC and but must be verified) • For conveyance structures: approximate pipeline size; one feasible pipeline alignment corridor; pump station capacity; pump station location and footprint; pump station energy requirements; canal enlargement methods and footprints • For water treatment plants: treatment plant capacity; treatment processes; conceptual treatment plant location and footprint; residual disposal quantities, methods and locations; treatment plant energy requirements • For aquifer storage: method of recharge (injection wells or spreading basins); location and footprint of typical spreading basins; number and typical footprint of injection wells; number and typical footprint of production wells; energy requirements for injection and production wells • For general features: need for permanent access roads and construction roads; location and size of appurtenances that could have environmental effects; location and footprint of new or improved river diversion structures 3.2 MWI-I shall prepare ACEE Class V estimates of opinion of probable construction costs (conceptual level) for each of the EIS Alternatives. Construction quantities will be based on the feasibility level designs prepared in Task 3.1. MWH shall develop appropriate unit costs and contingencies for use in alternative cost estimating. MWH shall check unit costs used by the 3PC for cost estimates they have prepared, and when valid use those same unit costs for consistency. In preparing probable construction cost opinions, MWH has no control over costs of labor, materials, competitive bidding environments and procedures, unknown field conditions, financial and/or market conditions or other factors affecting the cost of the construction and the operation of the facilities, all of which are beyond M WH's control and are unavoidably in a state of change. It is therefore acknowledged that MWH cannot and does not make any warranty, promise, or representation, either express or implied, that proposals, bids, opinions of probable construction Professional Services Agreement Halligan -Seaman Water Management Project EIS— Halligan Reservoir Enlargement Alternative Development Page 10 of 14 costs, or cost of operation or maintenance will not vary substantially from its probable cost estimates. 3.3 M W I-1 shall prepare estimates of annual operation and maintenance costs for each of the EIS Alternatives based on a percentage of construction cost or other similar metric. 3.4 A brief technical memorandum (TM) with supporting data and calculations will be prepared for each EIS Alternative to present the results of the engineering and cost analyses. Separate TMs will be prepared for each alternative so they can be submitted independently to the HSWMP team, Corps and 3PC as soon as they are ready. Draft TMs will be prepared for review by the HSWMP team. Comments will be incorporated into final'I'Ms to be submitted to the Corps and 3PC. At a minimum these TMs will include: • Description of facilities and how they would operate • Maps of facility locations • Feasibility -level facility layouts in the form of plan views, footprints and/or cross sections • Property and easement acquisition requirements • Supporting calculations and data • Cost estimate summary tables and estimate of total alternative cost in $$/ac-ft of storage or project yield 3.5 M W I-1 shall prepare a final EIS Alternative Development Report consisting of the final alternative development TMs, basis for cost estimates, and other supporting material as needed. Task 4. Coordination 4.1 IM WH shall attend informal coordination meetings with the City and NPIC and their consultants to review project progress and discuss development of the EIS Alternatives. It is assumed that one coordination meeting will be held per month. MWH will coordinate closely with the City's EIS support consultant to assure that the level of detail of the alternatives analysis and documentation is appropriate for EIS support. 4.2 MWH shall attend selected meetings of the HSWMP team to provide progress reports and to coordinate alternative development activities with the rest of the team. It is assumed that MWH will attend one I-IWMP team meeting per month, or not more than a total of five meetings. 4.3 MWH shall attend meetings of the EIS team to assist the HSWMP team in providing progress reports to the Corps and 313C. It is assumed that two EIS team meetings will occur during performance of this contract. 4.4 MWH shall coordinate alternative development with Greeley's engineering consultant who is performing similar work on the EIS alternatives for Greeley. It is assumed that the majority of this coordination will occur through email and conference calls, and that coordination meetings can be combined with the meetings described in subtasks 4.1, 4.2 and 4.3. Task 5. Project Management 5.1 MWH shall manage project scope, schedule and budget. It is understood that a project of this nature can have scope changes due to outside influences as well as findings from early study tasks. MWH will track scope changes in a Change Log to be sure they are clearly documented Professional Services Agreement Halligan -Seaman Water Management Project EIS — Halligan Reservoir Enlargement Alternative Development Page 11 of 14 and supported. MWH will not proceed with any changes in scope without written authorization on scope and budget modifications from the City. 5.2 MWH shall submit monthly invoices with documentation of the work performed during the month. MWH shall separately track and report costs associated with alternative development for the City and for NPIC to support the City's request for reimbursement from NPIC. 5.3 MWH shall provide internal QA/QC reviews of project deliverables. List of Deliverables • Proposed definitions of EIS Alternatives for review and approval by the Corps (with assistance from applicants) • TM on data gaps and proposed alternate study methods for alternative development • Fatal flaw documentation for 3PC alternatives that do not meet basic feasibility criteria • Alternative Development TM for each EIS Alternative (draft and final) • EIS Alternative Development Report (draft and final) All deliverables shall be submitted in electronic (Word and/or pdf) format. Client Supplied Services The following services shall be provided by the City and NPIC. 1. Client shall provide information previously developed and supplied by the 3PC and others relative to alternative development. 2. Client shall conduct all hydrologic modeling of EIS Alternatives and provide MWH with sufficient reservoir storage, conveyance capacity and operational data for sizing facilities. 3. Client shall provide information on design and operation of their existing facilities that will be incorporated into the EIS Alternatives. 4. Client shall provide feasibility reviews of alternatives in the areas of legality and water rights acquisition and administration. 5. Client shall provide estimates for costs of water rights acquisition for the EIS Alternatives. Project Management 72 $10,692 TOTAL 1336 $189,674 Professional Services Agreement Halligan -Seaman Water Management Project EIS - Halligan Reservoir Enlargement Alternative Development Page 13 of 14 EXHIBIT C CONFIDENTIALITY IN CONNECTION WITH SERVICES provided to the City of Fort Collins (the "City') pursuant to this Agreement (the "Agreement"), the Professional hereby acknowledges that it has been informed that the City has established policies and procedures with regard to the handling of confidential information and other sensitive materials. In consideration of access to certain information, data and material (hereinafter individually and collectively, regardless of nature, referred to as "information") that are the property of and/or relate to the City or its employees, customers or suppliers, which access is related to the performance of services that the Professional has agreed to perform, the Professional hereby acknowledges and agrees as follows: That information that has or will come into its possession or knowledge in connection with the performance of services for the City may be confidential and/or proprietary. The Professional agrees to treat as confidential (a) all information that is owned by the City, or that relates to the business of the City , or that is used by the City in carrying on business, and (b) all information that is proprietary to a third party (including but not limited to customers and suppliers of the City) . The Professional shall not disclose any such information to any person not having a legitimate need -to -know for purposes authorized by the City. Further, the Professional shall not use such information to obtain any economic or other benefit for itself, or any third party, except as specifically authorized by the City. The foregoing to the contrary notwithstanding, the Professional understands that it shall have no obligation under this Agreement with respect to information and material that (a) becomes generally known to the public by publication or some means other than a breach of duty of this Agreement, or (b) is required by law, regulation or court order to be disclosed, provided that the request for such disclosure is proper and the disclosure does not exceed that which is required. In the event of any disclosure under (b) above, the Professional shall furnish a copy of this Agreement to anyone to whom it is required to make such disclosure and shall promptly advise the City in writing of each such disclosure. In the event that the Professional ceases to perform services for the City, or the City so requests for any reason, the Professional shall promptly return to the City any and all information described hereinabove, including all copies, notes and/or summaries (handwritten or mechanically produced) thereof, in its possession or control or as to which it otherwise has access. The Professional understands and agrees that the City's remedies at law for a breach of the Professional's obligations under this Confidentiality Agreement may be inadequate and that the City shall, in the event of any such breach, be entitled to seek equitable relief (including without limitation preliminary and permanent injunctive relief and specific performance) in addition to all other remedies provided hereunder or available at law. Such payment shall be the Professional's sole right and remedy for such termination. 5. Desian, Project Indemnity and Insurance Responsibility. The Professional shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all services rendered by the Professional, including but not limited to designs, plans, reports, specifications, and drawings and shall, without additional compensation, promptly remedy and correct any errors, omissions, or other deficiencies. The Professional shall indemnify, save and hold harmless the City, its officers and employees in accordance with Colorado law, from all damages whatsoever claimed by third parties against the City; and for the City's costs and reasonable attorneys fees, arising directly or indirectly out of the Professional's negligent performance of any of the services furnished under this Agreement. The Professional shall maintain commercial general liability insurance in the amount of $500,000 combined single limits and errors and omissions insurance in the amount of $1,000,0000. 6. Compensation. In consideration of the services to be performed pursuant to this Agreement, the City agrees to pay Professional on a time and reimbursable direct cost basis in accordance with Exhibit B, consisting of one (1) page, attached hereto and incorporated herein, with maximum compensation (for both Professional's time and reimbursable direct costs) not to exceed One Hundred Eighty -Nine Thousand Six Hundred Seventy -Four Dollars ($189,674). Monthly partial payments based upon the Professional's billings and itemized statements of reimbursable direct costs are permissible. The amounts of all such partial payments shall be based upon the Professional's City -verified progress in completing the services to be performed pursuant hereto and upon the City's approval of the Professional's reimbursable direct costs. Final payment shall be made following acceptance of the work by the City. Upon final payment, all designs, plans, reports, specifications, drawings and other services rendered by the Professional shall become the sole property of the City. 6. City Representative. The City will designate, prior to commencement of work, its Professional Services Agreement Halligan -Seaman Water Management Project EIS - Halligan Reservoir Enlargement Alternative Development Page 2 of 14 project representative who shall make, within the scope of his or her authority, all necessary and proper decisions with reference to the project. All requests for contract interpretations, change orders, and other clarification or instruction shall be directed to the City Representative. 7. Proiect Drawings. Upon conclusion of the project and before final payment, the Professional shall provide the City with reproducible drawings of the project containing accurate information on the project as constructed. Drawings shall be of archival, prepared on stable Mylar base material using a non -fading process to provide for long storage and high quality reproduction. "CD" disc of the as -built drawings shall also be submitted to the City in an AutoCAD version no older then the established city standard. 8. Monthly Report. Commencing thirty (30) days after the date of execution of this Agreement and every thirty (30) days thereafter, Professional is required to provide the City Representative with a written report of the status of the work with respect to the Scope of Services, Work Schedule, and other material information. Failure to provide any required monthly report may, at the option of the City, suspend the processing of any partial payment request. 9. Independent Contractor. The services to be performed by Professional are those of an independent contractor and not of an employee of the City of Fort Collins. The City shall not be responsible for withholding any portion of Professional's compensation hereunder for the payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose. 10. Personal Services. It is understood that the City enters into this Agreement based on the special abilities of the Professional and that this Agreement shall be considered as an agreement for personal services. Accordingly, the Professional shall neither assign any responsibilities nor delegate any duties arising under this Agreement without the prior written consent of the City. 11. Acceptance Not Waiver. The City's approval of drawings, designs, plans, specifications, reports, and incidental work or materials furnished hereunder shall not in any way Professional Services Agreement Halligan -Seaman Water Management Project EIS - Halligan Reservoir Enlargement Alternative Development Page 3 of 14 relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's approval or acceptance of, or payment for, any of the services shall not be construed to operate as a waiver of any rights or benefits provided to the City under this Agreement. 12. Default. Each and every term and condition hereof shall be deemed to be a material element of this Agreement. In the event either party should fail or refuse to perform according to.the terms of this agreement, such party may be declared in default. 13. Remedies. In the event a party has been declared in default, such defaulting party shall be allowed a period of ten (10) days within which to cure said default. In the event the default remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail himself of any other remedy at law or equity. If the non -defaulting party commences legal or equitable actions against the defaulting party, the defaulting party shall be liable to the non -defaulting party for the non -defaulting party's reasonable attorney fees and costs incurred because of the default. 14. Binding Effect. This writing, together with the exhibits hereto, constitutes the entire agreement between the parties and shall be binding upon said parties, their officers, employees, agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 15. Law/Severability. The laws of the State of Colorado shall govern the construction, interpretation, execution and enforcement of this Agreement. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this Agreement. 17. Prohibition Against Employing Illegal Aliens. Pursuant to Section 8-17.5-101, C.R.S., et. seq., Professional represents and agrees that: a. As of the date of this Agreement: Professional Services Agreement Halligan -Seaman Water Management Project EIS - Halligan Reservoir Enlargement Alternative Development Page 4 of 14 1. Professional does not knowingly employ or contract with an illegal alien who will perform work under this Agreement; and 2. Professional will participate in either the e-Verify program created in Public Law 208, 104th Congress, as amended, and expanded in Public Law 156, 108th Congress, as amended, administered by the United States Department of Homeland Security (the "e-Verify Program") or the Department Program (the "Department Program"), an employment verification program established pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment eligibility of all newly hired employees to perform work under this Agreement. b. Professional shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or knowingly enter into a contract with a subcontractor that knowingly employs or contracts with an illegal alien to perform work under this Agreement. C. Professional is prohibited from using the e-Verify Program or Department Program procedures to undertake pre -employment screening of job applicants while this Agreement is being performed. d. If Professional obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien, Professional shall: 1. Notify such subcontractor and the City within three days that Professional has actual knowledge that the subcontractor is employing or contracting with an illegal alien; and 2. Terminate the subcontract with the subcontractor if within three days of receiving the notice required pursuant to this section the subcontractor does not cease employing or contracting with the illegal alien, except that Professional shall not terminate the contract with the subcontractor if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. e. Professional shall comply with any reasonable request by the Colorado Department of Labor and Employment (the "Department") made in the course of an investigation that the Department undertakes or is undertaking pursuant to the authority established in Subsection 8-17.5-102 (5), C.R.S. f. If Professional violates any provision of this Agreement pertaining to the duties imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this Professional Services Agreement Halligan -Seaman Water Management Project EIS - Halligan Reservoir Enlargement Alternative Development Page 5 of 14 Agreement is so terminated, Professional shall be liable for actual and consequential damages to the City arising out of Professional's violation of Subsection 8-17.5-102, C.R.S. g. The City will notify the Office of the Secretary of State if Professional violates this provision of this Agreement and the City terminates the Agreement for such breach. 18. Red Flags Rules. Professional must implement reasonable policies and procedures to detect, prevent and mitigate the risk of identity theft in compliance with the Identity Theft Red Flags Rules found at 16 Code of Federal Regulations part 681. Further, Professional must take appropriate steps to mitigate identity theft if it occurs with one or more of the City's covered accounts and must as expeditiously as possible notify the City in writing of significant breeches of security or Red Flags to the Utilities or the Privacy Committee. 19. Special Provisions. Special provisions or conditions relating to the services to be performed pursuant to this Agreement are set forth in Exhibit "C" - Confidentiality, consisting of one (1) page, attached hereto and incorporated herein by this reference. (MWH) was retained by the City of Fort Collins (City) to design the proposed enlargement of Halligan Reservoir and provide engineering support to the City during preparation of an Environmental Impact Statement (EIS) for the Halligan -Seaman Water Management Project (HSWMP). The EIS is being prepared by the U.S. Army Corps of Engineers, using an outside Third Party Consultant (3PC) team. MWH's tasks in the role of providing engineering support for the EIS included: • Prepare feasibility designs and cost estimates for raising Halligan Dam • Provide engineering review of alternatives to the proposed action developed by the 3PC • Review technical studies and reports prepared by the 3PC and the HSWMP applicants from an engineering and NEPA compliance perspective • Attend meetings of the HSWMP team and the EIS team and consult with the City on strategy during the EIS process Under its contract MWH prepared Halligan Dam raise cost estimates for different reservoir enlargement sizes; analyzed and provided comments on the 3PC Purpose and Need report; conducted a technical assessment of water quality and treatment issues associated with EIS alternatives that would use water derived from the lower Poudre River system downstream of Fort Collins; commented on the alternative development process and modeling studies performed by the 3PC; and attended HSWMP and EIS team meetings during the course of over 4 years. Due to the numerous schedule changes and delays in the EIS, and the lack of progress on the alternative development and evaluation phase of the EIS, MWH's contract was allowed to lapse by the City. The Corps is now allowing the HSWMP applicants to conduct engineering studies to determine the facility requirements, layouts and costs of EIS alternatives developed by the 3PC. The applicants have accepted this responsibility to help manage schedule and cost of this portion of the EIS process. The 3PC identified live alternatives each for the City and for North Poudre Irrigation Company (NPIC), including the preferred alternative for each entity. Because of its history with the HSWMP EIS, the City and NPIC are contracting with MWH to develop the engineering features and costs of the EIS alternatives. This information will be developed in close cooperation with the HSWMP team, and will be provided to the Corps and 3PC for use in the EIS. The following Scope of Services is based on the list of EIS alternatives developed by the 3PC for the City and NPIC, our understanding of the level of engineering currently available for these alternatives from the 3PC or others, and our expectation of the level of detail needed by the Corps to support the EIS. We have also relied on a preliminary review by the City of the current EIS alternatives and the engineering work that will be required to document them. Due to the nature of the current level of alternative definition, and to the uncertainty of the EIS process in terms of Corps and 3PC requirements, it is possible that the specific tasks and activities to be performed under this contract will change over time. MWH will keep the City and NPIC informed of these changes in scope and any budget impacts so the entities can plan accordingly and can provide MWH with appropriate direction consistent with their overall EIS management strategy. MWH will not proceed with any changes in scope without written authorization on scope and budget modifications from the City. Professional Services Agreement Halligan -Seaman Water Management Project EIS — Halligan Reservoir Enlargement Alternative Development Page 8 of 14 In the following discussion of project tasks, work for the City and NPIC are discussed together. MWH recognizes that the City and NPIC will likely be funding their portions of the work separately, although the MWH contract will be with the City of Fort Collins. MWH will track costs for tasks accruing to each entity and report those costs on reports submitted with monthly invoices. The alternatives identified by the EIS team for Fort Collins and NPIC are listed below. Fort Collins Alternatives I. Halligan Reservoir Enlargement (Preferred Alternative) 2. Overland Gravel Pits Expansion and Conveyance to Pleasant Valley Pipeline 3. Mountain Reservoir Utilization 4. Pro-rata Share of Agricultural Storage and Transfers 5. Glade Reservoir Enlargement NPIC Alternatives I. Halligan Reservoir Enlargement (Preferred Alternative) 2. Enlarge Park Creek Reservoir 3. Enlarge NPIC Reservoir No. 15 with Pumpback 4. NPIC Reservoir Nos. 5 and 6 with Pumpback 5. Glade Reservoir Enlargement . The Halligan Reservoir Enlargement alternatives for each entity have already been described by the applicants and the 3PC; they are not part of this scope of work. The term "EIS Alternatives" is used in the following Scope of Services to refer to the other four alternatives for each applicant. Scope of Services Task 1. AssemblN and Review of Existing Information on EISAlternatives 1.1 MWH shall assemble existing descriptions, background data, engineering analyses, and cost estimates for the EIS Alternatives from the 3PC, the applicants, Northern Water (for Glade Reservoir Enlargement), and other agencies,. This information will be provided to MWH by the City and the EIS team. Background data and analyses will be used wherever possible to reduce redundant work. 1.2 MWH shall determine gaps and inadequacies in existing available data relative to the need to prepare the EIS alternatives development studies, and will propose approaches to either fill those gaps or develop alternate study methods to support the EIS. This review will be provided to the City and NPIC informally on an alternative -by -alternative basis. Task 2. Definition and Pre -Feasibility Assessment of EISAlternatives 1 2.1 MWH shall work with the applicants to prepare complete definitions of each of the EIS Alternatives. Current definitions supplied by the 3PC are not complete in terms of the facilities needed to satisfy the Purpose and Need. In some cases the 3PC alternative descriptions have "either/or" options; MWH will work with the City and NPIC to select the most feasible option for use in the EIS. MWH shall assist applicants in preparing conceptual level definitions of the EIS Alternatives that can be provided to the Corps. The Corps will be asked to accept these definitions before more detailed alternative analyses are performed.
