Dear Helen,
Walsh Environmental Scientists and Engineers, LLC (WALSH) is pleased to present this proposal to conduct
a Phase 1 Environmental Site Assessment (ESA) Update for the above -referenced property. WALSH
understands that the site consists of approximately 215 acres of land, portions of which have been used for
aggregate mining purposes. Furthermore, it is our understanding that the proposed use of the property will be
for community park development and pond development purposes. The proposed project area is based on
information (a figure/drawing) which was submitted to WALSH on February 7, 2013.
A Phase I ESA Update is designed to screen properties for environmental contamination or listing on relevant
federal, state and local environmental databases and to identify recognized environmental conditions (RECs)
affecting the subject property. WALSH will conduct the assessment in accordance with ASTM International
(ASTM) Standard E2247-08 for conducting Phase I ESA Updates. No sampling of suspect air, soils, waters,
wastes, or building materials is included in this bid.
The costs to conduct the Phase I ESA Update will be billed on a fixed price basis of $2,250. The report can
be completed within approximately three weeks from receipt of written notice to proceed (executed City of
Fort Collins — Work Order). This cost and timeframe are based upon timely receipt of information from the
user of the Phase I ESA Update, readily available access to the properties for the visual inspection, and full
cooperation with the current owner(s)/occupant(s). Attached is a written scope of work to be performed and
the projects terms (Attachment A).

SCOPE OF SERVICES
Phase I Environmental Site Assessment Update:
Cottonwood Land and Farms, Ltd Property, Parcel Number 8728040-002 and Portions of Parcel
Numbers 87280-00-006 and -009 (Approximately 215 Acres), Larimer County, Colorado
The purpose of a Phase I ESA Update is to identify recognized enviromnental conditions (RECs) affecting
the subject property. ASTM Standard' E2247-08 defines RECs as "the presence or likely presence of any
hazardous substances or petroleum products on a property under conditions that indicate an existing
release, a past release, or a material threat of a release of any hazardous substances or petroleum products
into structures on the property or into the ground, ground water, or surface water of the property." RECs do
not include de rrrininris conditions. ASTM Standard E2247-08 defines de ntlninlis conditions as "conditions
that generally do not present a material risk of harm to public health or the environment and that generally
would not be the subject of an enforcement action if brought to the attention of appropriate governmental
agencies."
WALSH will conduct the assessment in accordance with ASTM International (ASTM) Standard E2247-
08, Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process
for Foresdand or Rural Property. No sampling of suspect air, soils, waters, wastes, or building materials is
included in this bid.
The subject property (hereafter referred to as the "Site") consists of approximately. 215 acres of land,
portions of which have been used for aggregate mining purposes.
The scope of WALSH's services will include the following tasks:
Task 1. Records Review
The records review will provide information on the physical setting of the Site and activities on the site and
in the surrounding area which may have had an adverse impact on the property. This task includes review
of the records identified below.
Environmental Database and Records Review
An environmental database report for the site will be obtained which includes searching the followring
records and minimum search distances (per ASTM standard requirements):

As necessary, readily availabletelectronic versions of selected files for facilities identified in the
environmental database report will be reviewed to evaluate environmental impacts to the Site. If significant
supplemental file review activities at the physical location of appropriate government agencies are
determined to be wan -anted, this task would be completed on a separate time and materials basis.
Task 2 - Site Laspection/Interviews
A physical inspection of the Site and, to the extent practical, adjacent properties will be conducted to
complement the findings of the records review, to identify past and present land use practices, and to
identify potential environmental liabilities. This task will:
• Identify visual indications of environmental contamination, land use practices, waste
materials, suspect building materials, and other potential liabilities on the Site and adjacent
properties;
• Examine transformers located on sites for conspicuous leaks involving potential poly-
chlorinated biphenyl (PCB) containing fluids;
To the extent possible based on the interview with the current owner or key site manager,
document current and past chemical usage and waste management on the Site;
• Obtain photographic documentation of the current Site conditions and pertinent Site
features; and
• Interview a representative of the owners) and/or occupant(s) and/or ask to complete a
site -specific questionnaire prior to the time of the inspection. Interviews or questionnaires
will also be completed with the user of the Phase I ESA Update, state and local
government officials, and (if necessary) other individuals with knowledge of the Site such
as current employees or past owners, operators, or employees.
Task 3. Report
The report will compile the findings of the investigation along with copies of relevant documents as
exhibits. The report will:
• Present factual information and WALSH's professional opinion regarding the presence or
absence of recognized environmental conditions at the Site;
• Provide documentation of Phase I ESA Update activities;
• Include a statement of assumptions used in conducting the assessment, deviations from the
ASTM standard, and a review of its limitations; and
• Provide a discussion of data gaps in the report and their significance.
WALSH will provide two bound copies and one electronic (Adobe PDF format) version of the report.

TERMS
Phase i Environmental Site Assessment Update:

Numbers 87280-00-006 and -009 (Approximately 215 Acres), Larimer County, Colorado
Costs:
The costs to conduct the Phase I ESA Update will be billed on a fixed price basis of $2,250.
Schedule:
The report can be completed within approximately three weeks from receipt of written notice to proceed
(executed City of Fort Collins - Work Order).
Additional Terms:
By accepting this proposal, the client agrees to the following:
User Responsibilities: ASTM Standard E2247-08 requires that the user of the Phase I ESA Update
perform certain tasks associated with the Phase I ESA Update, and provide the information obtained to
the environmental professional conducting the Phase i ESA Update. The client agrees to provide the
following information to WALSH prior to the Site reconnaissance performed by WALSH:
• Actual knowledge the client has regarding any Environmental Liens or Activity and Use
Limitations in connection with the property;
• Any specialized knowledge or experience of the client that is material to recognized environmental
conditions in connection with the property;
• If the purchase price of the property does not reflect the fair market value the property because of
known or suspected contamination on the property; and
• Any commonly known or reasonably ascertainable information about the property that the client is
aware of within the local community that is material to recognized environmental conditions in
connection with the property.
The client must also undertake a review of title and judicial records for Environmental Liens or Activity
and Use Limitations in connection with the property of the Phase I ESA Update. Any Environmental
Liens or Activity and Use Limitations identified by the client will be reported to WALSH.
Failure to complete these activities and provide the information obtained to WALSH may result in a
determination that the all appropriate inquiry is not complete.
This scope of work specifically excludes the sampling and testing of any materials (i.e., sampling of
suspect air, soils, waters, wastes, or building materials), destructive investigation into any hidden building
materials, and the preparation of any reports, letters, or documentation outside of the Phase I ESA
report—In-addition,-the•scope•of•work•specifically-enludes-evaluation on non -scope issues as a coed
in ASTM E2247-08 including asbestos -containing building materials; radon; lead -based paint; lead in
drinking water; wetlands; regulatory compliance; asbestos in soil; cultural and historic resources;
industrial hygiene; health and safety; ecological resources; endangered species; indoor air quality;
biological agents; mold; and vapor intrusion.
