Scope of Services: Please see attached Exhibit A Professional agrees to perform the services identified above and on the attached forms in accordance with the terms and conditions contained herein and in the Professional Services Agreement between the parties. In the event of a conflict between or ambiguity in the terms of the Professional Services Agreement and this work order (including the attached forms) the Professional Services Agreement shall control. The attached form consisting of Exhibit A consisting of one (1) page is hereby accepted and incorporated herein, by this reference, and Notice to Proceed is hereby given. O'Neill II, CPPO, FNIGP Dir c r of Purchasing and Risk Management (ov $60,000.00) i MEMORANDUM Exhibit A Scope of Services Project Scope of Work BBA water consultants BISHOP-BROGDEN ASSOCIATES, INC.. The Scope of Work is for continued water rights engineering analysis to support the change of use of Fort Collins' 26.667 WSSC shares. Engineering services will be charged on a time and materials basis. The project is now in a phase that requires the completion of additional engineering work necessary to satisfy objectors and to obtain the final decree. There may be additional work required in the event the case does not settle and a trial is necessary. In that case, expert reports and /or testimony must be produced. Work activities in all phases will be coordinated with the project manager and charged on an hourly rate basis. Monthly invoices documenting the services provided will be submitted. Negotiations with Objectors (Stipulated Decree) Following completion of the preliminary engineering report and proposed decree, it is common to have meetings with various objectors to discuss issues and potential settlement terms and review draft stipulations and changes to the proposed decree. It is very difficult to estimate the nature of the work and the potential costs associated with these activities until the extent of the objector concerns becomes more apparent. The goal of these activities is to support the City's water rights legal counsel in his work to successfully obtain a decree. This will require communicating with the water rights legal counsel and meeting or communicating with the objectors in the case to discuss technical issues of concern. Trial Preparation and Participation If settlement with any objector becomes difficult, a trial may be required to resolve remaining issues. Additional engineering will be required to review objector Expert Reports and to prepare rebuttal analysis and reports. Ultimately the consulting engineers maybe required to provide expert witness testimony in water court. The goal of these activities is to support the City's water rights legal counsel in his work to successfully obtain a decree in the event that a trial is required.
