Weekend training dates subject to $500 per day fee— Training scheduled with 3 weeks or less notice subject to $500 fee Payment Terms: 50% due on execution of contract / Balance due upon completion of training. Customer Acknowledgement: In consideration for the training program described above, I, the undersigned authorized representative of the above Customer, hereby voluntarily agree to release, discharge, and hold harmless ATS-Specialized, LLC (hereinafter called "Company"), Its owners, officers, affiliates and employees for any and all claims of liability arising out of their negligence, fault, recklessness, or any other act or omission which causes any Illness, injury, disease, death, and damages of any nature in any way connected with this training. I further agree to hold harmless, defend, and indemnify, the Company from all defense costs, including attorneys fees Incurred in connection with claims for bodily injury, wrongful death, or property damage, whether negligent or not, which may in any way be related to Customer's participation or Customer employee's participation in the Company's training programs. Further, the Company does not guarantee students of its training programs will meet any specific skill, safety or competence level as, a result of its training programs and the Company hereby explicitly advises the Customer that it Is their responsibility to continually evaluate and monitor. the skill, safety and competence level of these trainees upon completion of this training. Customer agrees to maintain General Liability and Worker's Compensation insurance coverage during the tens of the training programs delivered under this contract, Customer agrees to hold all Company's. Proprietary Information disclosed during this training in the strictest of confidence. Customer agrees It shall only be granted the use of Company's. Proprietary Information only within the scope and purpose for which it was provided during this training and for the future use by the Customer for the Customer's employees. Customer agrees it shall not exploit, sell or use for financial gain the Proprietary Information disclosed by the Company by offering similar training programs to the public or to other organizations without the express written permission of the Company. ATS has the right to cancel an event at our locations when the minimum required to commence is not met. In the case of cancellation, customer will receive a full refund. If customer cancels at anytime, customer is subject to a $250 charge per trainee or 10% of the contract whichever is greater. If the training/testing at a customer site must be postponed or cancelled due to severe weather including but not limited to heavy rain, snow, wind or temperature ATS will be compensated for additional costs incurred by the rescheduling. If the training/testing at a customer site must be postponed or cancelled due to equipment malfunction or mechanical breakdown , ATS will be compensated for additional costs incurred by the rescheduling. If a candidate does not successfully complete the certification program, the costs for retesting will be the responsibility of the customer. Customer understands that ATS Specialized cannot guarantee customer's compliance with any governmental regulations. The below signed representatives hereby accept the above terms and conditions.
