The purpose of this correspondence is to respond to your August 13, 2012RFP referenced
above. Over the past 20 years, I have had the opportunity to work with the Real Estate
Services Department of Fort Collins. I enjoy the professionalism and "team player" attitudes
of Helen Matson (and her predecessor) and the staff.
One of the more complex projects resulted in my only court case representing the city
(Brophy — Shields/Harmony). This litigation included not only Helen but the city attorney,
engineering and planning departments. In this litigation, the city hired outside counsel (Doug
Widland) partially based on my referral of Mr. Widlund. The case resulted in a successful
resolution for the city. Needless to say, Helen Matson and other city employees are my best
"references".
Over the past 20 years, I have "teamed" with various professionals of all disciplines
(appraisers, engineers, negotiators, attorneys, etc.). In order to offer Fort Collins service
along with appraisal reports, I will "team" on many projects with Harold McCloud, MAI.
We offer two designated appraisers that are well versed in condemnation (eminent domain),
litigation and many other issues. We work closely so that our clients have uninterrupted
service 24-7.
I have received and reviewed Addendum No. 1 of this proposal.

SCOPE OF WORK
A. General Information
Appraisers Phillips & McCloud are experienced with total takes, partial
acquisitions, conservation easements, review appraisals prepared by other
consultants, and litigation services. Appraiser Phillips has extensive
experience with conservation easements (need to take 2-hour DORA class for
current certification). Appraisers utilize the services of Kevin McCarty for
water valuations and Robert Frahme, MAI, for mineral valuations. If
billboard valuations are required, an expert in that field would be consulted
(Gregg Near, MAI, SRA).
B. Appraiser Requirements
1. Appraisers Phillips & McCloud have over 45 years of combined
experience in appraising in conformance with the Uniform Act and/or
appraising property interests under the requirements of the Colorado
Department of Transportation (CDOT).
2. Appraisers Phillips & McCloud are both approved by CDOT and are listed
as Qualified Appraisers or Review Appraisers. The appraisers have
appraised properties in Region 1 (Aurora), Region 3 (Grand Junction),
Region 4 (Greeley), and Region 6 (Denver). In 2012 Appraiser Phillips
assisted CDOT (Jay Kramer) in offering a free 2 hour seminar to
appraisers throughout the state regarding eminent domain and contracting
with CDOT (including minority hiring). Appraisers Phillips & McCloud
have completed eminent domain appraisals and provided expert witness
testimony for CDOT and property owners. Appraiser Phillips has also
served pro bono as an advisor to Region 6 in hiring staff appraisers.
Appraiser McCloud is a certified national instructor for the Appraisal
Institute (10 courses required for the MAI designation and various one -day
seminars). In addition, he has extensive experience with the National
Parks Service (70 properties) and bid estimating experience (licensed
contractor).
Both appraisers hold the MAI designation with the Appraisal Institute and
have a Certified General Appraiser license in CO. Appraiser Phillips also
holds the SRA designation with the Appraisal Institute.
3. Both appraisers have completed appraisals and provided expert witness
testimony involving road projects based on local, state and federal
practices and policies. As approved appraisers for CDOT with significant
eminent domain experience, both appraisers have experience with
CDOT/FHWA projects.

4. Both appraisers have experience with appraising property interests with
the Federal Transit Authority projects.
5. As cited previously, Appraiser Phillips has significant experience with
conservation easement appraisals from 1985 to 2008. Her appraisal
reports have been accepted by agencies at all levels of government, most
notably, the Internal Revenue Service (IRS). As Appraiser Phillips' client
base was not interested in CO state tax credits, she has not taken the
DORA 2-hour seminar required at this time. However, this issue will be
corrected as soon as possible. A complex conservation easement appraisal
is included with this RFP (completed before DORA requirement). If a
conservation easement appraisal is required before Appraiser Phillips
completes the required seminar, this team is happy to associate with an
approved conservation easement appraiser.
C. Instructions to Consultants
4a. & 4b Attached to this proposal is a complete history of Appraisers
Phillips & McCloud and their respective companies. This proposal is being
submitted in the name of Value Consultants, Inc. (EIN 84-1210125) and
Appraiser Phillips includes Appraiser McCloud to provide a team that can
serve the city's needs both competently and timely. The city is free to contact
the appraisers individually, if so desired.

Appraisal and review appraisal services plus litigation support services
(including expert witness testimony) were provided on an "as needed" basis
over the past 20 years. Services ranged from individual owner appraisals to
entire projects (multiple properties).

4f Appraisers Phillips & McCloud avail themselves of research and
administrative assistance as required (Debra McCloud & Lynn White).
4g & 4h Each appraisal assignment is quoted on an individual basis.
The time for completion is based upon the client's needs and varies with each
appraisal assignment. Fees are based upon the complexity of the appraisal
assignment. Typically, the fee for Total Take appraisals ranges from $3,000
to $6,000 with most falling within the $3,000 to $5,000 range while the fee for
Partial Take appraisals ranges from $6,000 to $20,000 with most falling
within the $6,000 to $10,000 range. If more than one property is appraiser in
the same location or project, the fees are adjusted to account for economies.
We do not use a cost breakout when quoting appraisal and appraisal review
fees.
4i Included in this proposal package is a copy of a partial take appraisal
with damages that was used in successful litigation on behalf of the client.
Also included is a conservation easement appraisal report that was reviewed
and accepted by GOCO and IRS before the DORA seminar requirement. The

city has Appraiser Phillips's appraisal report on the Brophy property
(Shields/Harmony) that was used in successful litigation on behalf of Fort
Collins. Please consult with Helen Matson regarding this case.
