("FuelTek") and Benchmark Electrical Solutions, Inc. ("Benchmark") regarding the proposal being filed this week and any subsequent contract by and among us with the City of Fort Collins regarding their 7384 Transfort CNG Site Maintenance Contractor 2012 RFP and Addendum No. 1 (referred to herein as, the "Project"). The terms and conditions of the Project are as follows: 1. Definition of the Ward Group: a. The parties to this Agreement shall act in concert to fulfill the requirements of the Project acknowledging FuelTek as the primary provider of Scheduled Maintenance, WAE as the primary provider of Routine Maintenance and all three parties working as a team to provide Repair Services (and other services requested by the City such as retrofits and modifications to the City CNG fueling facility). WAE will act as the lead for the Ward Group and will be the prime contractor on behalf of the Ward Group with the City. All billing of services for the Project to the City will be administered by WAE. 2. Term, Billing Rates and Payment Terms: a. The Term for this Letter Agreement is today through the period of performance of any contract signed by WAE on behalf of the Ward Group with the City for the Project. In the event that no such contract is signed in 2012 then any party to this Agreement may terminate this Agreement upon 30 days written notice to the other parties. b. The billing rates for FuelTek to WAE for the Project in 2012 will be (and increased each year by up to 5% over the prior year's rate per hour): i. $125 per hour for work performed during normal business hours (as defined in the contract with the City). ii. $90 per hour for drive time. CNG Contractor 2012 RFP & Addendum No.1 iii. 1.5 times the rate in item "i" for work performed outside normal business hours iv. 2.0 times the rate in item "i" for work performed on holidays (as defined in the contract with the City) c. The billing rates for Benchmark to WAE for the Project in 2012 will be (and increased each year by up to 5% over the prior year's rate per hour): i. $105 per hour for work performed during normal business hours (as defined in the contract with the City), including drive time. ii. 1.5 times the rate in item "i" for work performed outside normal business hours iii. 2.0 times the rate in item "i" for work performed on holidays (as defined in the contract with the City) d. Billing payment terms by WAE to FuelTek and Benchmark will be 30 days from WAE's receipt of each invoice. 3. This Agreement may not be amended or modified, except in writing signed by each of the parties hereto and shall be governed by and construed in accordance with the internal laws of the State of Colorado (without reference to its conflict of laws principles). 4. If any provision of this Agreement is held to be invalid or unenforceable for any reason, such invalidity or unenforceability shall not affect the remainder of this Agreement, which shall be in full force and effect in accordance with its terms. 5. This Agreement may be executed in two counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Since company founder and Chairman Lew Ward drilled his first well near Enid, Ward Petroleum has drilled or participated in more than 1000 wells. Ward Petroleum has traditionally grown its reserve base through drilling, however, in recent years; the company growth has accelerated through strategic acquisitions. Ward Petroleum now operates and participates in wells in the Mid -Continent and Rockies. Historically, the company's focus has been concentrated in the Anadarko and Arkoma Basins of Oklahoma. A few years ago, the company opened an office in Fort Collins, Colorado, to develop prospects and business in the Rockies. ("FuelTek") is based in Commerce City, Colorado, was originally a division of Natural Fuels Company and was spun out as a stand-alone company in 2003. Natural Fuels Company built and operated over 40 CNG public and private fueling stations in Colorado, was an unregulated subsidiary of Xcel Energy in the 1990s, was sold to Blue Energy & Technologies in 2000 and became part of Clean Energy Fuels when Blue Energy & Technologies was sold in early 2003. The spun out company was initially named Big Clean Service and was renamed FuelTek when Wes and Holly Biggers purchased the company in 2006. Wes is the President of FuelTek and leads many of the company's large projects and initiatives. These projects and its many satisfied customers at Denver International Airport, across Colorado and outside of the State, have established FuelTek as a leader in the US CNG industry. The company only installs EPA certified conversion systems, which are compliant with federal law. They also perform maintenance on CNG vehicles whether aftermarket conversions or produced directly by the leading auto and engine manufacturers. In the past, they have performed maintenance work for auto dealerships in the Denver area that sell/service alernative fuel vehicles but don't have the expertise on staff to efficiently and economically complete the service required. Attached as Exhibit A to this proposal is a copy of the letter agreement among the three parties indicating their legal commitment to function as a team with WAE as the lead to provide the proposed services described in this Proposal. WAE is an affiliate of Ward Petroleum Corporation, which has offices in Fort Collins, Colorado and Enid, Oklahoma. Ward Petroleum was founded in 1963, provided oil and gas field compression services directly and via its prior affiliate Gale Force Compression, and developed and operates hundreds of oil and gas wells. Ward Petroleum employs approximately 65 people including engineers, technicians, geologists and administrative staff. WAE is developing CNG fueling station operations in Northern Colorado including building, owning and operating fleet and public fueling locations and providing compressed natural gas ("CNG") station operation services (maintenance, repair and operations) to others. CNG Contractor 2012 RFP &Addendum No.1 2 Corporation, has decades of experience operating compressors in the oil and gas field and has six engineers all with their P.E. license and technicians on staff to support the services to be offered by the Ward Group under this Proposal. These personnel will complement the capabilities of FuelTek to provide services described in this Proposal including routine maintenance, preparation of schematics of existing systems and retrofits/modifications and coordinating oil sampling and oil lab analysis. See Exhibit B for additional information. FuelTek has been in business providing CNG station maintenance services, among other services, for more than five years and its operations personnel, led by Kris Kielty, have 22 years of experience with natural gas vehicle and CNG fueling station maintenance, repair and operations. The FuelTek operations center in Commerce City maintains an inventory of high-pressure natural gas tubing, fittings, valves, and related components necessary for immediately assisting with repair of CNG fueling facilities. These inventoried components are rarely stocked by other companies in Colorado and offer a significant resource to the support of the Transfort CNG fueling station. In addition, FuelTek has fully equipped service vehicles (that run on natural gas) with the proper tools available to support the scope of work outlined in this proposal. See Exhibit C for additional information. Benchmark and its key personnel have many years of experience providing electrical services via its certified electricians and other personnel to commercial and industrial facilities including fueling facilities and other operations with compressors, generators, pumps, controls and 3-phase electrical power in Northern Colorado. These personnel are involved in the pre -construction, construction and on -going services to ensure the proper design and support of the electrical systems at the Transfort CNG fueling facility. See Exhibit D for additional information. Combined, the Ward Group member companies bring many years of natural gas, CNG fueling facility, natural gas vehicle, and electrical systems experience via personnel located along the Colorado Front Range from Fort Collins to Denver. He graduated from the University of Texas at Arlington in 1975 with a Bachelors Degree in Physics. Mark was initially employed by Halliburton and worked in Texas and Oklahoma as a field engineer and district engineer until 1981. He joined Ward Petroleum in 1981. He Received his P.E. in 1984. Dave Aguiar of Benchmark has over 20 years in the electrical industry. The majority of his career has been in the industrial sector with customers like Sun Drop Fuels, Front Range Energy, Range Fuels, Ward Group Proposal to 7384 CNG Site Maint. CNG Contractor 2012 RFP & Addendum No. 1 4 Anheuser Busch, Amgen Pharmaceutical, Roche Pharmaceutical. Instrumentation and controls have been a steady part of his career. He also has experience with customers in the commercial markets including CSU, St Anthony North Hospital, St. Anthony Central Hospital, and CDOT. A good portion of the projects he has completed have been on a design build or design assist basis. He has spent much of his career (prior to co-founding Benchmark) as an electrician and project manager for larger firms based in Denver. Currently he is the President of Benchmark. His current Ft Collins Electrical License is # ME-1186. Available Equipment and Tools and Communications Systems Each of the members of the Ward Group has equipment on -hand to meet the requirements of the Scope of Work in the RFP. Each of the members maintain a 24/7 communications system in order to be available and respond to repair needs in the time -frame specified in this Proposal. Specific details about equipment and support vehicles are as follows: WAE: The company has purchased a new CNG service truck with fuel download capability and all the necessary tools for maintaining and repairing a CNG fueling station and the truck is expected to be in its fleet in June 2012. FuelTek: The company has 3 service trucks that serve Colorado and are fully equipped with service equipment and high-pressure fittings and applicable tools. All of these vehicles operate on compressed natural gas. In addition, fittings and components relevant for CNG fueling station maintenance and repair are stocked at the FuelTek Commerce City, Colorado, operations facility. Also, significant metal -working, welding, and other equipment is located at this facility. Benchmark: The company has all the necessary tools and equipment to take on any industrial or commercial electrical project. The company is set up for stationary work or portable work in different geographical areas. They currently have four service trucks serving the Fort Collins area. The company operates a fully equipped service facility where components can be serviced/repaired and the facility is fully stocked with relevant electrical components. Pricing Scheduled & Routine Maintenance. The Ward Group will provide Scheduled Maintenance as described in the RFP Scope of Work and during normal business hours (as defined in this Proposal). In addition, the Ward Group will provide routine maintenance visits to the Transfort CNG fueling facility on an at least weekly basis during normal business hours (as defined in this Proposal) and such visits are included in the annual prices below. For each scheduled and routine maintenance visit to the facility, the form attached to this Proposal as Exhibit E will be filled out and one copy will be left at the site in a weather-proof container. Note 2: The prices presented are for scheduled & routine maintenance for up to 20 CNG buses in revenue service and the Ward Group reserves the right to increase the price by up to 25% once 28 or more CNG buses are in revenue service at Transfort, which utilize the CNG fueling station. Parts Inventory The Ward Group will provide recommendations regarding list of service parts and repair parts (and list of suppliers) that should be on -hand at the Transfort Shop. The Ward Group will provide regular communications about when parts are used. In addition, the Ward Group will maintain its own inventory of various high-pressure gas tubing, fittings, valves and other components it deems important to support the Transfort CNG station (see Experience as well as Available Equipment and Tools and Communications Systems sections above). Response Time: Trouble call: A technician will respond by phone within 30 minutes of the initial call. Non -emergency unscheduled maintenance or repairs: a technician will be on -site within one business day. Emergency calls: A technician will be onsite within two hours. Repair Work: Normal Business Hours: 7:30am-5pm Mountain Time, Monday -Friday except holidays (see Exhibit F to this Proposal for a list of holidays). Overtime rate applies for time worked outside of normal hours except on holidays when the Holiday Rate applies. All rates below are for calendar 2012 and may increase by up to 5% per year beginning in 2013. Service Technician, Normal Rate: $135 per hour (billed in 15 minute increments) Service Technician, Overtime Rate: $205 per hour (billed in 15 minute increments) Service Technician, Holiday Rate: $275 per hour (billed in 15 minute increments) Services Considered Necessary (but not specifically requested in the Scope) The Ward Group recommends that the City enable and/or purchase an automated call out system that would contact the Ward Group in the event of a failure to start for any compressor, loss of electrical power, key component failure, and for other reasons that would require a response by the Ward Group and would not otherwise be monitored by City employees, e.g., during fueling hours. The phone line serving the fueling card access system could be accessed by such a call out system. This system would improve the operation of the CNG fueling station. The Ward Group stands ready to assist in the installation/set-up of this system at the rates presented above for Repair Work or as mutually agreed to by the Ward Group and the City under the terms and conditions of this Proposal and associated RFP. In addition, the Ward Group recommends that the City consider purchasing replacement compressor(s) for the fueling facility prior to when the additional 13 CNG buses (in addition to the current 17 CNG buses in operation) are planned for revenue service. The Ward Group stands ready to assist in the design of such improvements to the City CNG station regarding these and other retrofits and modifications at the rates presented above for Repair Work or as mutually agreed to by the Ward Group and the City under the terms and conditions of this Proposal and associated RFP.
