U.S. Security Associates earns SAFETY Act Certification by the United
States Department of Homeland Security
ATLANTA, GA - June 12, 2008 - U.S. Security Associates Inc. (USA), a leading national provider
of uniformed contract security services has earned Certification by the United States Department
of Homeland Security (DHS) under the SAFETY Act. USA is one of only two national security
officer providers to attain this distinction and has the broadest list of services and technical
capabilities certified.
The goal of the SAFETY Act is to encourage the development and deployment of new and
innovative anti -terrorism products and services by providing liability protections. The Department
of Homeland Security is charged with investigating the capabilities of the applicants and certifying
conformance to DHS standards.
U.S. Security Associates, through its proprietary employee selection, background screening,
training and supervisory programs, ensures that all of its security professionals have the requisite
skills to fulfill customer needs for the deterrence of a terrorist act. The following USA services
have been certified: Security Planning Services, Physical Security Services, Training, Protective

There are three levels of protection defined under the SAFETY Act: Developmental Testing and
Evaluation Designation, Designation, and Certification. Certification is the highest level of
protection. U.S. Security Associates is one of only two national uniformed security providers to
achieve the certification level and be placed on the Department of Homeland Security's Approved
Products List for Homeland Security. In order to qualify for the SAFETY Act Certification, U.S.
Security Associates submitted a formal application to the Department of Homeland Security and
underwent an extensive technical evaluation.

TIPS FOR STAYING SAFE IN PARKING LOTS
Parking lots can be creepy places. Although they're a lot scarier
at night, even negotiating a lot in broad daylight can be unsettling.
From being accosted by strangers or the homeless to "losing" your

lot savvy. Here, a few tips to stay safe.
PARKING LOT SMARTS
• Avoid parking near shrubbery or vans with slide -open doors
• In a parking garage, park as close as possible to the elevator
• If you're unfamiliar with the parking lot, check it out first. If you don't
feel safe, go elsewhere or wait until someone else arrives
• Conceal all valuable items such as cell phones, MP3 players, laptops,
portable BPS systems, etc. by locking them in the trunk
• Be cautious of strangers asking questions as you walk to or
from your car
• Familiarize yourself with parking lot exits
• Always lock your doors and roll up your windows, even if you are just
running in to the store for a minute
• Check to make sure that you have your keys and that your vehicle has
signaled that it's locked
• To remember where you parked your car, note landmarks
• As you walk from or to you car, scan the area for suspicious persons
• If possible, wear sneakers or low-heeled shoes to and from the
building so you can run if necessary
Returning to your vehicle
• Walk confidently and with purpose. If you detect a threat, retreat to the
building or store.
• Pay attention to what's going on around you
• Stay off your cell phone while walking to your vehicle so you can pay
attention to the environment
• Have your keys ready before you get into your vehicle. Searching or
tumbling for keys is distracting and makes you vulnerable.
• When you enter your vehicle, lock the doors immediately, then turn the
engine and headlights on
• Limit the amount of time you spend in an idling car
• If you carry a purse, keep it close to your body so it can't be grabbed
• Keep your vehicle in good working condition to prevent car trouble
• Keep your vehicle filled with gas
• Carry a portable air horn. It's far easier to engage than pepper spray
and it doesn't need to point anywhere.
• Don't can large amounts of cash or unnecessary credit cards
• If you're being followed, don't go home, go the police or fire station

WHAT TO DO IN AN
ACTIVE SHOOTER INCIDENT
An Active Shooter is an armed person who is actively engaged
in killing or attempting to kill people in a confined and
populated area. They normally have intended victims and will
search them out, although this is not always the case. While
searching for the intended victim, they will randomly shoot
other "targets of opportunity," and will continue to move
throughout a building or area until they are stopped either by
law enforcement or commit suicide.
Because active shooter situations are often over within 10 to
15 minutes, before law enforcement arrives on the scene, it's
vital to develop a plan of action that defines how to respond to
an active shooter incident. Local law enforcement is an
excellent resource in designing training exercises, too.
Following are some key guidelines. For more information,

How to Survive an Active Shooter Incident
There are six fundamental guidelines to protecting yourself and others
during an active shooting event.
GET OUT — If possible, get out quickly:
• Identify an escape route and plan before evacuating
• Leave regardless of whether others agree to follow
• Help others escape, if possible
CALL OUT — Call 911
• Provide authorities as much information as possible
• If you can't speak, leave the line open so authorities can hear
HIDE OUT
• Get out of the shooter's view
• Don't trap yourself in restricted space
KEEP OUT — Lock the door and barricade it
• Turn out the lights
• Silence your cell phone and/or pager
• Hide behind large items
SPREAD OUT
• If you're with others, don't huddle together
• Spreading out makes it make difficult for the shooter to do a lot of
damage at one time
TAKE OUT —Take action against the shooter ONLY as a last resort
• Your action must be ferocious — intend to incapacitate the shooter
• Throw items and use improvised weapons
• Yell as loudly as possible
• Commit to your actions

helps ensure the security officer is on post at the appointed time, remains on post until relieved

On -Site Security Personnel
As your security provider, U.S. Security Associates is responsible for every aspect of the security
function: hiring, screening, placing and managing personnel, as well as ensuring security coverage
and accountability.
Two different types of personnel are required to
maintain the proper level of security for your property
or facility: security officers and site supervisors.
Security officers provide front-line protection of
employees and property. These men and women go
through comprehensive training, and must pass an
exam prior to assignment. While on post, they must
execute the Post Orders for their tour, which consists
of a prescribed routine of duties and responsibilities
that has been agreed upon between U.S. Security
Associates and the client. Security officers report
to the site supervisor.
Site supervisors are the liaisons between the client,
security officers and USA's senior management.
They report directly to the branch manager in the local office.
How We Recruit Security Officers
Our background screening process is selective and vigilant. We are dedicated to recruiting
and retaining individuals with characteristics of trustworthiness, motivation and reliability.
In addition to using traditional recruiting methods through newspapers, military bases and

Past -Positive is designed to meet all regulatory hiring and licensing requirements while rejecting
unqualified applicants. The system efficiently integrates functions executed at branch offices, such
as interviewing candidates, with centrally implemented processes such as background inquiries,
which are conducted at our National Command Center.
Past -Positive verifies previous educational background, work history, employment references,
criminal records, Social Security number, driver's license validity and ensures that applicable
state licensing procedures arc met. It also verifies that all screening checks have been completed
and confirms that the results exceed a defined standard.
Past -Positive provides U.S. Security Associates with a distinct advantage over other uniformed
security services companies who state that they have written screening policies, but do not
warrant that checks are performed or that hiring standards are maintained without a costly, after -
the -fact, audit sample. Our system absolutely minimizes the level of exposure to liability.
Drug Screening Program
U.S. Security Associates supports a drug -free environment, and we will not tolerate the use and
abuse of alcohol or illegal narcotics. As a condition of their employment, all of our employees
must be screened for drugs. Clients may also request drug screening on an annual or random
basis. Our Drug -Free policy is clearly stated and rigorously enforced. In addition, all employees
who are currently employed with USA, and are assigned to a new or different client facility, must
also pass a drug screening test. Our drug screening program covers pre -employment/
pre -assignment drug testing and drug testing for cause.
The following substances are screened: Cocaine, amphetamines (speed and other illegal
stimulants), phencyclidine (PCP), morphine (codeine, morphine, heroin and other opiate
derivatives) and tetrahydrocannibinol (THC) (marijuana and other halh)cinogenics).
Any employee who causes or contributes to an on-the-job accident, or hear -miss in which injuries
or serious property damage results, or the potential for such existed, will be tested for cause.
Employees of U.S. Security Associates who have tested positive, and/or have been determined by
a medical review officer to be illegal or improper drug users as described by the U.S. Department
of Health and Human Services Guidelines, will not be permitted to work. Current employees
who refuse to submit to testing are indefinitely prohibited from returning to the site. Prospective
employees who test positive for alcohol or drugs are removed from consideration for employment.
All positive on -site drug tests are confirmed by an NIDA (National Institute on Drug Abuse) -

Before being given an assignment, all of our security officers must attend and graduate from the
USA Security Academy. Its programs are devised to provide a fundamental, working knowledge
of the officer's responsibilities, reduce on -site errors and improve productivity. Furthermore,
officers are given ongoing training, which reduces turnover, improves productivity and morale,
and helps minimize liability exposure. All of our training programs meet or exceed state -
inundated training requirements.

Training Courses
In addition to our core group of basic and supervisory training courses (see following), USA will
create and implement a training program specifically for your needs, based on the complexity and
responsibilities of the positions that we will be providing officers for. Officers also go through an
On -the -Job Training Program that includes site orientation, site -specific functions and duties,
emergency procedures, public relations and where appropriate, cross training.
In -Service Training, a continuing education program, is also available. This program allows you
to choose from more than 250 titles on the contract security service industry from USA's video
and DVD library. We can also customize a series to meet your specific training/site needs.
Security Officer Basic Training (SOBT)
All newly employed security officers are required to pass this course. Updated in 2004, SOBT is a
proprietary program that delivers USA's required basic training program via a 12-module series.

manager. Branch managers operate and manage all client sites within their respective territory.
Each branch manager reports to a business unit manager who reports directly to the CEO. This
flat organizational structure provides unimpeded access to the decision makers who manage

The Site Supervisor
The key contact at each site is the site
supervisor. Supervisors are screened
and selected by the local branch man-
ager responsible for your account. U.S.
Security Associates encourages clients to
become involved in the selection process
of this individual. Typically, supervisors
have a minimum of two years' security or
related experience, and have been selected
• for the position because they demon-
strate the necessary managerial and
leadership skills required for the job.
Supervisors must also have good oral

One of the most challenging parts of a supervisory position is maximizing officer productivity
and performance. Our supervisors are trained to develop a teamwork style of management, but -
they are also the senior manager at a site. They are the key client contact, and are charged with
controlling the premises, as well as being fully accountable to their branch manager.
Supervisors establish protocols and job goals for the security officers. They provide guidance an
work closely with their officers in teaching them how to work independently, be accountable and
improve their service delivery skills. They also develop motivational programs, and work with
officers to improve their weaknesses.
Supervisors are compensated appropriately, and we offer incentives to encourage superior per-
10 formance. Their uniform identifies them accordingly with an insignia and nameplate with title.
Local Management
Supervisors report to their local office, which is headed up by a branch manager. The branch
manager provides support to all U.S. Security Associates employees and our respective clients
within a specific geographic area.
The branch manager's responsibilities include:
• Account management —Developing a relationship with the client, defining their needs
and setting up the account to meet those needs.
• Supervision of'operations managers and site supervisors —Establish and oversee
standards of performance and service delivery.
• Communications —Relaying information to the client, communicating client needs
with site supervisors.
• Training —Ensuring an appropriate, comprehensive training program is developed
and implemented for each client facility.
• Personnel management —Establish the profile of the personnel to be assigned
to a client facility, recruit new personnel and screen prospective employees.

U.S. Security Associates offers one of the most comprehensive benefit programs in the industry
— including paid vacations and holidays. Clients are not required to offer benefits through our
program, nor are you required to absorb this benefit on behalf of your security officer. Generous

of higher caliber security officers.
USA offers over 20 plans for full-time employees, a la carte -style, for virtually every need
and budget as a convenience. Upon request, we will provide line -item details and costs of any

Health Insurance Benefits
All employees of U.S. Security Associates are eligible to participate in our elective health
insurance benefits programs. The branch office that services your account has specific information
on all programs, which include:
• Health insurance* —Our health insurance plans are available to all full-time employees
effective the first billing date after completing 90 days' employment.*

Additional Benefits
• Retention Bonus —We recognize security officers with a Retention Bonus after they
have completed their 2,080 hours of regular time.
• Vacation pay All security officers, whether they're employed full- or part-time,
earn 40 hours of paid vacation after 4,160 regular hours of work. After that, security
officers earn 40 hours of paid vacation for every 2,080 regular hours worked until they
reach 10,400 regular hours. They then receive 80 hours of paid vacation, and 80 hours for
2,080 regular hours worked therafter.
• Referral Bonus —Officers are paid $50 for each new employee they refer after that
employee works 160 regular hours. An additional $50 is paid to the referring security
officer if that same employee works an additional 160 regular hours.

Liability Insurance and Policies
U.S. Security Associates, Inc. is protected by comprehensive liability insurance that protects
all of our officers while on duty. The coverage includes:
• Workers' Compensation—Stahlary amounts as required per state Workers'
Compensation laws. Employer's liability coverage is $ I million.
• Commercial General Liability —Limit of $1 million per occurance and $2 million in the
aggregate.* Officers are covered in three areas:
♦ Bodily Injury: Injury to a person other than a U.S. Security Associates employee,
caused by an event for which U.S. Security Associates may be legally liable.
♦ Property Damage: Damage to property of others caused by an event for
which U.S. Security Associates may be legally liable.
♦ Personal Injury: False arrest, detention or imprisonment; malicious prosecution;
or oral or written publication of material that slanders or libels a person or
organization for which U.S. Security Associates may be legally liable.
• Automobile Liability —This insurance provides legal liability protection for claims
involving bodily injury or property damage for all U.S. Security Associates -owned
vehicles used in the business of U.S. Security Associates. Coverage extends to
legal liability resulting from the use of client -owned vehicles operated by U.S. Security
Associates' employees while in the course of business. Collision and comprehensive
physical damage is self -insured. Limit of $1 million per occurrence.
• Employer Fidelity Coverage—U.S. Security Associates is protected against first -party and
third -party loss from dishonest or fraudulent activity by employees while acting within
the scope of their duties. Limit of $l million.

Alcohol, Drug and Substance Policy
1.
Any employee found to be unlawfully in possession of, selling, using or under the influence of drugs or
illegal substances or in possession of, selling, using or under the influence of alcohol on U.S. Security
Associates' (USA) or client property or during work hours will be disciplined, up to and including dis-
charge. Illegal substances will be confiscated and turned over to the appropriate law enforcement agency.
2.
Any employee found to be unlawfully involved with drugs or controlled subst anees on their own time
will be subject to disciplinary action up to and including discharge.
3.
USA will take action against employees arrested for off -the -job drug activity up to and
including discharge.
4.
Any employee undergoing prescribed medical treatment with a drug or controlled substance that may
alter his/her physical or mental abilities must report this fact to USA, or have his/her physician report
this fact to USA immediately. It may be necessary to change an employee's job assignment while the
employee is undergoing such treatment.
5.
Any employee who is deemed by USA management to be unfit for work, who is reasonably suspected
of alcohol or drug use, or who is found by drug screen urinalysis test, blood alcohol test or alcohol
breath test to have alcohol or drugs in his/her system, shall not be permitted to remain on the job
or on USA's or our client's property.
6.
If reliable information comes to USA's attention that an employee may be a drug user or alcohol/
substance abuser, he/she shall be directed to submit immediately to a drug screen urinalysis test, blood
alcohol test or alcohol analysis test. Pending the results of said tests, USA may, in the interim, reassign
the employee to other work or suspend the employee without pay, depending on the circumstances.
Ihlhe results of the test are negative, and thus it is determined that the employee is "clean," he/she shall
be restored to regular job duties and made whole for any loss in pay, unless the behavior itself which
prompted the test warrants discipline.
7.
From time to time, employees may be directed to submit to unannounced random drug screen
urinalysis testing, blood alcohol testing or alcohol breath analysis testing. Employees directed to submit
to this testing who refuse to cooperate will be considered insubordinate, and will be disciplined up to
and including discharge.
8.
If an employee receives a First Offense D.U.I., irrespective of a withheld judgment, and if he/she is
not discharged, the employee shall enroll in an alcohol or drug abuse -counseling program and be
placed by USA on six (6) months' probation. If, during the probation period, the employee receives a
Second Offense D.U.I., he/she may be subject to discharge.
9.
If an employee receives a D.U.J. while operating a company or client vehicle, irrespective of a
withheld judgment, he/she shall immediately be subject to discharge.

Sexual and Other Unlawful Harassment Statement
Company policy prohibits harassment of one employee by another employee or supervisor on the
basis of an individual's sex, race, ethnicity, age, religion, disability or any other legally protected
characteristic. The purpose of this policy is not to regulate our employees' personal morality. It is
to assure that in the workplace each employee is able to accomplish his or her job without being
subjected to harassment.
While it is not easy to define precisely what sexual harassment is, it certainly includes unwelcome
sexual advances, requests for sexual favors and other verbal or physical conduct of a sexual nature
such as uninvited touching or sexually related comments. Other unlawful harassment can also
take many forms such as actions, threats, words, jokes or denigrating comments based on the
individual's race, ethnicity, age, religion, disability or any other legally protected characteristic.
Violations of this policy will be considered a form of employment misconduct. Discipline,
up to and including discharge, will be enforced against individuals engaging in sexual and other
unlawful harassment, and against supervisory and managerial personnel who knowingly allow

Environmental Health and Safety Policy
It is the policy of U.S. Security Associates to have procedures that support our services safely
and without creating unacceptable risks to human health, safety or the environment.
Using that criteria, USA will work with our clients to furnish our employees places to work that
are free from recognized hazards, which are likely to cause death, injury or illness. USA will
establish and maintain programs to assure that laws and regulations applicable to environmental
risks are known and obeyed.
To execute this policy, USA will:
I. Identify and control public health, safety and environmental hazards stemming from
its operations.
2. Hold each supervisor accountable for ensuring that employees, equipment and
facilities within their area of responsibility are managed in a safe and healthy manner.

One of the reasons companies are reluctant to switch long-time contractors or vendors is due to
the difficulty in making the actual transition. To ensure the transition process to your new security
service program goes as smoothly and efficiently as possible, U.S. Security Associates operates
by a comprehensive transition plan. Although we are continually updating and revising our
transition plan to accommodate evolving and changing business practices, fundamentally, the plan
features key components that never change: A transition team, strategic integration processes with
a timetable, and systematic procedures for selecting and screening personnel.
Our Guarantee
Your satisfaction is guaranteed. If you're not satisfied that our security service is superior
to your previous provider and wish to terminate our services within 60 days of service
commencement, we will return your money, less the amount we paid to the officers.
The Transition Team
Upon contract award, a transition team is mobilized to begin the process of integrating USA's
security service into your operation. We assess all components of your facility, preferred
procedures and desired outcomes. We then take that data and build a profile of the type(s)
of officers that will be needed to protect your property.
The transition team is comprised of local and regional employees. USA is responsible for their
expenses throughout this process. When necessary, we also assign several members of our
corporate management and administrative staff to support the transition from every aspect.
Officer Selection
In situations where we are replacing another contractor, we will consider retaining incumbent
personnel prior to going through the recruitment process with client approval. All officers,
regardless of their prior experience, must pass our Past -Positive background screening system,
attend and graduate from the USA Security Academy, and pass our drug screening test. Clients
also have the option of giving credit for vacation accrual and shift assignments to employees
retained from the previous contractor.

Although it can vary, a transition typically takes place over 30 days. All transitions operate on
a timetable that has been mutually agreed upon between USA and the client. The timetable is
actually a plan that moves the transition process through a systematic procedure from inception

This proposal is constructed to provide the most cost-efficient means of delivering uniformed
security service protection. Unless requested otherwise, you will be billed at a straight -time rate
(STBR) except for specific holidays (see following) and emergency service or coverage.
Holiday Coverage
All USA employees working during that specific 24-hour time will be compensated at 1.5 times
their regular hourly wage on these holidays*:

We bill at premium rates (PTBR = 1.5x/regular hourly rate) for client -requested overtime with
less than 24 hours' notice. For example, if one of your facilities incurred storm damage and you
needed security officers to work overtime to protect the premises, we would bill at 1.5 times
their regular hourly rate. further, should we have to supply additional officers at less than 24
hours' notice, billing will also be at the premium rate.
We can also provide additional officers at the normal rate if given enough notice to prepare
schedules that don't require overtime.
* Clients may include more holidays in their contract.
Billing
Billing is scheduled on a weekly basis. Invoices include line -item entries for all costs, including
our rates, employee wages, overtime and all other expenses incurred. Payments are due within
10 days of the billing date. Your branch manager of your local office can provide details on
specific billing options.

TIPS FOR STAYING SAFE IN PARKING LOTS
Parking lots can be creepy places. Although they're a lot scarier
at night, even negotiating a lot in broad daylight can be unsettling.
From being accosted by strangers or the homeless to "losing" your

• As you walk from or to you car, scan the area for suspicious persons

• Walk confidently and with purpose. If you detect a threat, retreat to the
building or store.
• Pay attention to what's going on around you
• Stay off your cell phone while walking to your vehicle so you can pay
attention to the environment
• Have your keys ready before you get into your vehicle. Searching or
fumbling for keys is distracting and makes you vulnerable.
• When you enter your vehicle, lock the doors immediately, then turn the
engine and headlights on
• Limit the amount of time you spend in an idling car
• If you carry a purse, keep it close to your body so it can't be grabbed
• Keep your vehicle in good working condition to prevent car trouble
• Keep your vehicle filled with gas
• Carry a portable air horn. It's far easier to engage than pepper spray
and it doesn't need to point anywhere.
• Don't carry large amounts of cash or unnecessary credit cards

TIPS FOR DETECTING AND PREVENTING
WORKPLACE VIOLENCE
The Department of Justice estimates that workplace assaults
claim more than 1 million victims each year. Other studies
indicate the figure may be closer to 2 million people.
The annual cost of workplace violence to U.S. business is
between $20 and $35 billion, which does not account for the
long-term effects of these traumatic experiences. These figures
could increase over the next 12 to 18 months due to the
slumping economy.
Workplace Violence Awareness Tips
• Be familiar with common traits of potentially violent individuals:
They feel singled out for unfair treatment; they need to be in
control; they believe that they're always right; they have
significant self-destructive or suicidal inclinations.
• High -risk individuals may act withdrawn or exhibit jealousy,
resentment of authority, paranoia or have an abnormally high
preoccupation with personal privacy.
• Be aware of suspicious interests or habits, such as extremists views
• Pay attention to signs of psychological instability, such as dramatic
changes in personality
• Regularly train your managers to recognize the warning signs of
violence and to defuse potentially violent situations
• Have specific procedures for responses to workplace violence
• Conduct routine analysis, evaluation and maintenance of safety
features in and around the workplace
Proper training, tighter security measures and more frequent
background screening can help reduce the risk of workplace
violence. Though deceivingly random, most episodes are
preceded by numerous warning signs. In many instances,
being able to recognize warning signs in time can prevent a
potentially explosive situation from occurring.

• Obey the demands within reason
• Stall for time until help arrives by complying with all reasonable
requests the aggressor makes
• Don't threaten or ignore the aggressor at any time
• Remain calm and compliant but alert others as soon as possible

• Look for any opportunity to get away
• If you are able to escape, get help immediately and do not return
• Keep the aggressor as calm as possible by maintaining eye contact,
speaking slowly and clearly, and refraining from making any sudden
or startling movements

side of safety by reporting all threats and possible indications of
violence to the appropriate authorities, at the least to your
supervisors and colleagues.

WHAT TO DO IN AN
ACTIVE SHOOTER INCIDENT
An Active Shooter is an armed person who is actively engaged
in killing or attempting to kill people in a confined and
populated area. They normally have intended victims and will
search them out, although this is not always the case. While
searching for the intended victim, they will randomly shoot
other "targets of opportunity," and will continue to move
throughout a building or area until they are stopped either by
law enforcement or commit suicide.
Because active shooter situations are often over within 10 to
15 minutes, before law enforcement arrives on the scene, it's
vital to develop a plan of action that defines how to respond to
an active shooter incident. Local law enforcement is an
excellent resource in designing training exercises, too.
Following are some key guidelines. For more information,

How to Survive an Active Shooter Incident
There are six fundamental guidelines to protecting yourself and others
during an active shooting event.
GET OUT — If possible, get out quickly:
• Identify an escape route and plan before evacuating

CALL OUT — Call 911
• Provide authorities as much information as possible
• If you can't speak, leave the line open so authorities can hear
HIDE OUT
• Get out of the shooter's view

• Silence your cell phone and/or pager
• Hide behind large items
SPREAD OUT
• If you're with others, don't huddle together

damage at one time
TAKE OUT — Take action against the shooter ONLY as a last resort
• Your action must be ferocious — intend to incapacitate the shooter
• Throw items and use improvised weapons
• Yell as loudly as possible
• Commit to your actions
