Dionex offers comprehensive Service Agreement Plans to cover the major needs of your laboratory. Each level of
support is design to help you achieve your goals and objectives through optimal operation of your Dionex
instrumentation. All services are performed by Dionex trained and certified Field Service Representatives.
Premier Care:
❑ This full service program provides a wide array of benefits beyond basic system hardware coverage. Lamps,
columns or other consumables are not induded in this program.
Premier Care Plus .1:
❑ In addition to the feature set of the Premier Care Program. The Premier Care Plus 1 Program is designed for
those laboratories that require annual instrument qualification services. At the time of the included Preventative
Maintenance, a Dionex certified Field Service Representative Wit perform the Performance Qualification. All
required materials to complete the qualification are included. Lamps, columns or other consumables are not
included in this program.
Premier Care Plus 2:
❑ In addition to the feature set of the Premier Care Program. The Premier Care Plus 2 Program is designed for
those laboratories that require semi-annual instrument qualification services. Two (2) Preventative Maintenance
(PM) service calls and two (2) Instrument Qualifications (PQ) are included. A Dionex certified Field Service
Representative will perform the PM in conjunction with the PQ service calls. All required materials to complete
the PM's and PQ's are included. Lamps, columns or other consumables are not included in this program.

Dionex would like to thank you for purchasing a Premier Care Service Agreement. Your service agreement provides access to a variety of
resources on a priority basis. This level of agreement is designed to help you achieve your goals and objectives through optimal operation of
your Dionex instrumentation. All services are performed by Dionex trained and certified Field Service Representatives.
This document is to review and confirm the Schedule of Services and the Terns of Agreement. Please return signed document via email to

Premier Care Program Schedule of Services
This full service program provides a wide array of benefits beyond basic system hardware coverage. This level of
agreement includes:
Priority Access to Telephone Support via our Customer Care Group
Dionex Customer Care and Technical Assistance are included for covered services. We provide support
for your hardware, software and applications.
Hours of operations are 7:00am to 7:00pm Central Standard Time.
Priority Access to Emergency Onsite Services
Unlimited emergency services are included at no additional charge. Emergency service may include
onsite service and emergency part replacement.
Routine Maintenance and Repair Services
An equipment maintenance program is provided and will be established during this agreement. All
onsite service calls for covered services are included.
Qualification Services
Premier Care Plus 1 includes an instrument Performance Qualification at the time of the preventative
maintenance service.
Premier Care Plus 2 includes two (2) instrument Performance Qualifications. Each is performed at the
time of semi-annual preventative maintenance services.
Repair during Qualification Services
Any required services of the system during an Instrument Operational or Performance Qualification are
covered.
Preventative Maintenance (PM) service (includes rebuild kits) -
An equipment maintenance program is provided for, and will be established during this agreement. All
onsite service calls for covered services are included.
Materials (except consumables and spares)
All covered parts are provided at no additional charge. Lamps, columns or other consumables are not
included in this program.
Discounted Operational and Maintenance Training
The Premier Care Program provides post installation training at a 50% discount for the designated
operator(s) to continue efficient instrument operation and minimal down time. A 25% discount for Onsite
Training applies to course of 2 days or longer.
Premier Care Terms of Agreement
Equipment Availability
Customer agrees to make the instrument(s) covered under [his agreement available for servicing at the time of each
scheduled or emergency service call. Dionex will contact customer and arrange in advance a mutually agreeable time for
scheduled service calls.
Excluded Services
D[onex shall not be obligated to provide services under this agreement for (a) damage to or destruction of instrument(s)
covered where such damage or destruction is (i) a result of or caused by fire or explosion of any origin, riot, civil
commotion, aircraft, war, or any Act of God including but not limited to lightning, windstorm, hail, flood, earthquake, or (ii)
caused by Customers misuse or abuse of such instrument(s); (b) moving or reinstallation o1 such instrument(s); (c)
decontamination due to spillage; (d) interpretation of data; (e) installation of unauthorized Dionex field modifications.
Charges for Excluded Services
Dionex shall charge for and customer agrees to pay (at the then current and applicable rates) for all non -covered services
furnished hereunder provided that customer is made aware of such services before they are performed.
Warranty and Waiver
Dionex warrants that the services to be performed hereunder will be done in a workmanship like manner. Defects in
materials and services provided by Dionex and covered under this agreement shall be repaired or replaced at the sole
discretion of Dionex, at no charge to the customer.
Worker's Compensation
Dionex agrees to maintain workers Compensation insurance as may be required by law covering its employees who
perform the services.
Excusable Delays
If the performance of this agreement or any obligation in it, except the making of payments, is prevented, restr aced, or
interfered with by reason of fire or other casualty or accident; strikes or tabor disputes; inability to procure parts, supplies,
or power; war or other violence; any law, order, proclamation, regulation, ordinance, demand, or requirement of any
governmental agency; or any other act or condition beyond the reasonable control of the parties, the party so effected,
upon giving prompt notice to [he other party, shall be excluded from such performance to the extent of such prevention,
restriction, or interference, provided, however, that [he party so effected shall take all reasonable steps to avoid or remove
such causes of nonperformance and shall continue performance with dispatch whenever such causes are removed.
Governing Law
This agreement is entered into and shall be governed and construed by the domestic laws of the State of California.
Cancellation
Either party (Customer or Dionex) may cancel this agreement upon written notification. The cancellation will take effect 30
days after receipt of such written notification.
Complete Agreement
Customer agrees that there are no taking, agreements, or representations, expressed or implied, not specified in this
agreement and this document contains the entire agreement between the parties.

Purpose of Form
A person who is required to file an information return with
the IRS, must obtain your correct taxpayer identification
number (TIN) to report, for example, income paid to you, real
estate transactions, mortgage interest you paid, acquisition
or abandonment of secured property, cancellation of debt or
contributions you made to an IRA.
U.S. person. Use Form W-9 only if you are a U.S. person
olncluding a resident alien), to provide your correct TIN to the
person requesting it (the requester) and, when applicable, to:
1. Certify that the TIN you are giving is correct (or you are
waiting for a number to be issued),
2. Certify that you are not subject to backup withholding,
or
3. Claim exemption from backup withholding if you are a
U.S. exempt payee.
Note: If a requester gives you a form other than Form W-9

Foreign person. If you are a foreign person, use the

Nonresident alien who becomes a resident alien.
Generally, only a nonresident alien individual may use the

4. The type and amount of income that qualifies for the
exemption from tax.
5. Sufficient facts to justify the exemption from tax under
the terms of the treaty article.
