The following is our proposal for the above project and may serve as our contract when signed. Scope
includes Mechanical design only, as outlined below:
1. Scope of project:
a. Replace existing cast iron boilers with new high efficiency condensing boilers.
b. We should seriously consider continuing to use one of the cast iron boilers as a lag boiler in
series with the new boiler, as a cost saving measure.
c. Provide Owner with control sequence for new system.
d. Specification to be our short -form specification, or notes on the plans.
e. Facility is to maintain operation during remodel work.
f. Drawings to be on I Ix17 or 2406 sheets, suitable for bidding by contractors.
2. Construction phase work includes addenda and help at bid phase, help with contractor coordination
and questions, review of shop drawings, and 1-2 job site observations including final punch list and
operational check.

a. To optimize the size of the new boilers, we would do a block load detailed heat loss calculation
for the entire building, including outside air code requirements, new windows, etc. Additional
fee: hourly not to exceed $1000.00.
b. Commissioning is not included in the above fee, except as described in para. 2. above.
c. Electrical Engineering is not included.
d. Additional work requested may be done hourly at the following rates:

Fees shall be paid as soon as possible after receipt of statement. After 30 days from statement date,
interest shall accrue and be paid at the rate of I % per month on the unpaid balance, prorated daily. Fee
shall be increased if scope is increased.
Reports, drawings, and specifications prepared by the Engineer are and shall be the property of the
Engineer whether the Project for which they are made is executed or not. The Owner shall be
permitted to make and retain copies, including reproducible copies of reports, drawings, and
specifications for dissemination to contractors. Reports, drawings, and specifications shall not be used
by the Owner on other projects or for completion of this Project by others provided the Engineer is not
in default under this agreement, except by agreement in writing and with appropriate compensation to
the Engineer. The Owner shall not make changes to the Engineer's Reports, drawings, and
specifications without written permission of the Engineer.
Inasmuch as the remodeling and/or rehabilitation of an existing building requires that certain
assumptions may not be verifiable without expending additional sums of money, or destroying
otherwise adequate or serviceable portions of the building, the Owner agrees that, except for
negligence on the part of the Design Professional, the Owner will hold harmless, indemnify and defend
the Design Professional from and against any and all claims arising out of the professional services
under this agreement.
Construction cost estimates or opinions of probable cost if prepared by the Engineer represent the
Engineer's best judgment as a design professional familiar with the construction industry. It is
recognized, however, that the Engineer does not have control over the cost of labor, materials, or
equipment, over the Contractor's methods of determining bid prices, or over competitive bidding,
market, or negotiating conditions. Accordingly, the Engineer cannot and does not warrant or represent
that bids or negotiated prices for this part of the Project will not vary from the Project budget or from
the Engineer's cost estimate or opinion of probable cost, if provided.
Acceptance of this agreement signifies that the Owner and Abrahamson Engineering are aware of the
risks, rewards, and benefits of the project and our total fee for services. The risks have been allocated
such that the Owner agrees that to the fullest extent permitted by law, our total liability to the Owner
for any and all injuries, claims, losses, expenses, damages, or claims arising out of this agreement from
any cause or causes shall not exceed the total amount of $50,000.00. Such causes include but are not
limited to our negligence, errors, omissions, strict liability, breach of contract or breach of warranty.
Please sign and return one copy of this agreement to me if acceptable, and please call if you have any
questions. A verbal or written notice to proceed without returning a signed copy of this agreement
implies agreement with all above stipulations.
