BLX Group LLC (the "Financial Advisor") hereby submits this Agreement to serve as financial
advisor to the City of Fort Collins (the "City") with respect to the Services defined below.
Acceptance of this agreement by both parties will define and formalize the tasks and scope of
work that will be accomplished by the Financial Advisor.
THE PROJECT
The City has requested the Financial Advisor to evaluate the potential benefits of refunding of
the City's Series 2002 Storm Drainage Revenue Bonds which are currently outstanding in the
amount of $8,630,000.
SERVICES
The Financial Advisor's Services will include, but are not limited to, the following:
1. Provide a savings projection for the Project based on indications of interest received by
the City from prospective direct purchasers;
2. Provide an estimate of the City's cost to execute the Project;
3. Review with City personnel and the City's bond counsel the legal steps necessary to
complete the Project;
4. Review any documents produced by the City's bond counsel for which the City's
approval would required for the completion of the Project;
5. Advise the City on the uses of, and coordinate the City's application for, ratings and/or
insurance for the Project, if any,
6. Advise the City on the costs and benefits of funding a debt service reserve fund in
conjunction with the Project;
7. Advise the City on market conditions which might be expected to influence interest rates
and/or the ability to complete the project;
8. Advise the City on the use of State and Local Government Series securities (SLGS)
offered by the United State Treasury in the structuring of a refunding escrow if necessary
to complete the Project;
9. Participate in closing procedures for the Project;
10. Assist the City in arranging for other services to be delivered by qualified providers as
needed for completion of the Project, including financial printers, paying agents and
registrars, escrow banks, and certified public accountants, and,

11. At the direction of the City, undertake any other reasonably required actions to plan for
and secure the completion of the Project.
COMPENSATION
Upon acceptance of this Agreement by the City, the Financial Advisor will be paid a fee in the
amount of $ 15,500. Payment of this fee is not contingent upon any subsequent event, and is
payable whether or not the Project is completed. Payment instructions will be provided upon
the acceptance of this Agreement by the City.
ENTIRE AGREEMENT
This Agreement is intended to be the only agreement between the City and the Financial
Advisor with respect to the Project, and is to not subject to any other agreement which may be
in effect between the City and the Financial Advisor.
TERM
This Agreement shall be for a period concluding on December 31, 2011. This Agreement is subject to
revision or amendment at any time by a writing signed by both parties hereto.
