Each project and project team has different requirements and should be approached uniquely. The essential component to partnering is to maximize efficiency and minimize conflict by professionally addressing J, J any concerns as they arise in a timely manner. Hydro Construction is confident that any challenges can all be overcome with careful planning and team communication. The Hydro Construction team has developed an understanding of the proposed Mulberry Redundancy project based on information provided in the RFP, review of the 2009 Wastewater Treatment Master Plan Update, site visits and interviews with associated plant personnel. The referenced project will involve retrofitting DWRF's north process trains to increase the capacity for the Mulberry Water Reclamation Facility redundancy. It will also provide a 3-stage Biological Nutrient Removal (BNR), more efficient blowers and upgrades to the aeration control. The majority of the work will include concrete, piping, miscellaneous metals, equipment purchase and installation, electrical & control upgrades, etc. Construction Sequences and Schedules A critical component to the above referenced project is the overall schedule. The project is to be executed during low flows, which is from November through March. This is approximately a five month construction window, two and a half months per train. During this time one train 3 must remain operational and limit the impact to plant process as much v as possible. Project team communication and planning will be crucial for the successful completion of the project in the allotted time. Hydro 3 Construction will prepare a detailed critical path schedule, utilizing our = 0 scheduling resources. The schedule will be organized under a work breakdown structure that will identify all work areas and supporting ° discrete tasks that encompass the entire scope of work. Updates will T be made on a bi-weekly basis and provided to the team during progress meetings. The project superintendent will also develop a three-week look ahead schedule, highlighting the previous week and identifying the upcoming three weeks regarding construction tasks, subcontractors, N deliveries and other important information. > project approach - mulberry redundancy project Means and Methods Our means and methods always start with safety, careful planning, coordination and communication. There are various methods for constructing new buildings, installing process systems in difficult areas, or working in confined spaces, but it all depends on the four fundamentals - safety, planning, coordination and communication. The quality assurance efforts we implement would ensure that the construction components of the project, such as concrete and piping, have the integrity necessary. The project will be constructed during the winter months; therefore cold weather concrete practices will be followed. Concrete forms and reinforcement temperatures will be maintained and monitored prior to placement. Other concrete quality control measures will be taken as well through the curing process. Equipment, such as the crane, will be staged to minimize impact to plant traffic and provide efficiency during modification of the intermediate clarifier. Coordination with plant staff to bring down one train for construction will be performed to limit the impact to plant process. Extensive planning and communication with the City, engineer, and CDM Electric is required for the successful start-up of each train once completed. These are just a few items Hydro Construction has identified for this project as well as others. Value Engineering Value engineering begins, with creativity, constructability and a common v sense approach. It also means bringing ideas to the table that balance both cost, quality, efficiency, and future maintenance costs. It is important 3 that the owner, engineer along with operators' and other City staff, are satisfied with any value engineering decisions. It starts in the design 3 phase and continues into the field during construction. Sometimes the C 0 location of a pump, valve or even and entire run of process pipe may U need to be modified in order to accommodate ease of operations. As an example, we would purpose to use the existing P&ID drawings and mark as o necessary for the demolition phase of the projects, similar to procedures used for the recently replace boiler. Additionally, Mr. Eurich has proposed _ an alternate layout to the modifications of the intermediate clarifier. This proposed alternate layout will reduce the amount of concrete needed as N well as re -use the existing walkway to allow access to the new floating o mixers. Other ideas involve the RAS/Influent mixing, pipe routing and a o scum removal to name a few. However, as part of the APDS process these ideas will be shared with the entire project team for further evaluation o prior implementing. Value engineering not only identifies cost savings LL potential, but also provides an opportunity to create more value through a more efficient system. F&A Collins > project approach - mulberry redundancy project Input on cost, ease, installation, delivery schedule It is our belief that input on issues such as cost, ease of installation, delivery schedule, quality, potential contracting or construction issues, should come from the entire team. Our key personnel welcome and value the owner and engineer's input in problem solving because it's not one person's responsibility, it's everyone's. Starting from the final design P&ID, the project team then has a Basis of Design in place and operates from an agreement about the design parameters prior to completing the final drawings and specifications. Even after final drawings and specifications are complete, field changes may be required for unforeseen circumstances. Hydro construction addresses these changes as "pending issues" which are tracked throughout the project with the obligation of the team to identify potential cost savings to offset any additions. From a learning experience with this process we might propose an additional method to help further document these changes and provide more detailed information to refer back to. Permitting Hydro Construction will procure and maintain all permits required by the City of Fort Collins such as, SWMP and/or dewatering, etc. We will assist in the coordination of special inspections performed by the City, engineers and other entities mandated by the permit. Working on Existing Facilities We strive to minimize interruptions to the existing process. This can only be possible through careful coordination and planning with City staff. 3 One challenge of this project is maintaining operation of one treatment train while work is being performed on the other. We anticipate working 3 closely with plant staff to shutdown one train and then bring back on-line `- once completed. All electrical, programming and testing will have to be completed prior to bringing back on-line requiring on -going communication o LL with all parties involved. This involves replacement of MCC1207, PLC's o and implementation of profibus prior to bringing on-line. Another issue is the replacement of blowers. There has yet to be determined the exact number of blowers to be replaced, but this will need to be coordinated > project approach - mulberry redundancy project during construction and allow continual operation of one train. This activity will need to be carefully planned and sequenced in a manner that minimizes down time. Tasks like these can only be accomplished through teamwork and coordination with plant staff. Staffing and Equipment Through the previous years of working with the City of Fort Collins Hydro Construction has gained a significant amount of knowledge of the water treatment/water reclamation facilities. Our project team has over 55 years of combined experience at these facilities and has established an excellent working relationship with plant operators, maintenance staff, City project managers and engineers. The City of Fort Collins is home to Hydro Construction. A majority of Hydro Construction's employees reside in the City of Fort Collins and the surrounding area. The advantage of being in Fort Collins minimizes overhead and keeps the project team close at hand. B.E.I. Concrete is a concrete subcontractor experienced in water/wastewater that's completed several City of Fort Collins projects under Hydro Construction. We also have relationships with smaller local subcontractors such as Flash Welding and L&R Painting that have not only worked for Hydro Construction, but the City of Fort Collins directly as well. Partnering Hydro Construction believes partnering requires dedicated communication, working as a team with the owner and engineer to act in the best interest of the project. The partnering team's goal should be to achieve a high quality project, under budget, and ahead of schedule while minimizing the risk for all Parties involved. Costs will be carefully tracked and communicated to the team on a timely basis in order to accurately project any budget variance. Partnering is very beneficial when it comes to unforeseen site conditions. It allows the team to be dynamic and adapt to any project changes quickly and efficiently. One of the most important aspects of a partnering team is communication. This method of contracting can only work if all ideas and issues are brought to the table as a team. We are all professionals and we are committed to having crucial conversations when necessary in order to resolve an issue as a team. Equipment Resources and Availability a a As mentioned earlier, being located in Fort Collins reduces mobilization costs regarding equipment. It also allows quick access and delivery if ever 3 required for any project. Most of the equipment service providers are also located in Fort Collins and the surrounding areas to help minimize down 3 time for services and reapairs. 0 Please refer to the "Equipment" under the "General Company Resource" o section of this proposal for more detailed information. `o Coordination with plant personnel and process T Coordination with City staff is essential for the successful completion of this project. Shut downs, tie-ins, and training will need to be < communicated on a timely basis, weeks in advance, to City staff so they can plan accordingly. Coordination can also mean communicating 0 o locations for staging equipment and materials in order to minimize any a impacts on the day -today operations of the facility. We would also like o to solicit input from City staff for preferred valve locations, HOA locations, or any other system appurtenances for their convenience. Many of these . w a w > project approach - mulberry redundancy project items will be discussed during design or construction progress meetings. During these meetings the project superintendent will distribute a three- week look ahead schedule to the team and discuss any necessary coordination. Hydro Construction would like to improve this process by introducing a "Construction Method of Procedure" form. This form will be used for shut downs, tie-ins or any work impacting plant process. It will be completed by the project superintendent and distributed to the project team prior to execution of the work. It's a good tool that will help keep everyone on the same page, by providing a description of the work to be performed, detailed sequence of events, type of shutdown, duration, critical equipment affected, operation impacts and other information. We feel this will improve the coordination process of critical construction tasks and provide detailed information to everyone involved. FS'N Collins > potential projects South Process Train Improvements The Hydro Construction team understands that there may be similar improvements completed on the South Process Train that will produce similar operational results as the North Process Train modifications. Modifications will include demolition of the existing Intermediate Clarifiers and Reactor Chambers/Influent Box. The north wall of the Aeration Basin will need to be demolished for the 3-stage BNR, similar to the NPT. Other items will include installation of MLR pumps, floating mixers, MCC upgrades and electrical. The construction sequence will require construction of one train while the other remains on-line. Although the improvements for the SPT are similar to the NPT, we understand the construction approach will need to address different site constraints. Equipment Replacement Typically the City produces a list of equipment to be replaced for the upcoming budget cycle; which is prioritized by plant staff. Hydro Construction will establish costs and associated lead times to purchase, deliver and install the equipment. Further review by the project team may change the order of equipment to be replaced. However, Hydro Construction will plan and schedule the work accordingly with the project team to minimize shutdowns and impact to plant process. Aeration Blower Replacement The blower replacement portion is very unique in the fact extensive planning and coordination must be completed prior to construction. The team will need to determine how to complete the installation minimizing shutdowns and process interruption. It will also need to be installed so that it may operate the new basin once completed with all the controls, instrumentation in place as well as testing. It will need to have the capability of running one train with the required turn down needed or a blow -off installed for this type of operation. Overall, the electrical and mechanical must be thoroughly reviewed prior to installation to enable the flexibility of operating during construction. Raw Water Pipeline Rehabilitation In our past years of working on the raw water pipeline, we know it is important to work closely with plant staff. Coordination with the treatment facility is critical in taking a portion of the pipeline off-line to complete repairs or replacements. In addition, Mr. Eurich will secure permitting with all governing agencies prior to construction. One or all members of Hydro's proposed project team has participated in the projects listed in this section of the proposal. > partnering experience Fort Colllins Mulberry Water Reclamation Facility City of Fort Collins, Link Mueller, 970-222-0465 Fort Collins, CO This partnering project entailed the improvement of the City of Fort Collins' Mulberry Water Reclamation Facility (MWRF), a 6 million -gallon per day (mgd) wastewater reclamation facility. The project was completed via six separate work orders, each work order was issued to maintain the project schedule and ensure all work phases and critical equipment deliveries were accomplished in order to maintain the overall project schedule. The majority of the construction consisted of a 3-stage activated sludge basin, comprised of two equal trains with provisions for the future expansion of the tanks into 5-stage activated sludge basins. Other construction features included one new building; Blower, Recycled Activated Sludge, Electrical, Waste Activated Sludge (BREW) Building, which was retrofitted on the foundation of the old aeration basin. Additional elements included modifications at the parshall flume/splitter box, construction of a preliminary effluent pump station, an odor control system, modifications and equipment replacement in and existing headworks, modifications and equipment replacement to an existing final clarifier and other ancillary yard piping and site work. The initial design, which commenced in 2008, included three separate new buildings designated to house various different process elements. Hydro Construction Company, working with the rest of the project team, proposed to eliminate the new buildings and house all process elements in one building (the BREW building) and construct that building on and existing aeration structure. This along with other modifications reduced the overall project budget from $24,000,000 to $20,000,000 and created other benefits related to LEED goals established by the project team. Other sustainable project enhancements which benefited from the APDS o partnering process consisted of; • Using existing structure for construction office, thereby saving thousands of dollars in equipment rental and promoting the reuse of an existing element. J N On -site crushing of demolished concrete and bedrock materials as ° part of the project structural fill and site backfill; in excess of 26,000 a 0 tons was reused which minimized the quantity of material removed, delivered or purchased for the project. Other elements included the connecting of existing piping and concrete structures to the liner and the installation of a ground water under drain system. The project was completed during the facilities low flow period; the winter months from November to March. This necessity required the project team to work closely to ensure the schedule could be met while still ensuring that all elements of quality and durability of the concrete liner were maintained. By maximizing the number of non -adjacent cast concrete sections and utilizing the labor saving features of a concrete screed machine, Hydro Construction was able to reduce the time (rental) period of winter protection equipment and reduce the overall project schedule. Other constructability modifications consisted of reduced trench width for the under drain system, modification of the drain and daylight locations and the redesign of the engineer proposed expansion joint detail. The implementation of all of these elements enabled the project to be completed ahead of schedule and approximately $10,000 under budget. Additionally, several other projects at the water treatment facility were accomplished concurrently thereby resulting in a savings from shared on - site overheads. Riverdale Peaks II Pump Station Margaret Medellin, 303-376-9707 Brighton, CO This pump station project is one on many similar projects completed for private or special district entities and one of many on which Hydro Construction promoted the use of Partnering to resolve project issues a they arose. This project consisted of a potable water pump station with fire flow pumps and back-up generator system. The initial design called for an above grade structure which enclosed the pumping and process elements required. After several revisions and cost estimates, which exceed the District's budget by $1,000,000; Hydro Construction purposed the construction of an underground station. Using P&ID's Hydro Construction provided, and the owner accepted, the project GMP. However, prior to completing the final design and State approval of the system, the District was informed that fire flow provisions would be required before several newly sold homes would receive a Certificate of Occupancy. Working with the Owner, Hydro Construction constructed a temporary pump system which met the Fire District's requirements and allowed the new owners to take possession of their homes. During review of the final project documents several scope changes, amounting to $112,000, resulted from agency review; including an increase in the pump station size and major site modifications to accommodate stormwater issues. All items, including the temporary pump system, were incorporated into the work without an increase to the original GMP. 1�� > partnering experience Laramie Water Treatment Facilities City of Laramie, Katharine Trowbridge, 307-721-5230 Laramie, WY Over past three years Hydro Construction has been working with the City of Laramie to construct several on -site chlorine generation systems at various locations as part of their water treatment systems. In December of 2008 the City advertised, bid and awarded, to Hydro Construction, a contract to construct on -site sodium hypochlorite generation systems at two remote well sites. During the process of construction Hydro made several suggestions to improve systems, enhance constructability and simplify various aspects of overall management. While a few of the suggestions were well received, a majority was not acceptable to the project engineer and the project was constructed as designed. The systems, as designed and constructed, were not satisfactory to the City of Laramie, nor was the environment surrounding the execution of the project. After several months of analysis, the City determined that it would prefer a different delivery model and selected to procure the next two systems via the Design/Build process and subsequently selected the Hydro team. To date, the systems and their construction have gone extremely well. The City is very happy with the overall product, the operation of the new systems, the quality and the partnering methods promoted by Hydro Construction Company and our engineering partner. > partnering experience Maple Grove Water Treatment Facility Consolidated Mutual Water, Chris Jones, 303-238-045 Lakewood,CO This three phase project consisted of the construction of an 800,000 gallon post tension tank, 16 MGD membrane water treatment facility and pretreatment building with chemical feed equipment. The project had numerous challenges; the need to keep the 30 year old plant in opertaion while building an entirely new plant on the same site made for etremenly restrictive conditions. In addition, the project had to be designed and constructed in phases in order to accomidate the overall construction. In 2008, the project was acknowledged by ACI with an Award of Excellence. The post tension tank was constructed utilizing self consolidating concrete. This option allowed the project team to place the walls of the tank in one day, which is widely thought to be the first tank ever constructed utilizing this technique. Most recently, Hydro Construction completed various phases of construction related to Odor Control as well as several other process improvements. The recent Odor Control projects required various systems to be brought off and on line to accommodate the construction sequencing and meet the operational needs of the facility. The project team worked closely to ensure all treatment needs were met and any interruption to the treatment processes were kept to a minimum. Additionally, Hydro Construction recently completed the replacement of digester gas fired boilers at this facility. The project participants use the partnering delivery model to it's fullest extent; this project was completed by using P&ID's and as -built the elements after construction. This process greatly reduced the project schedule and allowed the partners to focus on the system and shutdowns necessary to accomplish the work. J Q H 0 d 0 K d C 0 LL r w D a w > partnering experience Granby Sanitation District Wastewater Treatment Plant Expansion Granby Sanitation District, Tammy Granger, 970-887-2052 Granby, CO The Hydro Construction team constructed this project in partnership with Jacobson Stachell Consultants, Diamondback Engineering and the Granby Sanitation District using the Construction Manager at Risk delivery model. The expanded facility includes a new headworks with grit removal and dewatering. Two new clarifiers, new anoxic and aeration basins, blower replacement, process pump replacements, ultra -violet disinfection, laboratory and administration upgrades. In the role of a Construction Manager at Risk, Hydro Construction offered the District a guaranteed maximum price for all phases of construction. After the design phase was completed, Hydro Construction publicly bid each phase. On several occasions the lowest responsible bid was in excess of the original proposed budget. On those occasions Hydro Construction either self -performed the work for the original budget or worked with the District's staff and engineering consultants to revise the design and reduce the final construction cost. These efforts have saved or reduced the possible project cost to the District by more than $500,000. Additionally the project team successfully identified and modified several design and construction elements that resulted in savings which were used to enhance architectural features of the existing building and complete several demolition aspects which were not part of the original intended scope. > partnering experience —j Lochbuie Wastewater Treatment Facilities Town of Lochbuie, Tom Satchell, 303-586-5828 11 Lochbuie, CO The Hydro Construction team constructed this project in partnership with Jacobson Stachell Consultants, Diamondback Engineering and the Town of Lochbuie. The expanded facility includes a new screenings building, two new anoxic and aeration basins, process pump building and SCADA upgrades. The Town's original plan called for expansion of an existing facility to a 2.0 MGD facility with an original budget of $10.2 million. After the initial design and budget process the financing stream associated with the plant expansion was no longer available. The team assembled and during a five hour value engineering session was able to identify several critical elements and reduce the project scope to the level necessary for State approval and in line with the Town's limited budget. The revised budget of $4,000,000 met all of the Town's process needs and was able to attain a 2.0 MGD classification. Even after the severe project design and system reductions, the project team was able to identify additional cost savings measures which produced enhanced elements such as; process pump building constructed fully of masonry materials rather than a partial metal building, additional stand-by pump, additional influent plant lift station capacity and several features which will facilitate future plant expansion. > partnering experience Williams Creek Fish Hatchery US Fish & Wildlife Service, Charles Caldwell, 505-248-7944 Pinetop, AZ This project included water and wastewater treatment systems, new rearing raceways and an oxygen generation building. This project was competitively bid on two separate occasions. On both occasions, the low bids were significantly over the USFWS's budget. Hydro Construction's relationship with USFWS and project engineer led to a design -assist approach and ultimately a negotiated construction contract. Hydro and other project team members were able to identify project features that could be modified or deleted in order to reduce project costs. In many cases, modifications resulted in better operational features enhancing the final product. Final cost reductions, which exceeded $400,000, allowed the project to move forward into the construction phase. The project was delivered ahead of schedule, under budget and met the original project requirements Wellington Water Reclamation Facility Town of Wellington, Bill Bodkins, 970-690-5516 Wellington, CO Hydro Construction completed construction of a new 0.45 MGD wastewater treatment plant, which allows for future expansion to 1.8 MGD. This $5,000,000 partnering project included a headworks building, oxidation aeration basin, two thirty-five foot diameter clarifiers, a RAS/ WAS building, aerobic digester, sludge dewatering building and an administration building with UV disinfection systems. o The initial design for the project was $500,000 over the Town's available budget. Hydro made several value engineering suggestions and was ultimately able to reduce the cost and deliver the project to the Town for $30,000 under their budget. In order to facilitate the future expansion, < the project team collaborated to ensure the current construction could be o easily modified when expansion becomes necessary. d 0 a > partnering experience Fort Colllins Water Treatment Facility City of Fort Collins, Kevin Gertig, 970-221-6637 Fort Collins, CO Hydro Construction has completed several projects over the past ten years at the Fort Collins Utilities' Water Treatment Facility (WTF) utilizing the alternative product delivery system (APDS). Some initial projects, completed by Hydro Construction, consisted of the reconstruction of existing dual media filters and installation of stainless steel backwash troughs. The filter reconstruction phase was one month ahead of schedule and approximately $60,000 under budget. Savings from this scope were used to fund various other work items that were scheduled for future construction thereby accelerating improvement programs at the WTF. Other projects successfully complete as part of the APDS process involved: • The removal of lead -based paint on various large diameter pipes in lower levels of the facility. This project was a perfect fit with the APDS process due to the enormous difficulties in removing and disposing of paint materials contaminated with lead and precautions needed to properly protect Hydro crews and plant staff. The project was completed two weeks ahead of schedule and the final cost was $40,000 under the original budget. The construction of a nine acre-foot solids settling basin, plant HVAC improvements, creation of a post lime feed system and UV recycle system for filter backwash water. The UV system project greatly benefited from the partnering process. The project team was able to identify several features of the project that could incorporate existing structures and piping systems, which resulted in a cost savings in excess of $300,000. • Additional major work items recently accomplished have included a new pump station, installation of a fluoride feed system and numerous process improvements. This team excelled in the interview and proposal process, and were awarded the project. The City of Laramie is pleased with this delivery method, so much that it was the impetus for our WTP chlorine disinfection project award of another design -build project with Hydro and Forsgren Associates. What the City appreciates about Hydro specifically is how projects are designed and constructed on -schedule and within budget. Our first experience with this company in the traditional design -bid -build environment was that Hydro absorbed a $6,830.00 project change order because in their own words, they saved money using the ftp site which was new to the entire team; Hydro also absorbed the cost of assisting everyone in learning the system, and yet there were still savings that were passed on the owner. That still resonates well with PWD. As mentioned previously, the ftp site has made project management virtually tum-key; the ftp site makes in -field decisions more effective, while meetings and conference calls have been scheduled regularly, they are well organized, efficient and effective because information disseminated by the ftp site is instantaneous and accessible by everyone on the project team. Construction sequences and schedules are discussed at each meeting, and staff are well informed regarding scheduled shut -downs, start-ups as well as incorporating owner decisions and preferences. Hydro appears to maintain good relationships with their subcontractors, and they are scheduled efficiently with respective project tasking. We are currently in the middle of our 4'h project utilizing Hydro's expertise to swap out a few magnetic flowmeters. Our experience with the Hydro/JHC team began in 2000 when the team designed and built our new water treatment facility. The Town was under a Cease and Desist Order from the Colorado Department of Public Health and Environment (CDPHE) due to high nitrates in the Town's public water supply. Hydro/JHC completed the reverse osmosis treatment facility on schedule and within budget. The facility started up in early 2001 and has operated effectively for the first two years. The CDPHE has lifted the Cease and Desist Order and we are providing our Citizens with high quality water, meeting the requirements of the Safe Drinking Water Act. Our water treatment facility reflects a cost-effective design reflective of the needs of our community. Of key importance to the Town is the ease of operation of the water treatment facility. In addition to the problems with our drinking water system, our wastewater treatment facility was unable to meet the discharge standards and the Town was once again served with a Cease and Desist Order by the CDPHE. An aggressive compliance schedule was set forth within the Order. Because of our satisfaction with the performance of Hydro/JHC on the water treatment facility, the partnership of the Town and Hydro/JHC was continued for the design and building of our new Wastewater Treatment Facility. The partnership reviewed numerous options for the facility and selected the Aero-Mod system. The project was initiated in July 2002 and went on-line March 3, 2003. Before the project start date of September 4th Hydro had already finished half of the wastewater fitters they were hired to built. NOTES TO FINANCIAL STATEMENTS SEPTEMBER 30, 2010 1 Summary of Significant Accounting Policies and Nature of Business Nature of Business The Company is a general contractor that specializes in water and waste water treatment plants. The Company operates primarily in Colorado and has performed work in various other states. Revenue and Cost Recognition The Company recognizes revenues from fixed -price and modified fixed -price construction contracts on the percentage -of -completion method, measured by the percentage of cost incurred to date to estimated total cost for each contract. That method is used because management considers total cost to be the best available measure of progress on the contracts. Because of inherent uncertainties in estimating costs, it is at least reasonably possible that the estimates used will change within the near term. Contract costs include all direct material and labor costs and those indirect costs related to contract performance. Selling, general, and administrative costs are charged to expense as incurred. Provisions for estimated losses on uncompleted contracts are made in the period in which such losses are determined. Changes in job performance, job conditions, and estimated profitability may result in revisions to costs and income, which are recognized in the period in which the revisions are determined. Changes in estimated job profitability resulting from job performance, job conditions, contract penalty provisions, claims, change orders, and settlements, are accounted for as changes in estimates in the current period. The asset, "Costs and Estimated Earnings in Excess of Billings on Uncompleted Contracts," represents revenues recognized in excess of amounts billed. The liability, "Billings in Excess of Costs and Estimated Earnings on Uncompleted Contracts," represents billings in excess of revenues recognized. Estimates The preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. Actual results could differ from these estimates. Depreciation Depreciation of property and equipment is computed using straight-line and accelerated methods over their estimated useful lives. 10 HYDRO CONSTRUCTION COMPANY, INC. NOTES TO FINANCIAL STATEMENTS (CONTINUED) SEPTEMBER 30. 2010 1 Summary of Significant Accounting Policies and Nature of Business (Continued) Income Taxes Effective October 1, 2001, the Company and its stockholders, elected to be taxed as an S Corporation. The regular earnings of an S Corporation are taxable to its stockholders. The Company is subject to tax on certain built-in gains which existed on the effective date of the S Corporation election. The Company's Federal and State income tax returns are prepared on the percentage of completion method as are the financial statements. Temporary differences between financial statement income and taxable income include differences in depreciation and accruals of expenses to stockholders. Accounting principles generally accepted in the United States of America require an entity to disclose any material uncertain tax positions that management believes does not meet a °more -likely -than -not" standard of being sustained under an income tax audit, and to record a liability for any such taxes including penalty and interest. As of September 30, 2010, management has not identified any uncertain tax positions requiring any recording or disclosure. Cash and Cash Equivalents For the purposes of financial statements, the Company considers all investments with a maturity of three months or less when purchased to be cash equivalents. Allowance for Doubtful Accounts Management considers accounts receivable to be fully collectible. Accordingly, no allowance has been provided in these financial statements. Concentration of Credit Risk The financial instruments that potentially subject the Company to significant concentrations of credit risk are cash and trade receivables. The Company occasionally maintains cash balances in a financial institution in excess of federally insured limits. Trade receivables are primarily contracted agreements from governmental agencies. Two customers accounted for approximately 76% of total contract receivables at September 30, 2010. Revenue from these customers was approximately 75% of total contract revenue for the year ended September 30, 2010. Three customers accounted for approximately 86% of total contract receivables at September 30, 2009. Revenue from these customers was approximately 61 % of total contract revenue for the year ended September 30, 2009. Rent paid to this entity, during the years ended September 30, 2010 and 2009, was $7,965 and $4,163, respectively. 7 Rent The Company rents equipment on a short-term basis from unrelated parties. Rent expense to unrelated parties, for the years ended September 30, 2010 and 2009, was $501,682 and $305,529, respectively. 8 Stockholders' Agreements The Board of Directors of the Company have adopted a buy -sell agreement wherein the Company may impose restrictions on the transfer of shares prior to issuance and may become a party to agreements entered into by any of its stockholders restricting the transfer or encumbrance of any of its shares or subjecting any of its shares to repurchase or resale obligations. 9 Profit Sharing Plan The Company has a 401(k) Profit Sharing Plan. The Plan is for eligible employees and the Company accrued a contribution of $280,176 and $287,981 for the years ended September 30, 2010 and 2009, respectively. 10 GRATS During the year ended September 30, 2003, the majority stockholders formed Grantor Retained Annuity Trusts (GRATS). The stockholders placed 112,932 shares of non -voting stock within the GRATS. During the year ended September 30, 2010, no shares were sold to minority stockholders from within the GRATS. The GRATS require annual payments of $110,119 which may be funded by dividends, the minority stockholder, sale of stock to new stockholders, or by the issuance of stock. The term of the GRAT is eight years, at which a minority stockholder will own the shares. 11 Backlog The following schedule summarizes changes in backlog on contracts during the year ended September 30, 2010. Backlog represents the amount of revenue the Company expects to realize from work to be performed on uncompleted contracts in -progress at year end, and from contractual agreements on which work has not yet begun. The effect of changes in estimates of contracts was to decrease net income for the year ended September 30, 2010 by $29,451 from that which would have been reported had the revised estimate been used as the basis of recognition of contract profits for the preceding year. 13 Advertising Advertising costs are expensed as incurred.
