HomeMy WebLinkAbout335264 AQUACRAFT INC - CONTRACT - AGREEMENT MISC - AQUACRAFT INCPROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT made and entered into the day and year set forth below, by and between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the "City" and Aquacraft, Inc., hereinafter referred to as "Professional". WITNESSETH: In consideration of the mutual covenants and obligations herein expressed, it is agreed by and between the parties hereto as follows: 1. Scope of Services. The Professional agrees to provide services in accordance with the scope of services attached hereto as Exhibit "A", consisting of six (6) pages, and incorporated herein by this reference. 2. Contract Period. The services to be performed pursuant to this Agreement shall be initiated within five (5) days following execution of this Agreement. Services shall be completed no later than July 31, 2012. Time is of the essence. Any extensions of the time limit set forth above must be agreed upon in writing by the parties hereto. 3. Early Termination by City. Notwithstanding the time periods contained herein, the City may terminate this Agreement at any time without cause by providing written notice of termination to the Professional. Such notice shall be delivered at least fifteen (15) days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. City of Fort Collins City of Fort Collins , Purchasing 2709 Pine Street Attn: Laurie D'Audney PO Box 580 Boulder, CO 80302 PO Box 580 Fort Collins, CO 80522 Fort Collins, CO 80522 In the event of any such early termination by the City, the Professional shall be paid for services rendered prior to the date of termination, subject only to the satisfactory performance of the Standard Professional Services Agreement- rev03/10 7. Conduct end use data collection and analysis The Aquacraft Team will travel to the Participating Utility location to install flow data loggers at each end use study home. At the conclusion of the two week data collection period, the Aquacraft Team will return to retrieve and download the equipment. Participating utilities are invited to accompany Aquacraft on the data logging excursions and to provide a utility vehicle, but this is not required. During the flow trace recording process, a portable, battery powered flow recorder (data logger) will be affixed to the magnetic drive water meter at each study home (including hot water meters where applicable). Each data logger will be programmed to record the flow through the meter every 10 seconds. Data loggers will be left in place for two weeks at each study site.1 The data loggers will be retrieved and downloaded and the recorded volume compared against the meter register volume to ensure accuracy. Logger and meter volumes must agree with a 5% tolerance or the site will be re -logged. During the installation process, the field technician will take a digital photo of the study home and will check the visible landscape against a printout of the aerial photograph and -GIS analysis. This will help ensure the landscape area analysis and landscape characterization is as accurate as possible. ' To avoid any potential difficulties in the field, in the weeks leading up to the data logging site visit each study household will receive a brief postcard reminding them about the study and informing them that the research team will be in their area in the coming weeks and not to be alarmed if they see someone conducting the landscape verification. All field technicians will carry business cards and photo identification associating them with the research study. Participating utilities will also assist with the re -logging of homes where accurate data were not obtained. Flow data loggers have approximately a 10% failure rate in the field so it is anticipated that about six homes at each study site will need to be re -logged. Aquacraft will install the data loggers for the re -logging and participating utilities will retrieve the loggers, note the meter reading at the home, and ship the loggers back to Aquacraft. Additionally, if any of the end use study homes have separate irrigation meters these meters will be logged concurrently. Each two -week flow trace will be individually disaggregated into individual categorized water use events using Aquacraft's Trace Wizard water use analysis software. 7. Conduct hot water end use data collection and analysis A local plumbing firm will be contracted by Aquacraft to install the hot water meters on the inflow line of the hot water heater at each home. Homes with more than one hot water heater are not eligible to be included in the hot water monitoring sample. Appointments will be scheduled with the 10 hot water participants at each level 1 site. Aquacraft will schedule appointments to install and remove the data logger at each hot water study home. Appointments are necessary since the hot water meter will be located inside the home at the hot water heater. Data loggers will be left in place for two weeks at each hot water study site. The data loggers will be retrieved and downloaded and the recorded volume 1 Two weeks remains the "preferred" data logging duration for two reasons. First, Brainard loggers come standard with sufficient memory for only two weeks of logging at a 10-second interval (`120,000 records); and second because of the frequency of logger failure (a 10%failure rate is typical), to keep the project on schedule and budget re -logging must be done promptly. If loggers are left in place for one month or more, then the team won't learn about any problems until much later in the process. Standard Professional Services Agreement- rev07/09 compared against the meter register volume to ensure accuracy. Logger and meter volumes must agree with a 5% tolerance or the site will be re -logged. Since the research team must gain access to the hot water study homes, these sites will also have an inventory made of the fixtures and appliances present in the home. This information will be used as an independent check on data obtained from both the customer surveys and the flow trace analysis. The verification will consist of obtaining confirmation of the types of fixtures and appliances present so that if the flow trace analysis indicates a home has HET or ULF toilets this can be verified from the inventory. During the installation visit the technician will bring a copy of the landscape analysis photo and will visually inspect the property to verify that the photo is of the correct lot, and that there are no major errors in how landscapes have been classified. Hot water flow traces will be analyzed simultaneously with cold water flow traces which allows the data analyst to view hot and cold water uses at the same time. 8. Develop research database Aquacraft will develop a relational database capable of housing all of the project data listed above. Each individual household in the data set will be assigned a unique ID number called a "keycode" that will be used to link all information together. Identifying information about participating households such as name, address, and water account number will be stripped from the research database. 9. Prepare Participating Utility site report Aquacraft will prepare a Participating Utility site report that summarizes the findings from the data collection effort including indoor and outdoor water use. Aquacraft will also provide each Participating Utility with an electronic copy of the end use dataset obtained. from their selected customers. 10. Prepare final project report A final project report will be prepared and submitted to WRF that will provide a concise explanation of the research goals, the methodologies used and the results obtained. The report will discuss the sources of error and how these might impact results. The primary goal of the report will be to communicate the current status of single family water use and to explain the key factors that affect it. The current water use will be compared against efficiency benchmarks in order to estimate potential water conservation savings from both indoor and outdoor uses. The Participating Utility will be given an opportunity to review the final report and to provide comments and recommended changes. WRF will provide the Participating Utility copies of the published final report. C. IN -KIND SERVICES PROVIDED BY THE PARTICIPATING CITY 1. Select a survey sample of 1,000 SF houses with historic consumption and ancillary data The Participating City will select 1,000 single-family residential customers from their database of active customers using a systematic random sampling procedure. In a systematic random sample the entire dataset of active single-family customer accounts at a participating utility are Standard Professional Services Agreement- rev07/09 4 first sorted by their annual water use and then divided into strata. Key ancillary data will also be obtained from the Participating Utility including water and wastewater rates and rate structure, climate data corresponding with the time period of the billing data, and other pertinent utility and customer level data (census data, conservation program information, utility drought restrictions if applicable, etc.). The Participating Utility will provide billed consumption reports that show the annual water deliveries by customer category for the year in which the billing data are provided. This will allow the single family water use to be placed in context with total water use in the agency. The Participating Utility will also provide information on their water rate structure, any water conservation program that have been implemented (including the numbers of rebates retrofit devices provided), any water restrictions in place during either the billing or logging year. The agencies will be expected to provide other information that would be useful in analyzing the results of the study. 2. Provide available aerial photographs and GIS coverages (if available) The Participating Utility will be asked to provide available aerial photographs and GIS coverage of the service area for the landscape analysis to be conducted at each data logging site. It is anticipated that not all utilities will be able to provide these data in which case data will be sought from other sources including county tax assessors and commercially available datasets. Where necessary the project team will purchase aerial photographs and GIS coverage from commercial vendors. 3. Assist with initial data logging (optional) Participating utilities are invited to accompany Aquacraft on the data logging excursions and to provide a utility vehicle, but this is not required. 4. Assist with any required re -logging The Participating Utility shall assist with the re -logging of homes where accurate data were not obtained during the initial logging period. Flow data loggers have approximately a 10% failure rate in the field so it is anticipated that about 10 homes at each study site will need to be re - logged. Aquacraft will install the data loggers for the re -logging and the Participating Utility will retrieve the loggers, note the meter reading at the home, and ship the loggers back to Aquacraft. 5. Provide water meters for hot water data collection The Participating Utility will provide 10 hot water rated 5/8" magnetic drive water meters for the study. The Aquacraft Team will pay for professional installation and will obtain any required fittings. 6. Review final report The Participating Utility will be given an opportunity to review the final report and to provide comments and recommended changes. The Participating Utility will be asked to submit a letter to WRF stating that they have reviewed the report and that they agree to publication of the document. This does not constitute "veto power" over the final report. Aquacraft commits to working to include as many recommended changes as possible.. However, if any Standard Professional Services Agreement- rev07/09 disagreements about the final report cannot be resolved, WRF and the Aquacraft Team reserve the right to publish the report including findings from the Participating Utility. D. PAYMENT FOR SERVICES A total payment of $55,000 will be made to Aquacraft for the work described above. This will be paid on a lump sum basis on the following schedule: 50% ($27,500) will be paid as soon as possible after execution of this agreement, but no later than April 1, 2011; 50% ($27,500) will paid within 30 days of receipt of the Participating Utility site report — approximately 60 days after the conclusion of the data logging effort. E. SCHEDULE A final project schedule will be issued to all participants once the contracting phase is complete. Aquacraft's contract with WRF will include the governing schedule for this research project. The following are general schedule timings related to key project tasks: 1. Provision of utility consumption and ancillary data. As specified above, Aquacraft will provide the Participating Utility with a detailed data request including instructions for selecting a systematic random sample of residential customers. The Participating Utility will make their best effort to deliver the requested data within 30 days of receiving this request. 2. Delivery of final data logging sample including hot water homes. Aquacraft will provide a list of the 100 homes for end use monitoring including the sub set of homes for hot water end use monitoring at least 30 days before the start of the data collection period. 3. Shipping equipment. Depending up the location of the Participating Utility, Aquacraft may ship the data collection' equipment to the Utility in advance of the end use analysis period. Aquacraft will be available to meet with Participating Utility staff before the data loggers are installed to review procedures and answer questions. A staff member from the Participating Utility is invited to assist in placing the data loggers, but this is not required. 4. Data logging Data loggers will be kept in the field for 14 complete days. Aquacraft staff will install and retrieve the equipment and will download and verify the flow measurements. If any re -logging is required, Aquacraft staff will install additional data loggers. The Participating Utility is responsible for retrieving these additional loggers precisely 14 days after they are installed and shipping them back to Aquacraft. Aquacraft will provide detailed instructions, shipping boxes, and shipping documents. 5. Participating Utility site report Aquacraft will deliver the Participating Utility site report to the Participating Utility 45 days after the completion of the data logging effort. Standard Professional Services Agreement- rev07/09 6 Standard Professional Services Agreement- rev07/09 EXHIBIT "B" CONFIDENTIALITY IN CONNECTION WITH SERVICES provided to the City of Fort Collins (the "City") pursuant to this Agreement (the "Agreement'), the Professional hereby acknowledges that it has been informed that the City has established policies and procedures with regard to the handling of confidential information and other sensitive materials. In consideration of access to certain information, data and material (hereinafter individually and collectively, regardless of nature, referred to as "information") that are the property of and/or relate to the City or its employees, customers or suppliers, which access is related to the performance of services that the Professional has agreed to perform, the Professional hereby acknowledges and agrees as follows: That information that has or will come into its possession or knowledge in connection with the performance of services for the City may be confidential and/or proprietary. The Professional agrees to treat as confidential (a) all information that is owned by the City, or that relates to the business of the City, or that is used by the City in carrying on business, and (b) all information that is proprietary to a third party (including but not limited to customers and suppliers of the City) . The Professional shall not disclose any such information to any person not having a legitimate need -to - know for purposes authorized by the City. Further, the Professional shall not use such information to obtain any economic or other benefit for itself, or any third party, except as specifically authorized by the City. The foregoing to the contrary notwithstanding, the Professional understands that it shall have no obligation under this Agreement with respect to information and material that (a) becomes generally known to the public by publication or some means other than a breach of duty of this Agreement, or (b) is required by law, regulation or court order to be disclosed, provided that the request for such disclosure is proper and the disclosure does not exceed that which is required. In the event of any disclosure under (b) above, the Professional shall furnish a copy of this Agreement to anyone to whom it is required to make such disclosure and shall promptly advise the City in writing of each such disclosure. In the event that the Professional ceases to perform services for the City, or the City so requests for any reason, the Professional shall promptly return to the City any and all information described hereinabove, including all copies, notes and/or summaries (handwritten or mechanically produced) thereof, in its possession or control or as to which it otherwise has access. The Professional understands and agrees that the City's remedies at law for a breach of the Professional's obligations under this Confidentiality Agreement may be inadequate and that the City shall, in the event of any such breach, be entitled to seek equitable relief (including without limitation preliminary and permanent injunctive relief and specific performance) in addition to all other remedies provided hereunder or available at law. Standard Professional Services Agreement- rev07/09 Professional's obligations under this Agreement. Such payment shall be the Professional's sole right and remedy for such termination. 4. Design, Project Indemnity and Insurance Responsibility. The Professional shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all services rendered by the Professional, including but not limited to designs, plans, reports, specifications, and drawings and shall, without additional compensation, promptly remedy and correct any errors, omissions, or other deficiencies. The Professional shall indemnify, save and hold harmless the City, its officers and employees in accordance with Colorado law, from all damages whatsoever claimed by third parties against the City; and for the City's costs and reasonable attorneys fees, arising directly or indirectly out of the Professional's negligent performance of any of the services furnished under this Agreement. The Professional shall maintain commercial general liability insurance in the amount of $500,000 combined single limits limits and errors and omissions insurance in the amount of $1,000,000. 5. Compensation. In consideration of the services to be performed pursuant to this Agreement, the City agrees to pay Professional the sum of Fifty Five Thousand Dollars ($55,000.00) on the following schedule: Fifty Percent (50%) or Twenty Seven Thousand Five Hundred Dollars ($27,500) will be paid upon execution of this agreement, but no later than April 1, 2011; and the remaining Fifty Percent (50%) or Twenty Seven Thousand Five Hundred Dollars ($27,500) will be paid within 30 days of receipt of the Participating Utility site report — approximately 60 days after the conclusion of the data logging effort. The amounts of all such partial payments shall be based upon the Professional's City -verified progress in completing the services to be performed pursuant hereto and upon the City's approval of the Professional's reimbursable direct costs. Final payment shall be made following acceptance of the work by the City. Upon final payment, all designs, plans, reports, specifications, drawings and other services rendered by the Professional shall become the sole property of the City. Standard Professional Services Agreement- rev03/10 2 C 6. City Representative. The City will designate, prior to commencement of work, its project representative who shall make, within the scope of his or her authority, all necessary and proper decisions with reference to the project. All requests for contract interpretations, change orders, and other clarification or instruction shall be directed to the City Representative. 7. Project Drawings. Upon conclusion of the project and before final payment, the Professional shall provide the City with reproducible drawings of the project containing accurate information on the project as constructed. Drawings shall be of archival, prepared on stable Mylar base material using a non -fading process to provide for long storage and high quality reproduction. "CD" disc of the as -built drawings shall also be submitted to the City in an AutoCAD version no older then the established city standard. 8. Monthly Report. Commencing thirty (30) days after the date of execution of this Agreement and every thirty (30) days thereafter, Professional is required to provide the City Representative with a written report of the status of the work with respect to the Scope of Services, Work Schedule, and other material information. Failure to provide any required monthly report may, at the option of the City, suspend the processing of any partial payment request. 9. Independent Contractor. The services to be performed by Professional are those of an independent contractor and not of an employee of the City of Fort Collins. The City shall not be responsible for withholding any portion of Professional's compensation hereunder for the payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose. 10. Personal Services. It is understood that the City enters into this Agreement based on the special abilities of the Professional and that this Agreement shall be considered as an agreement for personal services. Accordingly, the Professional shall neither assign any responsibilities nor delegate any duties arising under this Agreement without the prior written consent of the City. V 11. Acceptance Not Waiver. The City's approval of drawings, designs, plans, specifications, reports, and incidental work or materials furnished hereunder shall not in any way Standard Professional Services Agreement- rev03/10 3 relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's approval or acceptance of, or payment for, any of the services shall not be construed to operate as a waiver of any rights or benefits provided to the City under this Agreement. 12. Default. Each and every term and condition hereof shall be deemed.to be a material element of this Agreement. In the event either party should fail or refuse to perform according to the terms of this agreement, such party may be declared in default. 13. Remedies. In the event a party has been declared in default, such defaulting party shall be allowed a period of ten (10) days within which to cure said default. In the event the default remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail himself of any other remedy at law or equity. If the non -defaulting party commences legal or equitable actions against the defaulting party, the defaulting party shall be liable to the non -defaulting party for the non -defaulting party's reasonable attorney fees and costs incurred because of the default. 14. Binding Effect. This writing, together with the exhibits hereto, constitutes the entire agreement between the parties and shall be binding upon said parties, their officers, employees, agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 15. Law/Severability. The laws of the State of Colorado shall govern the construction, interpretation, execution and enforcement of this Agreement. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this Agreement. 17. Prohibition Against Employing Illegal Aliens. Pursuant to Section 8-17.5-101, C.R.S., et. seq., Professional represents and agrees that: a. As of the date of this Agreement: 1. Professional does not knowingly employ or contract with an illegal alien who will perform work under this Agreement; and Standard Professional Services Agreement- rev03/10 4 2. Professional will participate in either the e-Verify program created in Public Law 208, 104th Congress, as amended, and expanded in Public Law 156, 108th Congress, as amended, administered by the United, States Department of Homeland Security (the "e-Verify Program") or the Department Program (the "Department Program"), an employment verification program established pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment eligibility of all newly hired employees to perform work under this Agreement. b. Professional shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or knowingly enter into a contract with a subcontractor that knowingly employs or contracts with an illegal alien to perform work under this Agreement. C. Professional is prohibited from using the e-Verify Program or Department Program procedures to undertake pre -employment screening of job applicants while this Agreement is being performed. d. If Professional obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien, Professional shall: 1. Notify such subcontractor and the City within three days that Professional has actual knowledge that the subcontractor is employing or contracting with an illegal alien; and 2. Terminate the subcontract with the subcontractor if within three days of receiving the notice required pursuant to this section the subcontractor does not cease employing or contracting with the illegal alien; except that Professional shall not terminate the contract with the subcontractor if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. e. Professional shall comply with any reasonable request by the Colorado Department of Labor and Employment (the "Department") made in the course of an investigation that the Department undertakes or is undertaking pursuant to the authority established in Subsection 8-17.5-102 (5), C.R.S. f. If Professional violates any provision of this Agreement pertaining to the duties imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this Agreement is so terminated, Professional shall be liable for actual and consequential damages to the City arising out of Professional's violation of Subsection 8-17.5-102, Standard Professional Services Agreement- rev03l10 C.R.S. g. The City will notify the Office of the Secretary of State if Professional violates this provision of this Agreement and the City terminates the Agreement for such breach. 18. Red Flags Rules. Professional must implement reasonable policies and procedures to detect, prevent and mitigate the risk of identity theft in compliance with the Identity Theft Red Flags Rules found at 16 Code of Federal Regulations part 681. Further, Professional must take appropriate steps to mitigate identity theft if it occurs with one or more of the City's covered accounts. 19. Special Provisions. Special provisions or conditions relating to the services to be performed pursuant to this Agreement are set forth in Exhibit "B" - Confidentiality, consisting of one (1) page, attached hereto and incorporated herein by this reference. WATER RESEARCH FOUNDATION PROJECT #4309 A. GENERAL DESCRIPTION OF WORK The Participating Utility will be part of an extensive study of the end use patterns for residential water use throughout North America. This study is sponsored by the Water Research Foundation (WRF). The fundamental goal of this project is to comprehensively update and expand WRF's 1999 Residential End Uses of Water study. To achieve this goal, Aquacraft and its subcontractors Hazen and Sawyer, PC, the National Research Center, Inc. and Dr. Benedykt Dziegielewski (the Aquacraft Team) will collect new data and build upon the 1999 REUWS and other similar end use studies conducted since 1999 to obtain detailed information on where water is used in the single-family residences in North America and to evaluate the socio- economic factors that impact water use. The Participating Utility will serve as one of the study sites. The Participating Utility agrees to commit both cash and in -kind services to this project as specified in this Exhibit and in the Agreement to which this exhibit is attached. The purpose of this Exhibit is to describe the service which will be provided by Aquacraft, the cash and in -kind contribution which will be made by the Participating Utility, and the schedule under which the work will be performed. B. SERVICES PROVIDED BY AQUACRAFT, INC. Aquacraft will provide the following services: 1. Prepare a detailed household mail survey A detailed residential customer survey instrument will be prepared by the Aquacraft Team and reviewed and approved by PAC and utility participants. 2. Assist the Participating Utility in selecting a survey sample of 1,000 SF houses with historic consumption and ancillary data The Aquacraft team will prepare a detailed data request and set of instructions to assist the Participating Utility in providing necessary data for the study. The instructions will list the data required and explain how the systematic random sample of 1,000 single-family residential customers should be selected. The data requested from participating utilities will include: • 3 — 5 years off historic consumption data for the 1,000 home sample. • Water and wastewater rates and rate structure for each year that billing data are provided. • Conservation program information. • - Details of any drought restrictions imposed during the periods for which billing data are provided. Standard Professional Services Agreement- rev07/09 Billed consumption reports that show the annual water deliveries for all customer categories for the years in which the billing data are provided. Service area population. Number of customer accounts in each identified customer category. 3. Conduct Mail Survey The survey will be implemented by Aquacraft Team member - National Research Center. The detailed residential customer mail survey will be sent to each of the 1,000 customers selected by the Participating City. The survey will obtain the key demographic and socio- economic variables needed for subsequent analysis. The survey will also solicit participation in the data logging portion of the study. The survey effort will include: (a) a pre -notification postcard, (b) survey packet, (c) reminder letter with additional survey, and (d) reminder postcard to ensure maximal response rates. 4. Select sample of 100 houses per utility for end use analysis From the affirmative survey respondents, a sample of 100 residences will be selected for the end use analysis portion of the study. The sample will be selected using a random sampling procedure and then statistical tests performed to ensure the average annual water use of each sample is statistically similar to the population from which it was drawn at the 95% confidence level or better. The Aquacraft Team strongly recommends (but does not require) that the Participating Utility replace any old water meters at the. selected data logging sites with new meters for the flow monitoring component of the study. This will insure the best possible accuracy in the flow trace analysis process. 5. Select sub -sample of 10 houses per utility for hot water metering Ten homes will be selected from the 100 home sample at the Participating Utility for hot water metering. Each of these homes will be fitted with a water meter on the inflow line to the hot water tank. This will allow for simultaneous collection of hot and cold water end use data and an analysis of hot water demands. Study homes in the hot water sample will also receive a basic water audit to verify fixtures, appliances and flow rates for comparison with both data logger results and the surveys. The data from the hot water study homes will be pooled to provide a large enough sample to provide accurate hot water use models. The hot water study homes will also be audited and an inventory of the fixtures and appliances present will be prepared. This information will be used as an independent check on data obtained from both the customer surveys and the flow trace analysis. The verification will consist of obtaining confirmation of the types of fixtures and appliances present so that if the flow trace analysis indicates a home has HET or ULF toilets this can be verified from the inventory. 6. Landscape analysis using aerial images $ GIS The Aquacraft team will use aerial images and available GIS coverage to estimate the landscape size and irrigated area at each of the 100 end use study homes. .
