HomeMy WebLinkAbout132191 MOUNTAIN PARKING EQUIPMENT - CONTRACT - RFP - P1049 PARKING ACCESS AND REVENUE CONTROLMountain Parking Equipment 2009 South Cherokee Street Denver, Colorado 80223 Phone: (720) 259-4880 Fax: (720) 904-5296 MOUNTAIN PARKING zvzacv.mtnpark.com EQUIPMENT City of Fort Collins Parking Garages PREFERRED CUSTOMER SERVICE AGREEMENT (PCA) This PREFERRED CUSTOMER SERVICE AGREEMENT ("The Agreement") is made and entered into this 1 st Day of November, 2010 by and between Mountain Parking Equipment, ("Mountain Parking") and City of Fort Collins ("Customer"), covering all Equipment and/or Software ("the Equipment and Software") listed on attached Exhibit A — Equipment/Software List, and installed at City of Fort Collins Parking Garages, PO Box 580, Fort Collins, CO 80522, ("Service Address"). In Consideration of the annual sum of: $43,929.54 payable Annually in advance, Mountain Parking will provide the Preferred Customer Services listed below for the period from: November 01, 2010 to October 31, 2011 Equipment Service - Section I: Agreement covers repair of malfunctions of the Equipment, including all parts and labor, during Mountain Parkings's regular business hours, 8:OOAM to 4:30PM Monday through Friday (excluding holidays), including travel to and from the Service Address, and subject to the following Terms and Conditions: PREFERRED CUSTOMER PRIORITY — Preferred Customers receive top priority and are scheduled ahead of all other service work. 2. EXTENDED PREVENTATIVE MAINTENANCE —Preferred Customers receive monthly preventative cleaning maintanence as well as yearly refurbishment of major designated mechanisms. EMERGENCY WORK DISCOUNT - If Customer requests service work to be performed outside of Mountain Parking's regular business hours, or requests work on the Equipment that is not covered under this Agreement, labor and travel charges will be invoiced at a 25% Discount from Mountain Parking's then applicable rate. Non -covered emergency overtime rates are applied as follows: Time & one-half rate outside of Mountain Parking Equipment's normal business hours of 8:OOam to 4:30pm Monday through Friday excluding Mountain Parking Equipment scheduled holidays. For all emergency overtime calls after normal weekly business hours a 2 hour minimum charge is assessed. For all emergency overtime calls on weekends and Mountain Parking Equipment scheduled holidays a 4 hour minimum charge is assessed. 4. PARTS DISCOUNT - Customer will receive a 10% discount on any non -covered service parts or supplies for the Equipment installed at the Service Address. 5. CUSTOMER TRAINING DISCOUNT — Customer will receive a 25% discount for all system training and software support offered by Mountain Parking during the term of this Agreement. 6 EQUIPMENT INSPECTION — Equipment will be inspected for proper operation, and worn parts will be replaced in the course of Mountain Parking's regular service work. 7. EXCHANGE PARTS — Certain component parts, including, but not limited to, circuit boards and control units, will be serviced on an exchange basis to minimize equipment downtime. Loaner equipment for non -exchangeable components will be provided (when available) at no extra cost. PREFERRED CUSTOMER SERVICE AGREEMENT 2of3 8. EQUIPMENT USE & MODIFICATION —Mountain Parking must approve any modifications or alterations of the Equipment by Customer, Customer's representative or other third party in advance (in writing), and the Equipment must be used only for the purpose it was intended by the manufacturer. 9. UNAUTHORIZED REPAIRS —Mountain Parking is not responsible for any repair work performed by non -Mountain Parking personnel without the express written consent of Mountain Parking. Any work required to correct unauthorized repairs will be invoiced at Mountain Parking's applicable labor rates. 10. AGE/EXCESSIVE USE — If in Mountain Parking's opinion, any piece of the Equipment will no longer perform satisfactorily due to condition, age, or excessive use, Mountain Parking will submit a cost estimate to overhaul or replace the unit. This work will be in addition to the cost of this Agreement. 11. EXCLUSIONS — • Detector loops (due to environmental and structural conditions beyond our control) • Consumable supplies including, but not limited to, gate arms and related hardware, ribbons, paper tapes, tickets, batteries, shear pins and installation and/or delivery of same • Malfunctions resulting from acts of God, collision, vandalism, misuse, electrical surges or power failure, improper installation of ribbons or paper tapes or the use of non -manufacturer approved supplies • Programming of equipment and computers due to rate changes, power outages, time and date changes, or data loss or corruption • Mainenance of Anti -Virus, Anti -Spam, Internet Security, Customer Networks Software Support - Section [L Agreement covers support of the Software via telephone or e-mail, during Mountain Parking's regular business hours, 8:OOAM to 4:30PM Mountain time, Monday through Friday excluding Mountain Parking company holidays and any emergency related closings, and subject to the following Terms and Conditions: 1. UPDATES — Preferred Customer will receive all commercially released software updates applicable to their system at no additional cost. Updates are identified by an increase in the digit/s to the right of the last decimal in the model number of the Software. 2. UPGRADES —Preferred Customer will receive all commercially released software upgrades applicable to their system at no additional cost. Upgrades are identified by an increase in the digids between the decimals in the model number of the Software. Note: Systems with custom software may not be eligible for all updates or upgrades without additional software modifications that would be in addition to the cost of this Agreement. 3. TECHNICAL SUPPORT —Technical experts will provide unlimited assistance to Preferred Customer with operational questions, troubleshooting and general how-to questions. Preferred Customer will provide Mountain Parking with a High Speed Internet Gateway to The Software for testing the system. 4. PREFERRED CUSTOMER DISCOUNTS —If Preferred Customer requests telephone or e-mail support to be performed outside of Mountain Parking's regular business hours, or requests work that is not covered under this Agreement including on -site or Internet training or support, charges for support will be invoiced at a 25% Discount from Mountain Parking's then applicable labor rates. 5. CONTINUING EDUCATION— Preferred Customers will receive e-mail invitations to AmanoMcGann's Web conferencing and real-time interactive software demonstration sessions upon request. EXCLUSIONS — We offer a variety of fee -based Professional Services that are not covered under this Agreement including: • Data recovery or data fixing • Report formatting • System administration • System auditing • Support of non-standard credit card processing services • Other product/system compatibility analysis • Custom software engineering estimates • Web -based interactive operational training • Reprogramming of software due to rate or time changes, power outages, data loss or corruption • Repair of malfunctions resulting from acts of God, vandalism, misuse, electrical power surges, or power failure, or improper installation • Mainenance of Anti -Virus, Anti -Spam, Internet Security, Customer Networks General - Section III: 1. RENEWAL AND CANCELLATION —Agreement will renew annually, subject to adjustments in fees and coverage, and will remain in force until cancelled. Agreement may be cancelled by either party on 30 day written notice to the other party. No monies will be refunded in the event of cancellation. 2. DEFAULT — If Customer does not prepay the fees or charges due hereunder, Mountain Parking may discontinue services, or provide services on a cash -on -delivery per call basis. 3. HOLD HARMLESS — THE SOLE OBLIGATION OF MOUNTAIN PARKING UNDER THIS AGREEMENT IS TO MAKE NECESSARY REPAIR OF THE EQUIPMENT AND TO PROVIDE SUPPORT FOR THE SOFTWARE. CUSTOMER HEREBY AGREES THAT THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, WHICH WOULD IMPOSE UPON MOUNTAIN PARKING ANY OTHER OBLIGATION OR LIABILITY. MOUNTAIN PARKING SHALL NOT BE RESPONSIBLE FOR INCIDENTAL OR CONSEQUENTIAL INJURY, DAMAGES OR LOSS OF REVENUE RESULTING FROM MALFUNCTIONS OF THE EQUIPMENT OR SOFTWARE COVERED UNDER THIS AGREEMENT OR THE SUPPORT SERVICES PROVIDED HEREUNDER.
