ADDENDUM,
TO
PROFESSIONAL SERVICES AGREEMENT
THIS ADDENDUM TO PROFESSIONAL SERVICES AGREEMENT ("Addendum")
is made and entered into on the day and year set forth below by and between THE FORT
COLLINS, COLORADO, DOWNTOVVN_DE_ . OPMENT AUTHORITY, a body corporate
and politic (the "DDA" .,,and —MARKET VENTORES, INC., Maine corporation (the
"Professional"
WITNESSETH:
WHEREAS, the DDA and the Professional entered into that certain agreement entitled
"Professional Services Agreement" on January 25, 2010, for the provision by the Professional to
the DDA of a project concept analysis for the proposed Community Marketplace (the
"Agreement");
WHEREAS, as part of the project concept analysis, the Professional was asked to
identify additional steps that could be taken by the DDA which would provide a more complete
picture of the financial feasibility of the Community Marketplace;
WHEREAS, the Professional has recommended that the DDA include "schematic
design" and "owner and management" components to the project concept analysis, as such
components are described in the Scope of Services, attached hereto as Exhibit "A," and
incorporated herein by reference, which will provide to the DDA information necessary for a
comprehensive evaluation of the Community Marketplace concept;
WHEREAS, the Executive Committee of the DDA, on March 31, 2010, authorized the
addition of the aforementioned components to the Agreement and approved the expenditure of
up to Forty-three Thousand Fifteen Dollars and 0/100 ($43,015.00) for the provision of such
additional services by the Professional;
WHEREAS, the DDA and the Professional desire to enter this Addendum to include as
part of the Agreement the provision of such additional services by the Professional to the DDA,
on the terms and conditions hereinafter set forth; and
WHEREAS, such services rendered by the Professional will advance the statutory
mission of the DDA.
NOW, THEREFORE, in consideration of the mutual covenants and obligations herein
expressed, the receipt and adequacy of which are hereby acknowledged, it is agreed by and
between the parties hereto as follows:
1. Contract Period. This Addendum shall commence upon execution hereof and
shall extend the term of the Agreement for a period of six (6) months from the date of such
execution.
2. Scope of Services. The Professional agrees to provide services in accordance with
the scope of services attached hereto as Exhibit A (the "Scope of Services").
3. The Work Schedule. The Professional shall complete performance of the Scope of
Services on or before September 30, 2010.
4. Compensation. In consideration of the Professional's performance hereunder, the
DDA agrees to pay the Professional on a time and reimbursable direct cost basis in accordance
with the budget allocation contained in Exhibit B, attached hereto and incorporated herein by
this reference, up to a maximum amount of Forty-three Thousand Fifteen Dollars and 0/100
($43,015.00) for both the Professional's time and direct reimbursable costs.
5. Terms and Provisions of Agreement. Except as expressly provided in this
Addendum, all terms and provisions of the Agreement shall remain in full force and effect and
such terms and provisions are hereby incorporated by reference as part of this Addendum.
IN WITNESS WHEREOF, the parties hereto have executed this Addendum as of the day
and year of the last signature below written.

TO '
ADDEDNUM TO PROFESSIONAL SERVICES AGREEMENT
SCOPE OF SERVICES
I. Background. As part of the Project Concept Analysis, the consultant team was
asked to identify additional steps of financial feasibility, if needed. Based on the work
completed to date, we recommend that the DDA include "schematic design" and
"ownership and management" tasks to the feasibility study. These tasks, integrated with
the other parts of the financial feasibility study will provide a complete picture of the
Community Marketplace for evaluation and will allow the project to move directly into
the predevelopment phase, if desired. As presented to the DDA board on March 11, these
two tasks are an integral part of a feasibility study and will provide critical information
that is needed to evaluate the concept.
II. Services to be Performed. The additional tasks to be performed shall include:
A. Design concept. Schematic drawings of the Community Marketplace
at to two preferred sites will be prepared. These drawings will explore
the integration of existing buildings at the sites, access, loading and
parking requirements, and critical design issues such as entries,
customer circulation, visibility, adjacencies, and the efficient use of
space, tied to the program requirements for the vendors. The schematic
drawings will provide square footages for each program element,
which will be utilized for cost estimation.
B. Ownership and Management
i. Ownership. Options for owning and sponsoring the Community
Marketplace will be explored, including public, nonprofit, and
private structures, and the potential for creating the market
within a mixed -use development.
ii. Management. Based on national models and experience, a
management structure for the Community Marketplace will be
recommended, linking the needs for financial accountability and
stability, representation of the market's various constituencies,
and operational efficiency. Key management responsibilities
will be outlined and a staffing plan developed.
iii. Operations. Operating characteristics for the Community
Marketplace, including seasons and hours of operation and key
operating rules, will be proposed.
C. Site Visits. The budget for the additional tasks identified in Sections A
and B above includes a second site visit for Hugh Boyd and an
additional site visit for Ted Spitzer. An additional site visit for Ted
Spitzer has been included as part of the budget for the purpose of
participating in the upcoming design charrette for the Steele's building
site, continuing the key informant interviews, and meeting an
additional time with the Planning Team.
