THIS AGREEMENT made and entered into the day and year set forth below, by and
between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred
to as the "City" and Stolfus and Associates, Inc., hereinafter referred to as 'Professional'.
WITNESSETH:
In consideration of the mutual covenants and obligations herein expressed, it is agreed by
and between the parties hereto as follows:
1. Scope of Services. The Professional agrees to provide services in accordance with
the scope of services attached hereto as, Exhibit "A", consisting of fifteen (15) pages, and
incorporated herein by this reference.
2. The Work Schedule. The services to be performed pursuant to this Agreement shall
be performed in accordance with the Work Schedule attached hereto as Exhibit "B", consisting of
one (1) page, and incorporated herein by this reference.
3., Contract Period. This Agreement shall commence September 14, 2009, and shall
continue in full force and effect until February 14, 2011, unless sooner terminated as herein
provided.
4. Early Termination by City. Notwithstanding the time periods contained herein, the
City may terminate this Agreement at any time without cause by providing written notice of
termination to the Professional. Such notice shall be delivered at least fifteen (15) days prior to the
termination date contained in said notice unless otherwise agreed in writing by the parties.
All notices provided under this Agreement shall be effective when mailed, postage prepaid and sent
to the following addresses:

use path will be identified, if appropriate. Grading at up to twenty-seven (27) proposed
driveways will be completed to establish acceptable grades and determine catch points within
parking lots. Driveway locations compatible with the US 287/SH14 Access Management Plan's
short-term access plan have been identified in the Conceptual Design. Locations, widths, and
grades will be confirmed during preliminary design. Driveway grading will be incorporated into
one overall grading plan and construction impacts will be identified.
Intersection Design
Preliminary intersection layouts will be prepared for Vine Drive, Woodlawn, Alpine,
Pinon/Realigned Vine Drive, Hemlock, Conifer, and Hickory. Truck turning movements will be
investigated to establish curb return radii and median noses. Intersection sight distance will be
evaluated. Curb ramps and crosswalks will be established. Intersection grading will be
developed, with priority on North College Avenue grades and cross -slopes over intersecting
street grades and cross -'slopes.
Design of a full intersection at Realigned Vine Drive is not included in this scope of work;
however, the preliminary design will define interim conditions at the proposed Realigned Vine
Drive intersection compatible with future implementation of this arterial roadway. In addition, the
feasibility of reconstructing North College Avenue at the Realigned Vine Drive intersection in
concrete will be evaluated including limits of concrete and associated construction costs. A
concrete jointing,plan will not be included in the preliminary FIR plan set.
The design of the proposed side -by -side left configuration at Conifer Street and Hickory Street is
included in this scope of work. We will consider compatibility with the future realignment of
Conifer Street when designing the Hickory Street intersection as related to such items as signal
pole locations, utilities, and other potential design elements. The design of the future
realignment of Conifer Street is not included in this scope of work.
Individual Site Modifications
Design issues/impacts specific to individual properties and businesses will be evaluated to a
preliminary level. Issues may include vehicle circulation, parking, vehicular access, business
access, pedestrian circulation, and impacts to significant site appurtenances including signs,
landscaping, doorways, etc. For the purposes of budgeting we have assumed individual site
evaluations for twenty-five (25) properties. Property owner mitigation exhibits, -as described in
Task 14, will be prepared to illustrate evaluation results and proposed conditions.
Task 3 — Pedestrian Structure Design
Two pedestrian structures over the Lake Canal, one located on either side of North College will
be designed to a preliminary engineering level. It is assumed that the structures will be of the
same type and have similar geometry. PBS&J will determine layout alternatives, structure type
alternatives, and foundation alternatives for the pedestrian bridges based on hydraulic and scour
potential evaluation completed by Ayres Associates and the Foundation Investigation Report
completed by CTL Thompson. With input from Design Workshop, architectural alternatives will
be considered. Coordination with respect to the structure design will occur with representatives
from the Lake Canal. Construction phasing as related to potential future replacement of the
existing North College bridge over the Lake Canal will be considered. A Structure Selection
Report will be prepared and submitted to City and CDOT Staff, as well as to representatives
from the Lake Canal, for review and comment. Comments on the Structure Selection Report will
be.addressed and a final report will be submitted.
Deliverables: Four (4) copies of the Structure Selection Report
Task 4 — Soils and Foundation Investigations
CTL Thompson will conduct soil and foundation investigations for the following improvements:
9 Two proposed pedestrian bridge structures over the Lake Canal
A boring plan will be prepared and boring locations will be approved by City and CDOT Staff
prior to drilling. The following elements will be completed for the Soils and Foundation
Investigation Report:
1. Obtain required permits for drilling in the State Highway right-of-way. Note: The City will
provide right -of -entry for borings located outside of the State Highway right-of-way.
2. Provide traffic control, as necessary, during drilling operations.
3. Drilling four (4) borings (two for each pedestrian bridge)
• Borings will be drilled to depths between 30 and 35 feet or to auger drill refusal.
• Samples will be taken for additional testing and the ground -water levels will be
measured in the borings when completed.
• Borings will be backfilled per City of Fort Collins requirements.
4. Conduct laboratory testing on representative samples obtained from the borings.
5. Prepare a report summarizing the results of the field and laboratory work proposed above,
and presenting our analysis, opinions, conclusions and recommendations including the
following:
• A summary log of the borings with descriptions of the soils/bedrock penetrated by the
borings and the depth to the ground water measured in the borings
• Discussions regarding:
- recommended foundation design and construction criteria for pedestrian bridge
abutments and wing walls;
- - excavation considerations including excavation difficulties, side slopes, slope
bracing and temporary dewatering recommendations, if needed; and
- water soluble sulfates and a need for special cement used in concrete in contact
with soils and/or bedrock.
Soils and foundation investigations for the proposed traffic signals at Conifer Street and Hickory
Street are not included in this scope of work. Foundations for the traffic signals will be based on
the CDOT M&S Standards.
Deliverables: Four (4) copies of the Soils Foundation Investigation Report signed by an
engineer registered in the State of Colorado and a Colorado Professional
Geologist
One (1) electronic copy of the Soils and Foundation Investigation Report
Task 5 — Drainage/FloodplainMater Quality/Utilities
Hydrologic Analysis
Ayres Associates will conduct, supplemental detailed hydrologic analysis necessary to support
the design. The MODSWMM model created during Conceptual Design will be used as a starting
point to confirm flow rates for storm sewer trunk lines, channels, laterals, and inlets. Additional
detailed basin delineation will be necessary to provide detailed design point information along
the proposed storm sewer and to help identify needed storm sewer lateral and inlet locations.
The hydrologic analysis will include the 10-year and 100-year storm events. Ayres Associates
will provide the preliminary models created to the City for review.
Hydraulic Analysis.
Ayres Associates will analyze the proposed storm sewer hydraulics for the 10-year and 100-year
storm events. Ayres will use EPA SWMM 5.0.016 to analyze the storm drainage system. Inlet
design will be performed using UDINLET. Any street and channel conveyance capacities will be
determined using Manning's equation, normal depth calculations or HEC-RAS modeling.
Storm Sewer Design
Based on the results of the EPA SWMM 5.0.016 modeling and the preliminary r roadway design,
the Conceptual Design storm sewer system will be updated to a preliminary engineering level.
Size, slope, and material of the storm sewer system will be detailed. Profiles will be prepared for

the trunk lines and laterals and will identify utility crossings. Utility conflicts will be evaluated.
Calculations for the storm sewer system will be completed per the CDOT Drainage Design
Manual.
Water Quality Pond Design and Floodplain `no -rise" investigation
Ayres Associates will design the proposed water quality pond and outlet structure. Per the
Conceptual Design, the water quality pond will be located south of Lake Canal on the west side
of North College Avenue. The design of the water quality pond will be coordinated with the
pedestrian trail. The Conceptual Design grading plan for the water quality pond will be updated
with spot elevations. The intent of the design within the 1-foot and %2-foot floodways is to obtain
a "no -rise" certification for the proposed improvements. Calculations and design details will be
updated, planting materials will be reviewed, and "floatable" items will be identified for anchoring
in preparation for a "no -rise" certification. This scope of work does not include preparation of a
CLOMR/LOMR A perimeter drain for high groundwater is not anticipated and is not included in
this scope of work.
Preliminary Drainage, Erosion Control and Floodplain Report
A Preliminary Drainage, Erosion Control, and Floodplain Report, signed and stamped by
Colorado PE, will be prepared including:
• summary of project including existing and proposed conditions
• hydrologic and hydraulic analyses
• a conditional "no -rise" certification for improvements within the floodway
• relevant design calculations for storm sewer, water quality ponds, and improvements
within the floodway
• documentation of key design decisions related to storm sewer, water quality ponds (MS4
requirements), erosion control and improvements within the floodwayl/2 size set of
preliminary design drawings.
Ayres Associates will address review comments, and incorporate the comments and responses
into a final submittal.
Utility Design and Coordination
Using existing utility mapping prepared during Conceptual Design and the design of the
proposed storm sewer system, Ayres Associates will identify potential utility conflicts and
develop a potholing plan. The City will provide potholing services and survey of potholes.
Based on the topographic survey data, field visits, and pothole data, utility resets, adjustments,
and relocations required for the project will be identified. Design for relocations is not included in
this scope of work. Continued coordination with the utility companies will be completed to
discuss project elements and conflicts. Preliminary plans will be sent to each utility company for
review. As described in Task 1, one (1) utility meeting will be held to coordinate with utilities.
The City will be responsible for the street lighting design.
Pedestrian Structure Analysis and Lake Canal Coordination
Ayres Associates will evaluate the size of the pedestrian structures over the Lake Canal and
scour potential at the structures to provide recommendations for the structure design. In
addition, Ayres and PBS&J will continue coordinating with the Lake Canal Company on design
of the pedestrian structures and the siphon required for the storm sewer system.
Preliminary Stormwater Management Plan (SWMP)
Ayres Associates will prepare a preliminary SWMP plan for inclusion in the FIR plans. Erosion
control plans and best management practices will be identified for the project. A SWMP Report
is not included in this scope of work.

Task 6 — Landscape/Streetscape Design
Schematic Design
Based on the Conceptual Design, Design Workshop will prepare a Schematic Streetscape
Design Plan. The intent of the schematic design phase is to define the design character of the
overall streetscape design prior to moving into design development/preliminary engineering level
drawings. Schematic design drawings describe the size, shape, volume, spatial relationships,
and functional characteristics of project components. They are usually general in nature with few
dimensions. The specific tasks to be completed are as follows:
• Develop one concept per streetscape element to include sidewalk color and scoring
patterns, bike lane color and material options, curb treatment, crosswalk design,
pedestrian bridges, planting design, boulder accents, landscape walls, transit stops, sight
furnishings (planters, trash receptacles, bicycle racks, park benches), pole bases,
pedestrian level lighting, railings, fences, bollards/markers/monuments, splash blocks,
mulch materials, signage, public art, and utility box screening. Concepts will be illustrated
in hand sketch format or cutsheet image. Consistency with City standards, policies, and
maintenance considerations will be incorporated into the concepts. The City will provide
details on maintenance requirements. Public art opportunities will be identified. The
City's Art in Public Places program will be responsible for the design of project public art
pieces.
• Using the streetscape concepts developed and design information, including circulation
and grading provided by Stolfus & Associates, Design Workshop will prepare an overall
site plan that clearly illustrates the site development concept, key relationships, planting
concepts, site furnishings, site circulation, preliminary grading and drainage from behind
.the back of curb tying into the existing grades, and the relative disposition of the program
on the site. Overall site plan to be created in AutoCad.
• Prepare an overall streetscape plan illustrative graphic illustrating the preferred design
alternative. Drawing at 1 "=20'4'. This will depict layout and organization of the
streetscape.
• Prepare up to two (2) illustrative before and after sketches illustrating basic design intent.
Drawings will illustrate the schematic design of the gateway and one typical streetscape
view. The City will be responsible for providing images for the existing conditions.
• Prepare a pedestrian lighting design strategy and develop a schematic landscape
lighting scheme for the corridor to include location of lighting, poles, luminaries, and
secondary lighting elements. Design Workshop will coordinate this effort with Ackerman
Engineering. The City will establish maintenance responsibilities for pedestrian lighting
and provide requirements defined by the responsible party for pedestrian lighting
elements. Materials will be consistent with the City's maintenance requirements.
• Prepare schematic level signage plan and visual character for elements that may include
informative street signs, markers (such as historic or interpretive), addresses, and
gateways. The purpose of the signage plan is to confirm a logical hierarchy for signage
and wayfinding elements in the corridor and determine a clear and concise layout for
informational elements.
• Prepare schematic level opinion of probable site/landscape cost based on the preferred
alternative.
• Conduct internal Schematic Design Quality Control Reviews for aesthetic and technical
content.
• Attend up to one (1) in -person design work session with the selected team members to
review schematic design concepts and come to an agreement on the aesthetic design
vocabulary to carry the project forth with.
Design Development (Preliminary Engineering Level)
Based on the Client approved Schematic Design Plan and schematic level opinion of probable
site/landscape construction cost, Design Workshop will prepare a Design Development Plan or
preliminary engineering level streetscape/landscape plans. The purpose of the design

development phase is to move the drawings towards construction level documentation. The
emphasis shifts from the overall relationships and functions to more technical issues of
constructability and integration of systems and components. The Design Development level
drawings are considered equivalent to the FIR level of design. The specific tasks to be
completed are as follows:
Coordinate a site demolition plan with Stolfus and Associates illustrating existing
hardscape and landscape areas that will be demolished or preserved.
Prepare tree protection plans illustrating existing trees and other plant materials to be
protected, relocated, or removed during construction.
Prepare Site Hardscape Materials -Amenities Plan. The site Hardscape Plan will include
materials and patterns for pedestrian pavements including sidewalks, crosswalks, transit
stops, and pedestrian refuge areas; the locations of site furnishings and amenities such
as benches, trash receptacles, planters, public art opportunities, bike racks, and railings;
and other site elements that are a part of the proposed streetscape. In addition, the plans
will address site interface with project utility structures such as transformers and utility
boxes. The City's Art in Public Places program will be responsible for the design of
project public art pieces.
Prepare planting plans for all landscape areas to illustrate planting composition, plant
species, locations and sizes of major planting features. Final selection, size and location
of all plant species will be coordinated during Final Design.
Prepare soil plan to differentiate between structural soils, planting soils, mulch, and other
soils.
Prepare a preliminary irrigation plan illustrating overall irrigation intent. The Preliminary
Site Irrigation plan will consist of an overall drawing indicating the preliminary size,
location and coverage of pipe and irrigation heads, valves and controllers. The scope for
irrigation design does not include design for supply lines bringing water to the site or off -
site improvements beyond adjacent public streets. Ayres Associates will,work with City
Staff to identify water sources and tap locations. The scope will be from the backflow
preventer at the water source, through all irrigation components of the development. The
City will establish maintenance responsibilities for irrigation and provide requirements
defined by the responsible party for irrigation elements. Materials will be consistent with
the City's maintenance requirements. A final irrigation design, including final size,
location and coverage of pipe and irrigation heads, valves and controllers will be included
in Final Design.
Prepare a preliminary level landscape lighting scheme for all major landscape areas on
the project. Design Workshop will prepare a preliminary site lighting plan that includes
location and fixtures for all site lighting including street lights, bollard lights and any
necessary landscape lights. Materials will be consistent with the City's maintenance
requirements. Design Workshop will consult with Ackerman Engineering in order to
insure that light fixtures, locations, and electrical routing are coordinated with the level of
understanding of the design development package. Design Workshop will also
coordinate the preliminary site lighting plan with Ackerman Engineering to insure fixtures,
spacing, and design development level of detailing is appropriate. Ackerman
Engineering, will complete a photometric analysis for the pedestrian lighting. Final
fixtures and locations will be determined in Final Design City Light and Power will
develop a street light design with the intent that City crews will install.
Prepare a refined level signage plan and package for the site corridor. The purpose of
the package is to create a plan that expands upon and completes a logical hierarchy for
signage and wayfinding types and/or features for the project area. The benefits of the
plan would be to determine the function, location, and preliminary message of each
proposed sign or wayfinding element that may include informative street signs, markers
(such as historic or interpretive), addresses, and. gateways. This would include elevation
and sections to graphically illustrate the following: Scale, proportion, dimensions,
material(s), color(s), texture(s), detail(s), copy text, graphic treatments, accent lighting

and site relationship to the adjacent roadway, buildings, and existing or proposed
landscape.
Coordinate with Stolfus and Associates on preliminary grading and drainage plans and
provide input on the preliminary grading as it relates to landscape areas and pedestrian
area systems from behind the back of curb and tying into existing grades. Coordinate
with Stolfus & Associates and Ayres Associates on the gateway design as it relates to
pedestrian routes and the proposed water quality pond..
Select site development materials and prepare design development details and
enlargements. Sketch details (at scales required) will be prepared indicating details of
special paving materials and patterns, site lighting, site furnishings, planting details, and
irrigation. Site walls are not anticipated and are not included in this scope of work.
Detailing to be developed for all landscape and pedestrian areas from back of curb to
Right of Way line, raised medians, crosswalks, and special intersection treatments.
Deliverables: Schematic Design Plans as described above.
Design Development Plans to be incorporated into FIR plans as described in
Task 7
Task 7 — FIR Plans
Preliminary level FIR Plans will be prepared, compiled, and submitted to the City and CDOT for
review. The plan set will include the following sheets, as appropriate:

Task 8 — Preliminary Project Specifications
Preliminary project specifications for all disciplines will be prepared in CDOT format and will
supplement CDOT's Standard Specifications and Standard Revisions. Preparation of a project
boiler plate is not included and will be provided by the City.
Deliverables: One (1) preliminary project specification book (black and white, 8.5X11, double -
sided -format)
One (1) electronic copy of preliminary project specifications
The City will be responsible for reproducing specifications for City Staff and CDOT Staff.
Task 9 — Quantities and Opinion of Probable Costs
Project quantities will be calculated. Item descriptions and units will follow CDOT format.
Tabulations and a summary of approximate quantities will not be included in the FIR plans.
Based upon these quantities, an engineer's opinion of probable construction cost for the
proposed improvements will be prepared. City and CDOT historical data will be used to evaluate
unit costs. Unit costs will be based on bid prices from projects of similar scope with similar
locations and professional judgment. The opinion of probable cost is not intended to be used as
a guaranteed maximum price. Costs will include construction costs only. The City will provide
estimates for right-of-way acquisition and project administration costs.
Deliverables: Opinion of Probable Cost
Task 10 - QA/QC
Stolfus & Associates, Inc. will perform a Quality Assurance/Quality Control (QA/QC) review of
project submittals for conformity with project requirements and guidelines. Submittals will be
reviewed for conformity with City and CDOT Standards and overall completeness and accuracy.
Task 11 — FIR Meeting and Post FIR Revisions
Stolfus & Associates, Inc. will attend a preliminary FIR design review meeting with City and
CDOT staff to discuss comments on the FIR plan submittal. Meeting minutes and responses to
comments will be prepared.

Task 12 — Survey/ROW/Railroad Coordination
Based on appropriated funds and anticipated construction limits, the ROW process will be
separated into two phases. Task 12a will include preparation of a survey control diagram for the
entire project, ROW plans for Phase 1 construction (Vine Drive to Hemlock Street) and will
initiate coordination with the UPRR. Task 12b will include ROW plans for the remainder of the
project (Hemlock Street to Hickory Street) and follow-up coordination with the UPRR for ROW
acquisition. Task 12b assumes that a separate set of ROW plans will be prepared and the

coordination to obtain clearances, including a ROWPR, will be completed as a separate process
from Task 12a. Task 12b is an add alternate and can be added to the scope of work at the
City's discretion. Stolfus & Associates, Inc. will not complete Task 12b without written consent
from the City. If the City identifies the need for Task 12b prior to December 31, 2009, Stolfus &
Associates, Inc. will work with the City and Farnsworth Group to redefine the scope to combine
Task 12a and Task 12b.
Task 12a — Survey/ROW/Railroad Coordination
Survey
As part of CDOT specifications and procedures, Farnsworth Group will upgrade and install
several CDOT (Type II) monuments to meet control requirements identified in the CDOT Survey
Manual. This is necessary to set ROW monuments and for construction staking during the
construction phase. Three CDOT type control monuments will be set and as many of TST's
monuments (both set and found) necessary to incorporate the current project control and
topography will be used. The survey control (horizontal and vertical) for the project will be tied
to the Colorado HARN/HPGN Network (NAD 83/NAVD 29 datums).
Once the control has been upgraded, a Survey Control Diagram (SCD) will be produced using
the standards and specifications set forth in the CDOT ROW Manual (Chapter 2). The SCD will
become part of the final construction plans as well as part of the CDOT Right -of -Way plans. A
surrey tabulation will also be prepared an incorporated into the FIR plans.
ROW
Farnsworth Group will prepare preliminary right-of-way plans and legal descriptions for up to 25
parcels between Vine Drive and Hemlock Street. Using proposed ROW lines and easements
(temporary and permanent) provided by the design team, parcels/easements will be calculated
using INROADS COGO software. Right-of-way plans will include the following sheets:
• Title Sheet (project location map)
• Property Owners Tabulation
• Project Control Diagram
• Land Survey Control Diagram
• Tabulation of Boundary Evidence
• Monumentation Sheets
• R.O.W. Plan Sheets
• Ownership Map (prepared in Conceptual Design — updates based on additional
information gathered by City Staff will be made)
Individual legal descriptions and exhibits will be prepared for each parcel.
A Right of Way Plan Review (ROWPR) with City and CDOT personnel will be conducted to
review the right-of-way plans. Based on comments from the ROWPR, ROW Plans and legal
descriptions will be revised and submitted for final authorization.
Railroad Coordination
ROW acquisition from the Union Pacific Railroad (UPRR) is anticipated at the railroad spur
located across from the Conifer Street intersection. Stolfus & Associates, Inc. and Farnsworth
Group will provide support to City Staff on coordination with UPRR Staff related to ROW
acquisition, railroad processes, requirements, and permitting. This scope includes attendance at
one (1) meeting within the State of Colorado with UPRR Staff to introduce the project and
discuss process, including preparation of informational meeting packets for railroad staff.
Except for the deliverables listed below, preparation of additional right-of-way acquisition
materials is not included. Acquisition support, including materials to support condemnation
proceedings, is not included in this scope of work. In addition, the following items will either be
deferred or provided by the City.

Task 12b — ROW/Railroad Coordination Add Alternate
ROW
Farnsworth Group will prepare preliminary right-of-way plans and legal descriptions for up to 15
parcels between Hemlock Street and Hickory Street. Using proposed ROW lines and
easements (temporary and permanent) provided by the design team, parcels/easements will be
calculated using INROADS COGO software. Right-of-way plans will include the following
sheets:
• Title Sheet (project location map)
• Property Owners Tabulation
• Project Control Diagram
• Land Survey Control Diagram
• Tabulation of Boundary Evidence
• Monumentation Sheets
• R.O.W. Plan Sheets
• Ownership Map (prepared in Conceptual Design — updates based on additional
information gathered by City Staff will be made)
Individual legal descriptions and exhibits will be prepared for each parcel.
A Right of Way Plan Review (ROWPR) with City and CDOT personnel will be conducted to
review the right-of-way plans. Based on comments from the ROWPR, ROW Plans and legal
descriptions will be revised and submitted for final authorization.
Railroad Coordination
Stolfus & Associates, Inc. and Farnsworth Group will provide support to City Staff on follow-up
coordination with UPRR Staff specifically related to completing the necessary ROW acquisition
for the project. This scope includes attendance at up to one (1) meeting within the State of
Colorado with UPRR Staff, including preparation of informational meeting packets for railroad
staff.
Except for the deliverables listed below, preparation of additional right-of-way acquisition
materials is not included. Acquisition support, including materials to support condemnation

proceedings, is not included in this scope of work. In addition, the following items will either be
deferred or provided by the City.
• Supplemental survey needed for design (City)
• Potholing and survey for potholes (City)
• Title Commitments (City)
• Appraisals(City)
• Fair Market Value (FMV) Determination (City)
• Negotiations (City)
• Appraisal staking
• ROW Monumentation
• Deposit ROW Plans with appropriate County officials.

Task 13 — Environmental Investigations
In order to obtain a Categorical Exclusion for the improvements, Stolfus & Associates, Inc., with
the assistance of PBSU, Merco, and CTL Thompson will complete the necessary studies and
documentation to complete CDOT Form 128. PBSU will coordinate and compile necessary
environmental documentation and will complete CDOT Form 128 for environmental clearance.
The following studies and documentation will be completed:
Air Quality & Noise
Future Realigned Vine Drive is the only intersection with LOS D or worseidentified in the Traffic
Study. Since Realigned Vine Drive will not be constructed prior to this project, an air quality hot
spot analysis is not necessary. Noise impacts are also not anticipated for the project. A memo
documenting the reasons why analyses are not necessary for air quality and noise will be
prepared.
Hot spot analysis and noise analysis are not included in this scope of work.
Deliverables: Air Quality and Noise Memo
Environmental Site Assessments
CTLIThompson will conduct Limited Environmental Site Assessments for properties requiring
right-of-way acquisition, as identified by CDOT during the Initial Site Assessment. For budgeting
purposes, this scope of work includes investigations for five (5) properties. The following tasks
are included:
• Prepare a soil boring/monitoring plan for approval by the City and CDOT.
• Drill borings to bedrock to determine the subsurface conditions at locations identified in
the boring/monitoring plan, install temporary monitoring wells, and obtain soil and water
samples. (Assumes 3 borings per site.)
• Conduct field and laboratory testing on representative samples obtained from
borings/monitoring wells, as required for analysis.
• Analyze field and laboratory test results and assess the presence or absence of soil
and/or groundwater contamination.
• Prepare reports summarizing the results of the field and laboratory work, presenting an
assessment of existing contamination, if any, as compared with State and Federal
standards.

In the event of any such early termination by the City, the Professional shall be paid for services
rendered prior to the date of termination, subject only to the satisfactory performance of the
Professional's obligations under this Agreement. Such payment shall be the Professional's sole right
and remedy for such termination.
5. Design, Proiect Indemnity and Insurance Responsibility. The Professional shall be
responsible for the professional quality, technical accuracy, timely completion and the coordination
of all services rendered by the Professional, including but not limited to designs, plans, reports,
specifications, and drawings and shall, without additional compensation, promptly remedy and
correct any errors, omissions, or other deficiencies. The Professional shall indemnify, save and hold
harmless the City, its officers and employees in accordance with Colorado law, from all damages
whatsoever claimed by third parties against the City; and for the City's costs and reasonable
attorneys fees, arising directly or indirectly out of the Professional's negligent performance of any of
the services furnished under this Agreement. The Professional shall maintain commercial general
liability insurance in the amount of $500,000 combined single limits and errors and omissions
insurance in the amount of $1,000,000.
6. Compensation. In consideration of the services to be performed pursuant to this
Agreement, the City agrees to pay Professional a fixed fee in the amount of Four Hundred Forty
Four Thousand Thirty Dollars ($444,030.00) plus reimbursable direct costs in the amount of
Eighteen Thousand Sixty Four Dollars ($18,064.00). All such fees and costs shall not exceed Four
Hundred Sixty Two Thousand Ninety Four Dollars ($462,094.00). Monthly partial payments based
upon the Professional's billings and itemized statements are permissible. The amounts of all such
partial payments shall be based upon the Professional's City -verified progress in completing the
Standard Professional Services Agreement- rev07/09

• If needed, identify potential mitigation measures.
Mitigation plans are not included in this scope of work, but may be added to the scope if
environmental investigations indicate a need, as requested by the City. In addition, the following
items will be completed by City Staff.•
• Right -of -entry for identified properties
Deliverables: Reports documenting the Environmental Site Assessments for the 5 properties
signed by an engineer registered in the State of Colorado and a Colorado
Professional Geologist and, if needed, recommendations for mitigation..
Threatened and Endangered Species
A habitat assessment of the project area will be conducted. Based on the findings, a memorandum
will be prepared to give an overview of the biological resources that are present in the project area
including threatened and endangered species, migratory birds, prairie dogs, and noxious weeds.
Impacts to threatened and endangered species are not anticipated.

Wetlands
A wetland identification will be conducted as part of the habitat assessment described above. A
memorandum will be prepared to document the findings. Impacts to wetlands are not anticipated.
Wetland mitigation plans are not included in the scope of work.

Senate Bill 40 (SB 40)
An application for SB 40 certification will be submitted to the Colorado Division of Wildlife for the
pedestrian bridge crossings at the Lake Canal. For budgeting purposes, it is assumed that SB
40 certification will be issued upon the first application and mitigation Will not be required.
Deliverables: SB 40 Certification Application
The following environmental clearances will be completed by the City or CDOT.•
• Historic/Archeological — The City will conduct an Archeological Survey and Historic
Resource inventory including coordination with the State Historic Preservation Office
(SHPO) in accordance with Section 106 of the National Historic Preservation Act. Effects
of the project on historic/archeological resources will be identified and a mitigation plan
will be prepared, if needed. A cultural resources report will be prepared. The City will
address Section 4(0/6(o impacts, if required.
• Paleontology— CDOT will conduct a Paleontological Survey, if required.
Task 14 — Stakeholder Involvement
Public Open House
Stolfus & Associates, Inc. will conduct one (1) Public Open House near the end of preliminary
design. The purpose of the meeting is to update the public, elected officials, and business
community, including the NFCBA, on the proposed design, property impacts, schedule, funding,
and scope of the first construction project or projects. Stolfus & Associates, Inc will prepare
exhibits (8-10 large format display boards mounted on foam core), a "frequently asked questions"
(FAQ) hand-out, comment sheets, sign -in sheets, and staff name tags. We will also tabulate or
summarize written comments and distribute the summary to City Staff. No workshop style, formal
public meeting presentations, or one-on-one meetings are included in this scope of work.

Presentation support
Stolfus & Associates, Inc. will provide limited support to City Staff for preparation of presentations
or packet materials. Support may include preparation of graphical depictions of project elements
or technical data that may be included in a presentation prepared by City Staff. For budgeting
purposes, we have assumed preparation of ten (10) graphics over the course of preliminary
engineering.
Property Owner Mitigation Exhibits
In support of City Staff, Stolfus & Associates, Inc. will prepare property owner exhibits for use
during one-on-one coordination meetings with affected property owners. Exhibits will be
provided in black and white, 8.5X11 format. Elements that may be illustrated include property
impacts, mitigation, circulation, and access. For budgeting purposes, we have included up to
ten (10) exhibits.
The following items will be completed by City Staff.•
• Primary point of contact for the public. All project materials distributed will identify the
City's project manager as the primary point of contact and questions/comments received
from the public will be directed to the City's project manager.
• Project progress reports for the website.
• Open House publicity including preparation and distribution of invitations, -public notice
and press releases, and compilation of project contact list.
• Obtaining space to conduct the Open House.
• Providing refreshments at the Open House.
• Open House follow-up including preparation of meeting summary for City Council/Staff
and formal responses to public comments/questions
• Website management. The City will manage and update the project website, as needed.
• City Council Meetings & Work Sessions including preparation of packet and presentation
materials and attendance at meetings
• Transportation Board Meetings including preparation of packet and presentation
materials and attendance at meetings
• Day-to-day contact with property owners
• Conduct one-on-one meetings with property owners
• NFCBA coordination including day-to-day communication about project progress and
updates to the NFCBA at their regularly scheduled meetings. Preparation of presentation
materials for NFCBA meetings will be completed by the City.

Schedule and Fee
Stolfus and Associates, Inc. can begin work on this project immediately upon notice to proceed.
We anticipate completion of the above scope of work according to the attached schedule.
Stolfus and Associates, Inc. will coordinate with the City to modify the schedule if unforeseen
circumstances arise that impact the schedule.
Stolfus & Associates, Inc. will provide these services on a Time and Materials basis with a "Not
to Exceed" limit which we will not charge beyond without prior written approval. Project
expenses will be reimbursed at cost. We have estimated that the above scope of services,

excluding the add alternate could be completed for a maximum "Not to Exceed" budget of

EXHIBIT D
INSURANCE REQUIREMENTS
1. The Professional will provide, from insurance companies acceptable to the City, the
insurance coverage designated hereinafter and pay all costs. Before commencing work under
this bid, the Professional shall furnish the City with certificates of insurance showing the type,
amount, class of operations covered, effective dates and date of expiration of policies, and
containing substantially the following statement:
"The insurance evidenced by this Certificate will not be cancelled or materially altered,
except after ten (10) days written notice has been received by the City of Fort Collins."
In case of the breach of any provision of the Insurance Requirements, the City, at its option, may
take out and maintain, at the expense of the Professional, such insurance as the City may deem
proper and may deduct the cost of such insurance from any monies which may be due or
become due the Professional under this Agreement. The City, its officers, agents and
employees shall be named as additional insureds on the Professional's general liability and
automobile liability insurance policies for any claims arising out of work performed under this
Agreement.
2. Insurance coverages shall be as follows:
A. Workers' Compensation & Employer's Liability. The Professional shall maintain
during the life of this Agreement for all of the Professional's employees engaged in work
performed under this agreement:
Workers' Compensation insurance with statutory limits as required by
Colorado law.
2. Employer's Liability insurance with limits of $100,000 per accident,
$500,000 disease aggregate, and $100,000 disease each employee.
B. Commercial General & Vehicle Liability. The Professional shall maintain during
the life of this Agreement such commercial general liability and automobile liability
insurance as will provide coverage for damage claims of personal injury, including
accidental death, as well as for claims for property damage, which may arise directly or
indirectly from the performance of work under this Agreement. Coverage for property
damage shall be on a "broad form" basis. The amount of insurance for each coverage,
Commercial General and Vehicle, shall not be less than $500,000 combined single limits
for bodily injury and property damage.
In the event any work is performed by a subcontractor, the Professional shall be responsible for any
liability directly or indirectly arising out of the work performed under this Agreement by a
subcontractor, which liability is not covered by the subcontractor's insurance.

services to be performed pursuant hereto and upon the City's approval of the Professional's actual
reimbursable expenses. The parties acknowledge that Ayres Associates, PBS&J, Merco, Design
Workshop, CTL Thompson, Farnsworth Group and Ackerman Agency are not parties to this
agreement. However, the rates listed for services to be provided by these subcontractors shall be
the rate paid by the City to the Professional for these services. If the amounts charged by these
subcontractors exceed the rates listed in Exhibit "C" the excess amount shall not be paid or owed by
the City. The limitation on increases in prices set forth in section 4 herein shall apply to all rates
listed in Exhibit "C" including subcontractor rates.
7. City Representative. The City will designate, prior to commencement of work, its
project representative who shall make, within the scope of his or her authority, all necessary and
proper decisions with reference to the project. All requests for contract interpretations, change
orders, and other clarification or instruction shall be directed to the City Representative.
8. Project Drawings. Upon conclusion of the project and before final payment, the
Professional shall provide the City with reproducible drawings of the project containing accurate
information on the project as constructed. Drawings shall be of archival, prepared on stable Mylar
base material using a non -fading process to provide for long storage and high quality reproduction.
"CD" disc of the as -built drawings shall also be submitted to the City in an AutoCAD version no older
then the established city standard.
9. Monthly Report. Commencing thirty (30) days .after the date of execution of this
Agreement and every thirty (30) days thereafter, Professional is required to provide the City
Representative with a written report of the status of the work with respect to the Scope'of Services,
Work Schedule, and other material information. Failure to provide any required monthly report may,
at the option of the City, suspend the processing of any partial payment request.
10. Independent Contractor. The services to be performed by Professional are those of
an independent contractor and not of an employee of the City of Fort Collins. The City shall not be

11. Personal Services. It is understood that the City enters into this Agreement based on
the special abilities of the Professional and that this Agreement shall be considered as an
agreement for personal services. Accordingly, the Professional shall neither assign any
responsibilities nor delegate any duties arising under this Agreement without the prior written
consent of the City.
12. Acceptance Not Waiver. The City's approval of drawings, designs, plans,
specifications, reports, and incidental work or materials furnished hereunder shall not in any way
relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's
approval or acceptance of, or payment for, any of the services shall not be construed to operate as a
waiver of any rights or benefits provided to the City under this Agreement.
13. Default. Each and every term and condition hereof shall be deemed to be a material
element of this Agreement. In the event either party should fail or refuse to perform according to the
terms of this agreement, such party may be declared in default.
14. Remedies. In the event a party has been declared in default, such defaulting party
shall be allowed a period of ten (10) days within which to cure said default. In the event the default
remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek
damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail
himself of any other remedy at law or equity. If the non -defaulting party commences legal or
equitable actions against the defaulting party, the defaulting party shall be liable to the
non -defaulting party for the non -defaulting parry's reasonable attorney fees and costs incurred
because of the default.
15. Binding Effect. This writing, together with the exhibits hereto, constitutes the entire
agreement between the parties and shall be binding upon said parties, their officers, employees,
agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal

16. Law/Severability. The laws of the State of Colorado shall govern the construction,
interpretation, execution and enforcement of this Agreement. In the event any provision of this

holding shall not invalidate or render unenforceable any other provision of this Agreement.
17. Prohibition Against Employing Illegal Aliens. Pursuant to Section 8-17.5-101,
C.R.S., et. seq., Professional represents and agrees that:
a. As of the date of this Agreement:
1. Professional does not knowingly employ or contract with an illegal alien
who will perform work under this Agreement; and
2. Professional will participate in either the e-Verify program created in
Public Law 208, 104th Congress, as amended, and expanded in Public Law 156,
108th Congress, as amended, administered by the United States Department of
Homeland Security (the "e-Verify Program") or the Department Program (the
"Department Program"), an employment verification program established
pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment
eligibility of all newly hired employees to perform work under this Agreement.
b. Professional shall not knowingly employ or contract with an illegal alien to perform
work under this Agreement or knowingly enter into a contract with a subcontractor that
knowingly employs or contracts with an illegal alien to perform work under this
Agreement.
C. Professional is prohibited from using the e-Verify Program or Department
Program procedures to undertake pre -employment screening of job applicants while this
Agreement is being performed.
d. If Professional obtains actual knowledge that a subcontractor performing work
under this Agreement knowingly employs or contracts with an illegal alien, Professional
shall:
1. Notify such subcontractor and the City within three days that Professional
has actual knowledge that the subcontractor is employing or contracting with an
illegal alien; and

2. Terminate.the subcontract with the subcontractor if within three days of
receiving the notice required pursuant to this section the subcontractor does not
cease employing or contracting with the illegal alien; except that Professional
shall not terminate the contract with the subcontractor if during such three days

knowingly employed or contracted with an illegal alien.
e. Professional shall comply with any reasonable request by the Colorado
Department of Labor and Employment (the "Department") made in the course of an
investigation that the Department undertakes or is undertaking pursuant to the authority
established in Subsection 8-17.5-102 (5), C.R.S.
If Professional violates any provision of this Agreement pertaining to the duties
imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this
Agreement is so terminated, Professional shall be liable for actual and consequential
damages to the City arising out of Professional's violation of Subsection 8-17.5-102,
C.R.S.
g. The City will notify the Office of the Secretary of State if Professional violates this
provision of this Agreement and the City terminates the Agreement for such breach.

North College Improvements Project: Phase II
Vine Drive to the Hickory/Conifer Intersections
Preliminary Engineering Scope of Work
Based on work completed during Conceptual Design and discussions with City Staff, Stolfus &
Associates, Inc. is pleased to present the following Scope of Services for Preliminary
Engineering of North College Improvements Project: Phase II. Preliminary Engineering will be
completed for improvements proposed in the Conceptual Design Report between Vine Drive and
the Hickory/Conifer Intersections, excluding the following:
• "Alley' Connections
• Local Street improvements including on -street parking
• Realignment of Conifer Street
• Realigned Vine Drive
The City will be responsible for all funding pursuits including preparation of grant applications
and funding requests, preparation of supporting graphics and cost estimates, coordination with
funding source representatives, and overall funding management and tracking.
The City will also be responsible for developing a project maintenance plan including identifying
and determining the responsible agency or department for each item, developing and
coordinating any agreements with CDOT, and providing information to Stolfus & Associates for
inclusion into the project specifications.
Task 1 — Project Management
Stolfus & Associates, Inc. will provide project administration/ management services for the
duration of the project. Services will include coordination, product review, and processing of
invoices. Stolfus & Associates, Inc. will be responsible for day-to-day management and
coordination of the work elements with subconsultants and the City's Project Manager.
Coordination of elements with City Staff, CDOT Staff, and stakeholders will be provided as
defined by this scope of work. The overall project organization will consist of five tiers of
communication as described below:
• Tier 1 — City Project Manager and Consultant Project Manager — The project managers
will be the key contacts for day-to-day management of the project. E-mail and phone
communication will be used for day-to-day management and coordination of the work
elements.
Tier 2 - Core Team - The Core Team will include the City Project Manager from
Engineering, the City Assistance Project Manager from Transportation Planning, the
CDOT local agency engineer, and the consultant project manager. Core Team meetings
will be used as working sessions to maximize team decision -making. Specific discipline
representatives and consultant team members will be invited to Core Team meetings, as
needed. Four (4) Core Team meetings are included.
Tier 3 — TAC — Two (2) TAC meetings will be held during preliminary design. The first
TAC meeting will be held as soon as possible following Notice to Proceed and will act as
a preliminary engineering kick-off meeting. The purpose of the kickoff meeting will be to
review the final resolution of the Conceptual Design and to discuss the scope of work,
schedule, and expectations for the preliminary engineering phase. Stolfus & Associates,
Inc. will prepare a draft schedule with input from the City to use as a discussion tool. As
a follow-up to the meeting, we will revise the schedule and update it, as needed. The
second TAC meeting will be held mid -way through preliminary engineering for the
purposes of obtaining technical input/concurrence and preparing for a preliminary
engineering plan submittal and public open house.
Tier 4 — Agency Coordination - Stolfus & Associates, Inc. will facilitate coordination
between the City and CDOT, including CDOT specialty departments such as
environmental, traffic, survey and right-of-way, materials, and drainage. In addition,
coordination with City Utility departments including (Capital Projects and Stormwater),
private utilities, and adjacent projects (including NEWT, NECCO, GWET, and Vine Drive
Realignment) will be completed on an individual basis during preliminary engineering.
Up to five (5) meetings are included in this scope of work for agency coordination.
Stolfus & Associates and Ayres Associates will continue coordination with public and
private utilities. One (1) utility meeting will be held to review identified utility conflicts.
Tier 5 — Stakeholder Involvement — A public involvement program, as described in Task
14, will be used to continue communication with the public, including elected officials,
the local business community, and the general public.
We have assumed that meetings will take place at the City offices and will be combined with other
project activities to the extent feasible. If appropriate, meetings may be conducted via conference
call. For budgeting purposes, we have assumed that three (3) conference calls will be held in
addition to the meeting described above. Stolfus & Associates, Inc. will be responsible for
scheduling meetings, preparing meeting exhibits, participating in the meetings, and preparing
and distributing minutes to record the discussions. The City will be responsible for scheduling
TAC meetings and for communication with the TAC between meetings to keep members
informed of progress and upcoming project events.

Task 2 — Roadway Design
Stolfus & Associates, Inc. will use topographic survey provided by the City, utility and right-of-
way information collected during Conceptual Design, auxiliary lane requirements identified in the
Traffic Study, and the recommendations from the Conceptual Design Report to develop roadway
improvements to a FIR design level for North College Avenue between Vine Drive and Hickory
Street.

Horizontal and vertical geometry will be established for the roadway with consideration for
existing roadway grades and cross -slopes. It is assumed that full reconstruction will not be
included and that the center lanes will remain as is. Vertical geometry will be coordinated with
the storm sewer design, existing grades within the floodway, future medians and existing
features including doorways, buildings and parking areas. Preliminary roadway plans and
profiles will be developed. Profiles will be developed along the sawcut line at the edge of the
existing concrete pavement. Based on the profile at the sawcut line and the proposed roadway
cross -slopes, flowline profiles along the left and right flowlines and medians will also be
developed. Geometry for auxiliary lanes and raised medians will be developed based on
recommended auxiliary lane lengths, tapers, and widths, as defined by the Traffic Study from the
Conceptual Design.. Geometry for the shared use path will be defined. Design efforts will
consider unique circumstances and will adapt the project elements to fit specific conditions by
selecting distinct urban design treatments customized based on circumstances or conditions.
Variations in cross -slope, width, and location of the shared use path and landscape buffer may
be considered to minimize property impacts.
Grading
A preliminary grading plan and model will be developed to establish catch points and preliminary
right-of-way needs. Vertical treatments to minimize property impacts at the back of the shared
